ZFX hat per 27.03. 73,08 % Anteil an AGM erreicht.
ZFX hat am 28.03 die Angebotsfrist auf den 18.04 erweitert.

Ganz so schnell, wie gedacht geht es also nicht.

AGM ist m. E. nur ein Nebenkriegsschauplatz, den man aber auch nicht aus den Augen verlieren sollte.

Die Zusammenarbeit OXR und ZGX ist das Wesentliche, wobei aber OXR seine eigene Leistung verstärken muss!

Australia's Oxiana hungry for mergers

Thursday April 10, 2008, 7:35 am


Australian miner Oxiana is scouring for mergers and acquisitions and is looking to move beyond its traditional markets of Asia and Australia and into Africa and Latin America, Chief Executive Owen Hegarty said on Wednesday.

"We're always looking for the bolt-on style, the smaller guys. That's how we've been successful in the past," Hegarty told Reuters in an interview on the sidelines of the CESCO/CRU copper conference in Chile.

"They're the sort of things we're looking at, whether they be in copper, other base and precious metals, gold, lead, silver, zinc, nickel and even moving outside that square too."

Oxiana is in the middle of a $A6.1 billion takeover of fellow Australian miner Zinifex.

"That's a merger of equals ... It's a good-karma type of merger. It gives us greater strength, a bigger position, stronger cash flow to look at bigger acquisitions or developments that would not be available to each company in its own right," Hegarty said.

He expects Oxiana's mine output to rise slightly in 2008 from last year's levels. In 2007 the miner produced around 130,000 tonnes of zinc, close to 80,000 tonnes of copper and 200,000 ounces of gold.

He said the company is also eyeing an improvement in its full-year net profit, which fell 45 per cent in 2007 to $A305.8 million due to low zinc prices and Australian dollar weakness.

Improvements will follow higher copper prices and volumes and the fact that the firm's Prominent Hill gold and copper mine will enter production in the fourth quarter of 2008.

"The important thing about the next couple of years is Prominent Hill coming on line. Next year will be the first full year of production. We'll produce at today's prices cash flow just short of a billion (Australian) dollars," Hegarty said.

"That will be a tremendous boon to the whole bottom line and cash flow situation."

Hegarty says there are 2.0 million tonnes of copper in resources and nearly 4.0 million ounces of gold in the Prominent Hill deposit, which Oxiana bills as "the world's next best copper gold mine".

The company forecasts the mine will produce up to 120,000 tonnes of copper a year and up to 100,000 ounces of gold.

Oxiana mines gold and copper in Laos and Australia and also operates in Thailand, Cambodia, southern China, and Indonesia.

"We know that patch very well ... but we are looking at moving outside that particular patch, into Africa, South America. We'd love to be here, the home of copper," he added, referring to Chile.

Mr Michelmore was appointed to the top job at Zinifex in November after spending two years as chief executive of Russian energy and aluminium company EN+ Group.

Prior to that Mr Michelmore was the boss of WMC Resources Ltd when it mounted a long running defence against predator Xstrata Plc, before being taken out by BHP Billiton Ltd in 2005.

"Andrew, obviously is less of a name as I am in this particular market because he's been missing for two to three years anyway working in Russia," Mr Hegarty said.

"I think he will build up a significant profile and I think the Oxiana shareholders are going to be very happy with his performance."

The merger will create the world's second largest zinc producer, with a significant position in copper, lead, gold and silver.

Oxiana shares were up 12 cents to $3.45 by 1449 AEST Thursday."

Jedenfalls scheint die ZFX / AGM - Übernahme jetzt nur noch an dem 10,4-%igen Anteil der Chinesen zu liegen.

Die Suche weiterer Finanzierer ausserhalb des Bankensektors (wegen der hohen Zinsen) ist ja richtig.

Wenn aber 1,37 Mrd $ cash vorhanden sind, scheinen sich einige weitere Aqisitionen sich anzubahnen!!!

IT may sound unlikely, but the $12 billion merger of mid-tier miners Zinifex and Oxiana was brewed up over cups of weak black tea in South Yarra.

Eager to keep rumours about the long-anticipated deal from reigniting, Zinifex boss Andrew Michelmore held initial talks with Oxiana chief Owen Hegarty at the most private location possible - his own house.

"We realised the last thing we needed was for Owen and I to appear in public somewhere or be inadvertently seen going into the same building," Mr Michelmore said during a speech yesterday.

"We agreed to meet at home, at my place, and I would make tea for Owen.

"We examined the merger from a high level and looked for any fatal flaws. The more we spoke the more we found we shared the same view."

Some 730 guests turned up to hear Mr Michelmore discuss the story behind the proposed Zinifex-Oxiana merger at a luncheon held by the Melbourne Mining Club at Melbourne Town Hall.

At one stage it looked like they would be disappointed after smoke from the kitchen set off a fire alarm and forced an evacuation of the building.

But the crowd was soon allowed to return to their seats, allowing Mr Michelmore to proceed with his presentation.

Speaking to journalists after the meeting, Mr Michelmore said many mid-tier mining houses had been absorbed into bigger rivals - leaving a hole for Oxiana-Zinifex to fill. "The customers you can see sitting out there, whether they are large countries or not, are feeling like they're being squeezed by this ever bigger, stronger marketplace," he said.

"Where we see opportunities, we have customers out there who don't see us as a threat - we actually work together win-win."

Mr Michelmore added that the combined entity would be happy to partner with foreign customers on major projects.

"You see a project, see an opportunity, how are we going to finance this? Have we got a secure market for it? How do you minimise a risk? You go to a customer and ask, 'would you be able to take a block in it?"' he said.

Zinifex shares fell 25c to $10.24. Oxiana shares lost 12c to $3.33.

Habe mir mal den Chart verlauf der letzten 6 Monat betrachtet
Davon ging es grobgesagt 3 Monate bergab und seitdem dümpelt der kurs waagrecht.
Was nutz mir ein Polymetaller ohne Gewinn wenn mit Kalium (wichtig für Dünger) in 6 Monaten z.T. über 50% Gewinn gemacht werden konnte .
Bin äußerst stinkig.

Vor einem Jahr habe ich noch anlässlich einer Fortbildung an der Börse FFM über:
soft commodities
wie Korn und Schweinehälften gelacht -
spätestens seit der Biospritdiskussion bin ich aufgewacht
Damit eine Pflanze optimal gedeihen kann braucht sie Kalium engl. potassium (von Pottasche)
ca. 50% davon hat weltweit Canada
ca. 25% Russland
und die Kalipreise explodieren !!!

ZINIFEX posted an increase in third-quarter zinc production, but lead output dropped due to lower grades and the impact of cyclones.

Zinc concentrate production for the quarter rose 2.6 per cent on year to 146,278 metric tonnes, but lead output fell 13.9 per cent to 12,974 tonnes, Zinifex said.

Shares in Zinifex (ASX: ZFX: quote) were steady at $10.28 today, as the benchmark S&P/ASX 200 Index gained 0.61 per cent.

Zinifex, which is carrying out a merger with fellow Melbourne-based miner Oxiana (ASX: OXR: quote), said market concerns about a large zinc surplus had put pressure on prices and that a weakening US dollar was also affecting revenue.

The miner said the Avebury nickel project in Tasmania was set to launch production and ramp up to full capacity during the September quarter."

CANADA'S Teck Cominco, a potential spoiler of the planned $12 billion merger between Zinifex and Oxiana, has indicated it could sell some of its coal assets to give it more acquisition firepower.

Teck owns a 20 per cent stake in the $C9.7 billion ($10 billion) Fording Canadian Coal Trust, which in December put itself up for sale after rebuffing an initial takeover approach by Teck.

Despite the auction process, Teck had been viewed as a frontrunner to buy the rest of Fording, but in an analyst teleconference yesterday, Teck's chief executive, Don Lindsay, said his company could consider selling the stake.

"At this point, it's very hard to say what we will do," he said. "We could be a buyer, we could be a seller, or we could hold our current position. We have made no decision at this point."

Mr Lindsay said Teck had a strong balance sheet that he regarded as "underleveraged" compared to its competitors.

"We will be debt-free in a matter of weeks, with the new coal price," he said, adding that acquisitions that came with immediate cash flows would allow Teck to take out even more debt than its targeted 30 per cent gearing ratio.

"We do have very strong financial capacity to make acquisitions, if we thought one was worthwhile," Mr Lindsay said.

Teck has long been considered a likely suitor for both Zinifex and Oxiana, although some analysts have questioned whether it would be as interested in Zinifex, since Teck has been attempting to diversify away from its large base of zinc production.

Analysts note that a third party like Teck is unlikely to bid for either company until a scheme booklet is released in mid-May, and that the combined entity might be more attractive than the individual miners.

Zinifex yesterday reported disappointing March-quarter zinc production of 146,278 tonnes and noted the commodity's price had averaged 24 per cent less than in the same period last year.

Zinifex and other zinc miners have had to pay higher concentrate treatment charges this year due to a surplus of zinc, although Mr Lindsay said the market was becoming more balanced. "While it's a small surplus, it's less than half of what people were forecasting … just judging by [London Metal Exchange] inventories." He indicated Teck was more bullish on copper, which would help propel it to a record profit over the next 12 months.

Teck last year beat Zinifex to buy Canada's Aur Resources for $C4 billion and last week announced the $C425 million purchase of Canada's Global Copper. Teck owns the Carrapateena copper project in South Australia, which is not far from Oxiana's Prominent Hill copper and gold mine that is under construction.

Mr Lindsay said Teck was working on a scoping study for the project, but noted it was not as advanced as its other copper projects in Canada and Peru.

Teck also operates the Lennard Shelf zinc mine in Western Australia in a joint venture with Xstrata.

OXIANA, which has agreed to a $6.2 billion merger with Zinifex, has received the final approvals for its $US310 million ($A332.23 million) Martabe gold project in Indonesia.

The copper and gold miner said yesterday it had received the construction permit from the Indonesian Government.

The miner said the permit would allow development of Martabe to start "shortly".

The gold project, located in north-western Sumatra, is expected to produce about 200,000 ounces of gold.

It is also believed to be able to deliver some two million ounces of silver over a nine-year life from 2009.

The company said the potential for an expansion to the mine life was considered to be "high".

It said exploration was continuing to test extensions to the main deposit.

Oxiana shares fell 11, or 3.25 per cent, to close at $3.27.

Meanwhile, Oxiana said power supply options for the project were "currently being finalised".

The company is in discussions with the Indonesian state power authority to provide grid power to the project.

Such a deal could yield capital savings of about $US16 million and operating cost savings of about $US4 million a year.

Oxiana also said final negotiations were under way with Ausenco Services for the award of the engineering, procurement and construction management contract for Martabe.

The two companies have worked together before.

Ausenco was the EPCM contractor for Oxiana's flagship Sepon gold project in Laos and one of two contractors for the Sepon copper operation.

Oxiana is developing the $1.08 billion Prominent Hill copper and gold project in South Australia.

The company also operates the Golden Grove zinc, copper and gold mine in Western Australia.

Oxiana's Prominent Hill mine is on track to begin full production of copper concentrate by the end of the year.

Excavators and trucks work around the clock at the Prominent Hill mine south-east of Coober Pedy, extending an open pit that is already 1.5 kilometres wide and several hundred metres deep.

The open cut mine is expected to have a lifespan of 10 years, but its general manager Mick Wilkes says the potential for underground mining will see that lifespan extended.

"We can expect this mine to be going out to about 2030," he said.

Recently Oxiana announced plans to merge with a similar sized company Zinifex, a move which would create Australia's third largest mining company.

Zinc producer Oxiana’s shares have surged amid talks of a possible takeover offer from Xstrata Plc, reports Bloomberg.

Oxiana shares closed at $3.58, an increase of 7.18 per cent.

More than 40 million shares have been traded so far on Wednesday, more than double the stock's daily average in the past six months.

``There is speculation of some global mining houses looking at the stock and Xstrata seems to be the speculative party that has been mentioned,'' said Leigh Gardner, head of sales trading at ABN Amro Holding.

``There is no doubt that Xstrata as a group is trawling the globe for assets that they think have got long-term viability,'' he said.

Xstrata, the fifth largest mining company by market value, posted mixed first quarter output results for its two most important metals on Tuesday as copper output gained 2 per cent and nickel production fell by 15 per cent.

Xstrata has not commented on the speculation.

ZINIFEX has flagged future partnerships with Jinchuan Group, China's biggest nickel producer, after the company accepted an $852 million takeover offer for Allegiance Mining.

Jinchuan has a 10.4 per cent interest in Allegiance and its acceptance clears the last hurdle in the takeover, allowing Zinifex to compulsory acquire the nickel hopeful's outstanding shares and de-list the company.

Allegiance holds the Avebury nickel project in Tasmania, which is expected to produce about 8500 tonnes of nickel in concentrate annually when it starts up this year.

Jinchuan has an agreement for the supply of nickel concentrate from the Avebury mine.

Zinifex chief executive Andrew Michelmore said yesterday the company viewed Jinchuan as a "strategic partner" and said there was "potential for expanding the relationship between the companies in relation to other base metal projects".

Mr Michelmore last month said the company had initiated discussions with customers to potentially take "strategic blocks" in future project developments outside of Australia.

Oxiana and Zinifex have agreed to a $6 billion merger, creating the world's second largest zinc producer, with a significant position in copper, lead, gold and silver.

"The merged company will be a substantial producer of copper, nickel and zinc which are all metals that are part of Jinchuan's business," Mr Michelmore said in a statement.

"These markets present multiple opportunities to grow together."

The combined group will have four operations in Australia and Asia, three near-term projects in development, combined cash on hand of about $2 billion and an organic growth pipeline spanning 10 years.

Diese Meinung vertreten der General Manager für Strategie und Entwicklung bei Zinifex, Howe, und Finanzexperten.
In jüngster Zeit machten Gerüchte die Runde, dass die an der Londoner Börse notierte Xstrata Oxiana auch gegen ihren Willen übernehmen wolle.Nach Ansicht von Howe waren diese Gerüchte bereits lange vor der Ankündigung des Zusammenschlusses von Zinifex und Oxiana aufgekommen. Derzeit ergäben sie allerdings kaum Sinn. „Wäre ich der Käufer, würde ich abwarten, bis die betroffenen Unternehmen Unterlagen über die Fusion veröffentlichen, die eine Due Diligence-Prüfung enthalten”, sagte Howe in einem Interview mit Dow Jones Newswires und räumte ein, dass das neue fusionierte Unternehmen voraussichtlich im Visier internationaler Übernahmeinteressenten stehen werde.

Nach Aussagen von Ric Ronge, Fondsmanager bei Pengana Global Rexources Fund in Melbourne, ist die Chance auf eine Übernahme von Oxiana durch Xstrata sehr gering, angesichts fehlender Synergien sowie der gegenwärtig verhältnismäßig hohen Börsenkapitalisierung von Oxiana. „Oxiana ist nicht billig hinsichtlich ihrer Börsenkapitalisierung, insbesondere wenn man sich andere, weitaus diversifiziertere Unternehmen aus dem Segment anschaut”, sagte Ronge. Im März dieses Jahres hatten die beiden australischen Minenbetreiber Oxiana und Zinifex ihren Zusammenschluss angekündigt. Die Fusion in einem Gesamtwert von 12 Mrd AUD ist für den 1. Juli vorgesehen.

Im Dezember vergangenen Jahres verkaufte Zinifex für ca. 2 Mrd AUD sein Hüttengeschäft und bot in einer feindlichen Übernahmeaktion 852 Mio AUD für den Nickelproduzenten Allegiance Mining NL. Mehr als 1 Mrd AUD stünden damit für andere Kupfer- und insbesondere Nickelzukäufe zur Verfügung, sagte Howe. Mit dem Zusammenschluss mit Oxiana zielt das Zinkunternehmen in erster Linie auf den Ausbau seines Kupfergeschäfts. So gebe es dank der Fusion exzellente Möglichkeiten, die Kupferproduktion an den Standorten Prominent Hill und Sepon zu erhöhen, sagte Howe. Im Zinksegment hingegen sei man ausreichend versorgt, so dass man sich nun auf Nickel konzentrieren werde. Dabei sei es denkbar, ein zweites Nickelprojekt ähnlich dem von Avebury für rund 1 Mrd AUD zu kaufen, sagte Howe"

ZINIFEX has warned that earnings will be lower than expected for the six months to June 30, dragged down by sagging zinc prices and rising costs.

The profit downgrade adds further uncertainty to Zinifex's planned $12 billion merger with Oxiana, amid concerns about the tie-up among some Oxiana shareholders and market speculation that a cashed-up counter-bidder will spoil the deal.

Zinifex chief executive Andrew Michelmore said yesterday that the miner would deliver lower-than-expected earnings in the second half of 2007-08.

In an address at a mining conference in Florida, Mr Michelmore said substantially lower zinc prices and the rising cost of energy, labour and other commodities would more than offset higher zinc and lead sales.

His comments highlight the underperformance of Zinifex's major metals - zinc and lead - compared with those of Oxiana - copper and gold - in recent months.

And they come just one month after concerned Oxiana shareholders raised the issue of their company's strong growth pipeline relative to its would-be merger partner at the Oxiana annual meeting.

Ord Minnett analyst Peter Strachan said Oxiana might choose to re-negotiate the terms of the deal - 3.1931 Oxiana shares for each Zinifex share - after the downgrade but added that the long-term logic of the merger remained sound.

"If Oxiana was not happy with merger terms, they have the option of bursting the bag and saying no," he told BusinessDaily.

"That said, the mining industry always has short-term fluctuations in metal prices."

After the downgrade Zinifex shares ended 10 lower yesterday at $10.32, while Oxiana lost 2 to $3.52.

Ord Minnett analyst Peter Arden said investors were holding on to both stocks, amid speculation that a big international player could come over the top with a counter-bid for either party.

"The general view is that the resources sector is in pretty good shape overall, and there might be someone else wanting to come in and offer a sweeter deal," he said.

Market speculation about possible counter bids has so far centred on an offer for Oxiana by Xstrata, now that the Anglo-Swiss miner's merger talks with Brazilian rival Vale have fallen through.

Other potentially interested parties include Canada-based Teck Cominco, British-based Anglo American and US-based Freeport McMoran, as well as Chinese and Russian interests.

Last year zinc tumbled off its record $US4600 a tonne on the London Metal Exchange and is now around $US2200 a tonne.

Zinifex reported a $1.039 billion net profit in the first half of 2007-08, buoyed by the spin-off of its smelting assets. Profits from continuing operations totalled $228 million during the period.

Zinifex shareholders will vote on the proposed merger on June 16.

"Oxiana find 'much bigger'

OXIANA has yet to find the outer edges of its copper-gold deposit at Prominent Hill in South Australia.

"We cannot find the extent of it laterally," Oxiana managing director Owen Hegarty said yesterday.

Drilling was continuing east and west of the open pit that is under construction.

"We used to think of this as a vertical ore body. We now think the ore body is much, much bigger than that," Mr Hegarty told an SA Chamber of Mines and Energy lunch.

"So watch this space for further resource increases."

Oxiana's formal estimates have been that the site contains 1.9 million tonnes of copper and 3.7 million ounces of gold.

"But we're still counting on a daily basis up there (as exploration continues)," Mr Hegarty said.

However, Oxiana shares lost 9 or 2.6 per cent yesterday to $3.33.

First production from the $1.08 billion Prominent Hill project is due to begin in mid-November.

The open pit is expected to have a 10-year life, after which the mine will go underground - taking it through to at least 2030, perhaps longer.

Mr Hegarty said that, as well as failing to find lateral limits, "we haven't found the bottom of this ore body yet."

Infrastructure at Prominent Hill is 80 per cent complete and the processing plant 40-45 per cent done.

The ore will be exported as a concentrate, railed via Darwin, mostly to smelters in China and India.

Asked how it was that Oxiana seemed to have avoided any debate on value-adding beyond the concentrate stage - in contrast to BHP Billiton attracting political flak for a similar proposal in relation to the Olympic Dam expansion - Mr Hegarty said the product would be at "very saleable"

Habt ihr eigentlich schon etwas von dem Zusammenschluß von Oxiana und Zinifex von eurer bank gehört? Sollte das nicht Anfang Juli soweit sein? Oder wird das alles erst kurzfritig gemacht? Bisher ist ja immernoch nicht klar, wie die Zustimmung der Aktionöre von Zinifex ist, also sicher ist das Ding noch nicht durch. Oder wie seht ihr das?

MELBOURNE, June 16 (Reuters) - Shareholders in Australian miner Zinifex (ASX: ZFX.ax) on Monday approved a A$4.3 billion ($4.0 billion) takeover by fellow miner Oxiana Ltd (ASX: OXR.ax) , creating Australia's third-largest diversified mining group.

Proxy votes showed 94 percent of Zinifex shareholders in favour of the deal. The proxy votes account for 84.2 percent of total shareholder votes.

The combined company will be the country's third-largest miner after BHP Billiton (ASX: BHP.ax) and Rio Tinto (ASX: RIO.ax) ."

Der neue Name soll "OZ Minerals" heissen. Bei OXR sol auf einer HV am 18.7.2008 entschieden werden.

Hallo Chartkieker,
ja das ist (und hoffentlich bald war) eine entsetzlich lange Talfahrt. Mal seh´n ,dass der Umkehrpunkt noch vor dem Jahrestiefstpunkt zu liegen kommt.
Bin zwar schon seit geraumer Zeit an der Außenlinie und bewundere deinen Einstz im thread.
Am Freitag ist Hexensabbat vielleicht ist am Montag ein guter Einstiegspunkt.

So Schlußkurs von heute. Es ging endlich mal wieder aufwärts.

In wenigen Tagen sind wir hier Aktionäre der drittgrößten Minengesellschaft Australiens und des zweitgrößten Zinkschürfers der Welt. Klingt zwar alles ganz schön, doch der Zinkpreis macht mir Sorgen! Der liegt unter 2000$ / Tonne und damit auf dem Niveau von Ende 2005. Hat sich also seit Mitte/Ende 07 mehr als halbiert. Diese Tatsache ist nicht grad förderlich für den Kurs, da OZ Minerals ja sehr abhängig von Zink ist. Hoffen wir mal das sich der Preis erholt und der Kurs dann auch wieder anzieht.

Also ich bin schon kräftig am grübeln, ob ich jetzt nicht zulegen sollte. Der Kurs ist sehr niedrig und wird sich schon erholen, aber wenn du sagst das der Jahrestiefpunkt grad erreicht wurde, warte lieber noch, vielleicht wird dadurch ein Signal erzeugt, weswegen der Kurs weiter fällt.

Oh man, im Moment helfen nicht mal gute Nachrichten.
Es geht unter hohen Umsätzen wieder nach unten. Obwohl mal gute Nachrichten veröffentlicht hat.
Man verkauft 10% von Martabe für $66Millionen US-Dollar, mit einer Option für weitere 10% zum selben Preis.
Zudem nimmt Prominent Hill immer konkretere Formen an.

Attached is an update from Oxiana’s Prominent Hill copper-gold project in South Australia where recent drilling has highlighted significant potential for the discovery of an additional deposit 900 metres from existing infrastructure. Better results from the drilling include 86m at 2.9% copper and 26m at 2.1% copper.

The project is also on schedule for commissioning and first production in the fourth quarter of 2008 with major milestones including the provision of power and water achieved.

Prominent Hill is a very important project for the new company formed through the merger of Zinifex and Oxiana significantly increasing the Group’s copper and gold production in 2009.

Oxiana an weiteren Akquisitionen interessiert
financial.de TopStory: Die Oxiana Ltd hat die Fusion mit Zinifex abgeschlossen. Nun werde das Bergbauunternehmen weiter Akquisitionsmöglichkeiten prüfen, sagte CEO Andrew Michelmore zu Dow Jones Newswires. Dabei habe Oxiana mehrere Möglichkeiten im Visier und halte auch nach größeren Transaktionen Ausschau. Allerdings verweisen Analysten darauf, dass die vereinigte Oxiana/Zinifex selbst nun auch ein Übernahmeziel sei.
Und zwar ein stärkeres als es die beiden Einzelunternehmen zuvor gewesen sind. Dies bestätigte Michelmore, doch bislang habe es noch keine Annäherungsversuche gegeben.

Am Donnerstag hatte Oxiana eine Absichtserklärung veröffentlicht, mit der indonesischen PT Aneka Tambang bei Kupfer- und Nickelminenprojekten in Indonesien zu kooperieren. Dazu werde der indonesische Partner für 66,5 Mio USD einen zehnprozentigen Anteil an der Martabe-Mine erwerben.

Wenn man sieht das der ASX heute um etwa 2,1% gefallen ist, dann ist es kein Wunder das auch Oxiana fällt. Selbst gute Nachrichten können im Moment nciht wirklich positiv durchschlagen, dafür ist das Sentiment einfach zu schlecht. Man muss wohl den besten Einstieg finden, denn Qualität steckt ja nun wirklich in der Aktie und Aufholpotenzial ist auch drin, nur wohl im Moment nicht.

Naja das hätten die Jungs ja nun mal auch vorher merken können, das der fallende Zinkpreis auf den Aktienkurs drücken wird...man hätte also auch ein anderes Unternehemen finden können, welches z.b. Gold/Silber produziert. Solange Zink so "billig" bleibt wird der Kurs auch weiterhin unten sein...da hilft auch Prominent Hill nichts...da können sie so viel von Kupfer reden, wie sie wollen. Eh das richtig anläuft vergeht noch 2009. Deshalb bin ich auch mal bei Zink short gegangen. Drücke natürlich die Daumen das OZ mal wieder steigt, weil es so auch schwierig sit, den besten Zeitpunkt zum nachlegen zu finden. Die Credit Suisse sagt in den verlinkten Nachrichten, das sie von weiter fallenden Zinkpreisen von 11% für 2009 und 25% für 2010 ausgehen. Dürfete uns allen klar sein, was das bedeutet, wenn es tatsächlich so kommt. Da müßten Kupfer und Gold noch richtig steigen, um diesen Verfall zu verhindern. Also wird wohl weiterhin schwieriges Terrain bleiben hier bei OZ.

Vote ushers in the beginning of OZ Minerals
A new era in Australian mining commenced on 18 July with shareholders overwhelmingly approving the new name for the merged Oxiana and Zinifex businesses – OZ Minerals.

OZ Minerals CEO, Andrew Michelmore, who unveiled the new brand at the EGM held on Friday, said that the new corporate logo designed for OZ Minerals was an excellent graphic expression which captured who the company is and the principles it will stand for.

“The logo draws on the traditional stencil alphabets seen across Australia’s outback which, used traditionally on everyday signage, has a direct, no-nonsense appeal.

“It obviously draws on the achievements of the two companies with the linking of the O and Z, but it also has a great sense of forward motion, action and growth. This is very much who we are,” he said.

Mr Michelmore said that the colour yellow had been chosen for OZ Minerals’ corporate identity for a number of reasons.

“The experts say it is the colour of energy, clear thoughts and getting things done. It also has powerful positive associations in Asia. Regardless of theory, I believe it’s a terrific look for a great new company,” he said.

Mr Michelmore said that expectations would be high for OZ Minerals as its starts life as the third largest diversified resources company listed on the Australian Securities Exchange.

“I acknowledge that the past couple of months have been difficult ones for shareholders but this new organisation is born from two companies with strong success stories and rich histories.

OZ Minerals, the world's second- largest zinc mining company, says Chinese companies may be interested in investing in the company following the recent decline in its share price.

"We'd have to be juicy for them,'' Peter Lester, executive general manager of business development of the Melbourne-based company said today at a media conference in Kalgoorlie, Western Australia.

Still, "no one has rung us and said 'do you want to learn Mandarin' yet,'' he said.

China is snapping up mining assets in Australia to secure supplies of raw materials to help offset a seven-year gain in metal prices. There will be further Chinese investment into Australia, Mr' Lester said.

"They cannot afford not to put their foot on assets,'' he said. OZ Minerals, created by Oxiana's acquisition of Zinifex, produces zinc, copper, gold and nickel from mines in Australia and Laos.

Buying Zinifex boosted OZ Mineral's zinc output fivefold and increased lead and silver output.

OZ Minerals' shares fell 3.5 cents, or 1.8% to close at $1.88. The stock has declined 12% since the merged company was formed on July 23.

Das sagte Peter Lester, Head of Business Development des mittelgroßen australischen Minenunternehmens, auf der Konferenz Diggers & Dealers in Kalgoorlie. An dergleichen müsse man denken, vor allem bei den derzeitigen Aktienkursen, sagte Lester am Rande der Bergbaukonferenz. Ein schwacher Zinkpreis hatte die Aktien des Unternehmens sinken lassen. Lester betonte aber, man rechne im kommenden Jahr mit einem starken Preisanstieg, da das Angebot des Metalls weiterhin beschränkt sei. Auch für Nickel sehe OZ Minerals positive Aussichten, und der Kupferpreis werde “extrem robust” bleiben. Der starke Kurs der australischen Währung sei ein Problem für das Unternehmen. OZ Minerals denke dennoch nicht an Hedgegeschäfte, da diese für viele australische Bergbauunternehmen in der Vergangenheit ein Desaster gewesen seien.

Es geht wieder aufwärts mit hohem Umsatz. Entweder wirkt die Übernahmefantasie oder der Tiefpunkt ist überschritten.
Jedenfalls hat die letzte Präsention für alle Projekte eine seriöse Arbeit des Managements gezeigt.

Zink ist doch immernoch billig! Bin vor kurzem mit nem Short Turbo raus und habe ein paar Euronen damit gemacht. Da stand Zink noch knapp über 1700$.
Also noch ist kein Aufschwung in Sicht bei OZL, solange Zink so günstig bleibt.

Durch den Merger mit Zinifex ist OZL zwar "zinklastig", aber immer noch ein "Polymetaller".
Es wäre schön, wenn der Kurs, nachdem er 2x von 1,63 AUD abgeprallt ist, sich so erholt , wie er die letzten 6 Monate gesunken ist.

Australian mining and materials stocks rose the most in seven months after buyers returned to commodities markets yesterday on speculation that slumping raw-materials prices, which sent copper, oil and corn into bear markets, were excessive. Before today, the S&P/ASX 200 Materials Index had dropped 15 percent since July 1 on concern metals demand from China slowed.
``Everyone's acting like the resources sector just bottomed and have been quick to jump on board the big fallers like OZ Minerals and Fortescue,'' Marcus Padley, author of Marcus Today, said today in the newsletter. ``After the size of the recent falls, you can see how tempting it is to get back on board.''
Surging prices for nickel, wheat, corn and crude oil yesterday sent the Reuters/Jefferies CRB Index of 19 commodities rebounding to its biggest one-day gain since June.
``There were a lot of commodities stronger overnight,'' James Foulsham, head of trading for Asia Pacific at CMC Markets, said by phone. ``A lot of those stocks had been sold off pretty heavily recently. Some people are buying back into them.''
Centennial Coal Co. gained 10 percent, Minara Resources Ltd. rose 10 percent and Panaust Ltd. jumped 20 percent. BHP Billiton Ltd., the world's biggest mining company, rose by 5.3 percent and Rio Tinto Group 5.7 percent.

Ich hätte nie gedacht das der Kurs mal so abstürzen würde. Ist das noch mit niedrigeren Metallpreisen oder der schwierigeren Kreditaufnahme zu erklären? Klar sinken die Einnahmen und die Energiepreise tragen auch zu sinkenden Gewinnen bei, aber mittlerweile is OZ nur noch etwa 4,5Mrd. Aussie Dollars Wert. Waren es nicht mal 9Mrd?

OZ Minerals will arrange for the trustee of its Executive Share Option Plan, Performance Rights Plan and Employee Share Plan to purchase up to 8 million shares in the ordinary course of trading. The shares will be held on trust to satisfy obligations to allocate shares to participants under the various employee share plans upon exercise of their vested options and performance rights.




Further, and pursuant to the terms of the OZ Minerals’ Dividend Reinvestment Plan (DRP), OZ Minerals is required to allocate approximately 30 million shares to shareholder participants under the DRP on 29 September 2008. The Board will exercise its discretion and satisfy this allocation by purchasing shares on market through an external institution.

Projects on track: Prominent Hill commissioning to commence in October 2008




OZ Minerals has confirmed that its Prominent Hill copper-gold project in South Australia will commence commissioning next month. This follows the successful on-time commissioning of the Company’s Avebury nickel project in Tasmania. The first concentrate from Avebury was shipped to customers in August 2008.


“We are aware of rumours in the market that there will be delays at Prominent Hill. There is no basis for these rumours, which we believe may be creating a false market in OZ Minerals’ shares”, said Mr Andrew Michelmore, Managing Director and CEO of OZ Minerals.




“The facts are these:


Late last year, Oxiana advised that Prominent Hill would be commissioned in the fourth quarter of 2008;
Prominent Hill will commence commissioning in October 2008, when the crushing circuit will come into operation”,












Mr Michelmore added.


The Company has previously indicated that expected production from Prominent Hill for 2009 is between 110,000 – 120,000 tonnes of copper in concentrate and 80,000 – 85,000 ounces of gold and no changes to this guidance have been made.


Mr Michelmore said “we have previously announced an expected total capital cost of $1.08 billion for the Prominent Hill project.


“While the final cost won’t be known with absolute accuracy until the project is complete, the Company does not expect it to be materially different from this indication”, he added.


Mr Michelmore noted that “Prominent Hill will make a substantial contribution to OZ Minerals’ production profile, more than doubling the Company’s annual copper output.


“We expect copper to generate more than 50% of OZ Minerals’ revenue in 2009, compared to approximately 36% of the combined pro-forma revenue of Oxiana and Zinifex in the first half of 2008,” he said.


Mr Michelmore also noted that OZ Minerals closing share price on 15 September of $1.445 was well below the valuation of $3.80 - $4.40 per share determined by Grant Samuel & Associates in the Independent Expert’s Report prepared in May 2008 as part of the documentation for the Zinifex Scheme of Arrangement.


“One thing that is clear is that the inherent value of the Company’s assets has not deteriorated in the 4 months since the Independent Expert’s Report was published”, he concluded.

World’s second-largest zinc miner to cut zinc production in favour of copper
OZ Minerals, the world’s second largest zinc miner, has announced plans to reduce zinc production in favour of copper at its Golden Grove mine in 2009.
“Current prices provide no economic incentive for us to continue to mine zinc at historical production levels”, said Andrew Michelmore, MD & CEO of OZ Minerals.
OZ Minerals intends to reschedule mine production at Golden Grove in 2009 to reduce production of zinc in concentrate by approximately 50,000 tonnes, equivalent to a reduction of between 35% - 40% of current 2008 zinc production guidance of 130,000 – 135,000 tonnes. Expected zinc in concentrate production from Golden Grove for 2009 is in the range of 80,000 – 85,000 tonnes.

OZ Minerals will simultaneously increase production of copper in concentrate by approximately 14,000 tonnes to between 35,000 – 40,000 tonnes for 2009.


“Golden Grove is a polymetallic mine, which gives us the capability to vary the mix of copper and zinc we produce”, said Andrew Michelmore. “At current prices for copper and zinc, our decision to preferentially mine copper over zinc will result in slightly higher revenue levels and more substantially higher profit margins, as copper is a higher margin product for us than zinc.
“Re-scheduling production as outlined will also enable us to retain a valuable zinc asset that we will mine in the future when the zinc market returns to levels that more accurately reflect underlying supply and demand fundamentals”, he added.
“We have not at this stage rescheduled zinc production any further at Golden Grove or at any of our other operations because we have a duty to ensure our long-term customers are not disadvantaged”, said Mr. Michelmore. “However”, he continued, “we will always have the long-term economic interests of our shareholders uppermost in our decision-making."

Du mußt Aktien des Unternehmens generell vor dem Stichtag der Dividendenauszahlung besitzen, meißt ist dies die Hauptversammlung. Es spielt keine Rolle ob du einen Monat vorher die Aktien kaufst, oder einen Tag vorher. Entscheidend ist der Stichtag, hier wars der 28.08. siehe hier

Vielen Dank für die schnelle Rückinfo ! Falls es demnächst nochmals zu einer Abwärtswelle im Rohstoffsektor kommen sollte, sind die Shares von OZ Minerals meiner Ansicht nach eine sehr interessante Investmentchance, besonders bei mittel- bzw. langfristigem Anlagehorizont.

Auch heute ging es wieder leicht runter. naja mal sehen wie die Woche zu Ende geht. Denke wenn es in den USA heute grün wird, steigen auch die Börsen in Asien und dann wohl auch OZL.
Am 21.10. kommt der Bericht zum 3.Quartal, mal sehen wie der aussieht. Da sich Gold ja durchaus gut hält, sollte doch etwas zu verdienen sein, jedoch sind Silber und vorallem Zink weiterhin sehr billig. Also abwarten und gespannt sein, denke den Tiefpunkt haben wir noch nciht gesehen.

Obwohl es heute 16,5% nach oben ging, befinden wir uns hier immernoch über pari und das etwa 10%, zwar ging auch der Aussie Dollar nach oben, aber noch reichts es eben nicht ;-) Das liegt sicher an der unerwarteten Leitzinssenkung in Australien Ende letzter Woche.

Nein, glaube ich nicht. Zumindest nicht in der kurzen Zeit. Aber woher hast du den Tiefstkurs von 0,48€?
Und woher die Meinung dass das Unternehmen über irgendeinen Berg kommen muss? Es ist ja nicht so das OZ ums überleben kämpfen muss, sondern es geht um die momentanen Ängste vor einer weltweiten Rezession. Außerdem mußt du dir mal die Metallkurse der letzten Monate angucken, dann siehst du das OZ fällt, weil die Kurse für Zink, Kupfer, Silber im Keller sind.

IT WAS supposed to be a match made in heaven, but the $12 billion marriage of Oxiana and Zinifex has quickly turned sour.



After slashing zinc output at its Golden Grove mine in Western Australia amid tumbling prices for the base metal, the product of the union, Oz Minerals, is now facing the closure of Century in Queensland.

The miner's share price has been hit so hard in recent months, analysts believe an interloper could launch a bid for the company despite the global credit crisis and emerging downturn in commodities demand.

In its quarterly production report, released yesterday, Oz Minerals revealed the cost of producing each pound of zinc at Century was US61 in the three months ended September 30 – about US7 higher than where the zinc price is trading.

Asked if Century would keep running if zinc prices stayed at these levels, Oz Minerals chief executive Andrew Michelmore responded: "We would not be in the policy of making tonnes to make a loss – we would want to make sure we'd make cash on it."

Commenting on the outlook for zinc, Mr Michelmore said prices could move higher as other miners around the world also sought to cut back on output.

Zinc output at Century stood at 129,241 tonnes during the quarter, down 3 per cent on the same period last year.

Production of the base metal at Golden Grove was down 33.5 per cent to 23,778 tonnes, after the miner last month unveiled plans to cut output at the mine by some 40 per cent in calendar 2009.

Copper output at Golden Grove and Sepon in Laos rose 176.5 per cent to 6692 tonnes and 8.7 per cent to 17,546 tonnes respectively.

In a bright spot, Oz Minerals also reported that construction of the Prominent Hill copper and gold mine in South Australia was nearly complete and the plant would process its first ore in the final quarter of calendar 2008, as forecast.

Despite the predominantly gloomy news, Oz Minerals shares jumped 9.5 to $1.16. That compares to their high of $3.58 in May, soon after the merger.

Ord Minnett resources analyst Peter Arden said investors were hoping the miner had put its worst times behind it.

"There are indications they are knuckling down and getting things that they can control under control, rather than just drifting along," he said.

However, Mr Arden said it was possible a rival miner would take advantage of Oz Minerals' vulnerable position to launch a tilt at the miner, once the present economic uncertainty had settled a little.

Anglo-Swiss mining giant Xstrata was the most obvious contender, followed by smaller players such as Canada's Teck Cominco and local miner Kagara, he said.

Brazil's Vale and London-based Anglo American were outside chances, he added.

OZ Minerals chief executive Andrew Michelmore today said the perceived commodities slowdown was not based on fact, and the market was responding in an "emotional" way.

Mr Michelmore said OZ Minerals had not had any contracts cancelled, or witnessed reduced demand for its products.

Concern has grown in the mining industry that demand for commodities has slowed, and some junior players have rescheduled operations.

Speaking to OZ Minerals’ third-quarter report today, Mr Michelmore said the miner has not witnessed less demand for its products.

“The market is not as gloomy as it is being portrayed. All our customers still want and need the products and no one has cancelled contracts,” he said.

OZ Minerals’ Sepon operation in Laos delivered 17,546 tonnes of copper in the third quarter despite heavy rains.

Sepon produced 22,190 ounces of gold and the diversified miner said it was on track to meet full-year guidance for gold and copper output at the Laotion project.

The miner’s Golden Grove operation in Western Australia delivered 23,778 tonnes of zinc and 6692 tonnes of copper.

OZ Minerals said it was likely to meet the revised full-year production guidance for Golden Grove.

At the Century mine in Queensland, 129,241 tonnes of zinc were produced, along with 17,846 tonnes of lead, and cash costs had run at US61 cents per pound.

The miner said construction of Prominent Hill copper mine in South Australia was nearly complete and the processing plant was likely to be commissioned in the fourth quarter, as forecast.

OZ Minerals shares rose 4.23 per cent, gaining 4 cents to $1.11 in an Australian market that had gained 1.8 per cent.

Ganz schlechte Nachrichten!
OZ scheint sehr große Probleme zu haben die kurzfristigen Schulden zurückzahlen zu können, deshalb verscuhen sie einen Aufschub der Rückzahlung zu bekommen, was in diesen Zeiten sicehr schwer wird.
Aufgrund dessen wurde auf Bitten von OZ der Handel an der ASX bis zum 2.Dezember oder bis zur Klärung eingestellt!

OZ Minerals has been granted a voluntary suspension of its shares until 29 December in order to progress negotiations with the banks on the refinancing of its debt facilities.

OZ Minerals has accepted an offer from its lenders to extend the date by which it is required to refinance these facilities to 29 December 2008 with an option, subject to certain conditions being satisfied, for the extension to run until 31 January 2009.

Jetzt hat Ozl auch noch ärger mit einem Fond, der meint Ozl hätte wohl falsche und nicht aktuelle Tatsachen vermeldet, oder besser gesagt wichtige Tatsachen verheimlicht.

Naja ne KE würde ich jetzt nicht unbedingt als toll bezeichnen. Besser als ne Insolvenz, ok, aber dennoch für uns "Inhaber" ne schlechte Lösung. Hoffen wir mal, das wir drum rum kommen. Sollen die lieber ein paar Assets verkaufen, wenn es im momentanen Umfeld dafür überhaupt ordentliche Preise gibt.

OZ Minerals' gold, copper resources grow

Debt-laden OZ Minerals Ltd has significantly increased its gold and copper resources after new finds in South Australia and Laos, according to its annual resources and reserves update.

OZ Minerals, Australia's third largest diversified miner, was formed on July 1 by the merger of gold and copper miner Oxiana Ltd and lead and zinc miner Zinifex Ltd.

As of June 30 this year, the combined entity had 396.7 million ounces of silver, 19 million ounces of gold, 5.9 million tonnes of copper, 18.2 million tonnes of zinc, 2.6 million tonnes of lead and 0.2 million tonnes of nickel.

Executive group manager exploration Tony Manini said this showed "significant year-on-year increases in OZ Minerals' group mineral resources, with gold up 19 per cent, copper up 22.1 per cent and zinc up slightly 2.3 per cent".

"The strong lift in group copper and gold mineral resources has resulted primarily from the addition of several new discoveries at Prominent Hill (SA) and Sepon (Laos)," Mr Manini said.

He said these finds plus discoveries at the Rosebery lead and zinc mine in Tasmania and Golden Grove gold mine in Western Australia required extensive drilling before ore reserves could be established.

Mineral resources are a broad estimate of the ore a project contains, while mineral reserves are the economically mineable part of a resource that have been `firmed up' through drilling.

OZ Minerals' mineral reserves are 4.24 million ounces of gold, 90.59 million ounces of silver, 1.91 million tonnes of copper, 5.13 million tonnes of zinc, 0.6 million tonnes of lead and 0.04 million tonnes of nickel.

Shares in OZ Minerals remain in a trading halt while it tries to refinance three debt facilities totalling more than $1 billion that expire around the end of this month.

The shares were suspended from trading on November 28 and were last priced at 55 cents.

OZ Minerals Wins Debt Refinancing Deadline Extension (Update2)

Dec. 30 (Bloomberg) -- OZ Minerals Ltd., the world’s second- largest zinc mining company, won a two-month extension to refinance debt after burning through A$1 billion ($689 million) in cash in six months as metal prices plunged.

The company received approaches seeking a majority stake in the A$2.5 billion Prominent Hill copper and gold mine as it proceeds with assets sales to meet refinancing requirements, Melbourne-based OZ said today in a statement. It’s also seeking bridging finance to meet cash shortfalls at three of its projects and has agreed to give Societe Generale, one of its lenders, security over its biggest zinc mine.

OZ Minerals’ market value slumped by $6.5 billion, or 79 percent, this half as metal prices plunged almost 60 percent. Credit markets worldwide have been squeezed after financial companies booked more than $1 trillion in writedowns and credit- market losses since last year.

“It’s an ongoing concern that they even got themselves in this position given they had A$1 billion of cash at the end of June,” Marcus Droga, a private client adviser at Macquarie Equities Ltd., said by phone from Sydney. “It would seem that asset sales are at minimum what needs to be done if the company has any chance of survival.”

OZ Minerals, created when Oxiana Ltd. bought Zinifex Ltd. in July, last traded at 55 cents on Nov. 27, giving it a market value of A$1.7 billion. Its shares, which have been suspended since Nov. 27, may remain halted until Feb. 27 as it seeks to complete the refinancing.

Work to Do

“We have still a lot of work to do to achieve the refinancing,” Chief Executive Officer Andrew Michelmore said in the statement. The deadline to refinance the $560 million of debt has been extended to Feb. 27, from the initial date of yesterday.

The company has a loan of $420 million provided by seven lenders including Bank of Scotland Plc, a unit of HBOS Plc; Australia & New Zealand Bank Group Ltd.; Commonwealth Bank of Australia; BNP Paribas, and Bayerische Hypo-und Vereinsbank AG, OZ Minerals said Dec. 4. A second $140 million loan is being refinanced by Dec. 29, the company said. ANZ and RBC provided this loan.

A third loan with Societe Generale has a limit of A$250 million and is drawn down to $85.8 million, OZ Minerals said Dec. 10. Societe Generale will be granted security over former Zinifex assets in exchange for extending the loan. Zinifex owned the Century zinc mine as well as the Avebury nickel mine in Tasmania that was shut this month because of declining prices.

Spending Cuts

The London Metal Exchange LMEX Index of six metals has dropped 59 percent from this half. Prices for zinc have slumped 41 percent and nickel has lost 56 percent.

The company’s cash balance fell to A$169.2 million as of Dec. 23, 39 percent less than the level at Dec. 8.

Michelmore has cut spending by A$680 million, trimmed production, fired workers and deferred expansion plans as the company tries to refinance debt. He has also cut zinc output at its Golden Grove mine because of falling commodity prices.

Selling assets was one of the provisions set by the lenders to extend the refinancing deadline, it said.

BHP Billiton Ltd. may be interested in buying Prominent Hill, Goldman Sachs JBWere Pty said Dec. 10. OZ Minerals said Dec. 19 it may sell the Martabe gold project in Indonesia.

Ich würde auch fast eine Bezahlung in Aktien bevorzugen, aber das wird wohl ncihts, die schwimmen im Geld und befinden sich in Staatsbesitz, also weiß ich nciht mal ob es von dem Unternehmen Aktien gibt.
Noch hoffe ich das vielleicht der australische Staat eingreift, auch wenn diese Hoffnungen kleine sind. Gab ja bereits Stimmen die sagten, Australien verschärbelt sein Tafelsilber an die Chinesen.

Ich hoffe auch, dass die Regierung das unterbindet und OZ stützt. Eine Nachhaltigkeit in diesem Segment ist doch nur vorteilhaft - die chinesen kommen nie wieder günstiger an Rohstoffe...

Was mich erfreut ist, dass sie die ersten Umsätze aus der Mine in der nächsten Bilanz schon schreiben wollen und das ich noch keine Post von minmetal habe

Es scheint mir eher so zu sein, das der Aufschub der Finanzierung ein wesentlicher Bestandteil und eine Bedingung des Übernahmeangebots ist.
Von daher läßt sich anhand des Aufschubs noch nicht erkennen, das es für OZL alleine weitergeht.
Wäre natürlich toll, wenn die Übernahme nicht stattfindet und OZL danach NICHT pleite geht. Doch genau hier liegt der entscheidende Punkt.
In den heute veröffentlichsten Dokumenten ist zu lesen das Martabe und Golden Grove verkauft werden sollen, um die Gläubiger zu bezahlen.
Also wir sind noch lange nicht aus allem raus, nach wie vor gibt es viele Probleme und ein alleiniges Überleben ist noch nicht sicher.

Minmetals Offer Update - FIRB extends evaluation period by up to 90 days


OZ Minerals has today been advised that the evaluation period for consideration of the application by China Minmetals Non-Ferrous Metals Company Limited (“Minmetals”) for approval to acquire all the shares in OZ Minerals under the Foreign Acquisitions and Takeovers Act (“Act”) has been extended by up to 90 days from 24 March 2009.

OZ Minerals understands the requirement for proper process to be followed and will continue to work co-operatively with the Foreign Investment Review Board. It is in the interests of OZ Minerals, its shareholders, employees and all its stakeholders that the Minmetals’ application is determined as soon as possible.

As previously advised, OZ Minerals is seeking an extension for the refinancing date for certain of its banking facilities until 15 September, which is two weeks after the End Date, being the latest implementation date currently permitted under the Scheme Implementation Agreement (“SIA”) with Minmetals. This time period was set under the SIA to allow for the contingency that the evaluation period under the Act may be extended beyond 30 days. OZ Minerals will continue negotiations with its lenders to achieve the extension required.

Separately, the Australian Competition and Consumer Commission has advised that it does not propose to intervene on the matter under section 50 of the Trade Practices Act.

OZ Minerals will request the Australian Stock Exchange lift the trading halt currently placed on the Company’s shares.

Ich habe auch gehofft, aber rechne jetzt nicht mehr damit, das der australische Staat noch eingreifen wird! Der Laden wird verkauft und wir stehen blöd da. Bei solch großen Fusionen ist es irgendwie immer das gleiche :-( DaimlerChrysler , Dresdner udn Allianz, Rover und BMW...

Ich habe grad gelesen das die Aussie Regierung wohl der Übernahme so nicht zustimmen wird, weil Prominent Hill in einer wichtigen sicherheitsstrategischen Region liegt und somit ein nationales Interesse daran besteht das es nicht in fremde Hände fällt!

Ich nehme mal an die Chinesen überlegen sich ihr Angebot noch mal zu ändern. Könnte sein, das sie den Preis senken und Prominent Hill dann nicht nehmen, oder sie steigen ganz aus, oder Prominent Hill wird schnell an einen Australier verkauft und das Geld wird zu Schuldentilgung genutzt und das angebot der Chinesen bleibt wie es ist.

Minmetals Offer Update – Information from the Treasurer


The Treasurer of Australia has today released the following statement.


“Today I advise of progress in my consideration of the takeover proposal by China Minmetals Non-Ferrous Metals Co Ltd for 100 per cent of Oz Minerals Ltd.
Under the Foreign Acquisitions and Takeovers Act 1975, all foreign investment applications are examined against Australia's national interest.
An important part of this assessment is whether proposals conform with Australia's national security interests, in line with the principles that apply to foreign government related investments.
OZ Minerals' Prominent Hill mining operations are situated in the Woomera Prohibited Area in South Australia. The Woomera Prohibited Area weapons testing range makes a unique and sensitive contribution to Australia's national defence.
It is not unusual for governments to restrict access to sensitive areas on national security grounds.
The Government has determined that Minmetals' proposal for Oz Minerals cannot be approved if it includes Prominent Hill. I have informed Minmetals of this decision.
Discussions between the Foreign Investment Review Board and Minmetals are continuing in relation to Oz Minerals' other businesses and assets, and the Government is willing to consider alternative proposals relating to those other assets and businesses.
The Government issued an interim order on this application on 23 March 2009.


Commenting on the statement, OZ Minerals Limited Managing Director and CEO, Andrew Michelmore said, “OZ Minerals is now in discussion with Minmetals regarding possible changes to the proposed transaction structure in light of the Treasurer’s statement and will make a further announcement in this regard as soon as possible.”

OZ Minerals remains in constructive negotiations with its banks regarding the pending extension of certain of its loan facilities due on 31 March 2009.

OZ Minerals Limited requests that its shares be suspended prior to the commencement of trading pursuant to Listing Rule 17.2.

Following the statement made on Friday 27 March 2009 by the Treasurer of Australia in respect of the proposed acquisition of OZ Minerals by China Minmetals Non-ferrous Metals (Minmetals), OZ Minerals has received an alternative incomplete proposal (Proposal) from Minmetals which, when completed, will result in Minmetals acquiring all of OZ Minerals’ assets except for Prominent Hill, Martabe and the Company’s portfolio of listed assets, including Toro Energy Limited. The Proposal will also provide a complete solution to OZ Minerals’ refinancing issues.

Also, and as previously advised, OZ Minerals is currently seeking a further extension to the refinancing date for certain of its banking facilities. At present, those facilities are due to be refinanced today and, notwithstanding recent events, the Company expects that those negotiations will be completed satisfactorily having regard to the Proposal.

OZ Minerals is concerned that, as the Proposal and the refinancing extension negotiations are subject to confidentiality provisions and are not yet complete, the Company may not be able to keep the market fully informed of relevant developments.

OZ Minerals will make a definitive announcement regarding its refinancing negotiations before the commencement of trading tomorrow and will endeavour to make a definitive announcement regarding the Proposal in the same timeframe. The Company expects to seek re-instatement to normal trading on 1 April 2009.

Proposed transaction with Minmetals

Following the announcement by the Treasurer of the Commonwealth of Australia on 27 March 2009 that he would not approve the proposed takeover of OZ Minerals by China Minmetals Non-ferrous Metals Company Limited (“Minmetals”) if Prominent Hill was part of the transaction, OZ Minerals today announces that it has negotiated commercial terms for a transaction (“Transaction”) involving the sale of certain assets to Minmetals. The parties have signed a term sheet and are now working towards the execution of a sale and purchase agreement.
The proposed Transaction, which will require the approval of OZ Minerals’ shareholders, involves the sale by OZ Minerals of Sepon, Golden Grove, Century, Rosebery, Avebury, Dugald River, High Lake, Izok Lake and certain other exploration and development assets to Minmetals for US$1,206 million (equivalent to approximately A$1,750 million at current exchange rates) including any applicable GST.
OZ Minerals will retain Prominent Hill, Martabe, specific exploration assets in Cambodia and Thailand and its listed equity interests (including its interest in Toro Energy). If OZ Minerals retires all its debt (except for the Convertible Bonds on issue), it is expected to also have a cash balance of approximately A$600 million immediately upon completion of the Transaction.
Barry Cusack, Chairman of OZ Minerals, said:
“While this is a structurally different proposal to the previous cash proposal from Minmetals of 82.5 cents per share, we believe it represents an attractive offer for OZ Minerals and our shareholders. Importantly, it also provides a complete solution to OZ Minerals’ refinancing issues.”
Andrew Michelmore, Managing Director and CEO of OZ Minerals, added:
“This structure also allows OZ Minerals’ shareholders to retain full ownership of Prominent Hill, which has now commenced production and is expected to become cash flow positive during the second half of 2009. Prominent Hill has significant upside potential, and OZ Minerals will have the financial capacity to continue its development. Shareholders will now be able to retain full exposure to the long-term growth profile of Prominent Hill.”
The sale price assumes the businesses are purchased on a “cash free, debt free” basis and assuming normal levels of working capital. OZ Minerals is expected to retain all existing cash and debt obligations, and intends to use part of the cash proceeds to pay down most or all of its debt facilities.
The parties have entered into an Exclusivity Deed, which will operate until 13 April 2009. This Deed obliges the parties to use best endeavours to agree formal legal agreements for the asset sales and grants Minmetals exclusivity in relation to corporate transactions involving OZ Minerals until 13 April 2009 (other than the Martabe Gold Project).
The sale and purchase agreement will also contain customary deal protection measures, including exclusivity and a break fee.
If binding Transaction documentation is entered into, OZ Minerals’ shareholders will be asked to vote on an ordinary resolution in respect of the proposed asset sales at a meeting of shareholders. Shareholders will be sent explanatory materials, including an Independent Expert’s Report, to assist them in considering this resolution. Subject to the regulatory approvals and the shareholder vote, completion of the proposed Transaction is expected in June 2009.

OZ Minerals has achieved an important milestone in the establishment of its Prominent Hill copper-gold
mine in South Australia, with the first rail delivery of concentrate to the Port of Darwin. The shipment was dispatched from the Wirrida rail siding, which is located approximately 115 kilometres west of Prominent Hill. The Company expects to deliver approximately 600 tonnes of concentrate per day, six days per week to the port.

From the Port of Darwin Prominent Hill copper concentrates will be shipped to smelters across Asia.
The first shipment from Darwin is expected to be made in late April. Concentrates also continue to be delivered via road to local customers.

“Since first production in late February, the ramp up of the processing plant has progressed very well, the operation has now reached a production rate of around 80% and, as planned, is expected to reach its nameplate rate by the end of the year,” said OZ Minerals Managing Director and CEO Andrew Michelmore.

Prominent Hill concentrates are characterised by their high copper grades and low arsenic content. The grade of Prominent Hill concentrates has consistently been more than 50% copper with all other elements well within normal contract specifications.

Hallo,

so wie es jetzt aussieht wird OZ nciht von den Chinesen übernommen, sondern sie zahlen 1,2 Milliarden Dollar für die Assets Sepon, Golden Grove, Century, Rosebery, Avebury, Dugald River, High Lake, Izok Lake.
OZ behält Prominent Hill, Martabe, Explorationen in Kambotscha und Thailand und seinen Anteil an Toro Energy.
Somit werden die Aktionäre ihr Anteiel behalten können und das Unternehmen lebt weiter...hoffen wir mal lange und nun mit besserem Management.

ich persönlich finde diese Nachricht gut, so gibt es zumindest die Möglichkeit das ich irgendwann man mein Geld wiedersehe. Zwar besteht trotzdem weiterhin die Möglichkeit das OZ in Zukunft pleite geht, aber ich hoffe das Management hat aus der Vergangenheit gelernt.

“A resolution authorising the sale of these assets to Minmetals will be put to shareholders at OZ Minerals’ upcoming Annual General Meeting and, in the absence of a superior proposal, the Board of OZ Minerals unanimously recommends that shareholders vote in favour of the sale.
“Throughout this transaction, Minmetals have demonstrated their commitment to developing a substantial business in Australia”, Mr. Cusack added, “and they have indicated to me their desire to meet with employees and other stakeholders impacted by the transaction as soon as feasible”.
Andrew Michelmore, Managing Director and CEO of OZ Minerals, added “Following today’s announcement by the Treasurer, OZ Minerals is one critical step closer to implementing the proposed transaction with Minmetals and resolving its refinancing issues. At completion of the transaction, OZ Minerals will continue to own the newly-producing Prominent Hill copper-gold mine in South Australia and other prospective assets and will have net cash on the balance sheet to enable it to develop into the future.”
OZ Minerals remains in negotiations with its lenders to extend the date by which certain of its lending facilities must be refinanced from 30 April 2009 to 30 June 2009. Such an extension would be sufficient to allow the proposed transaction with Minmetals to complete, based on the Indicative Timetable outlined below.

Nachdem nun sogut wie alles verkauft ist, denke ich nicht das 3€ als Kursziel realistisch ist. Ich hoffe innerhalb von 12-24 Monaten 1,75€ als Kurs wiederzusehen. Das hängt aber auch alles davon ab, was und ob andere Assets gefunden werde und aufgebaut werden.
Aber da jetzt nur noch Prominent Hill und ein paar Explorationen im Unternehmen sind, sollte man die Kursziele realistisch betrachten.
Oder was denkt ihr anderen so?

IT MIGHT not be a dragon, but a Chinese phoenix began its rise yesterday from the remains of what was OZ Minerals.

Chinese Government-backed Minmetals launched its new Australian-based company Minerals and Metals Group (MMG) after swallowing up most of OZ's assets for $US1.35 billion ($A1.7 billion).

"The purchase of OZ Minerals is the largest single transaction that Minmetals has undertaken," Minmetals president Zhou Zhongshu said in Melbourne yesterday.

"In acquiring 100 per cent of this asset, it is also the largest such purchase in Australia by a Chinese company."

The new company, formed after OZ shareholders overwhelmingly voted in favour of Minmetals' takeover bid last week, forecast "very strong" demand for commodities in the long-term.

"We think the market will be flat in the next one or two years and it will take time to recover, but once it's recovered I think the demand will be strong," said board member and Minmetals' president of non-ferrous metals Wang Lixin.

Mr Wang said MMG had not decided whether to list on the Australian Securities Exchange.

"The immediate task is to make the assets solid and further develop our core business and, if the market conditions permit in the future, if the timing is mature, we can consider -- but it's not something decided yet."

Mr Zhou said he had "made it clear" to the Federal Government that MMG would honour OZ's existing commitments.

"We will also deliver new opportunities for Australia's resources industry, extend our workforce in Australia, continue to support local communities and grow local economies as global conditions improve.

"I believe that if China prospers, Australia can prosper, and if Australia prospers, China can prosper."

Treasurer Wayne Swan knocked back Minmetals' original proposal for a complete takeover of OZ because of the proximity of its Prominent Hill copper-gold mine in South Australia to the Woomera weapons testing range.

The deal received Government approval after Prominent Hill was cut out.

"We feel regretful that we cannot finally acquire this Prominent Hill, but we also understand that this is a decision of the Government," Mr Zhou said.

An MMG delegation met Mr Swan and other federal leaders a week ago and said they all had been "very supportive".

Chief executive Andrew Michelmore, one of 4000 former OZ employees joining MMG, said it would be "business as usual" for management identifying development opportunities and running mines.

Trotzdem fürchte ich, dauert es noch ewig, bis frühere Kurse wieder erreicht werden. Denn der Wert des Unternehmens ist nun mal deutlich gesunken. Aber vielleicht stellen Sie mit dem Geld ja mal wieder was anständiges an (Zukäufe oder gute Explorerergebnisse)

Aber interessant, wo oz mit im boot sitzt. Uran ist ja nun mal ein "noch" sehr wichtiger Rohstoff. und trotz 40 mio minus in 2008 haben die noch 100mio cash für weitere explorationen.

Chinese metal import data for June showed records all over the place and that put a rocket under London Metal Exchange metals and resources stocks globally. Copper rose another +3 per cent to $US2.28 a pound, with cash copper now trading at a premium to three-month copper. This suggests tightness in supply and its worth noting LME copper inventories fell by another 325 tonnes last night. I remain a mega bull on copper and use OZ Minerals (OZL) as the pure play down here. Nickel rose +5.7 per cent and stocks like Western Areas (WSA) and Minara Resources (MRE) should see support here today, while aluminium rose +2.8 per cent (buy Alumina (AWC)), zinc +4 per cent and lead +2.6 per cent....

Vorallem die Planungen für die Zukunft geben interessante Hinweise.
Habe in einem Interview mit dem CEO gelesen das keine größere Aquisition geplant ist, sondern das man Prominent Hill nach vorne bringen will und gelichzeitig in Kambotscha weitere Untersuchungen anstrebt.

also ich versteh das anders. Oz hat ja bereits 49,9% an Toro, diesen Anteil haben sie ja schon reduziert. Nun will Toro offenbar Aktien ausgeben, was Oz dazu verpflichtet, wenn sie weiterhin 49,9% halten wollen, Aktien zu kaufen, was Oz A$19,9 Millionen kosten wird. Aus dem Text geht deutlich hervor, das Oz nicht mehr als diese 49,9% halten will.
