AN ANTONIO, June 14 /PRNewswire-FirstCall/ -- Senticore, Inc.'s (OTC Bulletin Board: SNIO - News) recent 8-K and Schedule 14F-1 filings report the closing of its merger and reorganization plan with Integrative Health Technologies, Inc. ("IHT"). The merger and reorganization was closed on June 3, 2006. At that time, Jay Patel resigned all of his positions, including Chairman and Chief Executive Officer. The Board of Directors appointed IHT's CEO, Dr. Gilbert R. Kaats, Ph.D., as Chairman and Chief Executive Officer of Senticore.
The filings also disclosed that Senticore's current liabilities were reduced by $736,400. "I think it is important for our shareholders to know that this was not the result of the investment of additional funds," said Kaats. "We offset these liabilities by providing the creditors with preferred shares in Taj Systems, Inc., one of our portfolio companies that trades on the Pink Sheets under TJSS. Thus, while our liabilities were reduced, so were our assets," Kaats pointed out.
Senticore used Taj shares to discharge liabilities of $736,400, implying a valuation of $0.28 per Taj share. The open market trading price of Taj shares has increased during 2006 from approximately $0.11/share in January to its current price of approximately $0.32/share. "However, even after offsetting the $736,400 of liabilities with Taj shares, Senticore retains approximately 4,246,394 shares and its controlling interest in Taj," Kaats said.
"The acquisition of Taj Systems shares in November 2005 was accomplished by the previous management team, Jay Patel and Carl Gessner," Kaats explained. "Senticore obtained approximately 7 million preferred shares representing about a 40% ownership and controlling interest in the company. Since then, Patel and Gessner have played an aggressive role in the management of Taj as explained in a series of news releases issued by TJSS." Kaats added that both Patel and Gessner, the latter as President, are continuing to serve as Taj System's Management team.
Senticore's new management team is continuing to focus their energies on its research and development activities, particularly its $1,300,000 grant previously awarded to IHT Research & Development, Inc., one of Senticore's portfolio companies. This grant is to conduct clinical trials involving 400 subjects from ages 8 to 80, to develop a bone-health program. "Our inclusion of adolescents in this study is in direct response to the U.S. Surgeon General's 'call to action' to the healthcare industry in light of a study finding that almost 85% of high school girls are receiving insufficient amounts of bone-building nutrients for normal growth," said Sam Keith, the R & D company's CEO. "This nutritional deficiency is particularly troublesome," Keith pointed out, "since most of the adolescents' bone growth occurs during these critical early years."
"We are currently preparing a press release to update the progress we have made on this study," added Kaats.

(IHT), describes how its four portfolio companies are working together to conduct a $1,286,897 study to develop and market a bone-health program for adolescents and adults. The grant, jointly funded by AlgaeCal International and IHT prior to its merger with Senticore, involves 400 subjects and is being conducted by investigators from two major universities.

Funded jointly by AlgaeCal International (ACI) and IHT prior to its merger with Senticore, the study involves 400 subjects and is being conducted by investigators from two major universities. The study is in response to a "call to action" issued in the U.S. Surgeon General's (SG) 2004 Bone Health report citing studies that 85% of adolescent girls and 65% of boys do not consume sufficient calcium and bone building nutrients for normal bone growth. The SG reported that the lack of adequate nutrition during these critical bone-building years has placed America's bone health in jeopardy. The Report encourages development of programs to increase bone health by improving diets, increasing physical activity, and improving "health literacy" and to " ... get started by taking action today in homes, health care settings, and communities across our nation ... you are never too old or too young to improve your bone health," pointed out the SG.
Using AlgaeCal's plant-derived calcium with natural occurring magnesium and 73 other trace minerals, IHT's portfolio companies (www.ihtglobal.com ) conducted an exhaustive review of the research on bone-building ingredients. This research supported the addition of higher than recommended levels of vitamins D and K-2 to the blend and incorporation of recently discovered bone-building mineral, strontium, into the adult program. The blend was incorporated into bone-health cookies along with Z-trim fat-replacer; health-enhancing Enova oil (www.enovaoil.com ), a product of a joint venture between Japanese Kao Corporation and Archer Daniels Midland; and Fibersol-2 (www.matsutaniamerica.com ) soluble dietary fiber. Over the next year, a series of pilot studies were conducted using adolescents and adults to evaluate the taste and texture of the cookies with finer and finer grinds of the calcium.
A significant amount of scientific research supports the effectiveness of using pedometers as a behavior modification technique to increase physical activity levels. Therefore, a pedometer-based behavior modification plan was added to the program that contained forms for tracking and graphing daily step totals and charts for estimating calorie and glycemic levels of foods.
After completion of the pilot studies refining the plan, formal clinical trials began in early 2006 involving 400 subjects, including adults, adolescents and children. Subjects completed self-reports, bone density x-rays (DEXA), and 43 blood chemistries at baseline, and will complete the same tests after 90-days, 6-months, one-year and five-years. "In addition to the benefits derived from the research data," said Samuel Keith, CEO of the Research Center, "the children, adolescents and adults are all being provided with comprehensive test reports of their bone density and blood chemistries whose cost would be prohibitive to most of our subjects."

keine Panik. Ich habe mir eben mal den chart von SNIO angeschaut. das sieht gut aus. Wir befinden uns in einem super großen Dreieck. Die Entscheidung über einen Ausbruch nach oben bzw. unten wird spätestens in 2 Wochen fallen.
Kurzfristige Böden sind bei 0,017 $ bzw Begrenzung bei 0,023 US Dollar.
Nach Knacken dieses Dreiecks sehe ich gute chancen für 0,030 bis 0,035 $.
Nur die Ruhe bewahren. Die Fundamentals stimmen, der Ausblick stimmt. Nur die Börsenstimmung ist momentan nicht die Beste...

SAN ANTONIO, July 10 /PRNewswire-FirstCall/ -- Reversing a 7-year history of consistent quarterly losses averaging $150,000 per quarter, Senticore's (OTC Bulletin Board: SNIO - News) new management team announces that its net profit for the quarter ending June 30, 2006 will exceed $500,000. "We are a Business Development Company, or BDC," explained Gilbert R. Kaats, Senticore's CEO, "and our profit is calculated based on increases in the company's net assets from the portfolio companies it acquires. If the value of one of our portfolio companies increases, our net profit increases, providing the increase is not offset with a corresponding increase in liabilities," Kaats pointed out. The main source of the net profit for this quarter was an increase in the value of the shares of Taj Systems, Inc. (Pink Sheets: TJSS - News), one of Senticore's portfolio companies that trades on the Pink Sheets under TJSS.
The increase in assets that led to the profit does not include Integrative Health Technologies, Inc.'s (IHT) assets which were acquired in the merger. The company's June 13, 2006 press release estimated that IHT's assets could have a value in excess of $7,800,000. "However," Kaats said, "in that June release we also cautioned against using this value for IHT's assets until an independent audit is completed later this quarter. We have excluded these assets from our calculation of profits," added Kaats.

"We are a Business Development Company, or BDC," explained Gilbert R. Kaats, Senticore's CEO, "and our profit is calculated based on increases in the company's net assets from the portfolio companies it acquires. If the value of one of our portfolio companies increases, our net profit increases, providing the increase is not offset with a corresponding increase in liabilities," Kaats pointed out. The main source of the net profit for this quarter was an increase in the value of the shares of Taj Systems, Inc. (Pink Sheets: TJSS - News), one of Senticore's portfolio companies that trades on the Pink Sheets under TJSS.
The increase in assets that led to the profit does not include Integrative Health Technologies, Inc.'s (IHT) assets which were acquired in the merger. The company's June 13, 2006 press release estimated that IHT's assets could have a value in excess of $7,800,000. "However," Kaats said, "in that June release we also cautioned against using this value for IHT's assets until an independent audit is completed later this quarter. We have excluded these assets from our calculation of profits," added Kaats.

Das Aktienpaket von ADRZ war vorübergehent auf Eis gelegt worden. Das heißt die Aktien konnten nicht verkauft werden. Der Handel wurde von diesem Papier aufgrund einer Investigation ausgesetz.

The following discussion and analysis should be read in conjunction with the balance sheet as of June 30, 2006 and the statements of operations for the three months ended June 30, 2006 and 2005, the statements of cash flow for the six months ended June 30, 2006, and the Quantitative and Qualitative Disclosures About Market Risk included with this Form 10-QSB as well as the audited financial statements included in our Form 10-KSB for the fiscal year ending December 31, 2005. In addition, readers are referred to the cautionary statement on page 11, which addresses forward-looking statements. We are considered to be in the development stage as defined in Financial Accounting Standards Board Statement No. 7. Since our inception in January 1999 through the end of the June 30, 2006 quarter, we have generated $5,275 of revenues ($5,000 of which resulted in us receiving stock in lieu of cash).

Introduction
Reorganization, restructuring and cost-cutting. As part of our reorganization and restructuring plan, implemented the following changes in the company's operating procedures and policies:
Consolidation of the duties of the Board Chairman, President, CEO and CFO into a single executive position. Gilbert Kaats has assumed the responsibilities of all four executive positions and will receive no compensation from June 3, 2006 to August 21, 2006 as set forth below. Additionally, although Dr. Kaats' annual salary had been set at $20,000 a month, for the balance of this year he has agreed to limit his compensation to half this amount, or $10,000 a month. He has not and will not receive stock options or stock compensation during 2006. Furthermore, no executive salaries have been paid since the date of the acquisition of IHT.
Directors' and Officers' Compensation. We are reviewing our policies on the compensation of directors and officers in efforts to better align company performance with compensation while still attracting the requisite level of management talent.
Cash flow. Since its inception, the company has had $5,275 of revenues ($5,000 of which resulted in us receiving stock in lieu of cash). Absent cash flow from operations, the company reported that "...we plan to continue to fund our operating expenses through the issuance of our common stock for cash and to continue to borrow from certain shareholders or unrelated parties." The Company now requires all of its portfolio companies to provide a percentage of their gross receipts from sales and services in order to reduce the problems faced by an absence of cash flow and the need to issue additional shares or acquire loans. For example, the cash flow for July of 2006 alone was more than 4 times as much as the company previously experienced over the past 7 years.
Limiting the scope of operations. Over the years the company has been involved in transactions including a wide variety of industries. Under the reorganization and restructuring, the company is now focusing on projects and portfolio companies in the healthcare and nutritional industries-industries in which the current management has decades of experience and has developed networking relationships over the past three decades. For example, our subsidiary, IHT has assembled a highly qualified scientific advisory board, accumulated state-of-the-art testing technologies and an extensive database to support its portfolio companies. It is our view that focusing on healthcare and nutritional companies, and taking advantage of the qualifications of our management and our scientific board, testing technologies and database will result in both increased revenues and decreased expenses.
Recapture of improperly issued shares. On October 14, 2003 the company issued a letter to Harris Investor Services, LLC after learning that the broker's client "…was holding in his account 100,000 shares of Senticore stock, to which he was not properly entitled…" The company requested that the shares "…should not be permitted to be sold or moved until such a time as the matter is resolved. We consider these shares to be improperly issued and not owned by [your client]." We are currently investigating, with the assistance of counsel, whether there are other purported shares which ought to be canceled. Since June 3, 2006 we have recaptured 686,667 shares that were previously issued for acquisitions that were not consummated. The Company is also looking into 39,500,000 shares issued in conjunction with the failed Westar acquisition. As reported in the company's previous filings, these were to have been returned, but have not been returned as of yet.
Exchange of assets for liabilities. As reported in the Closing Agreement, an agreement was reached with creditors to reduce their liabilities through award to restricted common shares in our portfolio company, Taj Systems, using a share value of TJSS of $0.28/share. This transaction resulted in the issuance of 437,144 Taj shares to the Former CEO, Jay Patel, and the former President, Carl Gessner, and issuance of 2,193,062 shares to The Nutmeg Group, LLC for the reduction of shareholder loans. This transaction resulted in a total reduction of the company's liabilities of $736,458.
Dividend. On December 29, 2004 the company received 882,353 restricted shares in AdZone Research, Inc. (ADZR) as a result of a joint venture transaction with AdZone. The previous management of the Company told our shareholders that the Company wanted to distribute the AdZone shares to our shareholders by way of a dividend. This would be contingent upon registration of the shares or an applicable exemption under securities laws.

In an effort to honor the statements of previous management, current management announced on June 27, 2006 its intention to sell the AdZone shares and distribute the proceeds by way of a dividend to shareholders of record as of June 30 2006.
At the time, AdZone shared traded around $0.67 per share, and management estimated that it could realize sufficient proceeds to make such a dividend possible. Liquidity and Capital Resources
Net cash used by operating activities for the six months ended June 30, 2006 was $11,338 as compared with net cash used by operating activities of $382,698 for the six months ended June 30, 2005. Although profitable for the six months ended June 30, 2006 there was no cash provided from operating activities since the profitability was attributable to unrealized appreciation in securities available for sale.
Net cash provided by financing activities for the six months ended June 30, 2006 was $10,198 as compared with net cash provided by financing activities of $383,358 for the six months ended June 30, 2005. The increase in net cash provided by financing activities is attributable to proceeds from notes payable in the 2006 period and proceeds from notes payable less the effects of repayments on shareholder loans in the 2005 period.

Introduction
Reorganization, restructuring and cost-cutting. As part of our reorganization and restructuring plan, implemented the following changes in the company's operating procedures and policies:
Consolidation of the duties of the Board Chairman, President, CEO and CFO into a single executive position. Gilbert Kaats has assumed the responsibilities of all four executive positions and will receive no compensation from June 3, 2006 to August 21, 2006 as set forth below. Additionally, although Dr. Kaats' annual salary had been set at $20,000 a month, for the balance of this year he has agreed to limit his compensation to half this amount, or $10,000 a month. He has not and will not receive stock options or stock compensation during 2006. Furthermore, no executive salaries have been paid since the date of the acquisition of IHT.
Directors' and Officers' Compensation. We are reviewing our policies on the compensation of directors and officers in efforts to better align company performance with compensation while still attracting the requisite level of management talent.
Cash flow. Since its inception, the company has had $5,275 of revenues ($5,000 of which resulted in us receiving stock in lieu of cash). Absent cash flow from operations, the company reported that "...we plan to continue to fund our operating expenses through the issuance of our common stock for cash and to continue to borrow from certain shareholders or unrelated parties." The Company now requires all of its portfolio companies to provide a percentage of their gross receipts from sales and services in order to reduce the problems faced by an absence of cash flow and the need to issue additional shares or acquire loans. For example, the cash flow for July of 2006 alone was more than 4 times as much as the company previously experienced over the past 7 years.
Limiting the scope of operations. Over the years the company has been involved in transactions including a wide variety of industries. Under the reorganization and restructuring, the company is now focusing on projects and portfolio companies in the healthcare and nutritional industries-industries in which the current management has decades of experience and has developed networking relationships over the past three decades. For example, our subsidiary, IHT has assembled a highly qualified scientific advisory board, accumulated state-of-the-art testing technologies and an extensive database to support its portfolio companies. It is our view that focusing on healthcare and nutritional companies, and taking advantage of the qualifications of our management and our scientific board, testing technologies and database will result in both increased revenues and decreased expenses.
Recapture of improperly issued shares. On October 14, 2003 the company issued a letter to Harris Investor Services, LLC after learning that the broker's client "…was holding in his account 100,000 shares of Senticore stock, to which he was not properly entitled…" The company requested that the shares "…should not be permitted to be sold or moved until such a time as the matter is resolved. We consider these shares to be improperly issued and not owned by [your client]." We are currently investigating, with the assistance of counsel, whether there are other purported shares which ought to be canceled. Since June 3, 2006 we have recaptured 686,667 shares that were previously issued for acquisitions that were not consummated. The Company is also looking into 39,500,000 shares issued in conjunction with the failed Westar acquisition. As reported in the company's previous filings, these were to have been returned, but have not been returned as of yet.
Exchange of assets for liabilities. As reported in the Closing Agreement, an agreement was reached with creditors to reduce their liabilities through award to restricted common shares in our portfolio company, Taj Systems, using a share value of TJSS of $0.28/share. This transaction resulted in the issuance of 437,144 Taj shares to the Former CEO, Jay Patel, and the former President, Carl Gessner, and issuance of 2,193,062 shares to The Nutmeg Group, LLC for the reduction of shareholder loans. This transaction resulted in a total reduction of the company's liabilities of $736,458.
Dividend. On December 29, 2004 the company received 882,353 restricted shares in AdZone Research, Inc. (ADZR) as a result of a joint venture transaction with AdZone. The previous management of the Company told our shareholders that the Company wanted to distribute the AdZone shares to our shareholders by way of a dividend. This would be contingent upon registration of the shares or an applicable exemption under securities laws.

In an effort to honor the statements of previous management, current management announced on June 27, 2006 its intention to sell the AdZone shares and distribute the proceeds by way of a dividend to shareholders of record as of June 30 2006.
At the time, AdZone shared traded around $0.67 per share, and management estimated that it could realize sufficient proceeds to make such a dividend possible. However, on July 5, 2006 the SEC suspended trading in AdZone shares. Trading resumed on July 27, 2006. Adzone opened around $0.03 per share and has been trading around $0.02 per share lately. Bargeldumlauf. Seit seiner Gründung hat die Firma $5.275 von Einkommen gehabt (von denen $5.000 uns Vorrat anstatt des Bargeldes empfangend ergaben). Abwesender Bargeldumlauf von den Betrieben, die Firma berichtete, daß „… wir planen fortzufahren, unsere Betriebskosten durch die Austeilung unserer Stammaktien für Bargeld zu finanzieren und fortzufahren, von bestimmten Aktionären oder von ohne BezugParteien zu borgen.“ Die Firma benötigt jetzt alle seine Mappe Firmen, einen Prozentsatz ihrer Bruttoerträge von den Verkäufen und von den Dienstleistungen zur Verfügung zu stellen, um die Probleme, die durch ein Fehlen Bargeldumlauf gegenübergestellt werden und die Notwendigkeit zu verringern, zusätzliche Anteile herauszugeben oder Darlehen zu erwerben. Z.B. war der Bargeldumlauf für Juli von 2006 allein mehr als 4mal soviel wie die Firma, die vorher über den letzten 7 Jahren erfahren wurde. Begrenzen des Bereichs von Betrieben. Über den Jahren ist die Firma in Verhandlungen einschließlich eine breite Vielzahl von Industrien miteinbezogen worden. Wir betrachten diese Anteile, unsachgemäß herausgegeben zu werden und nicht vorbei besessen zu werden [dein Klient].“ Wir forschen z.Z., mit der Unterstützung der Ratschläge nach, ob es andere behauptete Anteile gibt, die annulliert werden sollen. Seit dem 3. Juni 2006 wir haben 686.667 Anteile wieder erlangt, die vorher für Erwerb herausgegeben wurden, der nicht durchgeführt wurden. Die Firma schaut auch in 39.500.000 Anteile, die in Verbindung mit dem verlassenen Westar Erwerb herausgegeben werden. My whole point is why even put a PR out about the AdZone shares when in fact you knew they were worthless? I knew it all my fellow investors knew it! Why lead investors to believe there is a pot of gold at the end of the rainbow when in fact Adzone is perhaps in worst shape than SNIO was and this wasn’t new news.It has been known for a while that AdZone was garbage and it was known the day of the press release for the sale of these shares.This was probably the best joke SNIO investors have heard in a long time! Even without the dividend IHHT has a lot of explaining to do to investors.Where is the over seas land Patel said SNIO had to build a casino,where are the thousands of acres that are being logged.He even went on to tell us that they were just waiting for the check for the 1st lumber delivery.When we pressed him it turned out SNIO DIDN’T EVEN OWN LAND !!! What about LOBO that was supposed to generate big bucks.
Bottom line most of us bought in millions of shares in the .12-.18 area and have been lied to and now with the stock at .012 the losses are great! We just want honesty and want a fair share price not FLUFF!!

In response to your request that you “just want honesty”, let’s look at the evidence. What evidence do you have that we knew the AdZone shares were, as you charge, “worthless”? How did you know AdZone was “garbage”? What was the basis of your conclusion? How did you and your fellow investors know this? If it was garbage, it would have been helpful to pass on your evidence on to save us a lot of effort and expense. I asked for your input in my previous emails and your evidence would have been helpful at the time.
Now let’s look at the facts at the time. As we told you in the announcement, the previous management repeatedly said they would dividend these shares. We thought that was ill-advised and that any funds that could be derived from their sale could be put to better use as operating capital. But we thought it more ill-advised to do nothing or not to honor their commitment. The PR was, as it stated, our decision to honor the previous management’s commitment to the shareholders. The evidence shows that when we put out the press release, the stock was selling for between $0.06 and $0.07 a share and 882,353 suggesting it could be worth $57,353, providing we slowly sold them into the market place (which we planned to do). Your personal dividend would have been worth almost $700 and there were a number of shareholders who held more than seven times the number of shares you held. While you may have thought your $700 was “worthless” as a dividend, I doubt if the larger shareholders would have put a “worthless” label on a $4,000-$5,000 dividend.
Anthony, there is no evidence to support your accusations with regard what we knew before announcing the dividend, what we knew at the stock at the time, and that we made unfounded promises. I will certainly take the time, as I have, to respond to your emails, but it think it serves no purpose to keep responding to unfounded accusations. You will get honesty and not fluff, but I can’t promise you or anyone else with “a fair price” for the stock. That is something you and other investors control. And I do think that making unsupported statements that are inconsistent with the evidence and not getting on board to see what you can do to move this stock forward works against everyone getting a fair price.
I’ve put all of my company’s assets into this company that took me 30 years to accumulate, assets that I think are worth about $7,000,000 (but we’ll see what the auditor says). I am working 12 hours a day to get this company moving and give you a fair shake. So don’t waste my time or undermine my efforts with unfounded and unsupported accusations.
