Micromet and Nycomed Enter Into Exclusive Worldwide Collaboration to Develop and Commercialize Anti-GM-CSF Antibodies for the Treatment of Inflammatory and Autoimmune Diseases

BETHESDA, Md., and ROSKILDE, Denmark, May 24 /PRNewswire-FirstCall/ -- Micromet, Inc. (Nasdaq: MITI - News) and Nycomed today announced an agreement under which the two companies will collaborate on the development of anti-GM-CSF antibodies that may be useful for the treatment of inflammatory and autoimmune diseases. The lead product candidate in the collaboration is Micromet's MT203, a human antibody which neutralizes granulocyte macrophage colony-stimulating factor (GM-CSF), a cytokine known to play a significant role in autoimmune and inflammatory disease. Preclinical studies performed by Micromet support the development and evaluation of MT203 for the treatment of rheumatoid arthritis, multiple sclerosis, psoriasis, asthma and chronic obstructive pulmonary disease. MT203 is expected to enter clinical trials in 2008.

Under the terms of the agreement, Micromet will receive an upfront license fee of euro 5 million (approximately $7 million), and is eligible to receive R&D reimbursements and payments upon the achievement of development milestones of more than euro 120 million (approximately $160 million) in the aggregate. In addition, Micromet is eligible for royalties on worldwide sales of MT203 and other products that may be developed under the agreement. Micromet will be primarily responsible for performing preclinical development, process development and manufacturing of MT203 for early clinical trials, whereas Nycomed will be responsible for clinical development and commercialization on a worldwide basis. Nycomed will bear the cost of development activities and reimburse Micromet for its expenses incurred in connection with the development program.

Der Beginn der klinischen Studien mit MT203 wird für 2008 erwartet. Im Rahmen der Vereinbarung erhält Micromet zunächst eine Lizenzgebühr von EUR 5 Millionen (ca. US$ 7 Millionen). Zudem wird mit der Erstattung von F&E-Auslagen sowie Zahlungen bei Erreichen von Entwicklungsmeilensteinen in Höhe von insgesamt mehr als EUR 120 Millionen (ca. US$ 160 Millionen) gerechnet. Darüber hinaus hat Micromet Anrecht auf Tantiemen auf den weltweiten Verkauf von MT203 und anderen Produkten, die gegebenenfalls auch unter diesem Vertrag entwickelt werden können. Micromet wird vor allem für die präklinische Entwicklung, die Prozessentwicklung und die Herstellung von MT203 für die ersten klinischen Studien zuständig sein, während Nycomed die Verantwortung für die klinische Entwicklung und die weltweite Vermarktung übernehmen wird. Nycomed trägt die Kosten der Entwicklungsaktivitäten und erstattet Micromet die in Verbindung mit dem Entwicklungsprogramm anfallenden Auslagen.

May 24 (Reuters) - U.S. biopharmaceutical company Micromet Inc. (MITI.O: Quote, Profile , Research) said it entered a deal with privately-owned drugmaker Nycomed to develop possible treatments of inflammatory and autoimmune diseases, sending Micromet's shares up 42 percent.
Micromet's stock price shot up to $3.48 in early electronic trade, following its Wednesday close of $2.45 on the Nasdaq.
The main candidate in the deal is Micromet's MT203, a human antibody, which the companies hope will treat rheumatoid arthritis, neurodegenerative disorder multiple sclerosis, skin disease psoriasis, asthma and respiratory illness chronic obstructive pulmonary disease.

Under the terms, Micromet will receive an upfront license fee of about $7 million, and is eligible to receive research and development reimbursements and payments upon the achievement of development milestones of more than about $160 million.
Micromet said it would perform preclinical development, process development and manufacturing of MT203 for early clinical trials, whereas Nycomed will be responsible for clinical development and commercialization on a worldwide basis.
