GoldSpring, Inc. (OTCBB: GSPG) is an emerging North American precious metals mining company, which was formed in June 2003. In the Company's relatively short history, we have brought a gold and silver project into production, established a solid footprint around our operations in northern Nevada, and acquired mineral rights in Canada. GoldSpring plans to build on this success through the acquisition of mineral properties in North America that can be efficiently put into near-term production. The Company's objectives are to increase reserves, increase production and increase cash flow to maximize return for its shareholders.
One of our top priorities is to improve efficiencies and increase gold and silver production at our Plum Mine, located in Gold Hill, Nevada (30 miles southeast of Reno). To this end, we hired a new mine manager, who has significant experience in gold mining, primarily in and around the area of our current exploration project. We also implemented modifications to our plant and equipment during the first half of 2005 to address our past difficulties and increasing efficiency.
We continued to advance the program to improve operational efficiencies at our Plum Mine during the fourth quarter of 2005. In early November 2005, we retained mining engineer Jim Golden to conduct a fresh review of all aspects of our Plum Mine operation, seeking to maximize efficiency, increase production, and reduce costs. In addition to Mr. Golden, we have retained the services of an experienced metallurgic consultant and an electrical engineer. We are already experiencing the positive returns of having a team of experienced, skilled mining professionals at the Plum Mine. The implementation of the recommendations of Jim Golden and the other members of the team has already resulted in reduced labor costs, more efficient operations, and an increased grade of ore being placed on the leach pad. We expect to complete the implementation of the modifications recommended by Mr. Golden and the review team during the first quarter of 2006. We are optimistic that these improvements will result in increased goold production and reduced operating costs in the half of 2006.
Our other properties include the Gold Canyon and Spring Valley placer gold claims, located in Lyon County, Nevada; the Big Mike Copper property, located approximately two hours east of Reno in Winnemucca, Nevada; and the Clear Hills Iron property, located in Alberta, Canada. GoldSpring, Inc. Announces Settlement with Former Director
GoldSpring, Inc. (OTCBB: GSPG) announced today that it has reached a settlement with its former director, Stephen Parent, in connection with two separate lawsuits between the parties pending in state and federal court in Arizona. The parties have agreed that it is in the best interests of the parties, the Company, and its shareholders to bring all litigation and disputes to an end pursuant to the following binding terms: (1) an agreement by the Company that it has accepted the accounting provided by Mr. Parent in the State Court Action; (2) an agreement that none of the parties to the settlement shall be required to pay any monies to the other or to transfer, cancel or redeem any stock of the Company; (3) the Company and Mr. Parent agreed to mutually release each other from any and all claims and liabilities; (4) the dismissal with prejudice of all claims and actions between Parent and GoldSpring presently pending in Arizona state court and federal court; (5) the dismissal with prejudice of the appeal filed by Mr. Parent and pending before the United States Court of Appeals for the Ninth Circuit; (6) an agreement that the settlement shall not be construed as an admission of liability or fault by any party; (7) an agreement by Mr. Parent that the shareholders’ and directors’ consent resolutions dated December 9 and 10, 2004 shall have no legal effect; and (8) an agreement by Mr. Parent that he will not contest or challenge in any way any actions taken by the Company and/or its Board of Directors, including but not limited to the financial restructuring transaction approved by the Board of Directors on November 30, 2004. Sorry die Runde, habe eine Verwechslung ( Alzheimer ??? ) gehabt und betrachtet daher meinen Eintrag als gestrichen.
