OTHER EVENTS

The Company confirms that it has transferred an amount of 67,741,815 shares of Hunt Gold Corporation Common Stock (HGLC.PK) and not the previously stated amount of 40,059,532 shares of Hunt Gold Corporation Common Stock (HGLC.PK) to ensure the final Stock distribution. This was effected on December 22, 2008.

The Company and its Transfer Agent had calculated that the number of Hunt Gold Corporation Common Stock due to these holders in "Street Names" was in the amount of 27,681,135 shares of Hunt Gold Common Stock (HGLC.PK). These shares were placed in a "Reserve Account" at the Transfer Agent to Hunt Gold Corporation (HGLC.PK).

The DTCC has advised the Company that they calculated that an additional amount of 67,740,667 shares of Hunt Gold Corporation Common Stock (HGLC.PK) were required to complete the payment of this Stock Dividend by Fortress Financial Group, Inc. The Company undertook to; and has transferred the difference; that being in the amount of 67,741,815 shares of Hunt Gold Corporation Common Stock (HGLC.PK) to the "Reserve Account" held at the Transfer Agent to Hunt Gold Corporation (HGLC.PK).

Fortress Financial Group, Inc. effected this transfer of Hunt Gold Corporation shares of Common Stock (HGLC.PK) to ensure that all its eligible stockholders receive their shares in Hunt Gold Corporation (HGLC.PK) and to prevent any further delays in the payment of these Stock Dividend shares of Hunt Gold Corporation Common Stock.

The Transfer Agent to Hunt Gold Corporation (HGLC.PK) has confirmed that these shares of Hunt Gold Corporation Common Stock (HGLC.PK) were sent to the DTCC for distribution.

Neither the Company, nor Hunt Gold Corporation (HGLC.PK) or its Transfer Agent are responsible for the payment of these remaining dividends in Hunt Gold Corporation as this distribution to stockholders is being effected by the DTCC.

The Company has now completed the Stock Distribution in respect of the Hunt Gold Corporation (HGLC.PK) Stock Dividend.

Fortress Financial Group, Inc. (PINKSHEETS: FFGO) confirms that it now disposing of its remaining interests in its "Bouse" and "Copperstone" Gold Mining & Exploration properties.

These interests are being disposed of to a USA quoted Gold Mining Company. Fortress Financial Group, Inc. will not seek nor will it appoint any representatives to that Company's Board of Directors. This Company has an established and very experienced Mining Team, in place.

Fortress Financial Group, Inc. and other eligible stockholders in Bouse Mining Holdings plc and in Copperstone Mining Holdings plc will receive shares in the quoted Gold Mining Company.

The "eligible stockholders" are stockholders of Fortress Financial Group, Inc. (formerly Great West Gold, Inc.) who received Stock Dividends, as follows :-

Bouse Mining Holdings, Inc. on November 7, 2005; and

Copperstone Mining Holdings plc on December 2, 2005

These eligible stockholders will receive "free trading" stock in this quoted Gold Mining Company as they have held their stock for a period in excess of two years.

It is expected that this transaction will be completed by January 15, 2008.

It is expected that Fortress Financial Group, Inc. and its eligible stockholders will receive an amount of circa US$1 billion in shares in this quoted Gold Company, primarily based upon the valuation of the "Bouse" Gold Mining & Exploration project.

This is in additional to the 407,250,000 shares of Hunt Gold Goes way back!

Corporation (PINKSHEETS: HGLC) Common Stock, representing 41% of the outstanding shares in Hunt Gold Corporation being issued, by the Transfer Agent to Hunt Gold Corporation; to Fortress Financial Group, Inc. (formerly Great West Gold, Inc.) eligible stockholders.

In addition to this transaction, Fortress Financial Group, Inc. has received an amount of 483,750,099 shares of Hunt Gold Corporation Common Stock, representing 48% of the outstanding stock in Hunt Gold Corporation.

Fortress Financial Group, Inc. does not intend to retain all of its stock in Hunt Gold Corporation and intends to distribute the majority of its stockholding in that Company, to Fortress Financial Group, Inc. stockholders, as a special Stock Dividend, in the near future. Fortress Financial Group, Inc. intends to do the same, in respect of this transaction. Stockholders will be advised accordingly.

OTHER EVENTS

The Company confirms that it has been advised in respect of the Hurasu Resource Corporation transaction as follows :

1.
First Platinum Retail Innovations, Inc. (Symbol : FPRT) quoted on the OTC Markets and incorporated in the State of Nevada has changed its name to that of Hurasu Resource Corporation (hereinafter referred to "Hurasu"). This Company presently is quoted at US$1.25 per share. Hurasu trades on the "Grey Market" at this time. The Directors of Hurasu are preparing to file with both the Securities & Exchange Commission and with FINRA; the requisite documentation in order for Hurasu to trade on the OTC BB Market.

2. Hurasu is obtaining a new CUSIP Number and Trading Symbol at this time.

3.
Hurasu is effecting a Reverse Stock Split of 10 for 1 at this time, prior to it acquiring any assets. The price of Hurasu quoted post the Reverse Split will be US$12.50 per share.

4.
Upon the "Pay Date" of Hurasu's Reverse split of its Common Stock, Hurasu will acquire very substantial Gold Mining & Exploration assets. These transactions are all agreed and concluded.

5.
Hurasu will then immediately acquire the entire issued Share Capital of the two companies (namely Bouse Mining Holdings plc and Copperstone Mining Holdings plc) which own the "Bouse" and the "South Copperstone" Gold Mining & Exploration properties through an issue of Hurasu restricted shares of Common Stock and at a price of US$10.00 per share of Hurasu Common Stock.

The Company owns an amount of 510,537,026 shares of Bouse Mining Holdings plc (hereinafter referred to as "Bouse").

Hurasu will be paying US$0.76 for every 1 (one) Ordinary Share in Bouse. The Company will receive an amount of US$388,008,140 in shares of Hurasu Common Stock in respect of its sale of its entire stockholding Bouse to Hurasu. The Hurasu shares are be priced at US$10.00 (ten dollars) each for the purposes of this calculation. The Company will receive an amount of 38,800,814 shares of Hurasu Common Stock in respect of this transaction.

The Company owns an amount of 1,030,421,001 shares of Copperstone Mining Holdings plc (hereinafter referred to as "Copperstone").

9.
Hurasu will be paying US$0.25 for every 1 (one) Ordinary Share in Copperstone. The Company will receive an amount of US$257,602,250 in shares of Hurasu Common Stock in respect of its sale of its entire stockholding Bouse to Hurasu. The Hurasu shares will be priced at US$10.00 (ten dollars) each for the purposes of this calculation. The Company will receive an amount of 25,760,225 shares of Hurasu Common Stock in respect of this transaction.

10.
Upon the Company's receipt of the amount of 64,561,039 shares of Hurasu Common Stock; it will immediately set a "Record Date" and a "Pay Date" for the distribution of these shares of Hurasu Common Stock to its stockholders. These shares of Hurasu Common Stock being distributed to Fortress Financial Group, Inc. stockholders will bear a restrictive legend for a period of 2 (two) years) from their date of issue.

The amount of 64,561,039 shares of Hurasu Common Stock being received by Fortress and being distributed to the Company's stockholders will amount to less than 5% of the outstanding shares of Hurasu Common Stock.

12.
The Company announced on October 10, 2008 that the Company has reached an agreement with its Lender whereby funds will be advanced to the Company to meet ongoing costs and to pay for costs in respect of the distribution of the Extraordinary Dividend.


The Lender has agreed that these loans will be of an unsecured long term nature and that it will no longer require the Company to settle loans advanced through the transfer of shares held by the Company in Hunt Gold Corporation (HGLC.PK) Common Stock.


The Lender has agreed with the Company's Management that the Company must retain their shares in Hunt Gold Corporation (HGLC.PK) Common Stock primarily to make the Company a more attractive candidate for a Reverse Merger in the future and because of the inherent value of these shares in Hunt Gold Corporation (HGLC.PK) Common Stock.

ich denke es ist Hunt und damit Mockingbird,GoldenEagle etc...Bouse und Copperstone erhalten angeblich nur die, die an den Record Dates Aktien hatten + die auch noch 2 Jahre hielten...kriminelle Verarsche.
Aber es wird zumindest in Mockingbird gedrilled...habe Fotos gesehen.

Aber wie gesagt...weiß nicht was es ist, da nur Great West Gold Spin Off dran steht....

SO, lets due the math:

Assume 1,000,000 shares

1,000,000 shares of GWGO devided by 1000 = 1000.
1000 times 28.82 = 28,820 shares of Bouse

Harusu(sp) is giving you .76 for every share of Bouse.
28,820 times .76 = $21,903.20

You will NOT get this in real money, but in shares of
Harusu(sp) which is set at a value of $10.00 per share
as shown in 8K.

so, lets due the math:

$21,903.20 Devided by $10.00 = 2,190.32 shares of Harusu(sp)

So, if my calculations are correct.
You and I old timers will recieve 2,190.32 shares of Harusu(sp)
for every 1,000,000 shares of GWGO.

This stock has been one of the most bizarre stocks I have ever invested in and bought over 30,000,000 shares at $.0001 back in July and then it shot up over 900% in a matter of a month on what was some extraordinary volume. This stock has been a ride to say the least as the CEO mentioned the dirty little words that others don't mention which includes "stock certificates" and "shorting". Fortress Financial was extremely transparent during all this despite consistent attacks on their CEO as he bought back around 50% of the outstanding stock on the open market. An added boost of confidence came when he purchased shares of the company's stock which he filed with the SEC. This is why I believe Fortress Financial is still a Sleeping Beauty that is about to be unleashed!

1. Fortress despite trading at ridiculously low levels has somehow came up with huge sums of cash to purchase almost half of their outstanding stock. With around 27,000,000,000 shares outstanding, the company currently trades at a market cap of $2,700,000 despite their other asset holdings.

2. Fortress is sitting on hundreds of millions in gold assets which it was, and may still do; use to build up a financial giant. Most of their gold holdings are now about to be paid out entirely to FFGO shareholders in the form of a stock dividend. I thought this dividend was going to be paid out earlier this fall, but there have been some delays as this financial meltdown started. The dividend is supposed to equate to over $.02/share for each share of Fortress Financial.

***It almost sounds too good to be true, but I wouldn't have put my money in here if that wasn't the case. For example, MONA is paying out a $.20/share CASH dividend and that stock is now trading at $.0003/share!!! Garr Winters has dealings with MONA and also has done stuff with FFGO although I cannot find a lot of information on him***

The mining holdings are valued at

Bouse - 510,537,026 shares x $.76/share = $388,008,140
Copperstone - 1,030,421,001 shares x $.25/share = $257,602,250

Total holdings - $645,610,390
Total FFGO Shares - ~27,000,000,000
Per FFGO Share dividend = $.0239/share or a 23,900% increase!!!

But as we are witnessing right now in the financial meltdown is that you cannot value everything at what they say the value is. This gold mine stock dividend could decrease in value if deflation continues to wreck havoc everywhere or might even increase as all this fake money in their chases "real assets" as the rest of the world falls into a bottomless pit. It could also increase in value as Helicopter Ben floods the World with Dollars to monetize "The Greatest Lie Ever Told". The dividend should be settled here in the upcoming weeks, so if you want in, get in soon! One thing you should know about the dividend is that there will be a two year restriction placed on it meaning you can't sell it right after you receive it. But, I do want to look on the Dark Side in case the mining assets happen to decrease in value, so I will give a few comparisons....

If it were valued at _______, the per-share FFGO dividend amount would equate to....

$250,000,000 / 27,000,000,000 shares = $.0093/share - 9,300% increase

The company once stated that early in 2008 that they were pursuing acquisitions at the BOTTOM OF THE ECONOMIC CYCLE where they were picking up companies that traded for just a few million dollar market caps as they looked to grow their EPS. They said they were using their gold holdings to build up their empire although I am not sure what in the world they actually have on their balance sheets entirely. I believe that there is a dark secret about FFGO and I do intend to find out someday, but in the mean time it wouldn't hurt to pick up some shares! The gold assets are the main reason I became attracted in this company and the other ambitions of the Great Santini were a bonus!

4. Even after the dividend is paid out, FFGO will still be there, but without the massive mining holdings of Bouse and Copperstone. They are however going to still have millions of shares of Hunt Gold Corporation (HGLC) on their balance sheet plus whatever assets they have acquired. There are good things happening with HGLC right now as well and that should hopefully mean good things for FFGO in whatever ambitions they do pursue.

So if you see the potential I see in this and have $100 to spare so to pick up a 1,000,000 shares at $.0001, than by all means do it! I thought the divvy would have been paid out four months ago, but it does sound as if they will be paying it out in the coming weeks. Like I said, this is the weirdest stock I have ever been involved with and I still do hope to reap the rewards by following the Insider Purchase of The Great Santini. I do hope the others that I have picked up a few shares for make of like bandits also! Otherwise, good luck if you decide to invest in this for I am still waiting to see what comes out of it!

Ich wollte zum letzten Hype kaufen (hat glücklicherweise nicht geklappt) aber bei der Comdirekt sagten sie damals (Telefonhandel), dass ich die Aktien nicht handeln kann, was bisher die erste Aktie ist bei der so was vorkam. Eine USXP konnte man wenigstens telefonisch ordern. Heißt das, ich habe ne unhandelbare Leiche im Depot? Warum wird die aber noch in meinem Depot geführt? Hat jemand, der auch bei der comdirekt ist, die Dinger handeln bzw. dazukaufen können und sind die als 1 oder 2 positionen aufgeführt. Wäre dankbar, wenn jemand da konstruktive Infos hat.

Regarding the price of Hurasu before their reverse split, it is $1.25. Once they do the reverse split of 10/1, their stock will open trading at $12.50. What does this mean for us relating to the dividends? Not much except to show that the stock will be trading at a nice price.

We are getting a gold stock dividend in Hurasu, a gold company, but it is restricted for 2 years. FFGO must give a value to the dividend based upon the shares outstanding (.0239/share), but realistically what matters is the price of the stock 2 years from now which is impossible to predict although I am VERY optimistic and that is why I've held. Two years goes by quickly and the outlook for gold is BRIGHT!

When you ultimately receive these dividends in your trading accounts, since there is a restriction, you will not see a $ value attached to it until 2 years from the pay date when it becomes unrestricted.

15. BACKGROUND ON "BOUSE" AND "SOUTH COPPERSTONE":-


"Bouse" and "South Copperstone" are both located in gold-rich La Paz County, Arizona, and represent a class of deposits known as detachment fault deposits. This type of deposit is prevalent on both sides of the Colorado River in both Arizona and California, and mineable resource is typically in the 500,000 ounces to 5 million ounces gold range, with a grade of .05 to .2 ounces of gold per ton.



The detachment fault type of deposit was first recognized in the 1980’s with the discovery of the Copperstone gold deposit, from which Cyprus Minerals mined 500,000 ounces of gold by open pit. Another mining company is presently exploring the remaining underground resource (which is believed to exceed 400,000 ounces) and is assessing feasibility of reopening the mine. The nearby Mesquite deposit, located in Imperial County, California, is also viewed as a detachment fault deposit. The Bouse property was previously explored by Homestake Gold (now part of Barrick), which found gold mineralization throughout the property. Drill data is available for approximately 80 Homestake drill holes. Exploration plans include integration of results from the previous exploration and new geophysical (including magnetic) work to identify additional drill targets, particularly along the high angle structures, with a view toward increasing the resource.

"Bouse" and "South Copperstone" are both located in gold-rich La Paz County, Arizona, and represent a class of deposits known as detachment fault deposits. This type of deposit is prevalent on both sides of the Colorado River in both Arizona and California, and mineable resource is typically in the 500,000 ounces to 5 million ounces gold range, with a grade of .05 to .2 ounces of gold per ton.



The detachment fault type of deposit was first recognized in the 1980’s with the discovery of the Copperstone gold deposit, from which Cyprus Minerals mined 500,000 ounces of gold by open pit. Another mining company is presently exploring the remaining underground resource (which is believed to exceed 400,000 ounces) and is assessing feasibility of reopening the mine. The nearby Mesquite deposit, located in Imperial County, California, is also viewed as a detachment fault deposit. Regarding the price of Hurasu before their reverse split, it is $1.25. Once they do the reverse split of 10/1, their stock will open trading at $12.50. What does this mean for us relating to the dividends? Not much except to show that the stock will be trading at a nice price.

We are getting a gold stock dividend in Hurasu, a gold company, but it is restricted for 2 years. FFGO must give a value to the dividend based upon the shares outstanding (.0239/share), but realistically what matters is the price of the stock 2 years from now which is impossible to predict although I am VERY optimistic and that is why I've held. Two years goes by quickly and the outlook for gold is BRIGHT!

When you ultimately receive these dividends in your trading accounts, since there is a restriction, you will not see a $ value attached to it until 2 years from the pay date when it becomes unrestricted.

Hurasu will be paying US$0.25 for every 1 (one) Ordinary Share in Copperstone. The amount of 64,561,039 shares of Hurasu Common Stock being received by Fortress and being distributed to the Company's stockholders will amount to less than 5% of the outstanding shares of Hurasu Common Stock.

The Company announced on October 10, 2008 that the Company has reached an agreement with its Lender whereby funds will be advanced to the Company to meet ongoing costs and to pay for costs in respect of the distribution of the Extraordinary Dividend.



The Lender has agreed that these loans will be of an unsecured long term nature and that it will no longer require the Company to settle loans advanced through the transfer of shares held by the Company in Hunt Gold Corporation (HGLC.PK) Common Stock.



The Lender has agreed with the Company's Management that the Company must retain their shares in Hunt Gold Corporation (HGLC.PK) Common Stock primarily to make the Company a more attractive candidate for a Reverse Merger in the future and because of the inherent value of these shares in Hunt Gold Corporation (HGLC.PK) Common Stock.

On January 16, 2009 the Company has an amount of 31,562,377,817 shares of its Common Stock outstanding following the cancellation of stock repurchases by the Company. This has been verified by the Transfer Agent to the Company.

For Newbies:

Regarding the price of Hurasu before their reverse split, it is $1.25. Once they do the reverse split of 10/1, their stock will open trading at $12.50. What does this mean for us relating to the dividends? Not much except to show that the stock will be trading at a nice price level.

We are getting a stock dividend in Hurasu, a GOLD company, but it is restricted for 2 years. FFGO must give a value to the dividend based upon the shares outstanding (.0239/share), but realistically what matters is the price of the stock 2 years from now which is impossible to predict although I am VERY optimistic about the outlook on GOLD and that is why I've held. Two years goes by quickly!

OTHER EVENTS


The Company has secured an initial interest free loan in the amount of US$500,000 (Five hundred thousand Dollars) to be used solely for the repurchase of shares of the Company's Common Stock. The Lender has indicated that it is prepared to increase the size of this Loan at its discretion. The Lender has advanced these funds to facilitate the acquisition of the Uranium Mining & Exploration Properties consummated by the Company on February 2, 2009.

The Company undertakes not to repurchase any shares of its Common Stock until after the "Record Date" of its Extraordinary Dividend so as not to delay that process.

All shares of the Company's Common Stock repurchased will be cancelled.

The Company's first stock repurchase and cancellation plan in 2008, resulted in the Company cancelling 27,588,472,240 shares of its Common Stock in that year.

The Company has an amount of 31,562,377,817 outstanding shares of Common Stock as at February 2, 2009. As previously stated, the Company is cancelling an amount of 4,500,000,000 restricted shares of its Common Stock issued to Alan Santini, Jack Chang and to Leslie Smiedt, in lieu of "Sign On Bonuses".

The Company will have an amount of 27,062,377,817 shares of outstanding shares of Common Stock prior to these further stock repurchases.

Terms and Conditions of the Loan:

1. The Loan is interest free.

2.
A fee of 10% of the amount advanced by the Lender is to be settled through the issue of restricted shares of the Company's shares of Common Stock at a price of US$0.0005 per share on April 15, 2009.

3.
The Loan is unsecured as the Company has the right to settle the Loan through the issue of its shares of Common Stock as detailed in paragraph 5 hereof.

4. The Loan is due to be settled in full on December 1, 2009.

The Company may elect to settle the Loan in cash at the due date; or may elect to settle the Loan in full through the issue of restricted shares of the Company's Common Stock at a price of US$0.0005 per share of the Company's Common Stock. Should the Company elect to settle the Loan on due date through an issue of restricted shares of the Company's Common Stock, instead of in cash, the Company is obliged to issue an additional amount of restricted shares of its Common Stock in the amount of 15% (Fifteen percent) of the amount of the Loan, these restricted shares of the Company's Common Stock if issued by the Company, will not be issued at a price of less than US$0.0005 per share of the Company's Common Stock.

he Company has acquired in excess of 25 Uranium Mining & Exploration Projects situated in Idaho, Northern Arizona, Utah and in Montana; the purchase price being in the amount of US$50,000,000 (Fifty million Dollars).

The full purchase price of these Uranium Mining Properties will be settled through the Issue of a Convertible Loan Note to the Vendors of these Uranium Mining properties on the following terms and conditions :-

No shares of the Company's Common Stock will issued in terms of this Convertible Loan Note prior to the Company having completed the payment of all its outstanding Stock Dividends to its stockholders.

No shares of the Company's Common Stock will be issued at any time in terms of this Convertible Loan Note at a price of less than US$0.0005 per share of the Company's Common Stock.

This Convertible Loan Note is interest free.

The conversion terms of this Convertible Loan Note are as follows:


An amount of US$10,000,000 (Ten million Dollars) on March 15, 2009. The Company will issue as many shares of its Common Stock as are required to satisfy that Dollar amount. The pricing per share of the Company's Common Stock will be determined by the average closing price of the Company's shares of Common Stock for the preceding 5 (five) trading days. The shares of the Company's Common Stock will not under circumstances be issued at a price of less than US$0.0005 per share of the Company's Common Stock. The shares of the Company's Common Stock issued will bear a restrictive legend for a period on 1 (one) year from the date of issue.


Should for whatsoever reason; the Company not have completed its Stock Dividend distribution in full, this aforesaid conversion will be delayed for a period of 10 (ten) days after the final Stock Dividend distribution has been completed.


An amount of US$10,000,000 (Ten million Dollars) on June 15, 2009. The Company will issue as many shares of its Common Stock as are required to satisfy that Dollar amount. PREMILINARY DETAILS ON THE URANIUM MINING & EXPLORATION PROJECTS PURCHASED:









Idaho Properties :

The three Skyline Idaho properties include several mines that have a uranium production history. Idaho is a state that is friendly and open to mining. A new cobalt mine is opening southwest of Salmon, Idaho, where the projects are centered. Independence Strategic Minerals, Inc. is actively exploring its North Fork Rare Earth and Bobcat Gulch Molybdenum projects northwest of Salmon. The area has well developed infrastructure, excellent highway access from US 93, and a mining tradition going back to the 1800's.

Skyline Uranium Project:

This uranium deposit is located in Lemhi County, Idaho, 5 miles south of the town of Salmon. Skyline Uranium is comprised of over 400 acres of mining claims. Included are the previously productive Dona Lou, Mother Lode and Ruth uranium mines. Skyline was the first uranium property in Idaho to ship uranium ore during the 1950's. It was discovered by workers doing a highway cut for US93, which is immediately west and down the mountain from Skyline. The uranium is found in fault and fracture zones in Challis volcanics of Tertiary (Oligocene) age; specifically in fractures and breccias which have been cemented or stained by red hematite. The red hematite is in the form of stringers or reddish banded "ribbon rock." The uranium minerals are autunite, some torbernite and uranophane. Grades range from .1% to .8% U3O8.

El Toro Uranium Project:

El Toro is located in Lemhi County, Idaho approximately 15 miles northwest of the town of Salmon. It includes over 500 acres of mining claims. The uranium is located in a quartz porphyritic member of the Challis volcanics. The mineralized zone strikes N 60 degrees W and dips 48 degrees 48 degrees NE. Where it has been exposed, the mineralization ranges from 16 feet to 40 feet in width making this a very substantial drill target. The uranium bearing minerals are yellowish autunite, torbernite and uranophane. Past sampling has indicated a grade of up to .5% U3O8.

Kriley Gulch Uranium Project:

Kriley Gulch is also hosted by Challis volcanics. This property is located approximately 12 miles north of Salmon, Idaho. It has substantial existing workings, including four adits and a shaft. While the uranium is hosted in the same type of country rock as Skyline and El Toro, the rock lacks the red hematitic staining, which has led some to speculate that the uranium deposit may result, at least in part, from replacement of organic material.

Montana Uranium Project in Pryor Mountains:

The uranium mines in the Pryor Mountains of Carbon County, Montana produced uranium for many years. Skyline's mining claims cover most of the Pryor Mountains Mining District, approximately 1,400 acres in all. No less than five previously productive mines are included: Dandy, Marie, Old Glory, Sandra and Swamp Frog Mines. The uranium bearing mineral, in each case, is found in tyuyamunite associated with some fluorite in cave fill of an upper horizon of the Madison limestone formation. This is similar to the collapse breccia formations which host uranium mineralization in the Colorado Plateau of Northern Arizona. The company is considering a program of airborne geophysical surveys to locate additional blind breccia pipes. This type of survey has recently been used successfully in Arizona.

Arizona "Grand Gulch" Uranium Project:

Grand Gulch consists of one patented mining claim (20 acres of private land) south of St George, Utah located on the Colorado Plateau of Northern Arizona. It is a breccia pipe deposit in limestone and sandstone. The pipe is approximately 300' in diameter and its annulus dips away from the center of the pipe at about 15 to 25 feet of horizontal displacement per 100 feet of depth. Grand Gulch is a former copper mine. Some of Arizona's largest uranium producers (e.g. Orphan Boy) had copper on top and uranium at depth. This is a well-defined target to drill, once mapping of the historic workings has been completed.

Dear Tom,

Please understand that Fortress Financial Group, Inc. ("Fortress") is
completely dependent upon Hurasu Resource Corporation ("Hurasu") completing its own "Corporate Actions" in order for Hurasu to issue shares of its Common Stock to Fortress to complete upon the purchase Fortress's interest in the "Bouse" and "South Copperstone Mining" Gold Projects; and then inorder for Fortress to then distribute these Hurasu shares of Common Stock to its (Fortress's) stockholders of record at the "Record Date" (to be announced).

I am relieved to report back to you that Husrasu's Attorneys have indicated that they will have completed their "Corporate Actions" and issued the above-mentioned shares of Hurasu Common Stock to Fortress on or about March 23, 2009. I understand that they have delays beyond their own control, I accept this as a matter of course in this business. However, I will not stand by these Statements regarding these dates until I see confirmation of these dates actually announced by Hurasu.

ich kenne mich zwar nit so gut aus in dem geschäft glaube aber bei rund 32 millarden aktien ist ein durchschnittlicher tagesvolumen von ca. 100 mill. lachhaft.

wenn 1/2 millarden umgesetzt werden würden ist eine sache aber bei 100 mill. gleich ca. 30000,- euro, dann sag ich nur ha ha

und ob das wirklich mit dem verkauf kommt der beiden projekte na ja.

man hat in den letzten 12 monaten viel gehört aber passiert ist gar nichts.

weißt du oder einer der anderen hier was die financ. eigendlich alles hat bzw. wo sie beteiligt sind, werde aus dem ganzen nachrichten nicht schlau.

hat zwar mal gehießen wir würden was kriegen an irgendwelchen an teilen, aber gekommen ist bei mir bis heute nichts.

Natürlich ist der Tagesumsatz im Vergleich zur Aktienmenge ein Witz, soviel habe ich auch schon verstanden...... Aber in Relation zu den Tagesumsätzen der letzten Monate doch recht viel........

Es gab in der Vergangenheit diverse Divs, aber auch Splitts. Und was der Laden wo und wie und mit wem und warum überhaupt macht - keine Ahnung. Das wissen die wahrscheinlich selber nicht so genau.

Ist mir auch völlig egal ehrlich gesagt. Von 1 auf 3 sind schon mal 200 % ,oder ?

hab viel getradet, teilweise richtig gut Geld gemacht, aber jetzt sitze auch noch auf einigen Stücken.

LAS VEGAS, NV -- (MARKET WIRE) -- 07/14/10 -- Fortress Financial Group, Inc. (PINKSHEETS: FFGO) was advised late yesterday that Sloane Investments, Inc. has acquired all of the outstanding Long Term Loan Notes complete with accrued interest due by the Company.

In addition to the acquisition of the Company's Long Term Debt, Sloane Investments, Inc. has also acquired all of the short term debt owed by the Company.

Sloane Investments, Inc. filed a Schedule 13D on June 30, 2010 disclosing that they had acquired beneficial ownership and sole voting rights in respect of an amount of 17,645,966,686 shares of the Company's Common Stock. This represents 23.59% of the Company's outstanding shares of Common Stock. Sloane Investments, Inc. is now the Company's largest stockholder.

A Form 8-K will be filed today disclosing the details of the debt purchases by Sloane Investments, Inc.

The Company is now in a position whereby it will be solely negotiating its immediate funding requirements from Sloane Investments, Inc. These new funding arrangements will be concluded by late tomorrow in order to ensure that the Company remains on track with no delays in its announced plans.

- The Company has to settle the balance owing on the short term financing facility by no later than August 31, 2010. Sloane Investments, Inc. expects that the Company will have no further financing requirements past this date.



The interests of Sloane Investments, Inc. are clearly aligned with those of the general body of stockholders insofar as they wish this deal to be completed without any further delays.



Whilst the terms imposed upon the Company by Sloane Investments, Inc. are fairly onerous, we are very confident that these dates are easily achievable and this is after discussions between ourselves and the Purchaser. Sloane Investments, Inc. is satisfied with the terms and conditions of the agreed upon transaction in respect of the sale of the Company's Gold interests and understands that the Purchaser's Auditors require an additional few days to a week to sign off on this transaction.



Many shareholders have inquired as to reason for the delays in our accomplishing the final execution of this transaction. In summary the delays have been extended by the necessity of allowing the Purchaser's Auditors to complete their audits and other material events undertaken by the Purchaser. No other reasons whatsoever have delayed the sale process. The Purchaser's Auditors are not performing any due diligence in respect of the Purchaser's transactions with ourselves, the Purchaser's Auditors are simply now revising the Financial Statements of the Purchaser to account for their acquisition of the Company's Gold interests as well as other transactions which they are concluding simultaneously with these transactions with ourselves.



The Purchaser has indicated that they are of the view that their ability to complete upon the execution of these Sale and Purchase Agreements is imminent and has now undertaken to obtain a final completion date from their external Auditors. Upon our receipt of that date, we shall immediately communicate this information to our stockholders.



This agreement with Sloane Investments, Inc. does not constitute any delay whatsoever in our execution of the sale of this Company's Gold interests. To the contrary, it has now placed the Company under enormous pressure to execute these sales agreements without further delays. The Company reiterates that it is now extremely confident that it will meet the deadlines imposed by Sloane Investments, Inc.

(PINKSHEETS: FFGO) was advised by the Purchaser of its Gold interests that they are now working closely with their external Auditors to complete upon their own accounting treatment in respect of their acquisition of our interests in both Bouse Gold, Inc. and South Copperstone, Inc. The Purchaser is a publicly traded Corporation and as such, needs to file periodic reports with the SEC.

The transaction in respect of the sale of our Gold interests is of an extremely complex nature and most certainly has required a fair deal of attention from the both the Purchaser's Attorneys and their external Auditors.

The Company's largest stockholder and holder of our long and immediate term debt, Sloane Investments, Inc. has been kept appraised of developments and is fully committed to the sale process and shares our Management's view that the Purchaser does absolutely require these additional few days prior to execution of the Sale and Purchase Agreements.

The Company will be providing guidelines to its stockholders as to the entire sale process and will be updating its corporate web site and then E Mailing its stockholders with these guidelines in addition to addressing other issues raised by its stockholders. Best Financial Markets Analysis ArticleMy first reaction when I read an article on this site by Arnold Bock - articulating why gold would go to $10,000 – by 2012 no less - was amazement. Who in their right mind would suggest that gold would eventually reach $2,500, let alone $5,000 or even $10,000? Well, I did some investigation and, believe it or not, Bock is in lofty company. Many respected individuals, such as David Rosenberg, Peter Schiff, Harry Schultz, Rob McEwen and many others, have come to the same conclusion. Below is a partial list of such individuals with sound reasons to substantiate their views.

1. Peter Schiff:

As President & Chief Global Strategist of Euro Pacific Capital, Schiff correctly called the current bear market before it began. As a result of his accurate forecasts on the U.S. stock market, economy, real estate, the mortgage meltdown, credit crunch, subprime debacle, commodities, gold and the dollar, he is becoming increasingly more renowned.
He recently was reported in Business Week as saying that "People are afraid of the debasement of all the currencies. What's surprising is that gold is still as low as it is ... Gold could reach $5,000 to $10,000 per ounce in the next 5 to 10 years.”

2. David Rosenberg:

Rosenberg, the former Merrill Lynch North American Economist and current Chief Economist and Strategist for Gluskin Sheff, an independent investment firm for high net worth individuals, believes that "$3000 an ounce on gold may yet prove to be a conservative forecast." He went on to say:
- "if the gold price to world GDP ratio were to ever scale up to the peak three decades ago, it would imply an ultimate peak for gold of $5,300 an ounce.
- if the relationship between gold and the M3 money measure where to revert to the 1990 high, then gold would move to $5,700 an ounce.
- if gold were merely put on the same footing as the CPI, and head back to the previous peaks in this ratio, it would suggest $2,300 as the peak in gold — only a double from here.
- if the gold price-M1 ratio was used then gold would go to $3,100 per ounce under the proviso that prior highs get re-established."

3. Alf Field:

Alf Field has been called the “world’s best gold analyst.” He is well known for his many spot-on predictions in the precious metals market and these are some of his determinations regarding the future price of gold;
a) "In the 1970's bull market, gold increased from a low of $35 to a peak of $850, a massive 24.3 times the low price. If the current bull market was to be of the same order, then one could project an ultimate peak of $6,221 (gold’s low price in the current cycle of $256 x 24.3).
b) Field outlined in an article back in August 2003 his conviction, which he referred to again in his concluding November 2008 article on the subject of Elliott Wave and the gold price, "that the world, and especially the USA, was heading for a major financial crisis that would be so powerful that it would overwhelm all other factors [which] I referred to as the 'Big Kahuna' crisis. I anticipated that the Big Kahuna would give rise to the risk of a systemic meltdown, which would result in the authorities 'throwing money at problems', bailing out all the banks and large corporations that got into trouble. This would lead to the [eventual] destruction of the currency...The consequence of the systemic meltdown would be a vast increase in newly created money which would result in a massive rise in the price of gold" culminating in a "Major FIVE...to $10,000" [which] "can really only be possible in a runaway inflationary environment, something which many thinking people are suggesting has become a possibility as a result of the actions taken during the recent crisis." [Indeed,] "the odds strongly favour an inflationary outcome. Given a strong will and the ability to create any amount of new money via the electronic money machine, it seems a foregone conclusion that runaway inflation will be the end result. If Mugabe could do it in Zimbabwe, there seems little doubt that Ben Bernanke and his associates in other countries will have no trouble in doing it too."

4. Forextraders.com:

a) "As gold keeps breaking new records...the fundamental factors behind the trend remain clear:
- increased worries about the solidness of U.S. public finances
- the lack of any serious government plan to resolve long standing issues related to the future of the social security system
- eroding credibility of the U.S. motto about a strong dollar
- the general weakness in the fundamentals of the global economy"
[all of which make the] purchasing of gold...a store of value that thrives when uncertainty, insecurity, and fear rule the global economy. And when we recall the never ending speculations about the U.S. dollar's demise, it is only natural that the metal will find attention regardless of the price tag, until a bubble develops [but] we are apparently very far from that turning point. Gold has some powerful dynamics behind its rise, and it doesn't seem outlandish to imagine a target of $3000 - $4000 in the next 5 years, if, as anticipated, economic activity goes for a second dip once the impact of government stimulation and private speculation and bubble-building lose their dominant effects in the markets."
b) the ten-year long correlation between gold and the Euro has broken down recently [and it is] "our expectation that gold will generate a super-bubble in the next 2-3 years, and perhaps longer, provided that policy accommodation remains in place even as investor confidence evaporates completely.

5. Harry Schultz:

Harry Schultz' International Harry Schultz Letter (a paid subscription investment service) has gold going up eventually to $6,000 saying "We (collectively) are poised at a heart-stopping moment in economic times. On the one extreme side, the world is on the edge of massive deflation and depression. At the other extreme is - hyperinflation. My view is that both these extremes are possible. Certainly deflation is, on balance, in play today and gaining ground as money supply is actually declining! Hyperinflation seems impossible when there is not much inflation in most economies. But ... hyperinflation is a monetary event, not an economic one, and will happen on an overnight basis, not via a general uptrend in inflation data... As I write, gold is holding very near its high, as most stock markets are bungee jumping. This implies the unexpected hyper is pending, because if it were exclusively deflation ahead, gold action would be less buoyant."
As such Schultz recommends that one put 40-50% in gold stocks and bullion; 10-15% in other commodities; 30-40% in government notes/bills/bonds; 8-10% in non-gold stocks and 0-5% in bear stock-market protection via inverse exchange-traded funds.

6. Egon von Greyerz:

von Gruyerz, Managing Director of Zurich Switzerland based Matterhorn Asset Management and founder of precious metals investment and storage company GoldSwitzerland.com commented in an interview with CNBC Europe's Squawk Box recently that the nominal high of $850 per ounce gold price, when adjusted for “real inflation” as per shadowstats.com, is equivalent to approximately $7,200 in today’s prices. Accordingly, “gold could easily go up 6 times from the current price of $1,220 and still be within normal parameters.”
He went on to say that at current prices, “There will be nowhere near sufficient gold to satisfy demand.” As a result, his firm is expecting the gold price ascent to be “relentless during the remainder of 2010, with very few major corrections but with high volatility. Moves of $100 in one day could easily happen. So gold is likely to make a top in the next few years between $5,000 and $10,000.”

7. Peter Cooper:

Cooper, author of a book entitled, appropriately, "Dubai Sabbatical: The Road to $5,000 Gold," maintains that "Governments around the world have forced interest rates to artificially and unsustainably low levels to combat the global financial crisis. Low interest rates mean high bond prices. Ergo, as soon as interest rates go up – as they will have to sooner or later – bond prices will fall...and if you want to keep your money out of bonds...then precious metals and/or cash are the best options.
The real kicker for gold, and even more for silver is in the supply and demand position. Precious metals are in limited supply – that indeed is their great strength as a store of wealth – so once the shift out of bonds accelerates so will the price of gold and silver.
Now government bond markets are far bigger than global stock markets while precious metals are amongst the smallest of major asset classes. Pouring this quantity of money into a very narrow precious metals market will send gold and silver prices through the roof. $5,000 an ounce for gold is a very conservative forecast under these circumstances."

8. Rob McEwen:

McEwen, Chief Executive Officer of US Gold Corp. and founder of Goldcorp Inc., believes global gold prices may increase to $5,000 an ounce between 2012 and 2014 as rising U.S. government debt weakens the dollar saying recently in a Bloomberg Television interview, “Money supply has expanded so rapidly that there are a lot more dollars looking for a steady home. Governments cannot help themselves. They want to help the economy. They are printing money. They are going into debt on a horrific scale, and that will depreciate the value of the dollar.”
He says his forecast for gold represents a “once-in-every-300-years” phenomenon and holds by his previous forecast that gold will rise to $2,000 an ounce by the end of this year.

9. Peter Krauth:

Krauth, a highly regarded market analyst and expert in metals and mining stocks, maintains that " there are 5 sound reasons why gold will soar to $5,000 an ounce, namely:
a) Potential Inflation: Since 2001 - under benign price inflation of roughly 2.5% - gold has managed to rise about 400%. Meanwhile, the U.S. Federal Reserve is widely expected to keep short-term rates near zero through this year, leaving the door open for rampant inflation, and central banks worldwide have rolled out an unprecedented $12 trillion worth of stimulus programs, with most of the money still to be spent.
b) Exploding Investment Demand: Large institutional investors - hedge funds and pension funds - are making large allocations to gold, as are individual investors. According to the World Gold Council, demand advanced 15% from the second quarter to the third last year with a quickly developing middle class, whose members are experiencing rapid escalations in disposable income, becoming a major bullish driver for the price of gold.
c) Central Banks are Becoming Net Buyers: 2009 was first time in 20 years.
d) A Looming Currency Crisis: The "PIGS" - Portugal, Italy, Greece and Spain (or "PIIGS," if you want to include Ireland) - aren't in very good fiscal shape - and they aren't alone. Iceland has already gone over the edge. The United States, the United Kingdom, and countless other economies are struggling. That reality has ignited a crisis of confidence about fiat currencies in the minds of many investors. Under such conditions, gold - the ultimate store of value, and the oldest existing form of money on earth - will soar as investors seek to protect their purchasing power.
e) The Mania Stage Has Yet to Begin: The gold bubble that takes prices to all-time-record levels will inflate in three distinct stages - currency devaluations, growing investment and then a stratospheric ascent - and, make no mistake, the $5,000 price point will most likely be reached in this third and final phase."

Morning all! Yesterday was certainly an exciting day trading just under 3 billion shares. Wowser! I see that many of the posters here are some no doubt real shareholders and some new "caring" folks as well.
There were some wonderful posts on naked shorting/counterfeit stock/ex-clearing, etc.. To those who contributed by making those posts, thanks.
I have hopes that when the "caring" folks read the news here Monday morning they will realize that they need to focus their energy on putting a stop to abusive naked shorting. Can you imagine the tens of thousands of folks they would then be able to help? Anyway, in the meantime, welcome and thanks, we all know your intentions are pure.
Now I must say I am really excited that the long suffering longs are finally about to be paid. Many of those folks who are about to be the beneficiary of a big payday overdue since 2005 no doubt are not even aware of what is going on here and I'm sure many can use this past due payment. Congrats and thanks Mr Bezzano for keeping your word and making things right for this group of long suffering longs. I would also like to thank this boards moderators; Vianna, SevenTenEleven, RocketMan, oski and jufel you guys deserve kudos from all, especially Vianna who has earned the respect of everyone through her oft demonstrated integrity and ethics. Wobei man in der Anfangszeit noch Cash machen konnte, das diese Story nicht ewig so weitergehen konnte war klar und zwischen 2005 bis heute GWG Umtausch zu FFGo da standen wir bei 0,20 und jetzt 0,0001.

Was passiert am Montag??
Es gibt den Stichtag wo man FFGO haben muß um die Extraordinary Divi zu bekommen, aber was ist mit den alten DIVIs aus 2005 und 2006???

Wer jetzt gekauft hat viel Glück, auf 0,0002 wird es gehen, aber alles über 0,001 usw sind Träume.

Es wird einen Stichtag geben und bis dahin kann FFGO vielleicht auch steigen, aber nicht um das dreißig fache etc.

Die DIVi wird keine Cash Divi sein, sondern in Shares von einem anderen Lumpi Unternehmen wo er seine Finger drin hat, aber gut lassen wir uns überraschen und sollte es einwengi hochgehen, an Gewinnmitnahmen ist keiner gestorben.

Others played the lotto and made "a killing." For those that paid the .0009 and it went back to No Bid, we always take risks when we enter a stock. We can't know what is going to happen and sometimes you make money and others you lose it. You still take your unsuccessful trades as a learning experience. We should all be playing with money we can afford to lose, particularly in pinks. Also, in the case of FFGO, they could have bought back in at .0001 and sold late last year when FFGO ran from .0001 to .0005.

I won't argue with you that 75B O/S is "MASSIVE" ...fine, but it won't stop FFGO from heading North IMO, particularly due to the upcoming dividend of No LESS than .003/share. Even if the stock did not move - and I highly doubt that - we are still getting the dividend that will NOT be restricted stock in a Company.

Also, 67B are in physical certificates. I have a few shares in physical certificates and, due to the Caveat Emptor status on pinksheets, TDA would not allow me to re-deposit the shares in my account. This might actually be a good thing. I will still get the dividends on those shares but I can't sell them on any run in the stock. Get my point?

Overall, FFGO continues to be a GREAT Lotto play IMO!

Bouse Gold, Inc. Agreement with Searchlight Exploration, LLC

On July 28, 2010, the Amended and Restated Bouse Project Acquisition Agreement dated October 7, 2005 between Bouse Gold, Inc. (“Bouse Gold”) and Searchlight Exploration, LLC (“Searchlight Exploration”) was amended and restated. The amendment will become effective upon the sale by a subsidiary company of Fortress Financial Group, Inc. of its Bouse Gold, Inc. shares of common stock to the Buyer. The amendment was required by the Buyer as a condition to its purchase of Bouse Gold, Inc. shares of common stock from the Fortress Financial Group, Inc. subsidiary company.


As a result of this amendment, the Net Profits Interest in the Bouse Gold, Inc. Project held by Searchlight Exploration, LLC was reduced to 5% from that of 25%. Additionally, the Net Smelter Returns Royalty payable to Searchlight Exploration, LLC was modified from a flat 5% to a sliding scale royalty based on the price of gold. The new royalty scale is as follows:

Over $2,400 per ounce 8.0%
Over $2,100 but under $2,400 per ounce 7.0%
Over $1,800 but under $2,100 per ounce 6.0%
Over $1,500 but under $1,800 per ounce 5.0%
Over $1,200 but under $1,500 per ounce 4.0%
Over $900 but under $1,200 per ounce 3.0%
Over $600 but under $900 per ounce 2.0%
Under $600 per ounce 1.0%


In return for these concessions, Bouse Gold, Inc. agreed to pay Searchlight Exploration, LLC the sum of US$2,500,000, which includes US$113,557 of current amounts due to Searchlight Exploration, LLC for work expenditures and BLM claim maintenance fees. This sum due to Searchlight Exploration, LLC will be represented by an unsecured Bouse Gold, Inc. promissory note, which will bear 10% simple interest, and will be due and payable on the earlier of (a) the first anniversary of the effective date of the amendment or (b) the acquisition by the Buyer of at least 75% of the outstanding common stock of Bouse Gold, Inc.


South Copperstone, Inc. Agreement with Searchlight Exploration, LLC


On July 28, 2010, the South Copperstone, Inc. Project Acquisition Agreement dated October 7, 2005 between South Copperstone, Inc. (“South Copperstone”) and Searchlight Exploration, LLC (“Searchlight Exploration”) was amended and restated. The amendment will become effective upon the sale by a subsidiary of Fortress Financial Group, Inc. of its South Copperstone shares of common stock to the Buyer. The amendment was required by the Buyer as a condition to its purchase of South Copperstone shares of common stock from the Fortress Financial Group, Inc. subsidiary company.

AMENDED REPAYMENT TERMS TO SLOANE INVESTMENTS, INC. FOLLOWING THEIR ACQUISITION OF THE BALANCE OF THE COMPANY’S OUTSTANDING LONG TERM LOAN NOTES


Following the acquisition of all of the balance of the Company’s outstanding Loan Notes and including accrued interest to date, as at July 12, 2010, the Company owed an amount of US$1,057,970.39 (One million fifty seven thousand nine hundred and seventy dollars and thirty nine cents) to Sloane Investments, Inc. and Sloane Investments, Inc. became the Company’s sole outstanding Loan Note Holder.


The Loan Notes acquired by Sloane Investments, Inc. from the various previous Loan Note Holders were due and payable by the Company no later than 12 (twelve) months from the date of their issue by the Company.


These Loan Notes, now having been acquired by Sloane Investments, Inc., are immediately due and payable by the Company to Sloane Investments, Inc. upon demand.


1. Sloane Investments, Inc. and the Company have agreed that:



1.1 The Company will repay this Loan Note in full, together with accrued interest, from the proceeds of the sale of the Company’s interests in Bouse Gold, Inc. and South Copperstone, Inc. It is specifically provided that the Company shall have settled the outstanding Loan Note together with accrued interest, in full and by no later than August 16, 2010.



1.2 The Company shall have executed upon its sale of its entire interest in Bouse Gold, Inc. and South Copperstone, Inc. by no later than August 16, 2010 with the entire sale proceeds settled to the Company by no later than August 16, 2010.

AMENDED REPAYMENT TERMS TO SLOANE INVESTMENTS, INC. FOLLOWING THEIR ACQUISITION OF A SHORT TERM LOAN DUE BY THE COMPANY


Sloane Investments, Inc. acquired the short term debt owed by the Company to Abaxis, Inc. in the amount of US$207,554.50 (Two hundred and seven thousand five hundred and fifty four dollars and fifty cents) as at July 1, 2010.


The Company had no written loan agreement with Abaxis, Inc. in respect of the terms of repayment and the interest payable for this loan account.


2. Sloane Investments, Inc. and the Company have agreed that:



2.1 The Company will repay this Loan in full, together with accrued interest, from the proceeds of the sale of the Company’s interests in Bouse Gold, Inc. and South Copperstone, Inc. It is specifically provided that the Company shall have settled the outstanding Loan together with accrued interest, in full and by no later than August 16, 2010.



2.2 The Company shall have executed upon its sale of its entire interest in Bouse Gold, Inc. and South Copperstone, Inc. by no later than August 16, 2010 with the entire sale proceeds settled to the Company by no later than August 16, 2010.



2.3 The Company will pay interest on the outstanding balance of the Loan which is calculated from June 1, 2010 until the date of full settlement and at the rate of 10% (Ten percent) per annum.

AMENDMENT TO SHORT TERM IMMEDIATE LOAN FUNDING PROVIDED BY SLOANE INVESTMENTS, INC. TO THE COMPANY


Abaxis, Inc. advised the Company on July 14, 2010 that it will no longer be advancing funds to the Company and that the Company should now seek its funding from Sloane Investments, Inc.


The Company secured on July 20, 2010 an immediate Loan Facility, not to exceed the amount of US$200,000 (Two hundred thousand dollars) from Sloane Investments, Inc. in order to be in a position to pay all of its ongoing expenses; including but not limited to Professional Fees, Investor Relations, Transfer Agent and the distribution costs of an upcoming but yet to be confirmed Dividend from the proceeds of the sale of the Company’s interests in Bouse Gold, Inc. and South Copperstone, Inc.


3. The terms of this very short term funding provided to the Company by Sloane Investments, Inc. are as follows:



3.1 The Company shall pay a fee to Sloane Investments, Inc. in the amount of US$20,000 (Twenty thousand dollars) for the provision of this immediate short term funding arrangement.



3.2 The Company will pay interest on the outstanding balance of the Loan until its settlement in full by the Company and at the rate of 12% (Twelve percent) per annum.



3.3 The Company will repay this Loan in full, together with the accrued interest and fee, from the proceeds of the sale of the Company’s interests in Bouse Gold, Inc. and South Copperstone, Inc. It is specifically provided that the Company shall have settled the outstanding Loan together with the accrued interest and fee, in full and by no later than August 31, 2010.



3.4 The Company shall have executed upon its sale of its entire interest in Bouse Gold, Inc. and South Copperstone, Inc. by no later than August 16, 2010 with the entire sale proceeds settled to the Company by no later than August 16, 2010.



In the event of the Company breaching the terms of sub paragraphs 3.3 and 3.4 above, this loan facility will be immediately terminated and the outstanding balance due to Sloane Investments, Inc., together with accrued interest, will become immediately due and payable by the Company.

(PINKSHEETS: FFGO) confirms that is has entered into a binding agreement to dispose of its remaining assets, namely its stockholding in two Gold Corporations, Bouse Gold, Inc. and South Copperstone, Inc. The Effective Sale and the Execution Dates of these agreements were required by the Purchaser to be on Thursday, August 12, 2010. On that date both the Purchaser and ourselves will each be filing a Form 8-K with the Sale and Purchase Agreements as exhibits. The Purchaser is a publicly traded corporation and will announce these transactions to its stockholders on August 12, 2010.

The Company has filed today a Form 8-K setting out the revised agreement with Sloane Investments, Inc. This revised agreement allows us to execute the Sales Agreements on August 12, 2010 with the receipt of the sale proceeds being on Monday, August 16, 2010. Additional time was granted by Sloane Investments, Inc. who unconditionally accepted the terms of these sales of our Company's Gold interests.

The Company has today filed an additional Form 8-K setting out the revised agreements between Searchlight Exploration, LLC and Bouse Gold, Inc. and South Copperstone, Inc. These revised agreements were a non negotiable requirement by the Purchaser. Searchlight Exploration, LLC has drastically reduced both its Net Smelter Returns Royalties and its Net Profits interest in both "Bouse" and in "South Copperstone."

The Company has disposed of its entire holding of Bouse Gold, Inc. shares of Common Stock at a price of US$0.3788 per share of Bouse Gold, Inc. Common Stock.

The Company has disposed of its entire holding of South Copperstone, Inc. shares of Common Stock at a price of US$0.06263 per share of South Copperstone, Inc. Common Stock.

The Purchaser is acquiring additional shares of both Bouse Gold, Inc. Common Stock and South Copperstone, Inc. Common Stock from other stockholders (including historical eligible dividend recipients of Fortress Financial Group, Inc.), as they will ultimately hold 100% of the outstanding shares of both Bouse Gold, Inc. Common Stock and South Copperstone, Inc. Common Stock. The Purchaser is paying exactly the same price per share of Common Stock to the other stockholders of these two Corporations as it is paying to Fortress Financial Group, Inc.

The total sale price equates to an amount of US$0.003449 per share of Fortress Financial Group, Inc. Common Stock based upon our number of outstanding shares of Common Stock on August 2, 2010. No additional shares of Fortress Financial Group, Inc. are to be issued whatsoever.

The outstanding loan notes due by Fortress Financial Group, Inc. will not exceed an amount of US$1,600,000. These will be settled in full from the proceeds of these sales on August 16, 2010. This equates to no more than 0.62% of the sale proceeds.

The Company is distributing the entire net sale proceeds, after settlement of the outstanding loan notes, to its stockholders. The Company will now work towards the establishment of both a "Record Date" and a "Payment Date" for this single dividend of the net sale proceeds. Upon our receipt of approval of these dates, stockholders will be advised immediately.

Upon the payment of this Dividend, Fortress Financial Group, Inc. will hold no further assets and will become dormant. No offers have been made to Company at this time.

We wish to stress that these transactions are now binding upon ourselves and the Purchaser with no variations to these Sale and Purchase Agreements. The sale agreements are complex and will be dealt with in greater detail in our regulatory filings on August 12, 2010. The price of Gold will no longer be a factor for the sale pricing of these agreements as the terms, as announced in this Press Release, are final.

Gibt es die DIVI in Cash (niemals) oder was wahrscheinlicher ist als Anteil an der enuen Firma, was aber deuten würde das die von Aktien überschwemmt wird und bald bei 0,0001 steht.

1., A deal has been made by FFGO with regulators to pay the proposed dividend although I suspect one of the conditions was that they could not call it a cash dividend even though it clearly is. (As a former banker and Realtor for over 30 years, the net proceeds from every transaction I have ever been involved in has always been the cash left after expenses to be disbursed.

This also explains the use of the word "dormant" in the PR which we saw for the first time yesterday. I sus[pect that part of the deal is that when all was said and done the company would remain dormant for an agreed amount of time which none of us are privy to at this time. I do suspect that when the agreed upon term of dormancy has been completed the shares will in fact come back to life.

Now does anyone in their right mind think Sloanne bought the shares disclosed in the 13 filing at .0035 to lose money? Not on your life. We were told he was buying that huge percentage of the company for the dividend, remember? But the dividend as of todays PR will be less than he paid for those shares you say and so did I when I first read the PR, it did not make sense. After reflection it dawned on me that the company had also told us sometime back that Sloanne in addition to those shares might also be interested in buying as many as 15 billion more. So since the facts are now public via the PR yesterday and since he is an affiliate already, he is free now to buy those shares and I believe that is exactly who accounted for much of the buying we saw yesterday and likely will continue to see until the 12th. Remember he has 10 days before he has to file showing new shares purchased and by coincidence the delay from August 2nd to August 12 is exactly 10 days.

I think his buying is what caused the bid to appear, then disappear and then appear again yesterday and I suspect we will see more unusual trading today. Those short have never been faced with anhything quite like this and are damned if they do and damned if they don't.

One last thing to remember is that dividends are taxed in 2010 at the rate of only 15% whereras short term gains are taxed as ordinary income at much higher rates. (To whoever is responsible for structuring this deal so we would be taxed at the lower rate I say thank you to!)

While this is all my opinion I think I have connected the dots and now that all the pieces fit for me I am going to enjoy every minute of the rest of this journey but do feel it necessary to congratulate the long suffering longs and to thank FFGO management for not throwing the shareholders under the bus in this settlement. There are only two things that are guaranteed in this life and those are death and taxes. Anyone who is looking for guarantees should not be buying this stock or any other stock, period and that is a fact! We have been told that we will be getting an extraordinary dividend which will generate a return of roughly 3500%. We have been told that return is coming from the sale of gold resources being sold in the State of Arizona which Vianna and others have posted the proof that these resources do in fact exist. We have been told that the buyer is buying all shares including those given previously as dividends to long, longs as they want to be 100% owners. We know that this committment equates to a total purchase price of roughly 1 Billion dollars. We also know that the dividend we are to receive will be either all cash, a combination of cash and stock or all stock but the stock will be in a fully reporting company.
We also know that there are not a lot of companies with the resources needed to accomplish a purchase of this size and one of our posters provided a list of possible candidates all of whom as I recall were listed on the New York Stock Exchange. So that is what we know and the rest is speculation:
We speculate since we have not been told this by the company that regulators may in fact have given some conditions to management as to what they can and cannot say and how this will play out.
We speculate that the regulators told the company they could not tell us that the dividend was cash because if they could it would attract a huge number of buyers.
We speculate that the regulators insisted that the company go into a dormancy period following the dividend for an unknown period of time to try and prevent at least temporarily a monstrous short squeeze.
We also speculate that as part of the deal Sloane is being allowed to buy up to 15 billion shares on which the dividend will be paid. (I consider this to be punitive damages against those who tried to bankrupt the company but that is just my personal opinion)
So there you have it a combination of facts and speculation none of which is guaranteed. This is a high risk high reward situation and noone should buy more lotto tickets than they can afford to lose because as we all know at the present time our markets are not well regulated and subject to lots of manipulation. That being said I have my tickets and look forward to August 12th! Go FFGO!!!

Und dann vielleicht noch ne Kapitalerhöhung und dann stehst Du so da, wie ich vore einigen Jahren: Aus ca. 3.000€ mache 0,98€ und ich bin schnell am Button. Nutzt dann aber auch nix, wenn man Lumpi glaubt.
