Hauptasset der Gesellschaft ist das Malala Molybdän-Projekt in Indonesien, das

Also habe keine genaueren Einblicke -aber das Explorationspotenzial dürfte, soweit ich das gesehen habe, wirklich ziemlich groß sein. Trotzdem sollte man/Du nicht aus den Augen lassen, dass 2Welten zwischen einer großen Resource +einem attraktivem Projekt liegen(können). Die meisten Moly Hopefuls sind, zu jetztigem Stand, ja eher gnadenlos untergegangen -&das hatte Gründe.

Also habe keine genaueren Einblicke -aber das Explorationspotenzial dürfte, soweit ich das gesehen habe, wirklich ziemlich groß sein. Trotzdem sollte man/Du nicht aus den Augen lassen, dass 2Welten zwischen einer großen Resource +einem attraktivem Projekt liegen(können). Die meisten Moly Hopefuls sind, zu jetztigem Stand, ja eher gnadenlos untergegangen -&das hatte Gründe.

Wer natürlich gierig ist und den Aussteigspunkt nicht findet ist selber schuld. Sind nun mal spekulative Werte. Bin auch mit dieser Aktie schon 19% im Plus. Hast Du schlechte Erfahrungen gemacht?

Antwort auf Beitrag Nr.: 39.306.857 von Coxos am 09.04.10 23:37:20mir ist doch bums wann die produzieren....wenn die aktie durch nen Börsenbrief hoch kommt und ich mit verdiene, ist mir das doch egal....das ewige moralische gequatsche von substanziellen werten....es geht doch immer bloß um eines...und zwar um Rendite...wie die entsteht ist mir doch egal...wenn ich seriöse sichere aktien möchte, würde ich mich innerhalb des Dax bewegen, was ich ja auch nebenbei noch mache....ich bin mir sicher das auch diese aktie mind. 100% bringen wird....wichtig ist zum richtigen zeitpunkt wieder auszusteigen. sorry für die harten worte, aber ich kann das langsam nicht mehr hören.....egal welcher börsenbrief welche aktie empfielht....wenn man das system versteht, kann man trotzdem damit verdienen.....und alle die hier immer warnungen ausprechen wissen ja angeblich wie das funktioniert.....und des öfteren stimmen ja auch die storýs...die asian bamboo oder dialog semi....

- nicht zum ersten Mal die Quellenangabe zu den Eingangszitaten nachgefordert werden muß und
- die Empfehlung erst dann hereingestellt wird, nachdem ein signifikanter Anstieg bereits stattgefunden hat.

Während die Empfehlung eines Börsenbriefs mich eher abschreckt, erstaunt zumindest die erfolgreiche Platzierung an institutionelle Investoren zu 0,2 Aus$. Dass beides relativ zeitgleiches erfolgt ist und die Platzierung über dem aktuellen Kursniveau möglich war umso mehr.
Bleibe noch drin, ist eh Spielgeld.

Endingen (aktiencheck.de AG) - Laut den Experten vom "Emerging Markets Investor" hat die Aktie von Victory West Moly (ISIN AU000000VWM8/ WKN A0RF2H) Vervielfachungspotenzial.
Das Malala Molybdän-Projekt in Indonesien sei das Hauptasset der Gesellschaft. Allein aus den bislang für dieses Areal vorliegenden Daten lasse sich ein in situ-Wert von 34,13 Australischen Dollar (AUD) je Anteilsschein berechnen, während die Aktie derzeit bei 0,25 AUD notiere. Und der Wert des Vorkommens dürfte in den nächsten Jahren weiter steigen, da Molybdän eine immer größere Bedeutung zukomme.
Europa, die USA und Japan hätten bislang 60% der Nachfrage ausgemacht, aber seit einigen Jahren werde das Metall von den BRIC-Staaten immer mehr nachgefragt. China kaufe im Moment praktisch soviel Molybdän auf, wie man auf dem Weltmarkt bekommen könne. Da in den letzten 30 Jahren nur eine Handvoll neuer Molybdän-Minen eröffnet worden sei, würden Branchenkenner in den nächsten Jahren eine massive Angebotslücke und kräftig steigende Preise prognostizieren. Allein zwischen April und Juli 2010 habe sich der Preis für diesen Rohstoff von 8 auf 16 USD je Pfund verdoppelt.
Die Aussichten für Victory West Moly, die mit Malala eine neue Mine in die Produktion führen würden, seien somit glänzend. Ein auf 10.000 Meter angelegtes Bohrprogramm sollte bei dem Projekt zunächst ein Molybdän-haltiges-Vorkommen zwischen 105 und 115 Mio. Tonnen nachweisen. In einem weiteren 4.000 Meter-Bohrprogramm wolle das Unternehmen zudem weitere potenzielle Molybdän-Targets untersuchen, die die Ressourcenkalkulation noch weiter erhöhen könnten.
Mitte März habe sich die Gesellschaft weitere 1,5 Mio. AUD zur Finanzierung der laufenden Bohrprogramme gesichert. Dabei seien 10 Mio. neue Aktien bei institutionellen Anlegern platziert worden. Quarterly Activity Report For the period ending 31 March 2010 Victory West Moly Limited (“VWM” or “the Company”) is pleased to provide shareholders with this Quarterly Activities Report for the three (3) months ending 31 March 2010. Activities continued to focus on the Anomaly B and Promistis prospect areas within the Malala Molybdenum Project located in northern Sulawesi, Indonesia (see Figure 1). Key Highlights Operations & Technical Completion of Induced Polarisation (IP) geophysical survey at Anomaly B Revised geological model completed representing a 300% increase in Target Zone (>4km) A number of trenches extended to better define surficial mineralisation Accelerated Exploration activities at Promistis, including mapping, soil, rock and stream sediment sampling Corporate Appointment of Robert Hyndes as Chief Executive Officer (“CEO”) Secondary listing of the Company’s securities on the Frankfurt Stock Exchange Announcement of $1.5million capital raising Successful Completion of European Roadshow Operations & Technical Induced Polarisation (IP) Survey – Anomaly B A detailed, three-dimensional, double-offset dipole-dipole Induced Polarisation (IP) survey (“IP Survey”) was completed at Anomaly B during the quarter.
This survey, covering an area 3.2km x 2.6km, was aimed at identifying the mineralised corridor believed to have the highest prospectivity for economic concentrations of molybdenum mineralisation. The survey was conducted by Khumsup Limited, with all data processed and interpreted by Perth-based Southern Geoscience Consultants Limited. The survey has identified the geological contact between the Tinombo Formation and the Malala Porphyry (the “Contact Zone”, Figure 2).
This Contact Zone has been recognised to extend over 4km in length at Anomaly B and is known to host areas of significant molybdenum mineralisation. Historical drilling undertaken by Rio Tinto, Santos and more recently by VWM, has been conducted over 800m of this prospective Zone, with a number of significant intersections returned. The balance of the Contact Zone has been largely untested by drilling to date, thus providing significant demonstratable upside for the Company to investigate.
Revised Geological Model – Anomaly B The IP data has been combined with a number of geological data sets including drilling, soil and bedrock (trenching) geochemistry to help refine a revised geological model for Anomaly B. The largely coincident data sets have allowed the Company to define a highly prospective Target Zone at Anomaly B which is in excess of 4km long and up to 300m true width. Soil geochemistry, illustrated in Figure 3, identifies two distinct zones of anomalism within the Target Zone – ....

Gibt es irgendwo wieder eine Empfehlung oder eine News?? Jedenfalls ein schöner Anstieg Heute.
Wo wird hier eigentlich der Kurs gemacht???????.In Australien steigt vwm die letzten 2 tage auf 15 cent und hier sackt es 2 Tage lang ab.Pari wären 0,102.Ich weiss,die Märkte interessiert das nicht.Da wird übertrieben oder untertrieben.

Perth, July 20, 2010 (ABN Newswire) - Victory West Moly Limited ("VWM" or the "Company") (ASX:VWM) (Frankfurt:R1E) is pleased to provide the following Indonesian Corporate update.
Foreign Investor Company Conversion
To date, the Company has controlled their molybdenum assets via a raft of binding contractual agreements and managed its Indonesian operations through its management services company PT Sulawesi Molybdenum Management ("PTSMM").
In continuing the Company's strategy of ensuring its Indonesian assets are optimally structured, the Company is in the process of converting their 5 controlled molybdenum concession companies: PT Inti Cemerlang, PT Promistis, PT Era Moreco, PT Sembilan Sumber Mas and PT Indo Surya (collectively the -Moly Companies-) into Indonesian foreign investment companies (-PMA Companies-) which allows greater flexibility and transparency for foreign ownership.
Upon completion, the Company (through its subsidiaries) will now be able to acquire shares in the Moly Companies thus moving to a direct interest in these companies. A Singaporean Holding Company (Victory West Moly (Singapore) Pte Ltd) has been incorporated to hold a direct interest in the Moly Companies once they are converted to PMA companies. As part of this process, the Company's local BUMD (Regency owned enterprise) partner (or their nominee) will be issued a 5% direct interest in each of the Moly Companies.
Documents to initiate the conversion are currently being lodged with the Investment Coordinating Board (Badan Koordinasi Penanaman Modal or "BKPM"). Following the issuance of the Investment Registration approval by BKPM, the Company will seek the mandatory approval of the Ministry of Law and Human Rights Approval ("MoLHR Approval"). Upon obtaining MoLHR approval the company is recognised as a PMA Company. It is expected this process will be completed within 1-2 months. In addition to allowing the Company to obtain a direct interest in the Moly Companies through the conversion of these companies to PMA companies, it also provides greater operational flexibility making these companies joint venture and investment ready.
Inti Cemerlang & Promistis - Production & Operation (Exploitation) IUP Licenses
As previously announced the the company has converted their KP Exploration permits to Exploration IUP concessions as provided under the new mining law in Indonesia. The Company was one of the first resource companies in the Sulawesi region to do so.
The Company is pleased to announce that the application process to convert the Inti Cemerlang and Promistis Exploration IUP concession licenses to Production and Operation (Exploitation) IUP's is underway.
Under Indonesia's new mining laws, IUP's are granted in two stages, namely the Exploration IUP and the Operation & Production IUP. Under the old mining Law an Exploration KP was granted for 3 (three) years, followed by an Exploitation KP for 30 (thirty) years. The Exploration IUP for metal minerals may be granted for the maximum period of 8 (eight) years and the subsequent Production Operation IUP can be granted for 20 (twenty) years, extendable for a further 2 (two), 10 (ten) year periods.
The company (via PTSMM) has engaged experienced local consulting groups to undertake the required feasibility and environmental (AMDAL) studies. It expects these studies will take approximately 4-6 weeks to complete, upon which the formal application process will begin.

Gestern in Australien bei 11 Aussiecent geschlossen und in Frankfurt über 30% hoch auf 7,8 cent.Heute in Australien wieder 2 cent hoch auf 13.In Frankfurt wird hier auf w.o über 20% plus auf 6,8 cent angezeigt.
Das muss mir mal einer erklären.Wenn,dann müsste es ja 1 cent im minus sein,sprich ca.15% runter,obwohl drüben 2 cent hoch,also 18% plus.
Pari wären Heute aber ca. 9,7cent.Das ist wohl höhere Mathematik.
Gibt es die Meldung von vorgestern irgendwo auf deutsch?

Perth, July 29, 2010 (ABN Newswire) - Victory West Moly Limited (ASX:VWM) ("Victory West" or the "Company") is pleased to announce the latest results from regional reconnaissance geochemical sampling undertaken within the Company's five (5) IUP concessions forming the Malala Molybdenum Project, Sulawesi, Indonesia.
Reconnaissance stream sediment and rock chip geochemical sampling has been undertaken within the PT Promistis, PT Era Moreco, PT Sembilan Sumber Mas and PT Indo Surya concessions, with 377 stream sediment samples and 327 rock chip samples collected during 2010. A number of significant assay results have now been returned, particularly from Promistis, located just 10km from the Company's flagship Anomaly B molybdenum prospect, and only 3km from the coast. The PT Indo Surya and PT Era Moreco concessions have also returned a number of significant geochemical anomalies which will be followed up during the coming months.
The Promistis concession has been the focus of more recent and detailed exploration work programs, with a large number of the stream sediment and rock chip geochemical samples collected from this area. A program of ridge-and-spur soil geochemistry has also started, with initial results assisting in the definition of key target areas. Geochemical assay results have so far defined two distinct areas of anomalous molybdenum within Promistis, each area measuring in excess of 2km x 2km in size. These areas have returned a number of significant rock chip samples, including samples containing >1,000ppm Mo. Several highly anomalous stream sediment samples have also been collected, with 27 samples returning >10ppm Mo to date. The Company will continue to focus exploration on these two key areas within Promistis, with ridge-and-spur soil geochemistry ongoing and a three-dimensional double-offset dipole-dipole induced polarisation (IP) program being planned for the second half of 2010. The Company is particularly excited by the potential of Promistis and aims to use the current geochemical programs to define high-quality targets for later drill testing.
In addition, several new geochemical anomalies have been recognised within the Company's other concessions, most notably within PT Indo Surya and PT Era Moreco. This sampling, which is very broadly spaced reconnaissance sampling, has returned stream sediment samples up to 34ppm Mo from PT Indo Surya and rock chip samples up to 1,420ppm Mo within PT Era Moreco. Victory West Moly Limited (ASX: VWM FSE: R1E) ('VWM' oder das 'Unternehmen') ist erfreut, Ihnen mitteilen zu können, dass es mit Oceantide Investments Pty Ltd ('Oceantide') eine verbindliche Vereinbarung (die 'Vereinbarung') eingegangen ist über das Rech, innerhalb der nächsten 60 Tage und vorbehaltlich der noch ausstehenden Due Diligence-Prüfung die Rechte von Oceantide an einem aussichtsreichen DSO-Nickelprojekt in Südsulawesi, Indonesien (entweder durch den Kauf von 100 % des Beteiligungskapitals von Oceantide oder von 100 % der Rechte von Oceantide an diesem Projekt) zu erwerben.
Oceantide hat das Recht zugesichert, eine Beteiligung von 70 % an einer zukünftigen IUP-Konzession zum Nickelabbau zu erwerben, die von dem indonesischen Unternehmen PT. Primara Utama Lestari ('PT PUL') gehalten wird. Dieser Kauf erfolgt in Form von Zahlung in einer Kombination aus Barzahlung und Anteilsscheine sowie die alleinige Finanzierung des Projektes bis zur Förderung. Bislang hat Oceantide bei der Finanzierung der betrieblichen Tätigkeiten von PT PUL geholfen und hat eine erste rechtliche Due Diligence-Prüfung sowie eine vorläufige Umweltverträglichkeitsstudie zu dem Projekt durchgeführt.
Die Fläche mit der IUP-Konzession ist etwa 1.608 Hektar groß und liegt in Malili, Ost-Luwu, in Südsulawesi (das 'Luwu-Nickelprojekt')
Für die Rechte zum Erwerb der Rechte von Oceantide im Zusammenhang mit dem Luwu-Nickelprojekt hat das Unternehmen Oceantide USD 100.000 zu normalen Handelsbedingungen geliehen. Die Gewinne aus diesem Kredit wurden als Betriebskapital für das Luwu-Nickelprojekt verwendet.
Verhandlungen über die endgültigen Geschäftsbedingungen für diesen Kauf finden im Moment parallel und unter Anwendung der erforderlichen Sorgfalt statt. Für den Fall, dass innerhalb von 60 Tagen keine Geschäftstransaktion abgeschlossen wird, muss dieser Kredit vollständig von Oceantide zurückgezahlt werden.
'Das Luwu-Nickelprojekt entspricht der Absicht des Unternehmens, Wert aus Projekten mit Metallen in Südostasien zu ziehen und zu sichern, die das Potential dazu haben, eine erhöhte Marktattraktivität und Wertsteigerung zu erzielen', so Robert Hyndes, Geschäftsführer von VWM.
'Die ersten Due Diligence-Prüfungen haben ergeben, dass das Luwu-Nickelprojekt das Potential hat, sich in kurzer Zeit zu einer produzierenden Nickelmine zu entwickeln. Aus den historischen Explorationsdaten ist zu entnehmen, dass die Mine von stabiler Wirtschaftlichkeit und einer geografisch günstigen Lage aufgrund ihrer Nähe zur Küste profitiert. Weiterhin werden sehr geringe Investitionskosten erwartet, was ebenfalls die Vermutung unterfüttert, dass sich dieses Projekt binnen kürzester Zeit zu einer produzierenden Mine entwickelt, die einen beträchtlichen und kontinuierlichen Cashflow über einen Zeitraum von mehreren Jahren erzielen wird'.

Starkes Management-Team
Zur Unterstützung bei der Durchführung der Due Diligence-Prüfung für das Projekt hat das Unternehmen Rohan Erwin engagiert, einen Bergbauingenieur, der bereits über große Erfahrung in Indonesien verfügt und eine beträchtliche Erfolgsbilanz in Sachen Greenfield-Minenprojekte und deren Aufbau.
Nach Kaufabschluss wird Herr Erwin zum Leiter und Manager des Projektes bis hin zur Produktion ernannt und er wird eng dem indonesischen Partner des Unternehmens zusammenarbeiten, um das Projekt pünktlich und innerhalb des Budgets fertigzustellen.
Zusammenfassung Luwu-Nickelprojekt
Die Konzessionsfläche des Luwu-Nickelprojektes beträgt ca. 1.608 Hektar und liegt in Malili, Ost-Luwu, in Südsulawesi, Indonesien. Das Gebiet ist leicht zugänglich auf dem See- und Landweg und liegt nur 15 Autominuten entfernt von Malili, der Hauptstadt des Regierungsbezirks Ost-Luwu.
Bei der geologischen Formation handelt es sich um ein typisches Beispiel für tropischen lateritischen Nickel in einer bekannten Nickellagerstätte. Es liegt nah bei einer Reihe von bestehenden Laterit-Nickelprojekten und Lagerstätten wie zum Beispiel dem 161 Mio. Tonnen-Projekt Sorowako von PT Inco und dem 162 Mio. Tonnen-Projekt von Rio Tinto.
Die Konzession lag früher bei PT Inco ('Inco') als Teil einer großen, lokalen Nickel-Laterit-Holding. Inco fördert und verarbeitet seit mehr als 30 Jahren lateritischen Nickel in der Nähe von Sorowako und ist weltweit einer der größten Nickelproduzenten (siehe Abbildung 2 oben). Die Konzessionsfläche des Projektes ist mit nur 3 km Entfernung zu einem Hafen günstig gelegen. Die Konzession wurde zuvor als beschränkt sekundär nachwachsend.
Vor-Ort-Team
PT PUL hat ein erfahrenes Team vor Ort zusammengestellt, zu dem leitende Ingenieure sowie Geologie- und Bergbauingenieure gehören, die über Erfahrung speziell mit den regionalen Nickel-Lateritvorkommen haben. Der Großteil dieser Fachleute wurde bei Inco ausgebildet und arbeitete sehr erfolgreich in diesem Unternehmen.
Geologie
Geologisch gesehen handelt es sich um eine typische tropische Laterit-Nickel-Lagerstätte mit Brauneisenerz (geringerhaltig) und Saprolith (höherhaltig), was über ultramafischen Gesteinseinheiten entstanden ist. Die Fläche ist Teil einer größeren mineralisierten Fläche, die mehrere relevante Laterit-Nickellagerstätten und aktive Minen enthält.
Historische Arbeiten
Seit 2008 hat PT PUL verschiedene Erkundungsprogramme durchgeführt, darunter die Bohrung von 85 oberflächlichen Löchern mit einer Größe von 200 m x 200 m sowie verschiedene Grabungsprogramme und Suchschnitte. Die Ergebnisse dieser Untersuchungen haben PT PUL zu einem anfänglichen Explorationsziel von 35-40 Mio. Tonnen bei 1,2 % bis 1,6 % Ni* sowohl in den Brauneisenerz- sowie Saprolithlagerstätten geführt. Bis heute hat die Exploration weniger als 50 % der Konzession abgedeckt. Daher ist davon auszugehen, dass weitere Explorationen einen beträchtlichen Aufwärtstrend bewirken werden.
Als Teil der Due Diligence-Prüfung hat das Unternehmen PT GMT Indonesia ('GMT'), ein führendes indonesisches Unternehmen im Bereich der geologischen Beratung, welches seine Kunden auf internationalem Niveau berät, mit der Durchführung einer umfassenden Untersuchung der Projekt- und historischen Erkundungsdaten beauftragt, um einen Eindruck über das Mineralisierungspotential zu erhalten und ein detailliertes Erkundungsprogramm für das fortschreitende Projekt zu entwickeln. Der Abschluss der Untersuchung wird nach 6-8 Wochen erwartet.
Erschließung und Förderung
Die Topografie der geplanten Mine ist sanft hügelförmig und wird vermutlich keinen Zugang für Bergbaumaschinen bieten. Die vorgeschlagene Zufahrtsstraße von der Konzession zu dem Hafengebiet ist etwa 3 km lang und führt hauptsächlich durch flaches bis abfallendes Gelände. Das Hafengebiet liegt in der Niederung eines breiten Flusses, der sich etwa 10 km entfernt von der Mündung in den Golf von Boni befindet. Frachtschiffe werden das Nickelerz zur Verladung auf das Mutterschiff transportieren, die im Golf von Boni vor Anker liegen.
*Anmerkungen zu Explorationszielen
Gemäß Paragraph 18 der JORC [Joint Ore Reserve Committee]-Verordnung ist es wichtig zu erwähnen, dass keine JORC-Bodenschätze oder Erzreserven auf diesen Konzessionen errichtet wurden und dass etwaige aktuelle Untersuchungen fortlaufender Explorationsarbeit, Bohrungs- und Bewertungsarbeiten. Die aktuelle Bewertung gilt als vorläufig und basiert auf Arbeiten zur Bestimmung von Exploration, Evaluation und Ressourcen, die von den aktuellen Besitzern durchgeführt werden.
Man erwartet, dass das Nickel-Laterit-Material mit herkömmlichen LKWs und Schaufeltechniken aus dem Tagebau leicht abzubauen und zu fördern ist. Bohrungen und Sprengungen sind nicht nötig. Der Mutterboden (1-5 m) kann günstig zu Lagerplätzen gebracht werden, von wo aus der Mutterboden sowohl in der Mine als auch im Baustellenbereich wiederverwendet werden kann.
Das Unternehmen hat das Ziel, durch einfache Brech- und Siebtechnik gefolgt von Vermischung die Klassifizierung des DSO-Nickel-Lateritproduktes zu verbessern.
Vorläufige Bewertungs- und Umweltverträglichkeitsstudien haben gezeigt, dass herkömmliche Abbautätigkeiten zu relativ niedrigen Investitionskosten vorgenommen werden können. Diese werden auf USD 8-10 pro Tonne geschätzt, mit einer weiteren Verbesserung für den Fall, dass die Fördermenge erhöht und Skaleneffekte erzielt werden.
Vorbehaltlich des rechtzeitigen Empfangs der benötigten Freigaben (zum Abbau) wird angenommen, dass das Projekt bis zum Ende des 2. Quartals 2011 in Produktion gehen und somit frühzeitig Cashflows generieren kann, die wiederum weitere Erkundungen finanzieren und/oder die Förderung ausbauen können.
Zusätzlich dazu wird das Unternehmen verschiedene Strategien zur Vermarktung des geringerhaltigen Braueisenerzes ins Auge fassen, mit dem Ziel der Steigerung der wirtschaftlichen Erträge.
Über den DSO-Nickelmarkt
Der DSO-Laterit-Nickelerzmarkt ist ein gut etablierter internationaler Markt, auf dem der Großteil des Materials aus Indonesien, von den Philippinen und Neukaledonien exportiert und nach Japan, Europa und China verkauft wird. Das geringerhaltige (< 1,8 %) Material wird in der Regel als Ausgangsmaterial für Hochöfen in der Produktion von Nickelroheisen für Hersteller von Edelstahl zu Haushaltszwecken verwendet. Höherhaltiges Erz (> 1,8 %) wird gewöhnlich zu Nickeleisen und Rohstein verschmolzen.
Der Preis für lateritische Nickelmaterialien ist abhängig vom Nickelpreis an der Londoner Metallbörse, vom Erzgehalt, der Feuchtigkeit, dem Eisengehalt sowie Regenerierungs- und schädlichen Eigenschaften.

Oceantide hat das Recht zugesichert, eine Beteiligung von 70 % an einer zukünftigen IUP-Konzession zum Nickelabbau zu erwerben, die von dem indonesischen Unternehmen PT. Primara Utama Lestari ('PT PUL') gehalten wird. Dieser Kauf erfolgt in Form von Zahlung in einer Kombination aus Barzahlung und Anteilsscheine sowie die alleinige Finanzierung des Projektes bis zur Förderung. Bislang hat Oceantide bei der Finanzierung der betrieblichen Tätigkeiten von PT PUL geholfen und hat eine erste rechtliche Due Diligence-Prüfung sowie eine vorläufige Umweltverträglichkeitsstudie zu dem Projekt durchgeführt.
Die Fläche mit der IUP-Konzession ist etwa 1.608 Hektar groß und liegt in Malili, Ost-Luwu, in Südsulawesi (das 'Luwu-Nickelprojekt')
Für die Rechte zum Erwerb der Rechte von Oceantide im Zusammenhang mit dem Luwu-Nickelprojekt hat das Unternehmen Oceantide USD 100.000 zu normalen Handelsbedingungen geliehen. Die Gewinne aus diesem Kredit wurden als Betriebskapital für das Luwu-Nickelprojekt verwendet.
Verhandlungen über die endgültigen Geschäftsbedingungen für diesen Kauf finden im Moment parallel und unter Anwendung der erforderlichen Sorgfalt statt. Für den Fall, dass innerhalb von 60 Tagen keine Geschäftstransaktion abgeschlossen wird, muss dieser Kredit vollständig von Oceantide zurückgezahlt werden.

Starkes Management-Team
Zur Unterstützung bei der Durchführung der Due Diligence-Prüfung für das Projekt hat das Unternehmen Rohan Erwin engagiert, einen Bergbauingenieur, der bereits über große Erfahrung in Indonesien verfügt und eine beträchtliche Erfolgsbilanz in Sachen Greenfield-Minenprojekte und deren Aufbau.
Nach Kaufabschluss wird Herr Erwin zum Leiter und Manager des Projektes bis hin zur Produktion ernannt und er wird eng dem indonesischen Partner des Unternehmens zusammenarbeiten, um das Projekt pünktlich und innerhalb des Budgets fertigzustellen.
Zusammenfassung Luwu-Nickelprojekt
Die Konzessionsfläche des Luwu-Nickelprojektes beträgt ca. 1.608 Hektar und liegt in Malili, Ost-Luwu, in Südsulawesi, Indonesien. Das Gebiet ist leicht zugänglich auf dem See- und Landweg und liegt nur 15 Autominuten entfernt von Malili, der Hauptstadt des Regierungsbezirks Ost-Luwu.
Bei der geologischen Formation handelt es sich um ein typisches Beispiel für tropischen lateritischen Nickel in einer bekannten Nickellagerstätte. Es liegt nah bei einer Reihe von bestehenden Laterit-Nickelprojekten und Lagerstätten wie zum Beispiel dem 161 Mio. Tonnen-Projekt Sorowako von PT Inco und dem 162 Mio. Tonnen-Projekt von Rio Tinto.
Die Konzession lag früher bei PT Inco ('Inco') als Teil einer großen, lokalen Nickel-Laterit-Holding. Inco fördert und verarbeitet seit mehr als 30 Jahren lateritischen Nickel in der Nähe von Sorowako und ist weltweit einer der größten Nickelproduzenten (siehe Abbildung 2 oben). Die Konzessionsfläche des Projektes ist mit nur 3 km Entfernung zu einem Hafen günstig gelegen. Die Konzession wurde zuvor als beschränkt sekundär nachwachsend.
Vor-Ort-Team
PT PUL hat ein erfahrenes Team vor Ort zusammengestellt, zu dem leitende Ingenieure sowie Geologie- und Bergbauingenieure gehören, die über Erfahrung speziell mit den regionalen Nickel-Lateritvorkommen haben. Der Großteil dieser Fachleute wurde bei Inco ausgebildet und arbeitete sehr erfolgreich in diesem Unternehmen.
Geologie
Geologisch gesehen handelt es sich um eine typische tropische Laterit-Nickel-Lagerstätte mit Brauneisenerz (geringerhaltig) und Saprolith (höherhaltig), was über ultramafischen Gesteinseinheiten entstanden ist. Die Fläche ist Teil einer größeren mineralisierten Fläche, die mehrere relevante Laterit-Nickellagerstätten und aktive Minen enthält.
Historische Arbeiten
Seit 2008 hat PT PUL verschiedene Erkundungsprogramme durchgeführt, darunter die Bohrung von 85 oberflächlichen Löchern mit einer Größe von 200 m x 200 m sowie verschiedene Grabungsprogramme und Suchschnitte. Die Ergebnisse dieser Untersuchungen haben PT PUL zu einem anfänglichen Explorationsziel von 35-40 Mio. Tonnen bei 1,2 % bis 1,6 % Ni* sowohl in den Brauneisenerz- sowie Saprolithlagerstätten geführt. Bis heute hat die Exploration weniger als 50 % der Konzession abgedeckt. Daher ist davon auszugehen, dass weitere Explorationen einen beträchtlichen Aufwärtstrend bewirken werden.
Als Teil der Due Diligence-Prüfung hat das Unternehmen PT GMT Indonesia ('GMT'), ein führendes indonesisches Unternehmen im Bereich der geologischen Beratung, welches seine Kunden auf internationalem Niveau berät, mit der Durchführung einer umfassenden Untersuchung der Projekt- und historischen Erkundungsdaten beauftragt, um einen Eindruck über das Mineralisierungspotential zu erhalten und ein detailliertes Erkundungsprogramm für das fortschreitende Projekt zu entwickeln. Der Abschluss der Untersuchung wird nach 6-8 Wochen erwartet.
Erschließung und Förderung
Die Topografie der geplanten Mine ist sanft hügelförmig und wird vermutlich keinen Zugang für Bergbaumaschinen bieten. Die vorgeschlagene Zufahrtsstraße von der Konzession zu dem Hafengebiet ist etwa 3 km lang und führt hauptsächlich durch flaches bis abfallendes Gelände. Das Hafengebiet liegt in der Niederung eines breiten Flusses, der sich etwa 10 km entfernt von der Mündung in den Golf von Boni befindet. Frachtschiffe werden das Nickelerz zur Verladung auf das Mutterschiff transportieren, die im Golf von Boni vor Anker liegen.
*Anmerkungen zu Explorationszielen
Gemäß Paragraph 18 der JORC [Joint Ore Reserve Committee]-Verordnung ist es wichtig zu erwähnen, dass keine JORC-Bodenschätze oder Erzreserven auf diesen Konzessionen errichtet wurden und dass etwaige aktuelle Untersuchungen fortlaufender Explorationsarbeit, Bohrungs- und Bewertungsarbeiten. Die aktuelle Bewertung gilt als vorläufig und basiert auf Arbeiten zur Bestimmung von Exploration, Evaluation und Ressourcen, die von den aktuellen Besitzern durchgeführt werden.
Man erwartet, dass das Nickel-Laterit-Material mit herkömmlichen LKWs und Schaufeltechniken aus dem Tagebau leicht abzubauen und zu fördern ist. Bohrungen und Sprengungen sind nicht nötig. Der Mutterboden (1-5 m) kann günstig zu Lagerplätzen gebracht werden, von wo aus der Mutterboden sowohl in der Mine als auch im Baustellenbereich wiederverwendet werden kann.
Das Unternehmen hat das Ziel, durch einfache Brech- und Siebtechnik gefolgt von Vermischung die Klassifizierung des DSO-Nickel-Lateritproduktes zu verbessern.
Vorläufige Bewertungs- und Umweltverträglichkeitsstudien haben gezeigt, dass herkömmliche Abbautätigkeiten zu relativ niedrigen Investitionskosten vorgenommen werden können. Diese werden auf USD 8-10 pro Tonne geschätzt, mit einer weiteren Verbesserung für den Fall, dass die Fördermenge erhöht und Skaleneffekte erzielt werden.
Vorbehaltlich des rechtzeitigen Empfangs der benötigten Freigaben (zum Abbau) wird angenommen, dass das Projekt bis zum Ende des 2. Quartals 2011 in Produktion gehen und somit frühzeitig Cashflows generieren kann, die wiederum weitere Erkundungen finanzieren und/oder die Förderung ausbauen können.
Zusätzlich dazu wird das Unternehmen verschiedene Strategien zur Vermarktung des geringerhaltigen Braueisenerzes ins Auge fassen, mit dem Ziel der Steigerung der wirtschaftlichen Erträge.
Über den DSO-Nickelmarkt
Der DSO-Laterit-Nickelerzmarkt ist ein gut etablierter internationaler Markt, auf dem der Großteil des Materials aus Indonesien, von den Philippinen und Neukaledonien exportiert und nach Japan, Europa und China verkauft wird. Das geringerhaltige (< 1,8 %) Material wird in der Regel als Ausgangsmaterial für Hochöfen in der Produktion von Nickelroheisen für Hersteller von Edelstahl zu Haushaltszwecken verwendet. Höherhaltiges Erz (> 1,8 %) wird gewöhnlich zu Nickeleisen und Rohstein verschmolzen.
Der Preis für lateritische Nickelmaterialien ist abhängig vom Nickelpreis an der Londoner Metallbörse, vom Erzgehalt, der Feuchtigkeit, dem Eisengehalt sowie Regenerierungs- und schädlichen Eigenschaften.

Malala Moly Project
VWM holds a majority interest (71.25%) in the exploration rights to the 'Malala Molybdenum Project' comprising of 5 strategic concession areas (IUP's under the new Indonesian mining law) in the Toli-Toli Regency on the island of Sulawesi in Indonesia covering a total area of 23,747Ha.
The concessions cover the most prospective sections of a former 3rd Generation Contract of Work (COW) held by Rio Tinto during 1977-1985 and for a period in joint venture with Santos Ltd during 1980-82.
Geology: Molybdenum found in a broad zone near the geological contact between a porphyritic intrusive and sedimentary rock. Recent work has defined a prospective target area over 4km long and up to 300m wide, an increase of 300% compared to previous knowledge (as detailed in market announcement dated [x]). The Molybdenum is found as the mineral Molybdenite, mostly on fractures and in veins.
Camp Facilities: The Project is well resourced with accommodation and messing for up to 100 employees, including internet, power (generator), offices, core handling & storage.
Primary Target Area: The Company is in the process of verifying an initial Exploration Target at Anomaly B (Inti Cemerlang) of 105- 115Mt @ 660-900ppm Mo based on previous work by Rio Tinto and Santos. Based on the new interpretation, this Exploration Target sits within 800m of the >4km of Target Zone now defined. The upside to this Exploration Target could be very significant.
Secondary Target Area: Promistis is a new discovery 10kms north-west of Anomaly B, 13 stream sediment samples >10ppm Mo within 3km x 3km area, by comparison Anomaly B was discovered by following up stream sediment sample of 8ppm Mo. Currently the focus of an aggressive exploration campaign.
Several other anomalous stream sediment samples need following up, with enormous regional potential to make further discoveries.
The recognition of the geological contact between the intrusive rocks and the sedimentary rocks has important implications for regional prospecting.
Historic Work: Rio Tinto discovered Anomaly B and undertook detailed exploration in conjunction with Santos, including extensive geochemistry, trenching, drilling (36 holes) and resource/reserve estimations. Several drill holes returned world-calss intersections. This work occurred in the late 1970's and early 1980's at a time of very low molybdenum prices. With current levels of demand the economics are now very attractive. VWM undertook limited drilling (2,100m) during 2007/08 but has since undertaken significant geological work including soil sampling, trenching and surveying.

Perth, Oct 27, 2010 (ABN Newswire) - Victory West Moly Limited (ASX:VWM) is pleased to announce the execution of a binding Memorandum of Agreement ("MOA") with China Guangshou Group Corp ("CGGC") that will fully fund VWM's Malala Molybdenum Project to large scale production.
Under the agreement, which marks the completion of a comprehensive due diligence process, CGGC will acquire a 65 per cent interest in the Project in consideration for sole funding 100 per cent of all expenditure to large scale Production. VWM will retain a "free carried" interest of 27.5 per cent in the Project through its related parties.
CGGC will also pay a US$1 million commitment fee (to be paid in 2 tranches of US$500,000).
Under the terms of the MOA, a number of key exploration, development and production milestones are required to be met by CGGC;
- Exploration - A minimum of 10,000 metres drilling to be reviewed by a geological consulting group of international standard. Definition of a suitable 43-101 / JORC resource that is capable of commercial production.
- Development - Development and construction of the Project for commercial production including mine development, processing plant and associated infrastructure
- Early Production - Delivery of early production opportunities from high grade mineralization identified during exploration within 24 months
- Large Scale Production - Subject to a total resource of no less than 150 million tons at 840ppm Mo CGGC will commence large scale production (open pit) by 2016.
VWM CEO Robert Hyndes said the execution of the MOA is a major milestone for the Company.

Mr Hyndes said "CGGC is an experienced mining group with significant molybdenum mining expertise with molybdenum operations in China and North Korea, and major mining projects throughout Asia including Indonesia - we have great faith in their expertise to develop the Malala Project to its full potential".
Initial Work Program
The parties are to establish a management and operating committee ("Operating Committee") consisting of 3 (three) CGGC representatives and 2 (two) VWM group representatives. An annual budget and work program is to be agreed and implemented by the Operating Committee. Subject to receipt of the any required permits an immediate and extensive exploration and development program will be undertaken with an initial primary focus on Inti Cemerlang. The program will see the construction of more than 20kms of roads providing greater accessibility to the project, significant drilling and exploration work including the construction of a 700+ metre exploration/prospecting tunnel (adit) to further explore Anomaly B.
Mr Hyndes said focus will initially be on those exploration and feasibility works that will determine the quickest route to early production opportunities from high grade mineralisaiton indentified during exploration.
Signing Ceremony
Following the execution of the MOA in Xiamen, China, a signing ceremony was held in Perth, Western Australia and was attended by a delegation of high-ranking Toli Toli (local regent) and Central Sulawesi Indonesian Government Officials including H. Bandjela Paliudju, Governor of Central Sulawesi Province, H. Moh. Saleh Bantilan, Bupati Toli Toli Regency and Central Sulawesi heads of Mining, Forestry and Environment. Also in attendance was Mr. Michael Law as representative of CGGC.
Memorandum Of Agreement - Key Material Terms
The key material terms of the MOA are;
- CGGC is to commit to funding 100% of the exploration, development and exploitation costs required to take the Project into Production ("Sole Funding Commitment").
- Victory West (through its related entities) and the local regency owned enterprise (BUMD) (are to be "free carried" to Large Scale Production and will hold a direct or indirect interest of 27.5% and 5% respectively in the Malala Molybdenum Project. A further 2.5% interest will be acquired by local Chinese interests.
- A US$1 million commitment fee is payable by CGGC in 2 tranches;
(1) US$500,000 within 5 days of receipt of letters of support and confirmation from Indonesian Energy and Mineral Ministry (ESDM), Central Sulewesi Government and Toli Toli Regent.
(2) US$500,000 within 30 days of the first payment (above).
- CGGC will initially acquire a 65% interest in PT Sulawesi Molybdenum Management (PTSMM), and as soon as possible each of the local Moly Concession Companies are to be converted into Indonesian limited liability foreign investment company's (PMA Company's) and each party is to be issued its relevant interests.
- The parties are to work together to establish a tax effective structure to hold their interests in the Project.
- A management and operating committee ("Operating Committee") is to be established and comprise of 5 (five) members, 3 (three) members to be nominated by CGGC and 2 (two) to nominated by VWM. An annual budget and work program is to be agreed and implemented by the Operating Committee.
- A number of key milestones are required to be met by CGGC (the "Milestones");
(1) Stage 1 Exploration: A minimum of 10,000 metres drilling to be reviewed by a geological consulting group of international standard; Definition of a suitable 43-101 / JORC resource that is capable of commercial production
(2) Stage 2 Construction/Development: Development and construction of the Project for commercial production including mine development, processing plant and associated infrastructure
(3) Stage 3 Production: Delivery of early production opportunities from high grade mineralization identified during exploration within 24 months; Subject to a total resource of no less than 150 million tons at 840ppm Mo CGGC will commence large scale production (open pit) by 2016.
- CGGC is to provide security over its equity interest (via pledge of shares) until such time as CGGC has met certain exploration and development deliverables.
- In the event that CGGC does not meet the agreed Milestones within the agreed timeframes, the CGGC interest will be transferred back to the Company on a proportional basis to milestone stages achieved. In the event of circumstances outside the control of CGGC, the timetable shall be adjusted appropriately.
- The parties have agreed that any profits generated from any Small Scale Production activities identified during Stages 1 & 2 are to be reinvested to develop larger scale production mining projects.
- Project capital costs are to be amortised in accordance with international accounting standards, CGGC will have the right to cost recovery from profits generated after Large Scale Production.

Initial Work Program
The parties are to establish a management and operating committee ("Operating Committee") consisting of 3 (three) CGGC representatives and 2 (two) VWM group representatives. An annual budget and work program is to be agreed and implemented by the Operating Committee. Subject to receipt of the any required permits an immediate and extensive exploration and development program will be undertaken with an initial primary focus on Inti Cemerlang. The program will see the construction of more than 20kms of roads providing greater accessibility to the project, significant drilling and exploration work including the construction of a 700+ metre exploration/prospecting tunnel (adit) to further explore Anomaly B.
Mr Hyndes said focus will initially be on those exploration and feasibility works that will determine the quickest route to early production opportunities from high grade mineralisaiton indentified during exploration.
Signing Ceremony
Following the execution of the MOA in Xiamen, China, a signing ceremony was held in Perth, Western Australia and was attended by a delegation of high-ranking Toli Toli (local regent) and Central Sulawesi Indonesian Government Officials including H. Bandjela Paliudju, Governor of Central Sulawesi Province, H. Moh. Saleh Bantilan, Bupati Toli Toli Regency and Central Sulawesi heads of Mining, Forestry and Environment. Also in attendance was Mr. Michael Law as representative of CGGC.
Memorandum Of Agreement - Key Material Terms
The key material terms of the MOA are;
- CGGC is to commit to funding 100% of the exploration, development and exploitation costs required to take the Project into Production ("Sole Funding Commitment").
- Victory West (through its related entities) and the local regency owned enterprise (BUMD) (are to be "free carried" to Large Scale Production and will hold a direct or indirect interest of 27.5% and 5% respectively in the Malala Molybdenum Project. A further 2.5% interest will be acquired by local Chinese interests.
- A US$1 million commitment fee is payable by CGGC in 2 tranches;
(1) US$500,000 within 5 days of receipt of letters of support and confirmation from Indonesian Energy and Mineral Ministry (ESDM), Central Sulewesi Government and Toli Toli Regent.
(2) US$500,000 within 30 days of the first payment (above).
- CGGC will initially acquire a 65% interest in PT Sulawesi Molybdenum Management (PTSMM), and as soon as possible each of the local Moly Concession Companies are to be converted into Indonesian limited liability foreign investment company's (PMA Company's) and each party is to be issued its relevant interests.
- The parties are to work together to establish a tax effective structure to hold their interests in the Project.
- A management and operating committee ("Operating Committee") is to be established and comprise of 5 (five) members, 3 (three) members to be nominated by CGGC and 2 (two) to nominated by VWM. An annual budget and work program is to be agreed and implemented by the Operating Committee.
- A number of key milestones are required to be met by CGGC (the "Milestones");
(1) Stage 1 Exploration: A minimum of 10,000 metres drilling to be reviewed by a geological consulting group of international standard; Definition of a suitable 43-101 / JORC resource that is capable of commercial production
(2) Stage 2 Construction/Development: Development and construction of the Project for commercial production including mine development, processing plant and associated infrastructure
(3) Stage 3 Production: Delivery of early production opportunities from high grade mineralization identified during exploration within 24 months; Subject to a total resource of no less than 150 million tons at 840ppm Mo CGGC will commence large scale production (open pit) by 2016.
- CGGC is to provide security over its equity interest (via pledge of shares) until such time as CGGC has met certain exploration and development deliverables.
- In the event that CGGC does not meet the agreed Milestones within the agreed timeframes, the CGGC interest will be transferred back to the Company on a proportional basis to milestone stages achieved. In the event of circumstances outside the control of CGGC, the timetable shall be adjusted appropriately.
- The parties have agreed that any profits generated from any Small Scale Production activities identified during Stages 1 & 2 are to be reinvested to develop larger scale production mining projects.
- Project capital costs are to be amortised in accordance with international accounting standards, CGGC will have the right to cost recovery from profits generated after Large Scale Production.

Victory West Moly Limited has announced the execution of a binding memorandum of agreement with China Guangshou Group Corporation that will fully fund VWM's Malala Molybdenum Project to large scale production.
Under the agreement, which marks the completion of a comprehensive due diligence process, CGGC will acquire a 65% interest in the project in consideration for sole funding 100% of all expenditure to large scale Production. VWM will retain a free carried interest of 27.5% in the Project through its related parties.
CGGC will also pay a USD 1 million commitment fee (to be paid in 2 tranches of USD 500,000).
Under the terms of the MOA, a number of key exploration development and production milestones are required to be met by CGGC:
Exploration - A minimum of 10,000 metres drilling to be reviewed by a geological consulting group of international standard. Definition of a suitable 43-101 / JORC resource that is capable of commercial production.
Development - Development and construction of the Project for commercial production including mine development, processing plant and associated infrastructure

Perth, Nov 12, 2010 (ABN Newswire) - Victory West Moly Limited (ASX:VWM) is pleased to announce that it has completed negotiations and commercial terms and conditions with Oceantide Investments Pty Ltd ("Oceantide") and is proceeding with the acquisition of (subject to shareholder approval) of Oceantides rights to a 70% equity interest in the highly prospective USSU Nickel Project.
The USSU Nickel Project is a highly prospective exploration IUP concession (The "Concession" or the "Project") covering approximately 1,608 hectares located in Malili East Luwu in South Sulawesi and located within a prolific nickel laterite province with several existing major operations nearby (including Rio Tinto's (ASX:RIO) (NYSE:RIO) 162Mt project and PT Inco's Sorowako 161Mt project).
The Project is held by Indonesian entity PT. Primara Utama Lestari ("PT PUL") and VWM has agreed to acquire Oceantides rights to acquire the 70% equity interest in PT PUL by;
- acquiring 100% of the issued share capital of Oceantide through the staged issue of 50 million fully paid ordinary shares (against agreed milestones as detailed on page 6); and
- assuming Oceantide's financial obligations to the Project;
- Paying a staged consideration of US$3.75m (against agreed milestones as detailed on page 6) to the shareholders of PT PUL ("Indonesian Shareholders");
- Sole funding 100% of exploration and development expenditure to commercial production (with full cost recovery from profits)
An initial US$2million budget has been agreed to fund exploration, permit approvals and pre-development works until February 2011.
Subject to the timely receipts of required production and operational approvals and permits the project has the capacity to move into production by end Q2-2011.
Due Diligence
The Company has undertaken significant legal due diligence and is finalising a staged technical due diligence process that will not only result in verifying the historical data and exploration target but also underpin a maiden inferred JORC resource for the Project.
Legal Review
In summary, the legal due diligence undertaken on the nickel exploration concession held by PT PUL;
- PT PUL is the holder of Exploration IUP 2010 and is valid until 30 August 2014 and has been properly established as a limited liability company and with the necessary authority to hold an IUP and to carry on mining activities consistent with the USSU Nickel Project.
- The decree number, validity period, date of issuance and holder of the IUP, as stated in the Exploration IUP, are as recorded in the Luwu Timur Mining Office and has been issued in accordance with the prevailing procedures and requirements.
- The Exploration IUP area is not overlapping with other mining concessions.
- According to the Mining Area Map and the Forestry Area Map, a small and immaterial area within the concession overlaps a Forest Area (which is not expected to impinge the proposed production areas);
- In addition, the Luwu Timur Forestry Office and BAPPEDA (Indonesian Regional Body for Planning and Development) have confirmed that the entire Exploration IUP area is situated within an area available for other purposes and may be used for mining purposes without the need for any forestry related licenses or permits.
- Note: There are some minor discrepancies amongst (i) the Mining Area Map, as maintained by DGoMCG, (ii) the Forestry Area Map, as maintained by MoF, (iii) the Luwu Timur Forestry Office Explanation Letter and (iv) the verbal confirmation provided by BAPPEDA however this is not expected to impair the proposed activities.
- According to verbal information provided by BAPPEDA, there is a possibility that the Exploration IUP 2009 area may overlap with land being used for private residences. However, this is not expected to impair the proposed activities.
Technical Review
- Technical due diligence completed to date includes;
- complete software re-modeling and desktop analysis of the historic technical data
- local and regional geological assessment has confirmed the project as highly prospective.
- A drilling contractor has been mobilized to site to undertake a verification and infill-drilling program within the currently targeted initial production area.
- The contractor will be supervised and managed by PT GMT Indonesia (GMT)
- It is expected that the current drilling program will establish an inferred JORC resource.
- It is the Company's intention to continue and expand the drilling program to increase both mineralisation tonnages and confidence levels of the deposit.
A more detailed and comprehensive technical update will be provided to the market immediately upon sign off by GMT (the Company's Indonesian Geological and Technical Consultants) and competent person.
Shareholders Meeting
The Company is to seek approval from shareholders for the acquisition at a General Meeting of Shareholders ("General Meeting") as soon as practically possible. It is intended that reports from the Company's Indonesian lawyers (legal report) and Indonesian Geological Consultants (independent geological report) will be included with the Notice of Meeting (NOM).
Transaction Documents & PMA Company Conversion
The Parties are to execute a formal memorandum of agreement ("MOA") as soon as practically possible, key transaction agreements (including conditional sale and purchase of shares agreement, new articles of associations and shareholders agreements) which are to be drafted by the Company's nominated Indonesian law firm. The Parties agree to work expeditiously to facilitate the conversion of PT PUL into a PMA Company (foreign investor company).
Financing & Operations
- Funding to date: In addition to the funding and services that have previously been provided towards the development of the Project by Oceantide. VWM has advanced to Oceantide a total of US$777,780 (inclusive of the US$100,000 loan as announced on 27 August 2010). These funds have been on-lent to PT PUL and utilised for the benefit of the Project and are fully recoverable from the Project.
- Sole Funding: VWM is to assume Oceantide's obligations to sole fund 100% of the Project's expenditure to commercial production of DSO without contribution from the Indonesian Shareholders (the "Financing"). It is expected that commercial production can be achieved for approximately US$5-6m.
- Cost Recoverability: To the extent that VWM provides the Financing in the form of a loan to PT PUL, the Financing shall:
- attract interest at normal commercial rates;
- both interest and principal shall be repayable by PT PUL to VWM on a first priority basis and before any distributions to shareholders (other than the agreed pre-dividend distributions as defined below)
- Pre-existing liabilities: The Local Shareholders are to be exclusively responsible for and shall indemnify Oceantide and its affiliates against any and all commercial liabilities of PT PUL in existence at the date of Completion.
- Operations & Management: The Parties are to work together to define a budget and timetable, operational management structure and the funding approval process (i.e. cash-calls and supporting documentation).
- Production Permits & Licenses: The Parties are to work together to finalise Feasibility, Environmental and AMDAL studies required for the conversion of the Concession to Production and Operational IUP as well as any permits required to undertake commercial production of the proposed Nickel DSO operations.
- Initial Budget: An initial US$2million budget is to fund exploration, permit approvals and pre-development works until February 2011.
- Pre-Dividend Distribution: Upon commencement of sustainable production. The shareholders of PT PUL are to drawdown a monthly sum equivalent to US$3.00 per metric tonne of ore sold each month (the "Draw Down").
- The Draw Down is to be distributed proportionately as to the equity interest of each shareholder (i.e. Local Shareholders = 30%, VWM Group = 70%),
- The Draw Down is dependent on sufficient cash availability and continued profitability of the Company.
- Survival: The rights and obligations, that each party are subject to, under the provisions of the binding agreement and any subsequent agreements (Transaction Documents) will survive in the event of divestment of interest by any party.
- Termination: In the event that the proposed Transaction does not proceed;
- At the election of Oceantide due to commercial reasons including failure of shareholder approval- a $5 per tonne priority royalty is to be paid to Oceantide until the total of the funds advanced plus interest calculated at 10% per annum have been repaid.
- Due to failure of final Technical Due Diligence (i.e. verification drilling program currently in progress is materially deficient of the stated historic exploration results), the total of the funds advanced at that date are to be considered at call and to be repaid in full.

Data re-evaluation has resulted in a significantly refined exploration target size of:
- 25-30Mt @ 1.70-1.90% Nickel with 0.03% Cobalt and 16.2% Fe in Saprolite and
- 15-20Mt @ 1.10-1.30% Nickel with 0.05% Cobalt and 29.6% Fe in Limonite.

Victory West Moly (ASX: VWM, FSE: R1E) is pleased to advise the receipt of $500,000 representing the first tranche of the $1million Commitment Fee from its joint venture partner China Guangshou Group Corp (CGGC) as part of their obligations to invest in the Malala Molybdenum Project in North Sulawesi, Indonesia.
The company is now finalising the required executed administrative letters upon which, CGGC will make the second and final $500,000 payment.

Victory West Moly updates on USSU Nickel Project
Victory West Moly Limited has announced the imminent commencement of construction and development activities at the USSU Nickel Project.
Activities will include clearing and commencement of earthworks for the:
Initial Mining Area
Mine roads
Mine stockpile area
Port Haul Road
Port Area
Previously announced was an 80 hole drilling program targeting an inferred JORC by Q1 2011, which is still on target. Currently the drilling program has been extended to include tight spaced drilling, nominally 25 meters x 25 meters in higher grade areas that will define the initial mining areas for the DSO operation.
Also importantly, Victory West has now completed its Legal Due Diligence on the USSU Nickel Project and Oceantide Investments Pty Limited has executed a formal memorandum of agreement with the local Indonesian vendors of PT Primara Utama Lestari and are in the process of finalizing key transaction agreements and will work expeditiously to facilitate the conversion of PT PUL into a PMA Company.
The company is to hold a General Meeting of Shareholders in early April 2011 to seek the approval from shareholders for the acquisition of the 70% equity interest in the USSU Nickel project through the 100% acquisition of Oceantide, and is on track to lodge the Notice of Meeting next week.
The NOM will also include a Solicitor's Report from Christian Teo & Associates the Company's Indonesian lawyers (legal report) and an Independent Geologist Report from GMT Indonesia the Company's Indonesian Geological Consultants.
