To consider and, if thought fit, to pass, with or without amendment, the following resolution as an ordinary resolution:
“That, for the purpose of ASX Listing Rule 7.1 and for all other purposes, the directors of the Company be authorised
to issue up to 45,000,000 fully paid ordinary shares in the capital of the Company on the terms and conditions set out
in the Explanatory Statement accompanying this Notice.”
Short Explanation:
Under the ASX Listing Rules, the Company may seek shareholder approval prior to a share issue to
allow it the flexibility to make future issues of securities up to the threshold of 15% of its total ordinary
securities in any twelve month period. Please refer to the Explanatory Statement for further details.
Voting Exclusion:
The Company will disregard any votes cast on this resolution by any person who may participate
in the proposed issue and a person who might obtain a benefit, except a benefit solely in the capacity of a holder
of ordinary securities, if the resolution is passed, and any associates of those persons. However, the entity need
not disregard a vote if it is cast by a person as a proxy for a person who is entitled to vote, in accordance with
the directions on the proxy form, or, if it is cast by the person chairing the meeting as proxy for a person who is
entitled to vote, in accordance with a direction on the proxy form to vote as the proxy decides.

4. Resolution 3 – Approval of Future Issue of Shares
ASX Listing Rule 7.1 provides that a company must not, subject to specified exceptions issue, or agree to issue,
more equity securities during any 12 month period than that amount which represents 15% of the number of fully
paid ordinary securities on issue at the commencement of that 12 month period.
To provide the Company with the flexibility to make future issues of securities during the next 12 months,
Resolution 3 seeks shareholder approval to the issue of up to a maximum of 45,000,000 fully paid ordinary shares.
As has been previously announced, the Company is in the process of evaluating a number of investment opportunities.
The effect of Resolution 3 will be to allow the Directors to issue up to 45,000,000 fully paid ordinary shares
during the period of 3 months after the Annual General Meeting, without using the Company’s 15% annual placement capacity.
In compliance with the information requirements of ASX Listing Rule 7.3:
(a) the maximum number of securities to be issued is 45,000,000 fully paid ordinary shares in the capital of the Company;
(b) the Shares will be issued at a price of at least 85% of the average market price of the Company’s shares as traded
on the ASX over the five (5) day period on which sales in the Company’s securities were recorded
preceding the date of the issue of those shares;
(c) the shares will be issued no later than 3 months after the date of the Meeting. The date of allotment is not known
at this stage but it is anticipated that allotment will occur progressively;
(d) the shares when issued will rank equally with the Company’s existing shares;
(e) the allottees will be professional and sophisticated investors and clients of Australian Financial Service
License holders and will not be related parties of the company, and
(f) the Company intends to use the funds raised for exploration activities in Tunisia and Romania,
for acquisition opportunities and working capital requirements.

Das bedeutet für mich:
- laut ASX Rule 7.1 dürfen innerhalb von 12 Monaten nicht mehr als 15% neue Aktien ohne Abstimmung durch die Shareholders
ausgegeben werden (15% von aktuell 411 Mio sind ca. 62 Mio)
- der Beschluss erlaubt ADX, zusätzlich ("without using the Company’s 15% annual placement capacity")
zu den 15% innerhalb der nächsten 3 Monate max. 45 Mio shares auszugeben (45 Mio sind ca. 11%)
- der Preis für die neuen Aktien liegt bei mind. 85% des Durchschnittsaktienpreises der letzten 5 Tage vor Ausgabe der
neuen Aktien. Der Durchschnitt der Schlußkurse der letzten 5 Tage (0,094;0,094;0,100;0,105;0,100) liegt bei 0,0986.
85% davon ergibt einen Mindestpreis von 0,0838 AUS$ pro neuer Aktie.

Na endlich haben wir, die langersehnte und oft profezeihte, KE hinter uns. Können uns beim Herrn Zimmer seine Informationsflut zu diesem Thema bedanken.
Ihr wollt mir nicht erzählen, dass ihr überrascht seid. Etwas Realismus würde den einen oder anderen gut tun. Ich spreche seit WOchen von nicht anderem als KE, der Grund warum JPM mit uns seinen Unfug treiben kann.

Das das so schnell ging, uebertrifft bereits meine schlimmsten Befuerchtungen. Nun bleibt abnzuwarten, wie gierig und ruecksichtslos ADX sich an seinen Altinvestoren vergreift.

Das man nun nicht einmal die Vorbereitungen zum Flow Test abwartet, sondern schon jetzt vorprescht, laesst nur noch die negativsten Befuerchtungen zu Sidi zu -- ich stelle die Grafik von Japetus nicht noch mal rein, aber ich denke man muss den Finger nun ziemlich weit links bei den Mengenangaben halten (eg den "ganz kleinen" Zahlen).
Auf die Erklaerung von Blue Moon bin ich in der Tat nun gespannt -- schliesslich wollte ich seiner Meinugn nach gestern noch nur den Kurs von ADX mit meinen unsinnigen Spekulationen zu einer KE runterziehen. Mir liegt gerade ein belustigtes "I told you so!" auf den Lippen, bis ich mich in die graue Realitaet zurueckreisse, naemlich das ich trotzdem immer noch zusammen mit Blue Moon auf der Titanic sitze.
Bei einem aktuellen Boersenwert von ca AUD 41,000,000 ergibt das eine maximal noetige Verwaesserung von 35%. Voila, wir koennen also zwischen 15% und 35% Verwaesserung mit der kommenden KE erwarten.
Nachdem nun zwischen den Partnern nun zum zweiten Mal oeffentlicher Konflikt wegen der Info-Politik ausgebrochen ist und die Ergebnisse von Sidi moeglicherweise auch eher als Daempfer auf den Kurs einwirken, anstatt in hochzuproppen, sollte sich ADX wirklich mit der KE beeilen so schnell wie es geht.

ADX Energy (ASX: ADX) has been granted a trading halt pending an announcement regarding a capital raising.
The company has given no clues as to the nature of the capital raising.
ADX recently announced an estimate of 51 million barrels of mean contingent oil in place at Sidi Dhaher-1 in Tunisia, with well testing set to begin once rig selection is finalised.
The halt will last until the earlier of announcement being made to the market, or the opening of trade on Friday November 18.
