DIXIE GOLD INC. ANNOUNCES FRIENDLY-TAKEOVER BY OMNIA METALS GROUP LTD.

Dixie Gold Inc. has entered into an agreement, whereby it is contemplated that Dixie Gold will be acquired by Australian Securities Exchange listed issuer Omnia Metals Group Ltd.

Under the negotiated agreement, Omnia made binding terms to acquire 100 per cent of the issued and outstanding common shares of Dixie Gold in exchange for 166,666,667 common shares of Omnia and a further $3-million cash component.

Under Mark Connelly's leadership, the team at Omnia have a demonstrated track record of being able to add material market value to compelling asset bases. The substantial premium expected to be achieved for Dixie Gold shareholders through today's announcement reflects arm's-length market confidence in the high-quality portfolio that we have patiently built over time, including our gold and lithium projects. Importantly for shareholders, that significant premium would be allocated within Dixie Gold's tight share structure, with shareholders under an approved and completed transaction expected to receive per share cash consideration greater than the last traded price of the corporation's listed security as well as a considerable equity component to further benefit and participate in the growth of Omnia on a pro forma basis. vermehrtes int. an uran auf...........auch hier zu lande, wie wir uns beim abschalten
unsrer 3 letzten AKW´s erinnern können.

fakt ist jedenfalls, dasz kurs von U308 seither mit usd 65,50lb auf höchsten
stand seit ZEHN jahren geklettert ist........wie über nachfolg. link einzusehen ist............

DIXIE GOLD INC. RESOLVES $120 MILLION STATEMENT OF CLAIM OVER 70% EARN-IN OPTION AT RED LAKE GOLD PROJECT

Dixie Gold Inc. has successfully resolved all legal matters relating to the statement of claim filed by Barrick Gold Inc. in the Toronto Superior Court of Justice on June 30, 2022 (court file No.: CV-22-00683409-0000), and further resolved Barrick's assertions to an interest in the Red Lake gold project (see the corporation's news release dated July 5, 2022).

Under a termination and mutual release agreement dated April 17, 2023, Dixie Gold can now confirm its full original project ownership, inclusive of operatorship, and that Barrick holds no interest in the Red Lake project. No provision of the original earn-in option agreement dated Nov. 1, 2021, between Dixie Gold and Barrick survives. Among other terms, neither party made any cash payments toward the other under the agreement and neither party assumed legal expenses related to the other.

Formal procedural dismissal of the claim will be filed in the coming weeks, at Barrick's expense.

As Dixie Gold now considers the claim to be resolved with positive outcome for shareholders, the corporation does not intend to make any further public statements on the settled matter.

Dixie Gold is excited about the exploration potential for gold and other commodities at its Red Lake project and looks forward to updating its shareholders regarding future plans..........
