(OTCBB:NPWS), the Company developing fuel cells for the military and portable electronic devices, announced today it has successfully demonstrated a new type of low cost, high reliability and power, liquid electrolyte based direct methanol fuel cell that does not require air to operate. This is the first major innovation in fuel cell technology in over 20 years, where a repeatable, reliable non-PEM based system has been successfully introduced and demonstrated in sustained operation.
      The prototype was self contained and sized to generate 8W of gross power, fuel cartridges were replaced multiple times and repeatable performance demonstrated.       tut mir leid,

      ich weiß auch nur, was in der news steht. Gehe aber davon aus, daß es etwas besonders sein muß, sonst wäre da nicht so ein Tamtam gemacht worden.

      Der pps ist heftig zurück gekommen, da bei dem Volumen natürlich jede Menge Zockerpotential vorhanden war.

      Ob das nachhaltig was wird, muß die nähere Zukunft zeigen, ob weiteres Interesse der Industrie bzw. armee aufkommt.

      Ed Cabrera is clearly in charge of this move, his history also shows he is the man for the job.

      Now there is a great deal of “positioning” we can all see in relation to the capital structure of the company orchestrated I would imagine by Ed and Jessup & Lamont with the express purpose of relocating the company to the AMEX as fast as possible.

      So while a massive 200 to 1 Reverse Split seems a little shocking, surely it must be part of the bigger picture of the move. Perhaps there is a clean up required and an accurate Audit of the share count (horrific task on the OTC) Perhaps there are Investment Funds interested in participating in NPWZ, many of whom have minimum price requirements, Ed and/or Jesup & Lamont might be of the opinion that a certain price point for entry to the AMEX will provide optimum growth for investors.

      It maybe a short term structural shift that will be altered post listing on the AMEX, it is always problematic when large numbers of retail investors/day traders enter any stock, and the company wants investors that trade in the $20 range to hold the stock. Paul Allen did an amazing job of growing MSFT by splitting back to the $100 price point for a long time.

      I take comfort in the fact that the shares issued for compensation and incentives were all done Pre-Split. Until we see dilution the Reverse Split is simply a price point game, I would be opposed, as would my associates who also hold very large positions, to any unjustified dilution.

      I do understand that business can move at a fast pace sometimes, and informing the public can be ignored and not be a priority on any given day. However, being on the “other end” of the position this time, I along with my associates have requested a dedicated Board Member be put in place to properly inform the public of what is happening and protect the interests of the non-insider large holders. (perhaps I will take a little of my own advise at the same time)

      I am delighted to continue the dialog with the shareholders as the Chief Executive Officer of Neah Power Systems. Neah has had favorable and significant events occur since my last letter to shareholders, and I would like to thank all of you for your continued support. The intent of this letter is to address specific questions that have come up during this period, and this part of my letter deals with our recent reverse stock split and our forthcoming forward split.

      What is new with the company?

      We are a re-energized, focused company with what we believe are compelling products. I was appointed the CEO in February 2008. Since then, I have rebuilt the management team, reduced our burn rate, completed prototype development and implemented our manufacturing supply chain. We added Ed Cabrera, Head of Investment banking, Jesup & Lamont, and Paul Sidlo, Entrepreneur and Computer Graphics Pioneer, to the Board of Directors.       Why was the recent 1:200 common stock reverse split so important?

      As Neah progresses from a developmental company to a company with customer engagements and product shipments on the horizon, we seek to be listed on the American Stock Exchange (AMEX) as part of Neah's overall growth and corporate strategy. The split provides the appropriate capital structure necessary for investment in a company of Neah's size and potential, and Neah believes that the higher per share price will increase the number and quality of brokers and investors that will be attracted to the company.       The company mentioned a Forward Split in the near future. How is that important?

      While the company does have projected financial data, at the present stage of the company's development this information is highly sensitive and making it available could be harmful to the best interests of the company and therefore you, its shareholders. In addition, as you know, we have been and are in discussions with both customers and potential investors. Potential customer arrangements (projected sales) are often required to be kept confidential until the point in time where an agreement has been in fact finalized. Neah is currently in the process of talking to institutional investors and other funding sources, and these groups will be important to us as shareholders of the company for the long term. As a matter of policy though, we prefer to hold this information close and treat it with a measure of cautious optimism, as we are dealing with new technologies and hitherto unknown markets and applications. We believe that Neah could be generating revenue by the end of 2009 based on estimates from SolCool and Letters of Intent (LOIs) that we have.

      Neah's value proposition for portable power direct methanol fuel cells is precisely applicable for energy storage applications. Neah believes that the ability to use silicon wafers, up to twelve inches in diameter, leverage mainstream semiconductor processing, and use of foundries to manufacture Neah's product gives significant advantages over the competition.

      What are the markets that Neah is focusing on?

      Neah plans to serve the range of industrial, military and consumer markets that are available to us. We believe that the energy storage and generation markets are also large market opportunities that can be competitively served by our technology. The company is adopting a staggered market entry strategy of initially pursuing specialized markets like the anaerobic (non-air breathing) markets where there is limited competition. Examples include the EKO Vehicle and Hobie Cat relationships. These early market entries allow the company to scale up the technology, validate the supply chain that Neah has in place, and use those experiences to pursue the larger consumer markets for phones, computers, and other consumer devices.

      Is Neah focused on markets in India only?

      No. India has shown a great deal of interest and we have a number of potentially large agreements in place there. India is a growth opportunity, since the quality of its electrical grid is sub-par and a large number of people do not have access to reliable power, and this creates a large and growing customer base. Lessons learned here can be implemented in other developing countries as well. While India is very important, Neah retains a global focus.

      How is the SolCool integration progressing?

      The integration is progressing smoothly. SolCool has a product that Neah can continue to ship, and bringing Neah expertise to bear allows us to grow SolCool. SolCool and Neah have synergies that will give the combined entity some positive accretion. It is great for Neah to have cash flow and the additional infrastructure.

      What are the synergies from the SolCool?

      The SolCool Energy Management System will form the backbone for integrated renewable energy solutions (Hybrid Electric Renewable Micro - Energy System -- HERMES) which Neah recently announced. Neah expects the existing SolCool worldwide qualified distribution channel to allow us to introduce new renewable energy solutions to the marketplace more quickly. The combined entity can drive this rapid adoption, implement the necessary ERP (enterprise resource planning) systems, and form the building blocks for a world class company.

      Can you give us a sense of the team at Neah?

      Currently, Neah has a lean, core-competence-based team of employees, management and Board of Directors. Dr. Tsali Cross, the VP of Engineering, is leading the effort at showcasing Neah's technology for customer applications; Mr. Kenth Pedersen is leading the sales and business channel development; Mr. Stephen Wilson, along with BOD support, is working on the capital structure and financial reporting, the implementation of cost and financial accounting systems, and Sarbanes Oxley compliance; and Mr. Mark Walsh is leading the SolCool product adoption. Additionally, Neah continues to work on building presentations and communication vehicles to dialogue with institutional and retail investors and supporters.

      What is the status of the second contract with ONR?

      This contract requires completion of a demonstrator system by mid-September 2009. We had initially renegotiated this contract to give the ONR significantly more than what was requested. Even with this increased charter of deliverables, we believe we will meet and exceed all the deliverables on time and within budget for completion of this contract. We will continue to have dialogue with the ONR and other branches of the military.

      Drs. van den Hoek retired from Novellus Systems, Inc. in February 2008. He is currently a part-time advisor to Novellus Systems, Inc.
