Hallo,

eröffne mal einen neuen Thread für unser nun neu auferstandenes Schätzchen

Seit 24.12.2009 gibt es nun schon die Zolon Corp. Amtliche Bekanntmachung aber erst mit 15.03.2010. Neuer Name, neues Aktienkürzel, aber sonst nichts?
Erste Umsätze in US zeigen mal wieder die übliche Verwirrung. Umsätze in D, Fehlanzeige. Was nun?

Die hp http://www.zoloncorp.com/ funktioniert, aber auch hier nicht greifbares.

Werden wir reich oder bleiben wir doch nur arm?

Waltzer ist schon eine Mütze.
Seit Jahren ändert er seine Firmennamen, seine Geschäftsziele und nie wird was daraus.
Jetzt ist schon sein Direktor Alan Siskind scheinbar an Langeweile gestorben oder Unterernährung, da ja kein Geld reinkommt?

SNNW/AVNT/ZLON alles nur Gurken, die scheinbar nur zum Schönrechnen vor dem US-Fiskus da sind.

So nun sind auch bereits 5 wochen vergangen und alles bleibt beim alten. wenn ich das filing richtig lese könnten die bis 2023 dieses spiel(nur verluste erzeugen) ablaufen lasen, ohne das ihnen das finanzamt auf die finger haut.

es ist aber schon erstaunlih, das der kurs wie vorher stabil bleibt. man erwartet eigentlich, einen absturz.

spätestens in 5 wochen kommt das q1/2010, mal sehen wieviel einnahmen hier vorliegen. ich denke es werden die selben träume sein wie seit ca. 5 jahren.

Zolon muss nun innerhalb von 2 Wochen die Hosen runter lassen. Das Filing für das erste Quartal mussnun raus. Davor müsste aber noch eine Info raus, wer oder was Zolon ist, bzw. wem das Unternehmen nun gehört. Ich denke es wird ja nicht nur die Einmann Waltzershow sein.(wäre schrecklich)

Hier die Lösung:

Unter einem Reverse Merger versteht man eine Unternehmenstransaktion, bei der ein größeres Unternehmen auf ein kleineres Unternehmen verschmolzen wird. In der Praxis handelt es sich bei dem kleineren Unternehmen zumeist um ein börsennotiertes Unternehmen, sodass das Motiv für diese Transaktion i.d.R. der schnelle und kostengünstige Börsenzugang für das größere Unternehmen ist. Im allgemeinen Sprachgebrauch bezeichnet der Reverse Merger deshalb eine Transaktion, bei der sich ein größeres nicht-börsennotiertes Unternehmen mit einer kleineren börsennotierten Aktiengesellschaft zusammenschließt, um auf diese Weise den Börsengang zu erreichen. Der Reverse Merger wird synonym auch als Reverse IPO, indirekter Börsengang oder "Börsengang durch die Hintertür" bezeichnet. Wie gehts weiter?

Hier mein Tip:

Nach kompletter Umstrukturierung(ich denke mal diesen Monat abgeschlossen),

MK rund $ 100 Mio bei ca. 35 Mio an shares = $ 2,85/share.
Handel springt dann an.
Kurssteigerung max. 100% fürs erste.
Danach werden wir wohl, angegebene Umsätze vorausgesetzt, innerhalb von einem Jahr bei einem MK von $ 250 Mio sein, d. h. dann hoffentlich $ 5-7/share. Kann aber auch auf den Einzelshare höher ausfallen. Danach, oder auch chon recht früh wechseln wir den Handelsplatz(nasdac)
Bei der amerikanischen Fröhlichkeit in Bezug auf Finanzen und indischen Geldscheffelmentalität, kann unser Invest auf lange Sicht recht lukrativ werden.

Du hast recht.

Wie ich schon sagte, wir werden hier in einer anderen Liga spielen.

Ich denke wenn die Zahlen der Großfirmen passen, werden die Kurse oberhalb $ 3,- sein. Ich denke eher höher.
Gut man kann auch mit mehr shares bei gleichem Kurs ein MK von 1,0 Mrd bekommen.

Ich denke, bzw. weiss das wir eher bei moderatem shareverhalten einen Kurs von ca. $ 15 ,- haben werden.

Dann kommt der Wechsel zur Nasdac.

Ich hoffe morgen noch mal ein paar shares zu ergattern, denn mit Zahlen in 07/2010 oder auch 08/2010 werden die Hosen runter gelassen.

Bei PTSH wartet man noch auf einen Merger(leider bin ja auch investiert), nur wir hatten den schon und nicht nur als LOI

Unser reverse-merger ist schon geschehen! Wir sind, vorausgesetzt die Zahlenstimmen, ein Großunternehmen mit Direktoren, die in der obersten Liga spielen/spielten.

Dnke zwar nicht, dass die ihre filings glich raushauen, hoffe aber auch im Juli.

Aufgewachsener Neu-Tempelhofer, jetzt Lichtenrade.

Wann ich mit dem Filing rechne? Zu Waltzers Zeiten hätte ich mich auf die erste KW im August festgelegt. Zolon selbst schreibt auf seiner page im Juli. Ich denke, es wird diese Woche oder spätestens nächste Woche kommen. Sollte es sich aber verzögern, lässt es nichts gutes ahnen.

Wir hängen nun aber seit Monaten fest bei ca. $ 0,45.(was ich als Zeichen sehe, das man einen Absturz verhindert) Das Unternehmen soll angeblich 150 Mitarbeiter haben, die bezahlt werden müssen. So hoffe ich doch einen guten Umsatz und auch eventuell Gewinn im 2. Quartal zu sehen. Die sollen auch endlich mal eine PR-News über sich raus bringen, denn nur so kann es endlich mal zu Volumen kommen.

Hallo,

die 75 Tage-Frist bezieht sich auf die financial statements(Geschäftsjahr 2009)zu den aquirierten Firmen.

Die hp spricht von 07/2010 und bezieht sich auf Zolon-Zahlen fürs 2. Quartal. Das erste war ja noch die Waltzer Nullnummer.

Lassen wir uns mal überraschen.

They all managed by same owner and management.
Company first delayed the payment by 6 weeks. They pay salary more then one month late (example on March 7, I get salary on period Jan 16- Jan 31). This (late payment) they are doing since last more then one year. On March 12th, 2010 they send email saying VSG and its entire sister concern companies are acquired by Zolon (Zolon Corporation) and send there HR manager's email addresses for communication with company. In other email they attached memo from zolon company's CEO that describes that they will pay March(1-15) salary on April 10 and March(16-31) on April 26 and so on. They also told that they will pay Feb(whole months) salary when ever they can. I sent many emails for Feb Salary, VSG HR ppl are saying you should ask new management for salary I (VSG HR ppl) am also now employee for Zolon. I talk to Zolon HR ppl and I told if I dont get Feb salary then I will complain DOL and file a case throgh attorney. Zolon HR ppl are saying Zolon' responsibility of paying salary is from March only.In reality VSG should have paid this salary already, we (might) pay but dont know when. You can file case and lets attorney decide. I dont care.


How should complain about salary to DOL should I complain against Zolon or VSG or both? Now there is no VSG. will I get success? Zolon might slip away by saying I acquired from March.

It is also possible Zolon and VSG owner might be relatives. and want to make money by not paying Feb salary.

Please advice.

Hallo,

da ja bis heute nichts geschehen ist, dachte ich mir, schreib ich mal eine mail an zolon.

Gab nur ein Problem, die mailadresse [e-mail] wandelt sich in [e-mail]. Diese company http://www.rotateblack.com/ entpuppt sich als otc-bude(ROBK) die gerade einen re-split(1:4) durchgezogen hat. Habe die Kollegen aus dem Nebenthreatbefragt, die wussten aber nichts von einer Verbindung. Nun, vielleicht ist die Verbindung nur unser Direktor Marshall, der in beiden Unternehmen als director benannt ist.
Meine mailanfrage, ob zolon über die adresse von rotateblack ansprechbr ist, wurde bis jetzt nicht beantwortet.

Nachdem keine Antwort auf meine mail kam, habe ich die zolon direktmail genutzt und heute auch sofort eine Antwort bekommen.

Laut Aussage soll das filing in der nächsten WE spätestens aber in 10 Tagen kommen. Die Geschäftsaktivitäten sollen sich positiv entwickeln. Nährere Angaben hbe ich aber auch nicht. habe mich gestern doch in den conferance call eingeloggt. Dauer ca. 45 min. (22.15-23.00)
Kurzes Einführungsstatement von unserem ceo und cfo und iregendeiner person deren nmen ich so schnell nicht mitbkommen habe(Marshall?)
Hier heraus hörbar, das sie zufrieden sind mit dem Verlauf der letzten Monate, aber auch heraus hörbar, das es keine Gewähr gibt,das es wirklich einschlägt. Angeblich kommen in nächster Zukunft Infos/news, bzw. werden wir zeitnah auf dem Laufenden gehalten.

Beteiligte Fragesteller(Anzahl 3), haben keine Fragen zur Vergangenheit oder jetzigen Besitzverhältnisse gestellt. Fragestellung wie man die sog. targets erreicht wurden mit den Connections der Herren ceo und cfo beantwortet.

Ich selbst habe mich leider etwas zulange zurückgehalten, bzw. wollte mich auch nicht als Kurzfristinteressierter outen.(spreche auch nicht so flüssig wie diese Herren)Nun gut kurz vor 23.00 uhr war dann schluß.

Mein Resumee´:
Wir haben es hier mit einem Unternehmen zu tun, was sih im Bau, bzw. der Festigung befindet. Die Aussagen der hp können so eintreten, aber auch nicht(abhängig vom Marktverhalten)
Ich sehe es leider wieder als Langzeitinvest. Sollte das System aber funktionieren, werden wir aber irgendwann keine otc-bude mehr haben.

Die Ansprüche der Führung weisen eher auf höheres Niveau.

Eine Erhöhung wäre auch schon propagiert worden.

Ach ja, könnt ihr euch noch an den Beinahdeal avnt/horvath erinnern? So weit ich mich erinnere wurde das ja von waltzer damals gecancelt, da hier ja ein unseriöser Donald foss mitmischte. In meiner Langenweile habe ich mir gerade mal seinen sharepreis, bzw. sein marketcap angesehen.
Resultat:

$ 61,57 pro share
bei mk von 1.67 b

Zu Zeiten von waltzer lag der sharepreis noch bei unter $ 30,-

Man sollte sich doch mehr an die angeblich Unseriösen halten. Da kommt es wenigstens zu Steigerungen

Zolon wird wahrscheinlich auch wieder eine 5 Jahres Aktion die nichts bringt.

Hatte am 05.08.2010 mailkontakt mit einm randy egerton von zolon, der auf mine fragen zum fälligen q2 sehr schnell antwortete und seine rückantwort sogar cc an die herren direktoren schickte.

Nun habe ich ihn gestern erneut angemailt, hinsichtlich offener Fragen zum conferance call und nun ist ruhe. Zweite anfrage gestartet, keine rückantwort, nichts.

So ähnlich lief es bereits bei avnt. Im moment der hoffnung auf normale geschäfte gibt es noch eine info, sobald irgendetwas schief läuft, sind alle verschwunden.

Item 1.01 Entry into a Material Definitive Agreement.
On October 29, 2010, Zolon Corporation (the "Company") entered into an agreement arranging for the sale, in a private placement, of shares of its common stock in a financing arranging that was comprised of sales of stock and issuance of warrants on a one-to-one coverage basis. The Company sold Five Million, One Hundred Thousand (5,100,000) shares of its common stock in exchange for $1,530,000. Proceeds were used to retire financing from prior acquisitions and working capital. Warrants were priced at twice the price for the common stock. The agreement provides for no registration rights, price adjustments or resets. There was no relationship or affiliation with the purchaser prior to the sale.





Item 3.02 Unregistered Sale of Equity Securities.
As described above, the Company sold 5,100,000 shares of its common stock to a single investor determined to be an accredited investor in a private transaction not involving any public advertising or offering, and therefore exempt from registration.

Wie geht es weiter?

Ich geh mal davon aus, dass wir mind. noch bis Mitte nächsten Jahres weiter so laufen, bzw. der sharepreis unter $ 1,00 bleiben wird. Das Unternehmen wird wachsen und sich richtig positionieren.
Dann sollte mal ein guter Großauftrag reinkommen(US-Behörde) mit richtig Geld und langer Vertragszeit.
Ich denke dann erst werden wir einen guten sharepreis sehen.

Die sharezahl wird wahrscheinlich bis dahin moderat angehoben, da zolon ja nicht über seine shareausgabe reich werden will.

Mein Ziel, MK 350-500 mio bei max 50 mio an shares, bis 06/2012. Mitarbeiter ca. 400-500 bis dahin. Sharepreis $ 7,00-10,00

Danach werden wir aber wohl das Börsensegment wechseln.


Bis jetzt kann man jedenfalls sagen, dass die im Gegensatz zu den vorherigen Chefs und auch im Gegensatz zu anderen otc-buden, etwas mehr von Unternehmensführung verstehen und ihr Geld nicht mit dem Drucken von shares verdienen.

Ja richtig, aber ob das ganze Sinn macht?

Wir hatten ein Unternehmen das nicht abeitete, aber auch keine Kosten hatte. Somit gab es nichts für uns(Anteilseigner)

Nun haben wir ein Unternehmen das arbeitet, aber auch Kosten produziert. Da wir hier aber nur die Kleinstanteilseigner sind, haben wir wieder nichts davon. $0,005 pro Aktie

Lohnt sich nur bei 33 Mio an shares($ 165000)

Der Sinn wird sich scheinbar nur für den Huptanteileigner erkennen lassen.

Die können das jetzt die nächsten Jahre so treiben und wir werden zwar keinen Verlust mehr haben(vorausgesetzt man hatte vor RS gut verbilligt), aber Gewinn für uns sehe ich nicht.
Mich würde auch mal interessieren wie sich die Kosten im Einzelnen zusammensetzen. Allein schon vor dem Hintergrund das wir hier 5 Direktoren haben und immer noch nicht wissen, was die sich so als Jahresgehlt genehmigen.

Bei Durchsicht der nun vorliegenden Zahlen, kann man relativ zufrieden sein.
Die Zahlen weisen auch auf Kpitalrückstellungen, was ja zu begrüssen ist.

Wenn zolon aber nicht bald mal richtig auftrumpft, werden wir uns damit begnügen müssen, ein Mittelstandsunternehmen mit 36 Mio an shares zu haben.
Ich denke Jahresumsatz um die $ 20 Mio bei max. Gewinn von $ 2 Mio.

Der sharepreis fällt nicht unter $0,30, aber auch nicht über $0,40. Absicht?
Der Firmensitz ist nun Edison(NJ), nur wird über die tradingseiten immer noch Florida angezeigt. Sinnvoll?

@camus: Du lebst ja noch. Schön, dachte nach dem Desaster von motion wärst du abgetaucht. Zu den Umsätzen bei unserer Perle. Hst recht, gibt keinen Sinn zu 0,3 zu verkaufen.Kann aber sein das unsere Melissa enlich raus wollte oder Foss(weist noch von Horvath der)brauchte schnelles Geld.
Na kann auch ein anderer Sehender gewesen sein, sind ja schliesslich runde 200-250 k an Dollar gewesen.
Hierml eine kurze Aufstellung der shareholder(insgesamt angeblih ca. 1500):

Nun wurden bereits über 1 Mio an shares so neben bei zu $ 0,3 gehandelt. Ich hab so das Gefühl, unser private placement(1,5 Mio) haut seine Stücke wieder raus. Oder?

Kann natürlich auch jemand sein, der klamm heimlich seinen Anteil erhöht. Sind ja bald 5 % des Gesamtvolumens.

Werden bei der otcbb page die bid/aks eigentlich nicht mehr komplett angezeigt oder warum sieht man nun teilweise noch nicht mal die Anzahl der hinterlegten shares?

Hallobin auch gerade bei meiner WE-Recherche zu Zolon.

Hast recht, wirst wahrschinlich mit ein/zwei Euro Gewinn rausgehen

Nur wann?
Alles deutet auf ein Unternehmen, das ein bigplayer sein will, aber ihr erstes jahr ist fast vorbei und die avisierten Ziele(MK)sehe ich immer noch nicht.

Die Mitarbeiterzahlen steigen kontinuierlich(momentan ca. 185 gemeldet), die Chefetage macht einen ordentlichen Eindruck. Was hindert das Unternehmen daran eine korrekte MK vorzuweisen?
Wir müssten längst bei 100-150 Mio stehen.
Können aber auch noh 100 Mio oder auch mehr an shares verkaufen, dann werden wir trotzdem bei $0,30 bleiben. Alle shareverkäufe sind ja inoffizielle Käufe ohne Nennung der Holder.

Ein bisschen mehr PR würde nicht schaden.

Diese gehoppse zwischen $0,3 und $0,4 nervt schon mächtig.

so, nun mit den endlich sichtbaren monthley share volumes im otc board kann man erkennen, dass der Investor über capstone investments zu $0,30 seine shares gekauft hat. Aber wieso nur 1,25 Mio? Es waren doch 1,5 Mio die für das Investment ausgegeben werden sollten.
Es ist schon allein kurios, das man über die otc seine shares bekommt, ohne das die avisierten $0,30 übrschritten werden. Ich sag ja, scheiss market maker. Die otc diktiert immer den sharepreis.

Als letztes:

Wir haben nun schon Februar, d. h. 11 Monate und wir sind immer noch weit vom angeblichen $ 100 Mio MK-Ziel entfernt.
Es bleibt also alles wie bei avnt. Der Normalkäufer ist nur Staffage.

wird zlon nun seit 17.02.2011 offiziell als otc QB geführt. Die zweitbeste Stufe im otc markt.

Warum im Normalboard(pink) und auch bei wallstreet(otc und otcbb) angezeigt wird istmir niht ganz klar. Man sieh aber auch bei yahoo, durch Fehlen bestimmter Untergruppn, das irgendeine Änderung bevorsteht.

Translation: PTSH security deletion effective Feb. 23, 2011 for failure to comply with Rule 15c2-11.

Our security lawyers called FINRA this morning to ask about the situation. We spoke with an individual in the "211" group at FINRA who told us that, under Rule 15c-211, if a market maker doesn't quote a stock for four consecutive days, the stock is automatically dropped from the OTC Bulletin Board and is then quoted on the OTC Markets Pink Sheets.

The FINRA rep told us that some of the big market makers decided not to quote hundreds of stocks and, therefore, FINRA had to delist the companies from the OTCBB. FINRA said that such actions were based solely on the market makers' inactivity and had nothing to do with any non-compliance by INBG or PTSH. The one big market maker he mentioned was UBSS, which for some reason just quit quoting these various stocks.

It will now be necessary to find a broker who will file a Form 211 with FINRA to get the stock quoted on the OTCBB. He told me that since the delisting was unrelated to the companies, and only related to the market makers, that the Form 211 applications wouldn't take long to review.
We have several friendly brokers ready to file the Form 211.

Also das delisting betraf in den USA ca. 500 companys, ausgelöst durch einen market maker.
Die company arbeitet dran, durch andere market maker wieder ins segment zurück zukommen. Die company soll sich auch im normalen Arbeitsprozess befinden.

weiss hier irgendwer, was bei zolon/quadrant4 eigentlich los ist?

Der Jahresabschluss kommt nicht, obwohl wir hier eigentlich schon fast das Q1/2011 erwarten müssten. Mit 20.04.2011 kam die Nchricht, das man wieder irgendeine Transaktion am Laufen hat, sagt aber nicht welche Firma hier übernommen wird. Quadrant4?
Mit 28.04.2011 schmeissen die die Firma raus, die den Jahresabschluss testieren soll und nennen eine neue und es kommt weiter nichts.

Ich kenn den Laden ja nun seit snnw und avnt. Ich dachte das coleman und auch waltzer schon die Härte sind, aber die Geschäftsführung von zolon übertrifft sie bereits.

Ist der Laden doch nur eine verdeckte Einbürgerungsklitsche für Inder die so ihre greencard bekommen sollen?

Vielleicht dauert es ja solange, weil der eigentliche reverse-merger erst jetzt kommt.
In Indien gibt es ja bereits ein Großunternehmen mit Namen Quadrant.
Ich denke hier wird wohl ein indisches Unternehmen, nun offiziell zu einem us-unternehmen.
