      Dieser Thread soll sich hauptsächlich mit Umsatzprognosen zum Activshopper vom Shelron beschäftigen.

      Generelle Meinungen zum AS mögen bitte weiterhin im Hauptthread von Statistix gepostet werden. Mir geht es hier darum, das Potenzial des AS herauszuarbeiten.


      Ich rechne mit folgenden Parametern:

      K(neu)= Anzahl der Neukunden im Jahr

      K(alt)=Anzahl der Kunden bzw Downloads (Stand aus dem Vorjahr), wobei K(alt Jahr 03)=K(neu Jahr 02)+K(alt Jahr 01)

      U= durschschnittlicher Umsatz in Dollar pro Kauf pro Kunde pro Jahr mit dem AS

      H= durchschnittliche Anzahl der Onlinekäufe über AS pro Kunde pro Jahr

      P= durchschnittliche Provisionsrate in % pro getätigtem Kauf mit dem AS

      J(01) Jahresumsatz für das erste Jahr
      J(02) Jahresumsatz für das zweite Jahr, usw

      K(alt) wird für das erste Jahr = 0 gesetzt.

      K(neu) hat die Besonderheit, daß der angenommene Wert, die Summe der Nekunden über das ganze Jahr gesehen ist. In
      der ersten Sekunde des neuen Jahres noch keinen Neukunden. Geht man über das gesamte Jahr von einem gleichmässigen Kundenzuwachs aus, muss man im weiteren Verlauf bei den Neukunden mit K/2 rechnen um die Umsatzergebnisse nicht zu verfälschen.

      Somit ergibt sich für das erste Jahr folgende Umsatzformel

      J(01)=[K(neu)/2]*U*H*P

      Im zweiten Jahr ergibt sich der Umsatz aus:
      J(02)= [K(alt01)+[K(neu02)/2]]*U*H*P

      J(03)= [K(alt02)+[K(neu03)/2]]*U*H*P
      etc.



      Meine Umsatzprognose beruht auf folgenden Kundenzahlen

      Jahr K(alt) K(neu) K(alt)+K(neu)/2

      Nun habe ich den Umsatz U habe auf 30 Dollar festgelegt, die Häufigkeit H auf 1x im Jahr, und die Provisionsrate auf 1% festgelegt.

      Somit komme ich auf folgende Jahresumsätze für den AS (in Dollar):
      Jahr 1: 30.000,00
      Jahr 2: 180.000,00
      Jahr 3: 600.000,00
      Jahr 4: 1.800.000,00
      Jahr 5: 5.700.000,00



      Das sieht natürlich sehr ernüchternd aus.
      Dies bedeutet nichts anderes als, daß selbst im fünften Jahr in dem man schon 9 Millionen Alt und 20Mio Neukunden (also insgesamt 29Mio Kunden, was sicherlich schon eine recht optimistische Prognose ist) gewonnen hat, lediglich 5,7Mio Dollar mit dem AS erlöst werden.

      Jedoch sind meine Annahmen, für U, H und P auch recht niedrig gewählt.
      Setzt man für U statt 30 nun 40 Dollar ein und erhöht die Anzahl der durchschnittlichen Onlinekäufe über den AS von 1 auf 3 und rechnet gleichzeitig mit einer Provisionsrate von 2% statt einem % ergeben sich folgende Jahresumsätze (bei gleichen Kundenzahlen)

      Jahr 01: 240.000,00
      Jahr 02: 1.440.000,00
      Jahr 03: 4.800.000,00
      Jahr 04: 14.400.000,00
      Jahr 05: 45.600.000,00


      Diese Zahlen sehen schon deutlich freundlicher aus.
      Man sieht, Prognosen sind sehr schwer zu erstellen für den AS.

      Vielleicht kann jemand präzisere Zahlen für U und P machen. Welche Provisionsraten sind realistisch, und wie hoch ist aktuell in den USA der Onlineumsatz pro Kauf. Zukünftige Zuwachsraten im Onlinegeschäft möchte ich erst einmal vernachlässigen, das verkompliziert die Sache noch mehr.

      Wenn wir also diese zwei Faktoren etwas genauer bestimmen können, sind nur noch Unsicherheiten bei der Häufigkeit und natürlich bei der Kundenananzahl von AS vorhanden und wir erhalten eine bessere Prognose. Die Häufigkeit H ist schwer vorrauszusagen, sagt sie doch nicht die generelle Onlinekaufhäufigkeit sondern lediglich die Häufigkeit der über den AS getätigen Onlinekäufe aus. Hier ist es entscheidend, wie sehr der AS von Shoppern "gemocht" wird.

      Der gesamte E-Commerce Umsatz in Europa, gemessen am Einzelhandelsumsatz, lag 2003 bei ca. 2 %.
      Durchschnittlich wurden 425 Euro pro Onliner umgesetzt.
      In einigen Berichten liegt der Durchschnitt pro Onliner in den USA bei 550 Euro.

      Ja sicher bin ich drin in Shelron. Dies soll ja auch kein Pusherthread sein, sondern ist eigentlich für Shelroninvestierte gedacht. Und auf jeden Fall sehen wir am Montag Höchstkurse, genauso wie bei jedem anderen Wert.

      Sogar bei Eurogas und Roneftegazstroy. Es gibt nur keine Höchstkurse bei Rosneft :laugh: :laugh:

      Overview

      We are a development stage company that develops business intelligence software and advertising and comparative shopping software products and services.

      We released our initial product, ActivShopper, in August 2004. ActivShopper is a free software download that automatically scans, locates and compares prices for an item that a consumer selects at an e-commerce site. We help consumers make informed purchase decisions by enabling them to find the items they are looking for, compare products, prices and stores, and buy from among thousands of online merchants. We have been and will continue working on additional versions of ActivShopper that would provide additional functionality. We are also considering strategic acquisitions of synergistic technologies that management believes will enhance our market positioning.

      We have been engaged in the on-line shopping business since March, 2004. Prior to that time, we were engaged in the field of designing and developing business applications software.

      We generate revenues primarily from merchants in exchange of directing traffic to their websites through ActivShopper.

      We are considered a development stage company and have a limited operating history upon which an evaluation of our prospects can be made. During the year ended December 31, 2004 and 2003, we incurred a net loss of $645,917 and $413,876, respectively and as of December 31, 2004, we had an accumulated deficit of $2,516,155. Our prospects must therefore be evaluated in light of the problems, expenses, delays and complications associated with a development stage company.

      CRITICAL ACCOUNTING POLICIES AND ESTIMATES

      Our financial statements and accompanying notes have been prepared in accordance with accounting principles generally accepted in the United States of America. The preparation of these financial statements requires our management to make estimates, judgments and assumptions that affect the reported amounts of assets, liabilities, revenues and expenses. We continually evaluate the accounting policies and estimates we use to prepare the consolidated financial statements. We base our estimates on historical experiences and assumptions believed to be reasonable under current facts and circumstances. Actual amounts and results could differ from these estimates made by management.

      We do not participate in, nor have we created, any off-balance sheet special purpose entities or other off-balance sheet financing. In addition, we do not enter into any derivative financial instruments for speculative purposes and use derivative financial instruments primarily for managing our exposure to changes in interest rates.

      We have identified the accounting policies below as critical to our business operations and the understanding of our results of operations.

      Revenue Recognition - We presently generate revenues primarily from directing traffic to merchants` websites through a partnership agreement with a third party. We recognize revenues for service provided according to persuasive evidence that an arrangement exists, the fee is fixed or determinable, we have no significant remaining obligations, and collection is reasonably assured.

      Intangible assets - Intangible assets are carried at cost less accumulated amortization. Amortization is computed on the straight-line method over the ten-year estimated useful life of the assets. We periodically review the carrying value of our intangible assets to determine whether impairment may exist. We consider relevant cash flow and profitability information, including estimated future operating results, trends and other available information, in assessing whether the carrying value of the intangible assets can be recovered. If it is determined that the carrying value of the intangible assets will not be recovered from the undiscounted future cash flows, the carrying value of the assets would be considered impaired. An impairment charge is measured as any deficiency in the amount of estimated fair value of the intangible assets over carrying value.

      Income taxes - Income taxes are accounted for under the liability method. Under this method, deferred tax assets and liabilities are recorded based on the temporary differences between the financial statement and the tax bases of assets and liabilities and for operating loss carryforwards measured using the enacted tax rates in effect for the year in which the differences are expected to reverse. The Company periodically evaluates the realizability of its net deferred tax assets and records a valuation allowance if, based on the weight of available evidence, it is more likely than not that some or all of the deferred tax assets will not be realized.

      RESULTS OF OPERATIONS

      Comparison of the Year Ended December 31, 2004 (the "2004 Period") and the Year Ended December 31, 2003 (the "2003 Period")

      Revenues - Revenues for the 2004 Period were $7,482 and were primarily attributable to fees paid in respect of directing traffic to merchants` websites through a revenue sharing agreement with an online comparison shopper. Revenues for the 2003 Period were $26,500 and were attributable to the exchange of previous company`s product for cancellation of indebtedness in the amount of $26,500.

      Research and development - Research and development expenses consist of subcontracting personnel and related expenses of research and development teams in Israel and abroad. Research and development expenses increased from $22,500 in 2003 to $137,048 in 2004.

      Marketing and advertising - Our marketing and advertising expenses for the year ended December 31, 2004 amounted to $120,124 and were principally comprised of the Company`s sponsorship of a public event and the acquisition of advertising campaigns in the Internet.

      Operating Expenses - Our operating expenses for the year ended December 31, 2004 amounted to $653,399 and were principally comprised of research and development expenses in the amount of $137,048 and our Chairman`s salary in the amount of $156,000. Our operating expenses for the year ended December 31, 2003 amounted to $440,376.

      Net Loss - During the 2004 period we reported a net loss of $645,917 compared to a net loss of $413,876 during year 2003. The increase in the reported net loss is mainly a result of the increase in research and development activities during year 2004

      LIQUIDITY AND CAPITAL RESOURCES

      To date, we have funded our operations primarily through the sales of our securities. In January 2005 we raised net proceeds of $1,500,000 from the private placement to an investor of 18,500,000 shares of our common stock.

      Cash used in operating activities was $479,774 for 2004 compared to $95,453 for 2003. The increase in the operating cash used in 2004 is primarily attributable to the increase in net loss for 2004.

      Cash used in investing activities in 2004 was $160,210 and was primarily attributable to the purchase of a software asset in the amount of $150,000 in March 2004. In 2003 there were no investing activities.

      Cash generated from financing activities was $670,650 in 2004 as compared to $101,000 year 2003. The cash provided by financing activities in the year 2004 was primarily from proceeds from issuance of common stock.

      As of December 31, 2004, we had a cash balance of $43,409. In January 2005, we received approximately $1,500,000 in net proceeds from the private placement of our securities then completed.

      In November 2001, we received subscriptions from three investors to purchase 8% Senior Subordinated Convertible Redeemable Debentures (the "Debentures") of the Company in the aggregate principal amount of $1,000,000, of which approximately $500,000. As of March 31, 2004, approximately $150,000 was outstanding on the Debentures. As part of our efforts to curtail expenses and conserve our cash resources for our new business, in April 2004, we reached an agreement with the holder of the Debentures pursuant to which the outstanding principal and accrued interest would be converted into a fixed amount of shares of our common stock.

      We believe our existing cash resources will be sufficient to maintain current operations through fiscal 2005.

      Our continuation as a going concern, however, is dependent upon, among other things, our ability to obtain additional financing when and as needed and to generate sufficient cash flow to meet our obligations on a timely basis. No assurance can be given that we will be able to obtain such financing on acceptable terms. Our independent registered public accounting firm, in their reports on our financial statements for the year ended December, 2004 expressed substantial doubt about our ability to continue as a going concern. These circumstances could complicate our ability to raise additional capital. Our financial statements do not include any adjustments to the carrying amounts of our assets and liabilities that might result from the outcome of this uncertainty.

      In addition, any future capital raise by our company is likely to result in substantial dilution to existing stockholders.

      RECENTLY ISSUED ACCOUNTING STANDARDS

      In December 2004, the Financial Accounting Standards Board issued Statement of Financial Accounting Standard ("SFAS") No. 123R "Share Based Payment". This statement is a revision of SFAS Statement No. 123, "Accounting for Stock-Based Compensation" and supersedes APB Opinion No. 25, "Accounting for Stock Issued to Employees," and its related implementation guidance. SFAS 123R addresses all forms of share based payment ("SBP") awards including shares issued under employee stock purchase plans, stock options, restricted stock and stock appreciation rights. Under SFAS 123R, SBP awards result in a cost that will be measured at fair value on the awards` grant date, based on the estimated number of awards that are expected to vest and will be reflected as compensation expense in the financial statements. This statement is effective for public entities that file as small business issuers - as of the beginning of the first interim or annual reporting period that begins after December 15, 2005.       SHRN Updates



      When we reinitiated our alert of SHRN it was trading at $.092. On the 25th the stock hit $.118 and the next day the stock hit $.129 (a 40% gain from our alert). This stock has settled down now at $.10 (still a 9% gain). However this stock still has a lot more to come of it. As we stated in a prior update we can expect at least one press release about the new version before next Friday. If this turns out to be true the stock should break its recent highs and reach possibly higher then $.15.

      ITEM 2. MANAGEMENT`S DISCUSSION AND ANALYSIS OR PLAN OF OPERATION
      Overview

      Shelron Group, Inc. (the "Company", "we", "our", or "us") is a development stage company that develops business intelligence software and advertising and comparative shopping software products and services. We released our initial product, ActivShopper, in August 2004 ("ActivShopper"). ActivShopper is a free software download that automatically scans, locates and compares prices for an item that a consumer selects at an e-commerce site.

      We are considered a development stage company and have a limited operating history upon which an evaluation of our prospects can be made. As of March 31, 2005, we had an accumulated deficit of $3,121,255. Our prospects must therefore be evaluated in light of the problems, expenses, delays and complications associated with a development stage company.

      We have been engaged in the on-line shopping business since March 2004. Prior to that time, we were engaged in the field of designing and developing business applications software.

      CRITICAL ACCOUNTING POLICIES AND ESTIMATES

      Our financial statements and accompanying notes have been prepared in accordance with accounting principles generally accepted in the United States of America. The preparation of these financial statements requires our management to make estimates, judgments and assumptions that affect the reported amounts of assets, liabilities, revenues and expenses. We continually evaluate the accounting policies and estimates we use to prepare the consolidated financial statements. We base our estimates on historical experiences and assumptions believed to be reasonable under current facts and circumstances. Actual amounts and results could differ from these estimates made by management.

      We do not participate in, nor have we created, any off-balance sheet special purpose entities or other off-balance sheet financing. In addition, we do not enter into any derivative financial instruments for speculative purposes and use derivative financial instruments primarily for managing our exposure to changes in interest rates.

      We have identified the accounting policies below as critical to our business operations and the understanding of our results of operations.

      Revenue Recognition - We presently generate revenues primarily from directing traffic to merchants` websites through partnerships agreements with third parties. We recognize revenues for service provided according to persuasive evidence that an arrangement exists, the fee is fixed or determinable, we have no significant remaining obligations, and collection is reasonably assured.

      Intangible assets - Intangible assets are carried at cost less accumulated amortization. Amortization is computed on the straight-line method over the ten-year estimated useful life of the assets. We periodically review the carrying value of our intangible assets to determine whether impairment may exist. We consider relevant cash flow and profitability information, including estimated future operating results, trends and other available information, in assessing whether the carrying value of the intangible assets can be recovered. If it is determined that the carrying value of the intangible assets will not be recovered from the undiscounted future cash flows, the carrying value of the assets would be considered impaired. An impairment charge is measured as any deficiency in the amount of estimated fair value of the intangible assets over carrying value.

      Income taxes - Income taxes are accounted for under the liability method. Under this method, deferred tax assets and liabilities are recorded based on the temporary differences between the financial statement and the tax bases of assets and liabilities and for operating loss carryforwards measured using the enacted tax rates in effect for the year in which the differences are expected to reverse. The Company periodically evaluates the realizability of its net deferred tax assets and records a valuation allowance if, based on the weight of available evidence, it is more likely than not that some or all of the deferred tax assets will not be realized.

      RESULTS OF OPERATIONS

      COMPARISON OF THE THREE MONTHS ENDED MARCH 31, 2005 TO THE THREE MONTHS ENDED
      MARCH 31, 2004

      Revenues

      For the three months ended March 31, 2005, our revenues were $17,872 and were primarily generated from an initial and early implementation of partnership agreement according to which we direct traffic to merchants` websites through ActivShopper. For the three months ended March 31, 2004, there were no revenues.

      Research and development

      Research and development expenses, as included in consulting fees, consist of subcontracting personnel and related expenses of research and development teams in Israel and abroad. For the three month period ended March 31, 2005 our research and development expenses were $95,506. For the three months ended March 31, 2004, no research and development expenses were incurred.

      Marketing and advertising

      Marketing and advertising expenses for the three month period ended March 31, 2005 amounted to $25,030 and were principally comprised of the Company`s acquisition of advertising campaigns in the Internet. For the three months ended March 31, 2004, no marketing and advertising expenses were incurred.

      General and Administrative Expenses

      For the three months ended March 31, 2005, our general and administrative expenses were $630,893 as compared to $72,282 for the three months ended March 31, 2004. Management attributes the increase in general and administrative expenses primarily to a one-time consulting fee rendered in exchange for 4,000,000 shares of our common stock valued at $324,324 at the time of issuance, to the increase in consulting fees in connection with the development of Activshopper, and to the increase in professional fees and marketing and advertising expenses in connection therewith.

      Net Loss

      During the three month period we reported a net loss of $605,100 compared to a net loss of $72,282 for the three month period ended March 31, 2004. Management attributes the increase in net loss primarily to the increase in consulting fees, professional fees and marketing and advertising expenses.

      Liquidity and Capital Resources

      To date we have financed our operations primarily from cash generated though the sale of our common stock. In January 2005 we raised gross proceeds of $1,500,000 from the private placement to an investor of 18,500,000 shares of our common stock.

      During the three month ended March 31, 2005, our consolidated cash increased by $1,280,833 from $43,409 at December 31, 2004 to $1,324,242 at March 31, 2005. The increase in our consolidated cash and working capital is primarily attributable to the above referenced private placement in January 2005.

      Based on our current operating plan, we anticipate that the amount of cash we have on hand will allow us to meet our cash requirements through March 31, 2006.

      Our capital requirements depend on numerous factors, including market acceptance of our products and services, our ability to obtain additional financing, and technological developments.

      Unplanned acquisition and development opportunities and other contingencies may arise, which could require us to raise additional capital sooner than previously anticipated. Any future capital raise by our company is likely to result in substantial dilution to existing stockholders.

      Our independent registered public accounting firm, in their report on our financial statements for the year ended December, 2004 expressed substantial doubt about our ability to continue as a going concern. Our continuation as a going concern, however, is dependent upon, among other things, our ability to obtain additional financing when and as needed and to generate sufficient cash flow to meet our obligations on a timely basis. No assurance can be given that we will be able to obtain such financing when and if needed on acceptable terms or on any terms. These circumstances could complicate our ability to raise additional capital. Our financial statements do not include any adjustments to the carrying amounts of our assets and liabilities that might result from the outcome of this uncertainty.

Forrester Research estimated that e-commerce in the US was approximately $3.5 Trillion during 2004, while they estimated $1.5 Trillion for Western Europe.

They experienced a huge increase in usage as shown on www.Alexa.com . SHRN is an undiscovered gem that has great potential.       3.When will AS be avaiable in mobile form and is deal with NEOM still in the works?--No dates yet.It is not our first priority as other income channels are growing very fast and we need to put more attention there. 4.Does Mr.Yaron work for e-bay to make an interface for their launch of "new way to shop"-NO. 5.What has Mr.Yaron been doing the past few months?--Developing the business from a marketing point of view,getting more partnerships,recruiting new workers,looking for companies to acquire,and managing the co.PR and IR.6. What type of advertising has been most effective?-Internet with no doubt.7.Why are we still listed in Germany? -We can,t control it,and it is positive we are exposed to the German market.8.
