      Relation between Zimtu and Commerce Resources

      Commerce Resources pays a monthly service agreement with Zimtu, and so yes, technically I am paid by Commerce but my check actually comes from Zimtu, as do any other salaries, along with our share of the rent etc.

      Zimtu owns 3.6 Million shares of Commerce Resources.

      Jody's shares were mostly bought in financings although a percentage of these were then also bought as options he exercised with Commerce Resources. Commerce Resources has not paid Jody per se in shares.

      Zimtu is essentially the brain child of Dave Hodge, and the first company that Zimtu created is Commerce Resources. In general (and going back to the late 1990's) Dave has always been active in looking at the overall global markets and trying to see exactly what commodities will present an opportunity.

      Mineral exploration as such is a puzzle more than a mystery - all of the puzzle pieces are on the table in front of everyone at the same time, and there is an ability (for the person who wants to spend the time in doing so), to put the puzzle together at any one time to see what and where the opportunity is or where it should be coming from.

      Such, was Dave's perspective in the late 1990's when the dot.com was building momentum, and it was Dave's thought process that if electronic sales were booming, then it made sense to figure out which are the metals that are most important for a continued upward electronic market, and the conclusion on this point was tantalum. Because of this conclusion Dave ended up staking a significant amount of claims around Blue River, BC, which had been known in the industry as a prime site for tantalum.

      Dave though was the first to do this, and with Zimtu, he ended up first creating Commerce Resources to be the vehicle that would advance a percentage of these claims, and secondly, he sold sections of the rest of the claims he had staked to other public companies. In both of these instances, this is what Zimtu has continued to do - build companies around good claims and to sell other good claims to other public companies.

      Zimtu has then continued to be active in many other commodities including potash (Western Potash) and others, uranium (Lakeland) and others, graphite (Big North) and others, REE's (CIN) and others, fluorite (Prima), diamonds (Artic Star) and others, gold (WPC) and others, etc.
