die Geschwindigkeit, mit der Brookfield ihren Ausstieg betreiben, ist beachtlich. Die gute Nachricht: geht es in diesem Tempo weiter, wären sie in ein paar Monaten Geschichte und die operative Entwicklung könnte wieder in den Vordergrund rücken. Was indes auffällt, unabhängig von einer Wertung, ist das Ausbleiben von Stimmrechtsmitteilungen Dritter im Zuge der Brookfield-Veräußerungen

Danke, Pille, für die Recherche. Nicht einmal 24 Stunden nach meinem Beitrag, in dem ich über die Gefahr neuer secondaries für den Aktienkurs schrieb, gibt Graftech das nächste secondary offering bekannt und der Aktienkurs stürzt erneut über einen Dollar nach unten.

36% würde bedeuten, dass Brookfield nach Abschluss des neuesten Kursblockers noch immer knapp 100 Millionen Aktien besäße. Das reicht für drei oder vier weitere secondaries wie dem gerade angekündigten. Behielte Brookfield das aktuelle Tempo bei, würde das bis zum Sommer jetzt immer so weiter gehen. Na Prost!

die Platzierung der 20 Mio Aktien ist bereits erfolgt. So hieß es am 09.01 (https://www.sec.gov/Archives/edgar/data/931148/0001193125210…):

"Delivery of the Common Stock is expected to be made on or about January 20, 2021."

eine weitere Meldung diesbezüglich gab es nicht. Dass die Transaktion tatsächlich durchgeführt wurde, ist zudem anhand der Aussagen zur Beteiligungshöhe von Brookefield nachvollziehbar. Auf Seite S2 (selbe Quelle) steht:

"The Brookfield Affiliates owned approximately 55% of our outstanding Common Stock as of January 11, 2021."

Demnach müssten sie nach Veräußerung der 20 Mio Aktien noch knapp 48% an EAF besitzen. Dies wird mit der gestrigen Veröffentlichung einer weiteren Aktienplatzierung bestätigt (https://www.sec.gov/Archives/edgar/data/931148/0001193125210…). Dort liest man auf Seite S2:

"The Brookfield Affiliates owned approximately 47.8% of our outstanding Common Stock as of February 25, 2021."

Nun sollen weitere 30 Mio Aktien abgegeben werden, womit der Anteil von Brookefield auf rund 36%
sinken würde.

Graftech scheint bei etwa $12,50 gedeckelt zu sein. Von einem Abschluss des secondary offerings habe ich bisher nichts gehört, das dauert nun schon ca. 6 Wochen, scheint kein Selbstläufer zu sein. IMO kein Wunder bei den Aussichten, in regelmäßigen Abständen immer wieder ein neues Päckchen als Kursblocker vor die Nase gesetzt zu bekommen. Wenn das aufgrund attraktiver fundamentaler Geschäftsdaten Interesse der Käuferschar weitgehend aus den secondaries befriedigt wird, bleibt für einen Kursanstieg evtl. nichts mehr übrig.

On February 17, 2021 (the “Effective Date”), GrafTech International Ltd. (the “Company”) entered into a second amendment (the “Second Amendment”) to its Credit Agreement (defined below) among the Company, GrafTech Finance Inc. a Delaware corporation and an indirect wholly-owned subsidiary of the Company (“GrafTech Finance”), Graftech Luxembourg II s.a.r.l., a Luxembourg société à responsabilité limitée and an indirect wholly-owned subsidiary of the Company (“Luxembourg Holdco”), Graftech Switzwerland SA, a Swiss corporation and an indirect, wholly-owned subsidiary of the Company, JPMorgan Chase Bank, N.A. (“JPMorgan”), as administrative agent (in such capacity, as “Administrative Agent”), and the lenders party thereto. The Second Amendment amends the Credit Agreement, dated as of February 12, 2018 (as amended by the First Amendment dated as of June 15, 2018, and as further amended, supplemented or otherwise modified prior to the date hereof, the “Exisiting Credit Agreement” and together with the Second Amendment, the “Credit Agreement”), among the Company, GrafTech Finance, Luxembourg Holdco, Swissco, the lenders and issuing banks from time to time party thereto, and JPMorgan, as administrative agent and collateral agent. The Second Amendment amended the Credit Agreement to, among other things, (a) decrease the Applicable Rate (as defined in the Credit Agreement) with respect to any Initial Term Loan (as defined in the Credit Agreement) by 0.50% for each pricing level, (b) decrease the interest rate floor for all Initial Term Loans to 0.50%, (c) add certain technical provisions with respect to the impact of European Union bail-in banking legislation on liabilities of certain non-U.S. financial institutions, and (d) add certain technical provisions in connection with future replacement of the LIBO Rate (as defined in the Credit Agreement). As a result of the Second Amendment and the combined effect of the reduction in the interest rate margin and the reduction in the interest rate floor, the interest rate on the Initial Term Loan has been reduced by 1.0% per year.

In connection with the Second Amendment, on February 12, 2021, GrafTech Finance repaid approximately $150 million aggregate principal amount of its Initial Term Loans with cash on hand.

The foregoing description of the Credit Agreement as amended by the Second Amendment is qualified in its entirety by reference to the full text of the Second Amendment, which is filed as Exhibit 10.1 hereto and incorporated herein by reference.
