Edgar Filing Errors

On January 17, 2006, the Company, through its EDGAR filing agent, filed on the SEC`s EDGAR system two incorrect filings, both listed as file types RW WD.

The Company currently has two registration statements under review by the Commission, one registering the resale of shares of the Company`s common stock by the provider of the Company`s Seventh Equity Line (SEC File No. 333-129092) (the Seventh Equity Line S-1), and the second registering the resale of shares of the Company`s common stock by the holder of the Company`s Series J Preferred Stock (SEC File No. 333-129236)(the Series J S-1).

The Company had determined to withdraw the Series J S-1 prior to its going effective. The Company prepared a Registration Withdrawal Request, which is submitted on EDGAR Form RW, in the form of a letter to the SEC, requesting withdrawal of the Series J S-1 registration statement. The Company`s EDGAR filing agent mistakenly filed the request for withdrawal on a Form RW WD, which is a withdrawal of a registration withdrawal request. The EDGAR filing agent also mistakenly filed, again as a Form RW WD, the pre-effective amendment to the Seventh Equity Line S-1. Both Forms RW WD were filed with the SEC File No. 333-129236, the file number for the Series J S-1 registration statement.

To the Company`s knowledge, there is no mechanism for removing improper filings from the EDGAR website. As such, the two Forms RW WD remain publicly available on the EDGAR website.

The Company, through the EDGAR filing agent, subsequently correctly filed the Registration Withdrawal Request on Form RW for the Series J S-1, also with the SEC File NO. 333-129236.

As such, the Company has withdrawn only one registration statement, the Series J S-1 registration statement. The Company will continue to seek effectiveness of the Seventh Equity Line S-1 registration statement, and anticipates that it will file a pre-effective amendment with the SEC on or before January 19, 2006.

Das weiss ich leider auch nicht genau. Auf www.rangingbull.com wird auch heftig über Fonix diskutiert und dort wird erwähnt, dass es wohl etwas mit den Fonix-AKtien von Mr. Murdrock und Dudley vom Jahre 2002 zu tun hat.

Seit 2 Tagen steigen wir leicht in USA und gestern auch in Germany, auch nur leicht,
aber immerhin besser, als daß es weiter abwärts geht.
Wollen wir mal hoffen,daß dies das Ende der Talfahrt war.
Bin mal gespannt wie der Kursverlauf der nächsten Wochen aussieht.

Ein neuer Hype wäre ja auch mal nicht schlecht.

Ich hatte es bisher immer einen 6-Sinn bei Fonix! Ich bin überzeugt, da werden Investoren einsteigen und dann gehts bergaufwärts. Verstehe ich bei der Meldung richtig, dass die Division Speech separiert wird bzw. verselbständig. Investoren glauben vielleicht nur in das eine oder andere und deshalb müssen diese Sparten wieder getrennt werden.

Hat von Euch jemand noch eine Demoversion dieses Fonix Voice-Director für den PC ? Dies konnte man früher bei Fonix herunterladen, aber jetzt hat man dies wohl nicht mehr im Sortiment! Bei mir hatte es jedenfall gut geklappt und leider habe ich die .exe Datei nicht mehr auf meinem PC! Wenn jemand den link weiss, dann wäre ich froh, wenn man den ins Forum einfügen könnte. Amendments to Articles of Incorporation or Bylaws
Exchange of Series K Preferred Stock for Series J Preferred Stock

On February 6, 2006, Fonix Corporation (the "Company") entered into a Series K 5% Convertible Preferred Stock Exchange Agreement (the "Exchange Agreement") with Southridge Partners, LP ("Southridge"), a Delaware limited partnership.
Pursuant to the Exchange Agreement, Southridge exchanged 1,093 shares of Series J 5% Convertible Preferred Stock for 1,093 shares of the Company`s Series K 5% Convertible Preferred Stock (the "Series K Preferred Stock").

The Series K Preferred Stock entitles Southridge to receive dividends in an amount equal to 5% of the then-outstanding balance of shares of Series K Preferred Stock. The dividends are payable in cash or shares of the Company`s Class A common stock, at the Company`s option.

The Series K Preferred Stock may be converted into common stock of the Company at the option of the holder by using a conversion price of $0.01 per share.

Redemption of the Series K Preferred Stock, whether at our option or that of Southridge, requires us to pay, as a redemption price, the stated value of the outstanding shares of Series K Preferred Stock to be redeemed, together with any accrued but unissued dividends thereon, multiplied by one hundred ten percent (110%).

Because the shares of Series K were issued in exchange for the remaining outstanding shares of Series J Preferred Stock, we did not receive any proceeds in connection with the issuance of the Series K Preferred Stock.

In connection with the issuance of the Series K Preferred Stock, we filed with the State of Delaware a Certificate of Designation and Series K 5% Convertible Stock Terms (the "Series K Terms"), which become a part of our Certificate of Incorporation, as amended.

Under the Exchange Agreement and the Series K Terms, Southridge may convert shares of Series K Preferred Stock into shares of our common stock. Our issuances of shares of common stock upon any conversion of the Series K Preferred Stock will be made without registration under the securities Act of 1933 (the "1933 Act") in reliance on Section 4(2) of the 1933 Act and the rules and regulations promulgated thereunder.

SAN JOSE, Calif. — Intel Corp. is looking to regain its footing in the processor market for PDAs — a business that is heating up again, according to IC Insights Inc.
“In the past couple of years, Samsung has come on strong in the PDA CPU segment, offering ARM-based processors,” said Robert Lineback, an analyst with IC Insights, a market research firm.

“Others like Freescale and Texas Instruments are also challenging Intel, which has the lead in PDA central processors but has fallen behind the others in applying process technologies below 0.13-micron,” Lineback said. “Until the launch of ‘Monahans,’ Intel`s entire XScale lineup has been based on very mature aluminum 0.18-micron technologies. Intel is playing catch-up from a process point of view in this CPU segment.”

There is good and bad news for Intel. The processor giant has major design wins at Research In Motion Ltd. (RIM), which is developing next-generation BlackBerry smartphones.

“It seems that RIM`s legal battle with NTP could play a factor in Intel`s success due to the alliance to implement the next-generation XScale processor (Monahans) with a cellular phone radio processor (Hermon) for the future BlackBerry, smartphone-type systems,” Lineback said.

The overall PDA market is expected to exceed the $5 billion mark for the first time in 2006 after rebounding from the previous peak of $4.4 billion in 2001, according to IC Insights. The PDA market includes data-centric smartphones, but not voice-centric smartphones.

IC revenues for PDA systems grew to $1.72 billion in 2005 from $1.57 billion in 2004, according to IC Insights. PDA IC sales will reach $1.79 billion in 2006, and then remain flat in 2007. In 2008, PDA chip sales will rise to $1.82 billion before slipping to $1.78 billion in 2009, according to the firm.

Naja ich denke das ist ne Illusion. Es kann jeder Wert steigen, das hat nichts mit der Anzahl der Outstanding/Registrierten Shares zu tun......

Das allerbeste Beispiel ist wohl eben aha USXP mit mehr als 3 Milliarden Shares...

IVOC (IVoice) war auch gerade ein schöner Run.... ist aber nicht so hoch in der Marktkapitalisierung. Ähnliches Business wie FNIX. Mal schauen, jetzt gibt es zwei Möglichkeiten:

1. Entweder wird FNIX auch von der "LASSUNSMALMITPENNYSTOCKSGAMBLEN" Welle erfasst oder

2. Sie schaffen endlich die Kosten deutlich zu senken.

dass Microsoft und Casio weiter auf Fonix setzt ist denke ich eine spekulative Anlageüberlegung wert.

Ich bleibe weiter auf Kurs (dran Glauben) und habe meine Shares auf deutlich über 1 Mio erhöht.

Und ach ja, der aktuelle Penny Stock HYPE hatten wir schon Ende 99. Da werden wieder viele einen riesen Schuh voll rausziehen. Bei IVOC, CNES, USXP kann man vielleicht noch eine Hoffnung haben, da irgendein Geschäftsmodell vorhanden ist.... wenn aber Werte wie BIKO, NEXH und viele andere plötzlich in den Hype mit aufspringen weil jeder denkt, dass jeder Pennystock mit 3 Nullen nach dem Komma steigen wird, der wird noch eine harte Abstrafung erleben. Crazy, bin aber heute nochmals mir 500'000 Shares eingestiegen.

Nicht mal der Pennystockhype vom Februar / März konnte die Aktie nach oben bewegen. Obwohl Fonix handfeste Produkte und Abschlüsse vorweisen kann, auch wenn die Kosten noch übermässig teuer sind.

Unglaublich aber wahr, bin gespannt wie lange dort noch Geld nachgeschoben wird.

Bin immer noch vorsichtig zuversichtlich
all die Gewinne von USXP, PTSC werden nun verpulvert oder vervielfacht, mal sehen.

USXP lässt grüssen, die wurden bis 0.0003 runtergeprügelt und haben aufgrund einer positiven Geschäftsentwicklung sich innert kürzester Zeit auf 0.04 entwickelt. In den Messageboardes wurden sie "fertig gemacht" und Betrüger, Gauner usw bezeichnet, und plötzlich ist Hr. Altamore ein Held. Erinnert mich etwas an Fonix mit Dudley und Mud!

Klar dass sich dies nicht eins zu eins spiegeln lässt, aber Fakt ist, dass die Shortseller auf wesentlich heisseren Kartoffeln sitzen als diejenigen mit Longpositionen.

Vielleicht brauchen die das Geld auch für eine weitere Akquisition?
Wer weiss, eben wie bei USXP.

Ich betätige mich nicht als Shortseller!
Fakt ist für mich: FNIX bekommt man bestimmt noch viel billiger!

Heißt für mich warten und vielleicht irgendwann Positionen aufbauen. Ich setze halt lieber auf Aktien, die einen Boden gefunden haben! Nur die eignen sich als Longs! Für den schnellen Zock hab ich nicht so viel übrig.

Der nächste Zock steht bei dem RSI wohl bald an, wenn nicht noch Bad News kommen.

ach ja noch zum Thema wie es weitergeht....

da ich auf 2.5 Mio Shares sitze, glaube ich langfristig nicht an einen Zock.

Diese Pr's wie heute zeigen jedoch den Weg. Sollte man endlich die Revenues generieren die es braucht um das operative Geschäft abzudecken, dann wirds höchst interessant...

und daran glaube ich!

Ich sitze jedoch nicht dauernd auf diesen Shares sondern versuche meinen Einstand immer wieder durch tiefe Käufe und Verkäufe runterzudrücken. Zwischenzeitlich ist mein Einstand bei ca. 0.021.

Morgen könnte es ohne Folge PR wieder runtergehen, aber wer weiss. Die Volumen heute sind schon ganz deftig. Und da haben einige heute Millionen oder hundertausende am Stück gekauft.

Für mich nicht nachvollziebar. Was soll man hier nur tun???

Bevor man in eine solche Firma investiert, die seit Jahren ihr Geld/Leben durch das massive Drucken neuer Shares bestreitet, solltest Du mal ein SEC-filing lesen und verstehen

Der letzte R/S im Jahre 2003 (1:40) war deshalb skandalös, weil die Anzahl der authorisierten shares trotz des Splits nicht verringert wurden. Du kannst davon ausgehen, dass sich die Anzahl der os momentan in Richtung des Limits (800 Millionen) bewegen. Genaueres steht (mehr oder weniger gut versteckt) in den Filings!

Und zu der geplanten Erhöhung auf 5.000.000.000 shares, kann man nur eines sagen: Die Firma ist platt, pfeift aus dem letzten Loch und niemand, der auch nur einen Funken Verstand in der Birne hat, würde je in ein Unternehmen mit derart hohen as investieren!

Nun mag es ja sein, dass du eine Nach-Hype-Börsianerin bist und nur die bösen Auswirkungen kennst.
Vor Jahren hätte aber auch niemand nur 1000 DM in einen Schrottwert wie Microsoft gesteckt (schon der Name!), heute kann man sagen, es hätte sich vielleicht doch gelohnt. Der Vergleich hinkt sicher, wenn auch nur aus heutiger Sicht und mit dem jetzigen Wissenstand.

Also, lass uns alle "hinterher" klug werden, sonst müsstest du dich umbenennen in "Die_Selbstgerechtigkeit".
Evtl. sitze ich dann schon in meiner Villa in La Rochelle, gekauft aus den Gewinnen aus Fonix.

mit einem AS von 5 Milliarden!!!

Noch ist es ja nicht so weit.

Die Zahl killt jegliche Kursfantasien.
Nach dem RS in 2003 hatte FNIX irgendwas bei 25 Millionen shares
Wi viele sind es jetzt? 600M? 700M? lese die Filings nicht mehr..

In jedem Fall gibt´s kaum eine Firma, die stärker dilutet als Fnix.

Multipliziere mal den gegenwärtigen Sharecount mit 40..

Dann weisst Du, wieviele shares die seit Begin gedruckt haben.

Und wenn Du noch mehr rechnen willst: Teile den heutigen Kurs durch 40. Dann weisst Du, wo die Leute stehen, die seit Beginn dabei waren..

A couple of weeks ago, Fonix rported that their revenues were $3,182,000 for the quarter ended March 31, 2006, a decrease of $1,041,000 compared to $4,223,000 for the same period in 2005; the change was primarily due to a decrease in telecom revenues. Operating expenses, exclusive of non-cash amortization, decreased by $222,000, from $3,935,000 to $3,713,000 for the same period in 2005. Net loss was $4,081,000 ($0.01 per common share) for the first quarter in 2006 compared to $4,080,000 ($0.03 per common share) for the same period in 2005.

Wenn ich einen Kuchen kaufe und mir der Bäcker verschweigt, dass er alle 10 Minuten ein großes Stück davon abschneidet, würde ich den Kuchen schnell essen (=VERKAUFEN).

Das Grundproblem bei FNIX ist allerdings schlicht, dass die Firma kein Geld verdient und ganz allein von irgenwelchen Zukunftsvisionen lebt, die verkauft werden in Form von Aktien. Und das seit Jahren.

FNIX ist ein toter Hund IMO

Fonix Corporation, an innovative communications and technology company that provides integrated telecommunications services and value-added speech technologies, this morning has signed a collaboration agreement with MediaZen Inc., a Korea-based high-tech company developing simple user interfaces for computers and devices.

According to the terms of the agreement, MediaZen and Fonix will jointly develop, produce and market automatic speech recognition (ASR) and text-to-speech (TTS) solutions to manufacturers in the Asian market, initially in Korea, with plans to expand to other countries. The agreement allows MediaZen and Fonix to leverage combined engineering know-how to develop future ASR- and TTS-based customer applications. The contract signifies Fonix as the exclusive speech technology provider for MediaZen and its future development projects. Fonix and MediaZen will share unit royalty fees upon deployment of completed applications.

"MediaZen has made significant inroads in developing creative user interfaces for electronic systems," said Hoon Koh, president, MediaZen. "By working with the Fonix team and utilizing Fonix's stellar speech technologies, we can tailor ASR and TTS solutions for our customers that meet their specific requirements. This agreement allows us to bring manifold expertise to the design table, and that results in better solutions for our customers."

A couple of weeks ago, Fonix rported that their revenues were $3,182,000 for the quarter ended March 31, 2006, a decrease of $1,041,000 compared to $4,223,000 for the same period in 2005; the change was primarily due to a decrease in telecom revenues. Operating expenses, exclusive of non-cash amortization, decreased by $222,000, from $3,935,000 to $3,713,000 for the same period in 2005. Net loss was $4,081,000 ($0.01 per common share) for the first quarter in 2006 compared to $4,080,000 ($0.03 per common share) for the same period in 2005.

Ich habe noch genau 7 (sieben) FNIX shares (irgendwann mal ne krumme Teilausführung erhalten). Performance: -98,87 %

Und die shares werde ich halten, nicht eine einzige Aktie werde ich verkaufen.. NIEMALS! NOT A SINGLE SHARE!!! (bis zum nächsten R/S wenn aus den 7 dann 0,0x geworden sind und ausgebucht werden)

Moin zusammen,
was News angeht kommt ja bei Fonix ab und zu mal was. Da gibt es andere Firmen wo monatelang gar nichts kommt. Nur die News die wieder mal den Durchbruch bringt fehlt hier leider noch.
Hab den Mut aber hier auch noch nicht aufgegeben und mit den schon geschriebenen 1000% wäre ich dann auch wieder im plus.

FNIX offering a full array of fixed wire-line voice, data, Internet and operator services to business and residential customers in the Southeast, has entered into a management agreement with Lightyear Network Solutions, LLC ("Lightyear") in order to decrease LecStar operating and related costs.
Under the terms of the agreement, effective July 1, 2006, Lightyear will manage all operating support services for LecStar including billing, provisioning, customer relationship management systems and telecommunications services under the terms of LecStar's commercial agreements with wholesale telecom providers. Lightyear will receive specified fees from LecStar for these services.
Immediate results of implementing the management agreement include a reduction of LecStar personnel by 53 percent and reduced monthly selling, general and administrative expenses (SG&A) of $200,000. Fonix anticipates additional headcount reductions continuing through mid-August. In total, headcount will be reduced to 16 employees, a 72 percent decrease, with total monthly SG&A savings of $300,000.

Microsoft kauft Fonix

Microsoft hat es nicht nötig, solche kleinen Firmen zu kaufen.
Die Fonix Speech-Technologie hat MSFT ja umsonstbekommen.

Da wird denn mit den PR-Effekten argumentiert, die eine Kooperation mit dem Riesen bringt.. alles hohles Geschwafel. Fakt ist, Fonix hat keinen Cent von MSFT gesehen, nur ein paar PRs mit denen man Lemminge eine Menge shares verkaufen konnte.

viva - komme grad vom sport. sieht ja nicht schlecht aus. ich denke in D werden sie es erst merken, wenn wir in übersee bei einem dollar stehen. kann mir nur recht sein. dort habe ich gekauft. vivat fonixis. das ist mein zauberspruch, übrigens sagt mir meine glaskugel, dass hier in den nächsten tagen richtig was geht. der schüler, der heute mal über 200 eus investiert hat, hat zumindest gut angelegt. derzeit wird ihm die shares zwar keiner abkaufen, aber in einem jahr wird man sich drum reißen. gute anlage - wer war es denn - melde dich bitte.ketsie

ja das ging gestern gut ab
Super ist das USA zum Höchstkurs geschlossen hat und das auf den letzten Sekunden viele Leute noch Shares haben wollten

Das ask ging dann auf 0,076 hoch

Im Ragingbull sind auch alle am diskutieren warum es auf einmal up geht, vielleicht kommt ja doch eine Fette gute News und der Kurs geht voll Richtung Norden, wer weiß

Auf jedenfall denke ich das es heute mittag weiterhin gegen Norden geht und mir ist es sogar recht das die in Deutschland noch pennen und das nicht merken

Wenn wiraber die 2 cent überschreiten erlaube ich mir den von mir genanten Thread zu eröffnen.

Fonix Reports 2nd Quarter 2006 Results

Second quarter company highlights reflect activities for Fonix Speech Inc. and telecommunications operations for Fonix Telecom Inc. and LecStar Telecom Inc.

Speech:

-- NFL Head Coach debuts with Fonix VoiceIn -- A new videogame for Xbox(R), PlayStation(R)2 and PC arrived on retail shelves featuring Fonix VoiceIn(R) Game Edition. Fonix VoiceIn provides command and control capabilities based on Fonix's proprietary neural network-based voice recognition. NFL Head Coach, from EA SPORTS, is the first videogame to simultaneously feature VoiceIn on three gaming platforms.

-- MediaZen and Fonix partner to develop speech interfaces -- Affiliated with the Korea University, MediaZen develops automatic speech recognition (ASR) and text-to-speech (TTS) applications for Korean device manufacturers. One of their biggest customers is Hyundai Autonet.

-- Fonix Goes to ESEC with A.I. Corp. -- Fonix and A.I. Corp. representatives demonstrated Fonix ASR and TTS technology at this year's Embedded Systems Expo Conference (ESEC) in Tokyo. ESEC is one of the biggest electronics shows in the world.

-- Epson invites Fonix to present at seminar for electronics manufacturers -- Fonix representatives traveled to ShenZen, China, to present Fonix speech technologies to makers of electronic dictionaries in Asian markets.

-- Fonix amps up e-commerce activities -- Fonix IT is in the process of improving the company's Internet marketing efforts to increase sales of retail products.

Telecommunications:

-- LecStar Telecom Inc. entered into an Administrative Services Agreement with Lightyear Network Solutions, LLC -- Under this agreement, Lightyear will manage all operating support services for LecStar including billing, provisioning, customer relationship management systems and telecommunications services pursuant to the terms of LecStar's commercial agreements with wholesale telecom providers.

"In the second quarter, Fonix continued work to limit the negative impact of changes in FCC regulations affecting our telecom subsidiaries," said Thomas A. Murdock, Fonix chairman and CEO. "It's a difficult time in the industry for small CLECs. However, Fonix has made proactive changes to ensure that we overcome these challenges as quickly as possible. Our Administrative Services Agreement with Lightyear will allow our telecom business to greatly reduce operating expenses and achieve some stability to support revenue growth. Fonix management is confident that recent actions will position the company for positive future growth of our telecom business.

"We also see growth of Fonix speech revenues and more customer wins in key industries including electronic devices and videogames," Murdock continued. "Ongoing development of Fonix solutions in the Media Resource Control Protocol (MRCP) and media server markets will further enhance the company's footprint in the speech sector."

Fonix revenues were $3,259,000 for the quarter ended June 30, 2006 compared to $4,324,000 for the same period in 2005; the change was primarily due to a decrease in telecom revenues. Operating expenses, exclusive of non-cash amortization, decreased from $3,931,000 in 2005 to $3,361,000 for the same period in 2006. Net loss was $4,506,000 ($0.01 per common share) for the second quarter in 2006 compared to $4,337,000 ($0.02 per common share) for the same period in 2005.

Fast 18 Mio Umsatz bei zumindest gewissen Anzeichen einer erfreulichen Nachricht und der Kurs bewegt sich gleich um 0,8 Cent nach oben. Boah, ey, welch einen Wert haben wir da aufgetan?!

Und in Anbetracht der Messen steigen auch die Umsätze stetig. Jetzt bereits 449 Stück in USA (nicht 449.000).
Bedrohlich ist nur eine mögliche Illiquidität. Der Umsatz steigt ein wenig, die Kosten sind etwas geringer, so schlecht sieht es nicht aus.
