Ascent Solar Announces Q1 Revenue Results --; Exceeding the High End of Guidance



THORNTON, Colo.--(BUSINESS WIRE)-- Ascent Solar Technologies, Inc. (NASDAQ:ASTI), a developer and manufacturer of state-of-the-art, flexible thin-film photovoltaic modules integrated into the company's EnerPlex TM series of consumer products, announced today preliminary revenue results for the Company's first quarter ended March 31, 2014.

Based upon preliminary data, the Company expects to post first quarter revenue of approximately $753,000, an increase of 30% over the fourth quarter of 2013 and slightly above the high end of published guidance for the quarter. This also represents an approximately 3-fold revenue increase from third quarter of 2013. Sales of its EnerPlex™ branded consumer products increased quarter over quarter 29% to $630,000. First quarter Government R&D contract revenue was $81,000, a sequential increase of 8%. Specialty Market PV sales of $42,000 composed the balance of the revenue for the quarter.

Ascent Solar Announces $32 Million Secured Convertible Debt Agreement



THORNTON, Colo.--(BUSINESS WIRE)-- Ascent Solar Technologies, Inc. (NASDAQ:ASTI), a developer and manufacturer of state-of-the-art, flexible thin-film photovoltaic modules integrated into the company's EnerPlex™ series of consumer products, announced today that it entered into definitive agreements on July 18, 2014 with institutional and certain investors, pursuant to which it will issue $32 million principal amount of senior secured convertible notes and warrants to purchase shares of its common stock in a private placement. The transaction is subject to customary closing conditions and is expected to close by July 25, 2014. WestPark Capital, Inc. acted as the sole placement agent.

Ascent Solar will receive $7 million in gross proceeds at closing. The remaining gross proceeds of $25 million from the financing will be placed at closing into control accounts of the company. Those funds will be released for the company's use in installments over the 18-month period following the closing.

The notes carry an 8% annual interest rate, subject to certain adjustments. The notes will mature on the fifth anniversary of closing. The notes are convertible, in whole or in part, at the holder's option, into shares of Ascent Solar's common stock at a price of $0.5246 per share, subject to certain adjustments.

In connection with the sale of the notes, Ascent Solar will issue to the investors warrants to purchase 26,685,729 shares of its common stock. The warrants are exercisable beginning on the issuance date through the fifth anniversary of closing, at $0.5246 per share, subject to certain adjustments. Any funds received by Ascent Solar from exercise of the warrants would be in addition to the financing proceeds.

Ascent Solar entered into a registration rights agreement with the investors pursuant to which it agreed to file a registration statement following closing with the U.S. Securities and Exchange Commission (the "SEC") registering for resale a portion of the shares of common stock issuable upon conversion of, or as payment of principal and interest on, the notes and upon exercise of the warrants.

Ascent Solar Announces New Common Stock Investment of $8.0 Million Led by Largest Shareholder, TFG Radiant Investment Group



THORNTON, Colo.--(BUSINESS WIRE)-- Ascent Solar Technologies, Inc. (NASDAQ:ASTI), a developer and manufacturer of state-of-the-art, flexible thin-film photovoltaic modules integrated into the company's EnerPlex™ series of consumer products, announced today that it entered into a Stock Purchase Agreement (SPA) on August 29, 2014 with existing stockholders TFG Radiant Investment Group ("TFG Radiant") and Series A investor, Seng Wei Seow ("Seow") for approximately $8.0 million of common stock.

In the first tranche of the transaction (which has closed), the Company issued 845,309 common shares to Seow and 845,309 shares to TFG Radiant at a fixed per share price of $2.366, representing a 30% premium to the closing price of $1.82 per share on August 28, 2014. The closure results in net proceeds of $4.0 million to the Company.

In the second tranche of the transaction, the Company will issue 1,425,000 common shares to TFG Radiant at a fixed per share price of $2.80, approximately 54% premium to the closing price on August 28, 2014 and will result in additional net proceeds of approximately $4.0 million to the Company. The Company expects to hold a special stockholder meeting to approve the issuance of the second tranche shares in October. If stockholder approval is obtained, the second tranche will close shortly after the special stockholder meeting.

TFG Radiant's ownership of the Company has increased to approximately 18.3% of the outstanding common stock subsequent to the closing of the first tranche and would further increase to approximately 26.2% successive to the closing of the second tranche.

Ascent Solar Secures $35 Million Financing Agreement

Pursuant to the definitive agreement, the Company will issue (i) $32 million principal amount of senior secured convertible notes, (ii) $3 million of Series D convertible preferred stock and (iii) warrants to purchase shares of its common stock. The transaction is subject to customary closing conditions and is expected to close by November 21, 2014. WestPark Capital, Inc. acted as the sole placement agent.

Ascent Solar will receive
$4.5 million in gross proceeds at closing. The remaining
$30.5 million of gross proceeds from the financing will be placed at closing into restricted control accounts of the Company. The Company expects to receive an additional

Wenn der Kurs irgendwann 2,25$ mal deutlich überschreiten sollte, dann bleibt es für ihn aber bei den 2,25$ als maximalem Wandlungspreis.

Konkret könnte das z.B. heißen, dass wenn die aktuellen $1.72 blieben, er für die 28 Mio. 19,15 Mio. Aktien bekommen würde. Also die Mehrheit.

Und wenn er Lust hat, dann verkauft er einfach an ein 3 von 10 Tagen ein paar Stück, um den conversion price runterzubringen und holt sie sich dann an den anderen 7 zurück.

Das Unternehmen Ascent Solar hat eine Vereinbarung zum Bau einer Dünnschicht-Modulfabrik in der Provinz Jiangsu unterzeichnet. Die Stadt Suqian, auf deren Gebiet das Werk errichtet werden soll, ist mit rund 24 Millionen Euro am Joint Venture beteiligt.

Der Hersteller von Dünnschicht-Solarmodulen Ascent Solar hat mit der Stadtverwaltung von Suqian (Provinz Jiangsu, China) ein Joint Venture gegründet, um gemeinsam ein Fertigungswerk für flexible CIGS-Solarmodule zu bauen. Das Werk soll innerhalb von sechs Jahren eine Produktionskapazität von 100 Megawatt pro Jahr erreichen.

Die Stadt Suqian wird sich mit rund 24 Millionen Euro (32,5 Millionen US-Dollar) am Projekt beteiligen und zudem eine Fläche von 30.750 Quadratmeter für die nächsten fünf Jahre mietfrei zur Verfügung stellen. Die Stadt gewährt zusätzlich verschiedene Steuervergünstigungen in den kommenden Jahren. Zu Beginn wird Suqian einen Anteil von 75 Prozent an dem Joint Venture halten, Ascent Solar 25 Prozent. Bis zum Ende des Jahres 2014 soll sich dieses Verhältnis ändern, so dass Ascent mit 80 Prozent an dem Joint Venture beteiligt ist und die Stadt Suqian nur noch mit 20 Prozent. Im Jahr 2019 soll Ascent dann die Möglichkeit haben, auch die restlichen Anteile von Suqian zu übernehmen.

Die Insolvenz wurde durch Einbringung von frischen Kapital abgewendet.

Diese Meldung ist aus meiner Sicht ein großer Schritt in die schwarzen Zahlen. Ich denke der Einstieg bei Verizon in 300 Geschäftsstellen war erst der Anfang der inovativen Produktpalette. Wer geht schon gerne Geschäfte mit einem fallenden ehemaligen Highflyer ein. Das könnte ein Signal für weitere Geschäftsverbindungen sein.
Das Gerücht mit Apple und Samsung steht weiterhin im Raum.
Die Produktionsverlagerung nach China dürfte 2016 vollzogen sein. Das bedeutet weitere Einsparungen.

Der Phantasie ist keine Grenze nach oben gesetzt.

Bin gespannt auf die nächsten Q-Ergebnisse.

Man darf sich das nicht so vorstellen das die Dilution unkontrolliert von statten geht.
Ich erinnere auch daran das sich der Kurs erholen muss um nicht den Gang an die OTC antreten zu müssen.

The Company posted fourth quarter revenue of $2.4M, a 118% increase from the previous quarter of $1.1M and an approximately four-fold increase over Q4 2013 revenue of $0.6M. EnerPlex™ branded consumer product revenue was $2.3M in the fourth quarter, up from $1.0M in the prior quarter, a 124% increase, and from $0.5M in Q4 2013.

Total revenue for the year was $5.3M, up 308% from $1.3M in 2013. Product revenue was $5.0M, up 355% from $1.1M in 2013.

"$5M of annual revenue is a significant milestone for Ascent Solar and is the first year in the Company's history to have reported such robust results," said Victor Lee, President and CEO of Ascent. "The strong revenue growth again validates our revised strategy that began in the second half of 2012. We are extremely encouraged by the rapid growth of EnerPlex and we expect to see sales continue to grow rapidly as we continue to expand our distribution channels domestically and internationally. In Q4 we also experienced growing acceptance in our focused high-value PV market, which we believe will add to our top-line growth in 2015."

Es muss so Mitte 2013 gewesen sein, dass es mehrmals innerhalb kurzer Zeit zu deutlichen Kursanstiegen kam. Die hielten dann vier bis sechs Wochen und dann ging es genauso schnell wieder denselben Weg zurück. Und ich meine, Grund für die Rückgänge waren Geldbeschaffungsmaßnahmen von ASTI. Aber wie gesagt: ich kann mich nicht mehr genau erinnern.

Ich habe ASTI jetzt seit fünf Jahren. Mein (split-bereinigter) Kaufkurs liegt bei gut 25 Euronetten. Nicht, dass ich mir keine deutlich höheren Kurse wünsche, aber ich habe das Vertrauen ziemlich verloren, gerade auch bei so deutlichen Kursanstiegen innerhalb kurzer Zeit. Bisher waren das Luftnummern.

oh man....habe auch das vertrauen verloren, mein einstand liegt aber bei 3 euro. habe ab und zu mal verblilligt.
aber trotzdem hat mir das investmet viel bauchschmerzen bereitet.

hoffe noch mal auf einen guten tag um gut aus der geschichte rauszukommen.

Naja, die Reaktion ist doch eine normale Gegenreaktion, oder?

ASTI = kommt zeit kommt geld.

Wenn Du noch 3-4 Jahre warten kannst wirst Du IMHO graue Haare haben weil Dich die Aktie in Grund und Boden stresst und einen Kurs von rund 40-60 Euro sehen.

In der Ruhe liegt die Kraft.

Die Zahlen sind ok. ASTI wächst wieder.

Der Dial mit Verizon lässt eine Explusion des Kurses, sprich Neubewertung vermuten. Die erwarteten Verkaufszahlen sollten das zeitnah reflektieren.

Aus meiner Sicht ist eine Menge Phantasie im Kurs.

schau mal im mehrjahres-chart, vor einem jahr war hier das alltime-low, hier fand auch der reverse-splitt statt, und es ging auch damals heftig nach oben!

Ich würde Dir ja gern zustimmen, aber vor dem ReSplit haben die Fonds, die den NASDAQ abbilden alles verkauft gehabt, weil die Bude drohte raus zu fliegen, nach dem Split haben die Fonds, die den NASDAQ, abbilden wieder gekauft, weil sie es mussten. Sie bilden ja den NASDAQ ab.

Ist ein beliebtes Spiel für manche Anleger ...

Eine durchschlagende Meldung wie z.B., dass ASTI exklusiv für Apple/Samsung oder so liefern wird. Oder mit GoPro zusammenarbeiten oder alles zusammen.

Hudon bay verkauft weiter und löst damit natürlich weitere kursverluste aus. Klar ist die bude überverkauft, aber so lange oben immer jemand draufpisst und kommentralos mal 100k, mal 200k oder mehr draufschmeißt wird immer mehr nach unten ausgelöst.

Wir sind in den letzten 3 Monaten mit der aktienanzahl von 30 mio nach 50 gewechselt.

vielleicht werden später noch ein paar shorties rausgequetscht, aber das dürfte nur von kurzer dauer sein. es fehlt zZ an allem bei asti.

fundamental echt mäßig, da kommt sicher noch was im dezember und zum jahreabschluss. ich glaub schon dass die 10-12 mio umsatz machen in 2015 und nächsten jahr noch mehr als doppelt so vielm, aber zurzeit ist das alles ehr popshop.

technisch befindet sich die bude im niemandsland. da gibt es nicht mal ansatzweise sowas wie einen trend nach oben. der downtrend ist voll ausgeprägt, bis da technisch was geht vergehen bestimmt noch wochen. und die technik wird nur funzen, wenn etwas neues kommt.

der newsflow ist erbärmlich. die ganzen zwergennummern sind totale scheiße. es gibt nichts was über längere zeit (6-12Mon) irgendwelche planungssicherheit gäbe, sprich großaufträgte. die bude lebt von der hand in den mund.

die aktionärskommunikation ist mit das schlimmste was ich je erlebt habe. besonders in so zeiten wie jetzt. lee durckt sich leider weg. scheint eine chinesischen charaktereigenschaft zu sein. nach gesichtsverkust wegducken. die webseite wird zZ nicht aktualisiert, ebenfalls erbärmlich.


die hoffnung stirbt zuletzt.

ja es scheint sich nichts zu bewegen, nicht einmal ein aufbäumen seit gestern, sollten wir heute die 0,17$ nicht nehmen, bin ich endgültig raus! schliesslich gibt es bessere pferde!

es sind nur 1,9 mio short, die cover zeit beträgt 1,5 Tage oder so. da gibt es nur ein kleines squeezchen, wenn überhaupt.

Das man seitens ASTI behauptet, man finde dort kein qualifiziertes Personal, ist völlig daneben.
Apple produziert auch erfolgreich in China.

Wäre mal gespannt auf Deine Version, warum es hier so steil bergab geht.

ASTI wird 2016 ohne toxische Finanzierung nicht überleben, oder hast Du eine Ahnung wo das Geld herkommen soll?

Er ist hier einige Antworten schuldig geblieben.

Sein Wissen reicht anscheinend nicht weiter als meines.................

Eines ist Fakt. ASTI steht C11 deutlich näher als dem Turnaround.

Wer Zahlen lesen kann ist klar im Vorteil.

Ich spekuliere lediglich auf einen Rebound.

Was soll diese Liste?

Welcher Investor wird hier noch sein Kapital einbringen?



Bei ASTI fehlt es an einem großen Abnehmer seiner Produkte.

2,2 Mio. Einnahmen, weisen viele kleine mittelständische Firmen in Deutschland pro Q als Gewinn aus.


ASTI noch schön zu reden, halte ich für mehr als unseriös.

leider gibt es noch zuviele leute die unter mit dieser bude zocken.
hätte keiner unter einem dollar verkauft wäre die aktie schon drüber.

Logisch aber ich zum Beispiel bin zu 0,22 rein und zu 0,35 wieder raus das hat mir gereicht.
Unterstützung gestern 0,24-0,25 hat gehalten wen sich das heute wieder bestätigt gehe ich wieder rein.
1$ ist ja auch kein Spaziergang bis dahin ist es ein weiter Weg und sehr turbulent.
Mal schauen wie die Amis heute eröffnen bin gespannt.

scent Solar Technologies, Inc. ("Ascent") (NASDAQ: ASTI), a manufacturer of state-of-the-art, flexible thin-film photovoltaic modules, integrated into off-grid applications and the Company's EnerPlex™ series of consumer products, announced today an agreement to redeem the entire outstanding principal amount of its senior secured convertible notes of $21.2M from the note holder.

As previously announced in our 8-K report of November 18, 2014, Ascent had raised a total of $35 million from the note holder. At closing, the Company received gross proceeds of approximately $4.5M and the remaining $30.5 million of gross proceeds from the financing were deposited into a restricted control account. The proceeds in the control account have been released to the Company in increments for working capital needs. The Company has made payments to the note holder in the form of Common Stock issued at a discount to the then prevailing stock price. The note holder has also used its option to convert the notes into Common Stock at a discount to the then prevailing stock price. As of September 1, 2015, approximately $18.8M remained in the restricted control account and approximately $21.2M of the notes remained outstanding.

On September 4, 2015, the Company and the note holder reached agreement to cancel the entire outstanding senior secured convertible note of $21.2M in return for (i) a return of the balance of $18.8M withheld in the restricted control account, (ii) cash repayment of $2.4M in late October 2015 and (iii) cash repayment of $3.9M in early December 2015. As previously announced, the Company and the note holder had also previously reached an agreement in July to cancel all outstanding warrants held by the note holder in exchange for issuance of a Right to receive a fixed number of 8.3 million shares of Common Stock. As of September 1, 2015, 6.8 million of such Right Shares had not yet been issued to the note holder. Such shares cannot be issued to the Investor until late November 2015 and, when issued, the Investor will be limited to a selling approximately 1.1 million of such shares during any 30-day period.

On September 4, 2015, the Company entered into a Secured Convertible Promissory Note Agreement (the "Promissory Note") with 2 investors ("New Investors") for $1.5 million. The Promissory Notes mature in September 2016 and carry a coupon rate of 8% per annum. The New Investors have the option to convert the Promissory Notes into unregistered Common Stock of the Company at the fixed conversion price of $0.12 per share.

"We believe that the Company's long term growth value has not been fully appreciated in the market and that the Company's stock price has been depressed due to significant sales of stock into the market," said Victor Lee, President and CEO of Ascent. "We felt the need to clean up our capital structure and are happy to have reached an agreement with the note holder to do that. Going forward, the Company will seek to raise capital with new investors who truly appreciate the long term potential of Ascent Solar."

IMHO könnte sich die ganze Angelegenheit vielleicht normalisieren. Scheiße ist nur die fette Verwässerung die jetzt eingetreten ist. Das ist ein komisches Spiel was hier gespielt worden ist. Bill Gregorak ist vielleicht deswegen gegangen worden, weil er das versaut hatte. Andererseits wie kann ein CEO sowas zulassen? Vermutlich haben in der letzten Woche die "neuen" Investoren alles aus dem Markt aufgekauft, deswegen der run.

Fallen wie ein Stein vom Himmel geht immer zumal bei solch schlechten Zahlen enttäuschte Anleger die nur noch schmeißen SL Ketten Reaktion geben dan den Rest.
Aber abheben wie ne Rakete über Tage bzw Wochen erlebt man selten und wen ist man eh nie invertiert und klotzt den Kurs jeden Tag nur hinterher.

Möglicherweise ist ein mehrjähriger Downtrend jetzt endlich beendet worden.











Obwohl die Umsätze für Prdukte steigen, leider sind die Verluste trotzdem noch immer recht hoch, ist man noch immer auf Kapitalgeber angewiesen. Ich hoffe doch stark, dass ASTI bis zum 15.12. auf über einen US$ steht. Sonst könnte es einen neunen RE Split geben, da habe ich ehrlich gesagt keine Böcke drauf.
Ach ja, ASTI kann ja nochmal Einspruch dagegen einlegen und etwas verzögern, ändert aber nichts daran, dass das richtig ätzend ist.

Wir werden sehen.

Trotz des extremen Trauerspiels der Aktie bin ich nach wie vor positiv was die Zukunft betrifft. Allerdings scheint diese möglicherweise noch Jahre entfernt zu sein.

Das ist ja alles ganz nett mit den Auszeichnungen, nur macht man damit keinen Umsatz. Auszeichungen gab es schon viele.

Ich bin der 99%igen Meinung, dass wir im Dezember einen neuen RE Split 10:1 sehen werden, danach geht die Verwässerung wieder von vorne los.

Ungesplittet ist jeder Anteilsschein 0,016 Cent wert.

aber zumindest steigt Yingli wenigstens. Gestern 15% und heute schon wieder über 30% während Asti schläft.

Nach dem RE Split wird das kein Problem sein, dann stünde die Bude heute bei 1,80 US$.

Wenn kein RE Split kommt würde die MK 300 Mio US$ sein müssen um 2 US$ zu erreichen.

Dass halte ich für eine Bude die zum Ende 2015 sagt > 10 Mio Umsatz sind drinnen doch etwas sehr gewagt, findest Du nicht.

Ich meine, ich wäre auch zufrieden mit 2 US$, aber die Kirche sollte schon noch im Dorf bleiben, oder?

Manchmal ist viel Wunschdenken bei der Börse dabei, dass kann echt ätzend sein.

Selbst der eine US$ zum 15 Dezember ist IMHO nicht zu machen. Der müßte auch 10 Tage lang vor dem 15. gehalten werden.

Wie soll die Bude innerhalb von ein paar Wochen auf einmal 150 Mio US$ wert werden?

IMHO sind Deine 0,45 Einstieg nurnoch 4,50 aus Sicht des 15.12.2015, allerdings haste dann auch nur noch ein Zehntel Deiner Aktien.

Glaub mir, ich verfolge die Bude schon so lange ... ich weiß wovon ich spreche. Ich war auch schonmal in Thornton und hab mir den Laden auch von innen angeschaut, Produktion und so. Frag mal R-BgO oder andere. Echt, ich mach keinen Scheiß, wirklich nicht. Ich war kürzlich bei einem Call In dabei den PCG veranstaltet hatte, kein Scheiß, ich hab Lee und Gutierrez gesprochen. Mach Dir keine zu großen Hoffnungen auf 2 US$. Da wird sicherlich was positives kommen, aber erwarte nicht zu viel vom Markt, der hat keine Böcke auf ASTI, absolut keine Böcke. Nicht auf ASTI. Ich wünschte es wäre anders ...

Sollte es anders kommen und Dein Gedanke "Denke aber das geht locker wieder auf 2 Dollar." eintreffen wäre ich auch glücklich, aber ich bin da ehr auf der unglücklichen Seite, das Gepisse von Hudson Bay in den letzten Monaten hat eine extreme Verwässerung mitgebracht. Die haben 28 Mio Aktien auf den Markt geworfen. Zum Pennypreis. Dein "locker" kann IMHO 3 Jahre dauern, oder mehr.

Überleg doch mal, die Bude macht in diesem jahr vielleicht 10 oder 12 Mio Umsatz. Das ist eine ganz kleine Klitsche die Bude, ganz, ganz klein!

Solar geht mit ASTI nicht. Zu teuer. Die sind inzwischen ehr sowas wie ZAGG oder so. Vielleicht geht ein bisschen was über den Militärkram, aber das dauert alles ewig. Auch da, überleg mal: Die wollen Anfang Dezember auf diese Militärausstellung/-messe. Klar, die können den ersten Platz im Design oder was weiß ich machen, aber das Zeug muß auch gekauft werden vom Militär. Und jeder weiß, die Amies wollen zurzeit keinen Krieg in Arabien mehr. Wo willste diese Ladegeräte denn sonst einsetzen? In Dunkeldeutschland (*hust*)?

Der Dronenmarkt könnte auch was bringen, aber auch da, wer soll den ganzen Kram denn in hohen Stückzahlen kaufen? Und hohe Stückzahlen sind nötig um was zu verdienen und auch mal aus den Miesen raus zu kommen.


Ich mein, denk nach und trenne zwichen Deinen Träumen und Wünschen auf das schnelle Geld und der Wirklichkeit. Is nicht bose gemeint, nur ist das bei so Pennystocks eben total wichtig.

Ich möchte auch gern den Kick haben mit 0,15 Cent rein und bei 1,80 raus, keine Frage, am besten noch "All In" und dann richtig abräumen, aber das ist nur wenigen vergönnt und bei ASTI ist die Möglichkeit IMHO ehr klein.

Sorry, hab einen größeren Fehler gemacht. Hatte gedacht, Du sprichst von einem Einstand von 0,45 bei ASTI. Wenn ich es richtig lese bist Du bei 0,45 in YGE rein gegangen. Dann nochmal: Glückwunsch. Aber auch da sehe ich 2 US$ lange nicht. Auch da ehr einen RE Split wie bei ASTI, aber die haben auch noch mehr Zeit als ASTI.

Da gibt es eine Verdopplung der Solarumwandlungseffizienz durch kurzes Eintauchen eines 120nm dünnen Films in Ammoniak. Damit kann man eine Zn(OH)2 Schicht von dem auf die Folie aufgedampften Materials runter holen und damit die Ausbeute drastisch erhöhen, eben verdoppeln. Das ist natürlich schon ein Hammer. Aber ob und wann das Serienanwendung findet steht im Kaffeesatz.

THORNTON, CO -- (Marketwired) -- 11/11/15 -- Ascent Solar Technologies, Inc. (NASDAQ: ASTI), a developer and manufacturer of state-of-the-art, flexible thin-film photovoltaic modules integrated into the company's EnerPlex™ series of consumer products, announced today that the Company has entered into two definitive agreements ("Agreements") to raise $35.0 million from an accredited private investor ("Investor").

Pursuant to the Agreements, the Company will (i) issue up to $2.8 million of a principal amount of the Company's newly designated Series E 7% Convertible Preferred Stock ("Series E Preferred Stock"), and (ii) enter into a Committed Equity Line ("CEL") Purchase Agreement with the Investor whereby the Company has the right to sell to Investor, and Investor is obligated to purchase from the Company, up to $32.2 million of the Company's common stock, subject to certain limitations, from time to time, over the 36-month period commencing on the date that a registration statement is declared effective by the U.S. Securities and Exchange Commission (the "SEC"), which the Company will file.

Management Comments

The new funding will not only provide us with ongoing working capital but also will be an important part of our ongoing restructuring exercise of our outstanding senior secured notes which we announced in September and October of 2015," said Victor Lee, President and CEO of Ascent Solar Technologies, Inc. Series E Preferred Stock

The Company issued 1,000 shares of Series E Preferred Stock to Investor in exchange for $1 million on November 4, 2015, and will issue an additional 500 shares of Series E Preferred Stock to Investor in exchange for $500,000 after the Company's filing of a registration statement covering the re-sale of the common stock underlying the Series E Preferred Stock with the SEC. The Company will further issue an additional 1,300 shares of Series E Preferred Stock to Investor in exchange for $1,300,000 upon the earlier of (i) December 19, 2015 or (ii) the effectiveness of the Company's registration statement mentioned above.

Shares of the Series E Preferred Stock (including the amount of any accrued and unpaid dividends thereon) will be convertible at the option of the holder into common stock at a prevailing fixed conversion price equal to 80% of the average of the two lowest volume weighted average prices ("VWAPs") of the Company's common stock for the ten consecutive trading day period prior to the conversion date. There will not be any further adjustment of the conversion price on a forward looking basis or any true-up shares associated with each conversion.

Committed Equity Line

Under the terms and subject to the conditions of the CEL Purchase Agreement, at its option the Company has the right to sell to Investor, and Investor is obligated to purchase from the Company, up to $32.2 million of the Company's common stock, subject to certain limitations, from time to time, over the next 36 months.

From time to time, the Company may direct Investor, at its sole discretion and subject to certain conditions, to purchase an amount of shares of common stock up to the lesser of (i) $1,000,000 (calculated using the per share price described below) or (ii) 300% of the average daily trading volume of the Company's common stock over the preceding ten trading day period. The per share purchase price for shares of common stock to be sold by the Company under the CEL Purchase Agreement at each draw down shall be fixed at 80% of the average of the two lowest VWAPs of the common stock for the ten consecutive trading day period prior to the purchase date. There will not be any further adjustment of the purchase price on a forward looking basis or any true-up shares associated with each draw down.

The Company may not direct Investor to purchase shares of common stock more frequently than once each ten business days. The Company's sales of shares of common stock to Investor under the CEL Purchase Agreement are limited to no more than the number of shares that would result in the beneficial ownership by Investor and its affiliates, at any single point in time, of more than 4.99% of the Company's then outstanding shares of common stock.

Und wenn der Kurs am 01.12.15 nicht über 1 Dollar wird es doch nicht gleich einen Re-Split geben. Müssen da nicht die Aktionäre zustimmen. Aber die Richtung für ASTI sollte jetzt klar nach Norden gehen!!

Ich hatte mir den Freitag den 13. börsentechnisch nicht so gut vorgestellt, aber die Bilder des Grauens in Paris übertreffen alles für einen Freitag den 13. - hätte lieber ein großes Loch im Depot gehabt, das hätte sich wieder erholt!!

Financial Results for the Third Quarter and Nine Months Ended September 30, 2015
Total revenue for the third quarter of 2015 was $1.3 million, compared to $1.1 million reported for the same period last year, which was an increase of 10%. Sequential quarterly revenue resulted in a 43% decline from the second quarter of 2015, which the Company attributes to shipment backlogs and cash flow constraints related to the restructuring of its balance sheet during the quarter. However, net loss for the quarter totaled $6.1 million, which is a significant improvement of 100% compared to a net loss of $12.2 million reported for the same period last year.

For the nine-months ended September 30, 2015, total revenue was $4.1 million, which was a 39% increase from $3.0 million reported for the same period last year. The Company attributes the gain to broadening its retail distribution for EnerPlex. Loss from operations improved 16% to $20.9 million for the 2015 nine month period, compared to $24.9 million reported for the same period in 2014. This was due to a combination of increasing revenue and improved operational efficiencies, while keeping expenses marginally down for the period. These expenses are expected to remain relatively flat while the Company continues to increase revenue growth.

Balance Sheet Highlights for the Nine-Months Ended September 30, 2015
Cash and Restricted Cash declined from $31.3 million to $619 thousand, as a direct result of the Company's restructuring of debt and related warrants in the quarter. Restricted cash was utilized to retire a major portion of the senior secured notes, as announced on September 8, 2015. As a result, five major liability line items (Current Portion of Convertible Note Payable, Short Term Embedded Derivative Liabilities, Long-Term Convertible Note, Warrant Liability and Long Term Embedded Derivative Liabilities) totaling $35.1 million as of December 31, 2014 is now completely removed from the Balance Sheet as of September 30, 2015. Added to that are two new items (September 2015 Fixed Rate Convertible Notes and Investor Payable) totaling $8.2 million. The Company expects the $6.2 million Investor Payable to be mostly or entirely retired by the end of the calendar 2015 year. Thereafter, the Company would have a much cleaner balance sheet without any warrants or derivative liabilities associated with the senior secured notes. Subsequent to the end of the third quarter, the Company announced an equity investment from a new investor on November 11, 2015.

Management Commentary
"While we are not satisfied with the results after a strong second quarter, we feel we are in a much better financial position after our recent balance sheet restructuring activity," said Victor Lee, President and CEO of Ascent Solar Technologies, Inc. "Third quarter operations were severely impacted by our cash flow constraints due to the ongoing senior secured notes restructuring exercise that was announced in September and October of 2015. As announced most recently on November 11, 2015, the Company has secured a new funding source and expects that the existing senior secured notes will be mostly or entirely retired by the end of the year."

Mr. Lee continued, "While the results have been constrained by the notes restructuring, we feel that it was necessary for the Company to take the short term hit, clean up the capital structure and benefit from a much more sustainable future. As highlighted in the previous announcement on September 8, 2015, we believe that the Company's long term growth value has not been fully appreciated in the market and that the Company's stock price has been severely depressed due to the significant sale of stock into the market relating to the senior secured notes."

Mr. Lee concluded, "We hope to put this result to bed as we look forward to a solid fourth quarter and a much stronger 2016 now that new funding with less restrictive and more straightforward terms and conditions is in place. As it stands today, we have shipped approximately $1.6 million of merchandise so far this quarter and expect to end the quarter with approximately $3.1 million revenue and full year revenues of approximately $7.2 million. On June 18, 2015, Ascent Solar Technologies, Inc. (the "Company") received notice from The NASDAQ Stock Market ("Nasdaq") that, because the closing bid price for the Company's common stock has fallen below $1.00 per share for 30 consecutive business days, the Company no longer complies with the minimum bid price requirement for continued listing on the Nasdaq Capital Market.

Nasdaq's notice has no immediate effect on the listing of the Company's common stock on the Nasdaq Capital Market. Pursuant to Nasdaq Marketplace Rule 5810(c)(3)(A), the Company has been provided an initial compliance period of 180 calendar days, or until December 15, 2015, to regain compliance with the minimum bid price requirement. To regain compliance, the closing bid price of the Company's common stock must meet or exceed $1.00 per share for a minimum of 10 consecutive business days prior to December 15, 2015.

If the Company does not regain compliance by December 15, 2015, the Company would have the right to appeal a determination to delist its common stock, and the common stock would remain listed on the Nasdaq Capital Market until the completion of the appeal process.

The Company is considering actions that it may take in response to this notification in order to regain compliance with the continued listing requirements, but no decisions about a response have been made at this time.

Delisting

Das Delisting ist momentan nicht das Problem. Es ist relativ problemlos möglich, die Frist um weitere 180 Tage zu verlängern. Hunderte nasdaq Titel traden unter 1$ seit längerem.
Allerdings dürfte es aufgrund dieses Tsunamis von Warrants eher unwahrscheinlich sein, den Titel in absehbarer Zeit auf 1$ hochzubringen, selbst bei positiven Entwicklungen.
Ein Revsplit steht früher oder später auf der Tagesordnung - siehe auch AEZS vor ein paar Tagen.
Meist fällt ein Wert nach nem Revsplit erstmal munter weiter, auf der anderen Seite haben TUTES dann auch die Möglichkeit, sich einzukaufen, was denen bei Werten unter 1$ oft nicht möglich ist. D.h. bei einer fundamentalen Verbesserung der Lage, kann ein Revsplit auch zu deutlichen Kursgewinnen führen.
Allerdings ist für mich das Dickicht an warrants, options und was da sonst noch kreucht und fleucht bei ASTI schier unüberschaubar.
Mal sehen, vielleicht zocke ich mal und lege mir 10.000 Stück ins Nest nächste Woche. Mehr aber auch nicht

THORNTON, CO--(Marketwired - Dec 15, 2015) - Ascent Solar Technologies, Inc. (NASDAQ: ASTI), a developer and manufacturer of state-of-the-art, flexible thin-film photovoltaic modules integrated into the Company's EnerPlex™ series of consumer products, announced today that its Special Meeting of Stockholders scheduled for, and convened on December 15, 2015, was adjourned to December 18, 2015 at 2:00 p.m. Mountain Time at the Company's offices, 12300 North Grant Street, Thornton, Colorado 80241.

The special meeting has been adjourned due to the lack of the requisite quorum, which the Company believes was caused by a technical issue involving proxy vote processing. The Company believes that the issue has now been resolved with the relevant agencies. Accordingly, the Company expects that a quorum should now be obtained in due course.

During the period of the adjournment, stockholders holding shares as of the record date of November 6, 2015, are entitled to and are being requested to vote. During the period of the adjournment, the Company will continue to solicit proxies from its stockholders with respect to the proposals set forth in the Company's proxy statement.

The Company encourages all stockholders who have not yet voted to do so as soon as possible. Stockholders of record may vote online at www.investorvote.com/ASTI or by telephone by calling 1-800-652-VOTE (8683) or by mail. Proxies previously submitted in respect of the meeting will be voted on at the adjourned meeting unless properly revoked.

No changes have been made to the proposals to be voted on by stockholders at the special meeting. The Company's proxy statement and any other materials filed by the Company with the SEC remain unchanged and can be obtained free of charge at the SEC's website at www.sec.gov.

Was soll man dazu sagen, geht um den RS. Lee wird den durchziehen oder auch nicht. Der ist sowieso außer Kontrolle. CEO und CFO in einer Person. Das ist perfekt um sich selbst und sein Umfeld mit Geld zu versorgen.

Ein paar Aktionäre stellen sich jetzt quer und wollen Lee ans Leder. Normal so wie der sich verhalten hat.

Aber Nebelkerzen sind eben auch Nebelkerzen. Zuletzt wurde ja auch der tolle Plan in Chinaland eine Fab zu bauen nie verwirklicht. Außer Geldverlust ist da nix passiert.

Ascent Solar Retires Senior Secured Convertible Notes; Outstanding Notes Reduced to Approximately $52k in Principal Value

(NASDAQ: ASTI), a developer and manufacturer of state-of-the-art, flexible thin-film photovoltaic modules integrated into the Company's EnerPlex™ series of consumer products, announced today that the Company has fully settled the final cash portion of its senior secured convertible notes ("Notes"), pursuant to the agreement announced on November 23, 2015. Following this settlement, the remaining principal balance of outstanding Notes has been reduced to approximately $52,000. The Company expects this remaining amount to be converted or retired in the near future.

Könnte damit zu tun haben, dass die Firma in letzter Zeit ihr Kapital mit der laufenden Ausgabe von Aktien ihr Aktienkapital gesteigert hat, dabei aber in Kauf genommen hat, dass der Preis je Aktie tief bleibt. Das müsste sich nun ändern, denn am 11. Februar ist das Management bei der Betreiberin von NASDAC vorgeladen. Steigt der Kurs nicht an 10 aufeinanderfolgenden Tagen auf über 1$ so droht der Ausschluss aus dem Umzug. Möglich ist auch ein evtl. Reverse Split.

So lange hier keine brauchbaren Zahlen kommen wird hier ganz und gar nix passsieren. Entweder erst im Mai oder die Vermeldung eines größeren Auftrags. Allein das man einen neuen Verkäufer mit ins Boot geholt hat bringt nix. Die paar Dollar mehr Umsatz bringen nix für den Kurs. Das is eben eine Klüpchenbude der Drecksladen!

Die Bude muß Zahlen liefern, ansonsten RE Split nach Deppenanhörung im Februar.

Bis dahin: Nix (außer es kommen Zaheln von Aufträgen und nicht nur, wie haben einen neuen Verkäufer der unsere ach Gott so tollen Sachen auch verhökert)
