Top Wealth Group Holding Limited Announces Closing of Initial Public Offering

Hong Kong, April 18, 2024 (GLOBE NEWSWIRE) -- Top Wealth Group Holding Limited (the “Company” or “Top Wealth”), a Hong Kong-based supplier of luxury caviar products, today announced the closing of its initial public offering (the “Offering”) of 2,000,000 ordinary shares at a public offering price of US$4.00 per ordinary share. The ordinary shares began trading on the Nasdaq Capital Market on April 16, 2023, under the ticker symbol “TWG.”

The Company received aggregate gross proceeds of US$8 million from the Offering, before deducting underwriting discounts and other related expenses. In addition, the Company has granted the underwriters a 45-day option to purchase up to an additional 300,000 ordinary shares at the public offering price after the closing of the Offering, less underwriting discounts.

Proceeds from the Offering will be used for expanding the Company’s business internationally, brand promotion and marketing, and general working capital.

The Offering was conducted on a firm commitment basis. Revere Securities LLC acted as the sole underwriter for the Offering. Ortoli Rosenstadt LLP acted as the U.S. counsel to the Company, and The Crone Law Group P.C. acted as U.S. counsel to Revere Securities LLC in connection with the Offering.
