the decision of Berlin's Court of Appeal has not been taken today (27
February 2015) but yesterday (26 February 2015).

Herlitz AG: Withdrawal of actions for rescission and positive decision of
Berlin's Court of Appeal in release proceedings

Some shareholders had brought an action for rescission of the resolutions
adopted by the Company's extraordinary general meeting on 19 December 2014
to increase the Company's share capital against cash and non-cash
contributions to the exclusion of the statutory subscription right (Agenda
Item 1) and to change the company name/articles of association (Agenda Item
2). The actions for rescission filed under reference numbers 94 O 5/15, 100
O 3/15, 91 O 9/15 and 100 O 4/15 (in respect of the plaintiff under 1) were
withdrawn on 25.02.2015 pursuant to composition arrangements concluded
with the shareholders whose content will be published in the Federal
Gazette. As for the remaining, still depending actions for rescission,
Berlin's Court of Appeal, in the release proceeding conducted under
reference no. 12 Stock Corporation Act (AktG) 1/15, has found on 26
February 2015 that the actions brought before Berlin's Regional Court
against the effectiveness of the Applicant's extraordinary general meeting
of 19.02.2014 Agenda Item 1, does not stand in the way of the resolution's
entry in the Commercial Register.
