fox e-mobility AG: Further reduction of liabilities from Atlas Special Opportunities LLC Mandatory Bonding

 

Munich, 23 May 2022 – The Management Board of fox e-mobility AG (DE000A2NB551) announces that the company has today acquired 500,000 shares in fox e-mobility AG as treasury shares from a shareholder against a long-term convertible loan in order to transfer these shares together with a further 1,094,719 fox e-mobility shares owned by the group to Atlas Special Opportunities LLC. The transfer of the shares to Atlas serves exclusively to settle a claim of Atlas Special Opportunities LLC from the convertible bond issued in 2021. It is contractually agreed between Atlas Special Opportunities LLC and fox e-mobility AG that the transfer of the then total of 1,594,719 shares will settle a claim of EUR 590,827 from Atlas Special Opportunities LLC which is due on May 31, 2022.

The remaining convertible bonds in the amount of EUR 1.6 million still have a term of around 2.5 years. fox e-mobility AG has also agreed with Atlas Special Opportunities LLC that these can also be repaid earlier.
