International Building Technologies Group, Inc. Announces 3rd Quarter Financials and $350,000 Reduction in Expenses

ALAMEDA, Calif.--(BUSINESS WIRE)--International Building Technologies Group, Inc. (OTCBB:INBG - News) announced today that the Company has filed its 3rd quarter financials for 2007.

ADVERTISEMENT
In the 10QSB for the nine months ended September 30, 2007, the expense labeled "due to the change in fair value of Derivative Liability" was removed from the financials due to the adoption of FAS 150. This accounting change resulted in the removal of approximately $351,817 of expenses that was reflected in the second quarter financials ended June 30, 2007. These expenses were related to new debts the company acquired during the year. We believe that the treatment under FAS 150, among the diversity in accounting treatments that exist, is more appropriate and more accurately reflects the Company's position.

The Company also provided the following updates: IBT Management visited Suijiang, China in November 2007 to meet with Chinese government officials on the planned factory for the production of IBT building panel. A primary purpose of the visit was to negotiate a land deal in Suijiang, China for the factory so that production can begin as soon as possible. IBT signed a Memorandum with Suijiang County Government to build a factory in this area which would supply building materials for the construction of a new town for 50,000 residents of Suijiang. IBT will be to exclusively supply panels to the project which is expected to take five years to complete. Many residents in the Suijiang area are being displaced by the flooding created by the construction of the Xiangjiabar Hydroelectric Power Station, the fourth largest hydroelectric dam in the world.

The Rose Best residential complex project in Suining, Sichuan Province of China has neared completion on the foundations of the 50,000 square meter residential complex. IBT acquired a 51% stake in the Rose Best Project on July 8, 2007. Once the foundation is complete, the project is expected to bring revenue to the company as early as the 1st quarter of 2008. (OTCBB:INBG - News) announced today that it has recently entered into a Memorandum of Understanding (MOU) to acquire a machinery manufacturing company in Wuhan, Hubei Province of China. The Hubei InteWufeng Machinery Co., Ltd. currently offers several lines of equipment, but its machining capabilities can be retooled to manufacture the panel production manufacturing systems that IBT will utilize in several planned projects in China and other countries.

The signed MOU has specified the basic terms of a Final Agreement to acquire the machinery manufacturing company following due diligence and financial review by both companies. Financial information provided by the Hubei InteWufeng Machinery Co., Ltd. states the company currently has assets worth RMB 28.5 million (US Dollar 3.9 million approx.) and generated revenue of RMB 30 million (US Dollar 4.1 million approx.) in the year of 2007.

ALAMEDA, Calif.--(BUSINESS WIRE)--International Building Technologies Group, Inc. (OTCBB:INBG - News) announced today that the Company has paid a deposit of RMB 1,100,000 (Approximately USD $160,000) for the acquisition of China based Wuhan Wufeng Machinery Manufacturing Company (“Machinery Company”). On June 24, 2008, the China Government granted approval for the Company to acquire 88% of the Machinery Company with registered capital of RMB 26,420,000 (Approximately USD $3,850,000) for a fixed acquisition price of RMB 11,000,000 (Approximately USD $1,600,000).

The Company is finalizing an engagement agreement with a CPA firm to perform the audit of the Machinery Company. The CPA firm is a registered public accounting firm approved by the US Public Company Accounting Oversight Board (PCAOB) and has extensive experience conducting independent audits of public companies traded on the U.S. markets. It is estimated that the audit of the Machinery Company will take approximately sixty (60) days to complete.

The Company has also been working on finalizing a Letter of Intent (“LOI”) with investors for the set up of a multi-million dollar panel production factory in China’s Sichuan Province. International Building Technologies Group, Inc. (OTCBB:INBG) has amended an existing contract to reduce cost on stock purchase by rescinding a $1,000,000 notes payable.

On May 2, 2007, International Building Technologies Group, Inc. entered into a Stock Sales and Purchase Agreement with Axia Group, Inc., for the sum of 20,000,000 restricted common shares in INBG and a $1,000,000 notes payable. INBG and Axia have renegotiated and agreed to amend the terms and conditions to rescind the $1,000,000 note from such Agreement.

"The amendment is mutually agreed, reflecting the interest of both parties and the adjustment is made in order to part fairness to this transaction. By amending the agreement the $1,000,000 debt is reduced from our balance sheet," stated Kenneth Yeung, President of INBG.

In response to the earthquake which devastated the Sichuan Province of China last week, International Building Technologies Group, Inc. (OTCBB:INBG) has received numerous phone calls and emails from the concerned investment community with inquiries regarding the impact this disaster has on the Company. The Company has been working with local Chinese Investors to set up a panel production factory in the Sichuan Province. This plan has been presented to the Officer in charge at the Sichuan Construction Bureau, the Government authority entrusted with the region’s major redevelopment and construction projects. Currently, the Company is working diligently with local investors and Government authorities to expedite the process.

International Building Technologies Group, Inc. Focuses on Manufacturing Panel Machineries and Building Panels Through Recent Acquisition of US $2.5 Million Machinery Company
International Building Technologies Group, Inc. (OTCBB:INBG), in efforts to focus on manufacturing panel machineries and building panels through the recent acquisition of Wuhan Wufeng Machinery Manufacturing Company (“Machinery Company”), has rescinded an existing Asset Sales Purchase Agreement (“ASAPA”) signed with Suining Yinfa Construction and Engineering Company, Ltd. (“Suining”) on July 8, 2007. Both Parties agree that the assets sold and purchased are performing below projected expectations and that the project’s transactions are not recorded as necessary to permit preparation of financial statements in conformity with U.S. generally accepted accounting principles.

INBG announced on April 17, 2008 that the Company signed a definitive agreement to acquire 92% of the Machinery Company which has net assets worth approximately US $2.5 million. The Machinery Company currently offers several lines of machineries and equipments which can be retooled to manufacture the panel production machineries that INBG endeavors to sell and utilize in several planned projects in China and other countries. An 8-K specifying all the terms and conditions of the acquisition was filed with the SEC on April 21, 2008.

We have performed our responsibilities as stated in the Stock Purchase Agreement and are preparing for the audit process as required. (OTCBB:INBG) announced today that the China Government has granted approval for the Company to acquire 88% of China based Wuhan Wufeng Machinery Manufacturing Company ("Machinery Company") with registered capital of RMB 26,420,000 (Approximately USD $3,850,000) for a fixed acquisition price of RMB 11,000,000 (Approximately USD $1,600,000).
On April 17, 2008, the Company signed a definitive agreement to purchase the Machinery Company located in Wuhan, Hubei Province of China. Since then, the Company has been waiting for approval from the China government and has been preparing for the audit process of the Machinery Company as scheduled in the definitive agreement.
Stated Ken Yeung, CEO of INBG, "We are very excited by the China Government's approval. Today's news brings us significantly closer to complete the acquisition of the Machinery Company. We have been working diligently over the past few months to prepare for the audit and will start the process shortly. The acquisition will be finalized upon completion of the audit in acceptance with SEC regulations. We have been working with several investors on this project and it is very promising. man kann es natürlich aus positiv sehen. der DAX und der DOW schmieren heute voll ab die wirtschaft ist am ende und wir halten uns konstant auf der 0,0004 mal sehen was die letzten paar minuten heute abend passieren wird. da wird ja oftmals nochmal ge oder verkauft. wenn wir heute die 4 halten ist es schon ok für mich.

International Building Technologies Group, Inc. (OTCBB:INBG) announced today that it has signed Letter of Intent to merge with FHH Sino New Energies Co., Ltd., a Chinese company (“FHH Sino”) located in Weihai, Shandong Province of China. FHH Sino is a petroleum storage company that offers petroleum storage tanks and facilities for rental to the petroleum importer/exporter companies in China. FHH Sino has made a good faith deposit of USD 230,000 with INBG to execute the signed Letter of Intent.

According to recent appraisal prepared by an accounting firm in accordance with China accounting standards, FHH Sino has net assets worth RMB 370 million (approx. USD 54 million) and will generate annual revenues of RMB 100 million (approx. USD 14 million) after its completion of construction of Phase I and execution of signed rental contracts business in early 2011.

Stated Kenneth Yeung, CEO of INBG, “INBG intends to merge with FHH Sino by exchanging INBG’s common stock with FHH Sino’s holding or subsidiary company. About FFH Sino: FHH Sino New Energies Co., Ltd. is a petroleum storage company located in Weihai, a coastal city in Shandong Province of China. heute knacken wir die 0,002 ganz locker. das war eine mega news. ein l.o.i. inbg wird an der otcbb gehandelt und die news wird als sehr glaubwürdig angesehen. daher dieses enorme vol. und dieser kurssprung.

0,0007 war aber gestern erst der anfang. heute ist es ab 15:30 immer noch ein sicherer kauf. denn viele haben diese news gestern abend erst mit bekommen. es wird heute ein enormes feuerwerk geben.

ich habe es schon seit einem jahr gepredigt das hier was kommt. hat zwar länger gedauert als erhofft aber jetzt wird abgeräumt.

0,002 kursziel heute. die 0,001 wird in den ersten 10 min. fallen und dann ist die luft nach oben dünn. es kann dann sehr schnell hoch gehen.

leider gestern auf 0,0007 geschlossen aber ask/bid beides 0,0008. und die letzten 10 minuten hat sich jemand groß eingedeckt. die aussichten fü heute stehen recht gut. sollte am anfang mit gap starten. warten wir mal ab. es wird jedenfalls eine menge geld investiert.

wichtig wäre die 0,001 nachhaltig hinter sich zu lassen. es stehen

ITEM 8.01 OTHER EVENTS.

On May 25, 2010, the Company signed a non-binding Letter of Intent to merge with FHH Sino New Energies Co., Ltd., a Chinese company ("FHH Sino") located in Weihai, Shandong Province of China. FHH Sino is a petroleum storage company that offers petroleum storage tanks and facilities for rental to the petroleum importers/exporters in Weihai, a coastal city in Shandong Province of Northern China.

According to a recent appraisal prepared by an accounting firm in accordance with China accounting standards, the Chinese company has net assets worth RMB 370 million (approximately US $54,000,000) and will generate annual revenues of RMB 100 million (approximately US $14, 000,000) after its completion of construction of Phase I and execution of rental contracts business in early 2011.

FHH Sino is currently in construction of its Phase I and has completed all the foundation and infrastructure for its 8 storage tanks. This infrastructure includes the supporting facilities and pipeline connecting to the harbor, which is just 600 meters away from the storage facilities.

FHH Sino provides petroleum storage tanks for rental to petroleum companies such as Sinochem and Sino-Petro, as well as being engaged in the business of local fuel oil distribution. FHH Sino has its Phase II planned and has received official approval from the Chinese authorities for additional storage tanks of 450,000 m3 and expects to commence construction of Phase II in late 2011.

The Company and FHH Sino are working together on the related merger agreements and auditors have been engaged to commence an audit of FHH Sino in preparation for the merger.

The Letter of Intent is subject to (i) the execution of a mutually acceptable definitive merger or exchange agreements: (ii) there being no material adverse change in the financial condition, business or prospects of the Company prior to closing; (iii) final investment committee approval; (iv) local government and regulatory approvals; (v) extension of existing employment contracts for the Company's management; and (vi) and a guarantee of buy-back or exchange of common stock for preferred stock (not to exceed U.S. $2,300,000) currently held my the Company's officers or investors.

Upon signing of the Letter of Intent on May 27, 2010 (effective date), FHH Sino made a U.S. $230,000 good faith deposit with the Company.

die news hat jeder mit bekommen. es wurden in 3 tagen 5 bil. aktien gehandelt. die ist durch. jetzt müssen folgenews kommen sonst steht inbg bald wieder bei 0,0001. der aufschwung kann nur bei großen vol. gehalten werden. da es auch immer wieder dilution geben wird. wie bei solchen werten üblich. die verdünnen und der kurs fällt. sehe do und fr.

ich hätte auch mit einem größeren run gerechnet nachdem so eine mega news raus war. leider habe ich zu 0,0007 verkauft und nicht zu 0,001 aber was soll es. werde inbg aber die nächsten wochen weiter im auge behalten und bei 0,0002-3 wieder einsteigen wenn sich dann die käufe wieder häufen sollten. denn ich denke es werden weitere news geben
die den kurs noch mal richtig aufleben lassen. aber die frage ist wann. kommen sie heute oder morgen wäre dies super kommt es erst ende der woche steht inbg wieder bei 0,0002 weil die angst um geht...

der erste run ist vorbei die konso ist im vollen gange. bei 0,0003 kannst du rein. jetzt zur zeit würde ich warten. es sei denn es kommen plötzlich weitere news. ansonsten kannst du heute von weiterer dilution unter fallenden kursen ausgehen. ist normal bei 0,0001 werten. mal den start abwarten und dann schauen. ich gehe nur wieder rein wenn sie noch mal 50% fällt oder sie fett hoch geht bei news. ansonsten garantiere ich dir steht die in 4 wochen wieder bei 0,0001 mit doppelt so vielen handelbaren aktien

das ist jetzt lotto. wenn die ankündigungen in den news kommen dann kannst du hier schnell 1000% sehen. wenn aber nichts mehr kommt wird es nächste woche wieder bei 0,0001 stehen mit doppelt so vielen aktien auf dem markt.

hier ist es nicht so leicht zu sagen was kommen wird. ich kaufe hier zur zeit lieber nicht. denn fakt ist, es wurde beim letzten run weiter verdünnt. und ich denke wenn keine merger news kommen werden immer weiter aktien auf den markt geschmissen bis inbg bei 0,0001 steht. dann R/S. und dein geld ist weg. sollten merger news kommen geht das ding sicher nochmal 700-1000% hoch. kurzfristig!! aber ich kaufe lieber unten und steige oben aus als in einen fallenden wert zu greifen. habe hier meinen schnitt gemacht. werde sie aber noch im auge behalten. bei wirklich guten news kann man immer noch bei 0,0005 aufsteigen und bei 0,001 verkaufen und hat schnelle 100% gemacht.

da gibt es bessere werte. vor dem run kaufen ist das was die richtigen gewinne bringt. nicht wenn er schon dran ist.

habe mir mal welche zu 0,0003 ins depot gelegt. scheint heute oder montag news zu geben. gestern großes kauf interesse. mal schauen was kommt. kann aber nur jedem empfehlen inbg nicht als lang invest zu sehen, da dies hier eine scam bude ist. also wirklich nur ein zock. spätestens dienstag ist alles vorbei. aber die 200-300% nehm ich mir nochmal mit. alles investierten heute viel glück

die haten beim letzten run den ich noch mit genommen habe 2.2 bil. akten glaube ich.jetzt werden es mindestens 1 bil. mehr sein. bei dieser ständigen dilution hier. bei solch einen float bracust es einfach zu viel vol. um das ding ernsthaft an zu heben. da müsste DIE monster news kommen und bei ca. 0,0014 wäre trotzdem schluss. und es würde ja auch weiter verdünnt werden. das lohnt sich nicht mehr. es gibt aktien wie zb. hesv die stehen beim gleichen kurs und haben einen float von 17 mio. warum dann diese verwässerungs monster kaufen. viel viel zu hohes risiko für viel zu geringe gewinn chancen. leider

und deswegen bin ich hier draußen, da immer mehr aktien auf dem markt geworfen wird (dilution). konnte wenigsten ein bisschen gewinne realisieren.

ich bin leider +-0 beim zweiten mal raus. aber besser als verluste. wenn hier eine news kommen sollte dann nur um weiter zu verdünnen. dann steigt der kurs auf 0,0008 und wird dann sofort mit den nächsten 800 mio. aktien nach unten gedrückt. das wird hier nichts mehr. bis zum nächsten R/S. bin froh hier raus zu sein. mit der aktie könnte ich nicht mehr ruhig schlafen. mal sehen wer nächste woche so alles los rennt.
