MOSCOW, Jul 22, 2003 (BUSINESS WIRE) -- MMC Norilsk Nickel ("Norilsk Nickel" (GMKN RU; NILSY US; MNOD LI) announced today that its wholly owned subsidiary, Norimet Limited ("Norimet", has commenced a cash tender offer at $7.50 per share for up to 4,350,000 shares of Stillwater Mining Company ("Stillwater" (SWC) common stock. The offer is being made pursuant to the previously announced stock purchase agreement among Norilsk Nickel, Stillwater and Norimet, whereby Stillwater issued 45,463,222 new shares of its common stock to Norimet, representing approximately 51 percent of Stillwater`s shares, in exchange for $100,000,540 in cash and approximately 877,000 ounces of palladium metal. If the full amount of shares are purchased in the offer, Norimet`s ownership will increase to approximately 56 percent of the outstanding stock of Stillwater.

The offer is scheduled to expire at midnight, New York City time, on Tuesday, August 19, 2003, unless the offer is extended.

The terms and conditions of the tender offer are fully set forth in Norimet`s offer to purchase, dated July 22, 2003, and in the related materials that are being filed with the Securities and Exchange Commission today. Stockholders should read such documents because they contain important information.

If more than 4,350,000 shares are validly tendered into the offer and not withdrawn prior to the expiration of the offer, Norimet will accept for payment only 4,350,000 shares on a pro rata basis, with appropriate adjustments to avoid purchases of fractional shares, based on the number of shares properly tendered by each shareholder.

Der russische Minenkonzern Norilsk Nickel gab am Mittwoch bekannt, dass er weitere 5 Prozent des amerikanischen Platinproduzenten Stillwater Mining Co. erwerben will. Norilsk, der größte Nickelproduzent der Welt, erwarb im letzten Monat bereits 51 Prozent der Anteile von Stillwater Mining und will nun 4,350,000 weitere Aktien von Stillwater erwerben um seinen Anteil auf insgesamt 56 Prozent zu erhöhen.

Der russische Konzern macht den Kleinaktionären ein Übernahmeangebot in Höhe von 7,50 Dollar je Aktie. Dies entspricht im Vergleich zum Schlusskurs von Stillwater am Dienstag bei 5,03 Dollar, einer Prämie von rund 50 Prozent. Das Angebot ist bis zum 19 August 2003 gültig. Norils Nickel hatte für die Übernahme des 51 Prozent-Pakets von Stillwater 100 Mio. Dollar in bar sowie 877.000 Unzen bezahlt. .

Durch die Übernahme der Mehrheit an Stillwater Mining kann Norilsk künftig Palladium über die US-Niederlassungen an seine Kunden verkaufen. Norilsk veräußert den größten Teil seiner Palladiumproduktion direkt an Endkunden wie etwa General Motors oder Mitsubishi.

Die Aktie von Norilsk Nickel notiert in Frankfurt aktuell mit einem Plus von 1,02 Prozent bei 29,80 Euro, die Aktie von Stillwater schloss am Dienstag an der NYSE mit einem Plus von 1,41 Prozent bei 5,03 Dollar.

Das "Ding" zu ordern macht schon Sinn wenn das Geschäft bis
zum 19.Aug zustande kommt!
Danach wird man weitersehen ob die verbleibenden Aktionäre "rausgekauft" werden sollen oder nicht.
Im yahoo-board geistern jedenfalls schonmal Zahlen von 8-12dollar per share herum!

wer verkauft in den usa seine aktien zu 5,2 usd, wenn er dafür 7,5 bekommt - na gut, es betrifft 4,5 mill. aktien

Das verstehe, wer will........norilsk will 6,50€ bezahlen und der kurs kennt nur eine richtung.......

ich habe russenaktien kaufen können für 1,18 euro, obwohl ein übernahmeangebot zu 1,85 vorlag und auch durchgeführt wurde


vielleicht liegt es aber auch an der einschränkung 4,3 mill stück

Das mit den 4,3Mio Stck. wird wohl das Problem sein!
Trotzdem: Wenn die Geschichte sauber läuft,bekommt man die ca. 6,5€ ja für wenigstens 20% seiner Papiere!
Im yahoo-board wird momentan auch ordentlich gebasht...eigentlich ein gutes Zeichen!
Hoffentlich dreht das Ding heut oder morgen,sonst gerät die 5Dollar-Marke in Gefahr...

Ich hab heut mal über Börse Stuttgart/Frankfurt versucht was über das Tender-Verfahren rauszubekommen,die wissen momentan noch von garnix und meinen das würde automatisch bekanntgegeben!Sollte die nächsten Tage nix bekannt werden,ist es wohl zweckmässig, wenn alle Interessierten möglichst viel bei den Banken bzw. der Börse rumnerven!

yeah, I called my broker today. If you tender your shares, you will have your shares put on hold till they decide whether to take them in. But all in all, it should be a one week hold.

Whatever you do, don`t tender your shares yet. According to my broker, for Ameritrade, I get till august 14th to decide whether I want it tendered. So why do it now and have your shares on hold, better just to wait a while.

Also, probably only 10% of the tendered shares are accepted....so might want market price and just sell the whole lot if you are thinking of exiting.

Anyway, it is all complicated, but I don`t think it is a very great advantage to tender shares. It is like a gamble on how many of the shares the company is willing to buy and while they are deciding, you are forced into a zero liquidity situation.

I don`t know what I`ll do, but I`ll at least wait till the last day probably before deciding.

Interesting company though. About 2,000,000 oz of palladium come from russia last year I think. now they are selling 1,000,000 to swc each year. Are they going to stop selling and try to squeeze the market? Russia`s production has been reduced dramatically over the past 2 years.
