Prism Resources Updates the Status of Its 7.5% Royalty on the Detour Lake South Property
Vancouver, British Columbia--(Newsfile Corp. - July 6, 2020) - Prism Resources Inc. (TSXV: PRS) (the "Company") is pleased to inform its shareholders of significant drill results from the drilling program conducted by Kirkland Lake Gold Ltd. ("Kirkland Lake") on the 58 North Zone in which the Company has a 7.5% NPI Royalty Interest (the "Royalty"). In a June 29, 2020 News Release, Kirkland Lake reported high grade gold results from infill and step-out drilling. According to Kirkland Lake's News Release, drilling at the 58 North Zone intersected high grades up to 175.0 m west of the current underground Mineral Resource. These included 14.6 gpt over 5.0 m; 11.7 gpt over 13.0 m; 5.9 gpt over 8.0 m; and 8.6 gpt over 3.0 m. These drill holes clearly demonstrate the potential to materially increase the current resource. The Measured and Indicated mineral resource at 58N zone includes 2.9Mt @ 5.8 gpt Au containing 534,000 ozs of gold. According to Kirkland Lake's News Release, these results are very encouraging as 58 North has the potential to be a standalone underground mining operation. The Company's shareholders and other stakeholders are referred to Kirkland Lake's June 29, 2020 News Release for further details.
As previously reported by the Company, Kirkland Lake's subsidiary Detour Gold Corporation ("Detour") has disputed the validity of the Company's Royalty, and the Company has taken legal action to vigorously protect its interest.
The Company announced on July 10, 2017 that it had entered into an agreement (the "Royalty Purchase Agreement") with AuRico Metals Inc. and Aurico Metals Canadian Royalty Partnership (together "AuRico") for the sale by the Company of the Royalty to AuRico. Following the announcement, the Company and AuRico received a written communication from Detour claiming the Royalty is invalid and unenforceable against Detour, notwithstanding Detour's long and consistent disclosure record to the contrary, and Detour's offers to the Company to purchase the Royalty prior to concluding the agreement with AuRico.
On July 21, 2017 the Company announced that the Royalty Purchase Agreement had been terminated, as a direct result of Detour's newly stated position repudiating any obligations under the Royalty. As a result of Detour's action, the Company has suffered and continues to suffer loss and damages, including loss of the benefit of the Royalty Purchase Agreement with AuRico.
In its claim against Detour, the Company seeks general damages of $10,000,000.00, special damages, costs and interest, as well as a declaratory judgment that its 7.5% Royalty in the Aurora and Sunday Lake claim block owned by Detour is a valid charge and enforceable as against Detour.
The Company announced on April 30, 2019 that it had filed a Statement of Claim against Detour. The Company's application for Summary Judgment against Detour had been scheduled for hearing in Ontario Superior Court of Justice on May 28, 2020. The Covid-19 pandemic has resulted in the deferral of the summary judgement hearing.
It is the Company's position that the Royalty was and remains fully enforceable against Detour.

Größter Shareholder an Prism ist kein geringeres Unternehmen, als Trevali Mining mit 5,75 Millionen Aktien.Dazu kommen noch ca. 9 Millionen,welche vom Management gehalten werden.
D.h. hier haben einige ein gesteigertes Interesse am Erfolg der Klage oder einem eventuellen Vergleich.

gestern gab es extrem positive News bei Prism Res. (V.PRS) bzgl. Schadensersatzklage gegen Detour.Kurz gesagt Detour muss bis zum 6.11. seinen Ars... bewegen.Desweiteren hat der Richter angeregt sich vielleicht mal über einen Vergleich zu unterhalten,bevor es zum Prozess kommen sollte.
Hier ist extrem viel Fantasie drin,zumal Prism die geballte Unterstützung von Trevali,als größten Aktionär von Prism,bekommt.
Aktueller Kurs von 0.04 CAD ist lächerlich in Bezug auf die 10 Millionen CAD Klage zuzüglich der 7,5% NPI.

Prism Resources Inc. has received written endorsement from the Ontario Superior Court of Justice regarding scheduling for summary judgment proceedings in respect of a dispute between Detour Gold and Prism on the validity of a 7.5-per-cent net profit interest royalty on properties to the south of Detour's operations, including the 58N zone discovery. In summary, Detour must produce its materials by Nov. 6, following which there is a schedule for reply materials, cross examinations, written argument and the hearing set for Jan. 22, 2021. In addition, the judge ordered that the parties should attend a case conference to determine whether this case should go to summary judgment or a mini-trial, and to see if the parties can settle.
The company announced on April 30, 2019, that it had filed a statement of claim against Detour. Prism subsequently reported that its application for summary judgment against Detour Gold had been scheduled for hearing in Ontario Superior Court of Justice on May 28, 2020. Es ist ja genau die Kunst solche Werte zu finden,die Potenzial haben und von der MAsse noch völlig unentdeckt sind.Klar kann das auch mal in die Hose gehen.Aber ich sehe hier gute Chancen,das es sich mehr als lohnt.
Aktuell hat Prism eine MK von 2,6 Millonen CAD bei 0,05 CAD/Share.Da kann es mal ganz schnell nach oben gehen.

Ich habe auch in alle Richtungen recherchiert und nichts gefunden. Komisch is nur das die Verhandlung um 10 Uhr Vormittag Ortszeit war und man danach keinerlei Ergebnis gehört hat. Aber vielleicht werden morgen News herausgegeben 😀

(TSXV: PRS) (The "Company") reports that the Ontario Superior Court of Justice ruled on April 1, 2021 that the Company's 7.5% Net Profit Interest in Detour's Aurora claims block and Sunday Lake claims block (the "Royalty") constitutes an interest in property held by the Company and is enforceable as against Detour. The Court also awarded costs in favour of the Company.
The Company had announced on April 30, 2019 that it had filed a Statement of Claim against Detour. In its claim, the Company sought, among other things, a declaratory judgment that the Royalty is a valid charge and is as against Detour.
The Company had announced on July 10, 2017 that it had entered into an agreement (the "Royalty Purchase Agreement") with AuRico Metals Inc. and Aurico Metals Canadian Royalty Partnership (together "AuRico") for the sale of the Royalty to AuRico. Following the announcement, the Company and AuRico received a written communication from Detour claiming the Royalty was invalid and unenforceable against Detour, notwithstanding Detour's long and consistent disclosure record to the contrary, and Detour's offers to purchase the Royalty prior to concluding the agreement with AuRico.
It has always been the Company's position that the Royalty was and remains fully enforceable against Detour, and the Court confirmed this in its April 1, 2021 ruling.
The Company also reports that the Company's noteholders agreed on March 23, 2021 to lend additional funds to the Company to bring the total funds advanced to $249,000. The Company intends to use these funds for general corporate purposes pertaining to its search for new mineral exploration and development opportunities.
The Company is deeply saddened to announce that after a short illness, CEO and President Bob Baxter has passed away. The Board of Directors has appointed Scott Ross as Interim CEO and President. Mr. Ross has been associated with the Company for many years.

Schön gibt es hier bereits einen Tread. Habe heute bei 0.08 CAD mit einer kleinen Position zugeschlagen. Die Geschichte ist zu gut um einfach nur zuzuschauen. Die Risiken sind definitiv sehr hoch, aber die Gewinnchancen erachte ich deutlich grösser als 100%. Der Prozess wird schwierig. Aber wenn KL einigermassen normal ist, werden sie diesen Laden für mind. 10 Mio CAD oder so übernehmen.
Eine Frage habe ich noch an die Prism-Kenner: Falls sie diese 10 Mio CAD kriegen (also realistischerweise wohl 5 Mio als Vergleich), kann Prism dann die 7.5 % NPI behalten? Ich bin nämlich auf diese NPI gespannt und nicht auf kurzfristigen Cash Flow. Die 7.5 NPI hat aus meiner Sicht einen Wert von mind. 30 Mio CAD auf die nächsten 10-20 Jahre gerechnet. Inkl. Erhöhungspotenzial....
Danke für eure Einschätzungen, evtl. werde ich sogar noch etwas erhöhen.

Ich gehe jedoch nicht davon aus, dass sich die grossen wie KL, Newmont oder Barrick gegenseitig weh tun werden. Allerdings hoffe ich auf einen weissen Ritter in Form von kleineren Royalty Companies welche hier sicher sehr scharf auf diese NPI sind. Allerdings wollen es sich wohl auch diese nicht mit einem Grossen verspielen. Bleiben also noch Private Equity Firmen oder der lange Atem mit selber durchstehen...

Abgeleitet bereits gesagt, dass dies eine eigenständige Mine werden könnte. Sie haben das Erz auch bereits mit der Detour-Mühle mit einer Gewinnungsrate von 97,5 auf Gewinnungsraten getestet. Nehmen wir also an, der AISC liegt bei 1.000 US-Dollar pro Unze und der Goldpreis bei 1.800 US-Dollar, derzeit wären das ca. 650.000 Unzen produziert x 800 US-Dollar = 520 Millionen US-Dollar Gewinn x Prisms 7,5% NPI-Lizenzgebühr (Nettogewinnzins) würde 39 Millionen US-Dollar (50 Millionen kanadische Dollar) für Prism entsprechen. Deshalb versuchte Detour, dies vor Gericht so hart zu bekämpfen, scheiterte aber.
Also sprechen wir hier evtl. von einer 50 Mio CAD Royalty. Könnte auch noch mehr sein resp. wird evtl. auch noch etwas günstiger verhandelt werden. Ich rechne mal konservativ mit 25 Mio CAD. Aktuell haben wir eine Market Cap von unter 7 Mio CAD. Es könnte also immer noch locker eine Verdoppelung geben obwohl der Kurs heute schon schön anspringt.

Achtung: Wenn dies hier stimmen sollte wäre Prism zwar immer noch eher günstig, die Royalty aber künftig leider nicht so viel Wert wie erhofft:

20% of such lender’s loan divided by the market price of such shares at the end of day on February 22, 2018.
On June 25, 2018, the Company issued 200,000 Bonus Shares to the lenders with an aggregate value of $20,000
which the Company recorded as interest expense.
On October 9, 2019, the Company entered into promissory note (the “Promissory Note”) with certain
shareholders, including a director of the Company. The loans granted pursuant to the Promissory Note total
$166,000. The Loans bear interest at an annual rate of 15% per annum due on or before the thirtieth day after
demand is made by the lenders, and are secured by a general security agreement. Pursuant to the Promissory
Note, the Company shall pay to the lenders an amount equal to 25% of any funds to which the Company may
become entitled in respect of the claim filed in the Ontario Superior Court of Justice against Detour. The
Company also grants to the lenders the option to acquire a 100% in the Royalty for the sum of $3,000,000 at
any time prior to the Company repaying the outstanding balance and accrued interest owing under the
Promissory Note in full. If the Company sells the Royalty, the lenders shall be entitled to 25% of the proceeds
of such sale or disposition.
On March 24, 2021, the Company’s noteholders agreed to lend additional funds to the Company in the amount
of $83,000 with substantially the same terms as the October 9, 2019 promissory note. The loans granted
pursuant to the promissory note total $249,000. The royalty provision in the note has been revised such that
the Company shall pay to the lenders an amount equal to 35% of any funds to which the Company may become
entitled in respect of the claim filed in the Ontario Superior Court of Justice against Detour. Pursuant to a
conversion provision, the lenders have the option to convert on a dollar-for-dollar basis the entire unpaid
principal and all accrued and unpaid interest into common shares of the Company at a price per share
determined by dividing the dollar amount being converted by the market price of the shares, less the maximum
allowable discount pursuant to applicable exchange policies.
The $249,000 convertible loans are designated as at FVTPL. During the year ended December 31, 2021, a fair
value adjustment of $83,000 was recognized as finance cost

Company also grants to the lenders the option to acquire a 100% in the Royalty for the sum of $3,000,000 at
any time prior to the Company repaying the outstanding balance and accrued interest owing under the
Promissory Note in full. If the Company sells the Royalty, the lenders shall be entitled to 25% of the proceeds
of such sale or disposition.
On March 24, 2021, the Company’s noteholders agreed to lend additional funds to the Company in the amount
of $83,000 with substantially the same terms as the October 9, 2019 promissory note. The loans granted
pursuant to the promissory note total $249,000. The royalty provision in the note has been revised such that
the Company shall pay to the lenders an amount equal to 35% of any funds to which the Company may become
entitled in respect of the claim filed in the Ontario Superior Court of Justice against Detour. Pursuant to a
conversion provision, the lenders have the option to convert on a dollar-for-dollar basis the entire unpaid
principal and all accrued and unpaid interest into common shares of the Company at a price per share
determined by dividing the dollar amount being converted by the market price of the shares, less the maximum
allowable discount pursuant to applicable exchange policies.
The $249,000 convertible loans are designated as at FVTPL. During the year ended December 31, 2021, a fair
value adjustment of $83,000 was recognized as finance cost
