Ich will keine Übernahme.

Wollte eigentlich schon Sonntag abend ordern.

Also ruhig bleiben.

SPIKE NETWORKS AND ARTHUR ANDERSEN ANNOUNCE EXCLUSIVE EBUSINESS
CONSULTING SERVICES ALLIANCE
Internet services company, Spike Networks, and global professional
services firm, Arthur Andersen, today announced the formation of an
exclusive alliance to deliver comprehensive and integrated eBusiness
consulting services.
The alliance will operate throughout the Asia Pacific region,
including Australia, New Zealand, Japan, Singapore, Hong Kong, China,
Korea, India and Taiwan - a first for any Australian-based web
services provider.
"This merger of skill-sets was driven by Arthur Andersen`s desire to
take the leadership position in the new economy," Arthur Andersen
Managing Partner of Business Consulting Byram Johnston said.
"eBusiness is not an add-on at Arthur Anderson. It is an integral
part of our business and, following an extensive review of available
opportunities, we decided that Spike represented the right partner
for Arthur Andersen throughout the Asia Pacific region.
"There has not been a clear leader in the provision of eBusiness
services in Asia Pacific and that is a position Arthur Anderson and
Spike will fill.
"Spike is continually breaking ground at the front-end of web
services and by partnering with Spike, our end-to-end service
offering will be innovative and extensive.
"The Asia Pacific region eBusiness consulting market is estimated to
represent revenues in excess of US$8 billion in the year 2002. This
is the region in which Arthur Andersen sees exponential growth," Mr
Johnston said.
Spike founder and CEO C. Chris O`Hanlon, said the partnership
recognised the increasingly large-scale needs of major corporations
as they focus on their business-to-business and business-to-consumer
e-commerce infrastructures. "Our core expertise is the development of
eBusiness strategy, web design, systems and infrastructure design --
the `front end`. With Arthur Andersen`s sophisticated capability in
the areas of eBusiness strategy, process design, software selection,
infrastructure design and deployment, the team will complement each
other`s strengths to create a powerful alliance," said O`Hanlon.
Spike`s Chairman, Mr John McGuigan, said teaming with Arthur
Andersen`s global operation brings a dimension of capacity, high-end
consulting and expertise. Spike now has a platform from which it can
more effectively provide end-to-end solutions to major corporates in
the region on a scale that was previously out of reach for the
company.
"In addition, the Arthur Anderson alliance is demonstrative of a more
client-focused management of Spike`s Asia-wide services business by
Tim Mainprize, who has headed that part of our business for the past
six months.
"Other alliances in the market place between consulting firms and
Internet based service providers are piecemeal. This is very much an
operational alliance developed out of the need to develop an
immediate and comprehensive service offering," he said.
Under the terms of the alliance, Spike and Arthur Anderson will
deliver eBusiness services including Internet/eBusiness strategy
development, web design and development and connectivity,
complex/large scale program/project management, software selection
and implementation, systems development, infrastructure design and
deployment and datawarehousing.
Both companies have committed marketing funds and resources to
support the alliance, Financial terms of the agreement were not
disclosed.

Viel Spass in Prag.
Erwartungsvoll,

Hi Tim,
I am a german investor who recently bought
Spike Networks shares. So far I am very
confident with my investment and I see a great

When I tried to find some more information about

the Australian Financial Review (since I am no

This info seems to be a bit older (December) and I was
wondering how much of this info is still valid.
Is the joint venture with PCCW still an issue ?
If so, could you please provide more information on this ?
Your company is just about to gain attraction in the german
share market. Discussions about Spike Networks in Internet
boards can be found more and more. The investors in Germany
are very positive about the company and I think would be grateful
to receive more information on the above issue.
Looking forward to your reply,

For Immediate Release
Sydney, 21 December 1999
SPIKE AND PACIFIC CENTURY CYBERWORKS TO PARTNER IN JOINT VENTURE
Venture to focus on web solutions in Japan and Asia Pacific
Spike Networks Limited ("Spike") announced today that it has reached agreement in principle with Hong Kong-listed Pacific Century CyberWorks Limited ("PCCW" Bloomberg:1186; Reuters:1186.HK) to form a joint venture to provide a comprehensive range of internet services with a particular emphasis on web design and development. The venture will operate globally, building initially on Spike s operations in Japan and the Asia Pacific region.
The venture will expand into the Asia Pacific region combining Spike`s existing activities with the capital and positioning of PCCW. The new venture will provide a full range of Internet services including web site development and management, intranet and extranet application development, network management and strategic consulting.
PCCW aims to be the pre-eminent broadband Internet services provider in Asia, and currently has a market capital valued at $US11.03 billion, based on issued share capital, and is the largest Internet company in Asia Pacific outside Japan.
Spike, a global online media and services company, is among the leaders in web design in Japan, with corporate customers including Toyota Motor Corporation in Japan. Spike has positioned itself as a youth-oriented company, charting new territory in end-to-end strategic Internet services in Asia Pacific.
The agreement in principle is pending completion of due diligence and regulatory and shareholder approvals. Spike will hold a 70% interest in the joint venture and PCCW will hold the remaining 30%.
Spike will value its global services business at an agreed value of A$54.5 million and PCCW will value its contribution to the joint venture at an agreed value of A$23.3 million. PCCW has been granted a two year option to increase its equity in the joint venture to 50% for a consideration of $A31.2 million.
PCCW will also acquire a 5% interest in Spike through a placement of 4,661,576 shares at a price of $1.25 per share and an option to acquire an additional 10% of the share capital of Spike on a fully diluted basis at a strike price of $1.45 per share (which is equivalent to its issue price on IPO). That option is exercisable at any time within 12 months of the above allotment.
The agreement in principle also contemplates PCCW and Spike working together in relation to various strategic alliances including the promotion and/or distribution of SpikeRadio over PCCW`s broadband network through the Asia Pacific region.
Spike will provide shareholders with full details of the proposed transaction well in advance of the extraordinary general meeting for Spike shareholders.
NOTE TO EDITORS
1.About Pacific Century CyberWorks Limited
Pacific Century CyberWorks Limited is the Hong Kong-listed technology flagship of the Pacific Century Group (www.pcg-group.com). The Pacific Century Group was established in October 1993 with proceeds from the sale of STAR TV, the first pan-Asian satellite television network, which now operates in more than 63 countries, to News Corp. At the sale, which was completed in 1995, the valuation of the enterprise was US$950.5 million. The total original investment in STAR TV, which Mr Richard Li founded in 1990, was US$125 million.
PCCW is comprised of three main businesses: Pacific Convergence Corporation, CyberWorksVentures and the Cyber-Port project.
Pacific Convergence Corporation (PCC), originally formed as a 60:40 joint venture between the Pacific Century Group and Intel Corporation, the world`s leading maker of microprocessors, is a subsidiary of PCCW. Intel, following the merger of PCC with PCCW, has an effective 13% stake in PCCW. PCC`s objective is to be the leading provider of broadband Internet services in Asia via its satellite network serving 110 million connected cable households. PCC has acquired approximately 23% of Silicon Valley-based SoftNet Systems, Inc. (NASDAQ:SOFN), one of the three largest broadband Internet providers over cable in the U.S.
PCC s NOW (Network of the World) will offer the world s first fully converged service providing interactive digital video viewing and web access. PCC will utilise at least three global Internet and digital video content production centres.
Following the announcement of a strategic partnership between PCC and Trans World International (TWI), NOW will become the world s largest digital video/Internet provider of sports content.
PCCW, through its CyberWorksVentures arm (CWV), enters into and invests in local and international information technology and Internet businesses. CWV is creating the preeminent incubation environment for established and start-up Internet businesses in Asia. CWV has invested in more than 17 Asian and Western Internet companies. CWV also acts as pan-Asian partner to leading international Internet companies. In September 1999, CWV agreed to exchange US$350 million worth of ordinary shares of PCCW for US$350 million worth of common stock in NASDAQ-listed CMGI, and to discuss joint development of the two companies` Internet-related business activities in Asia and the US.
The Pacific Century Group is developing with the Government of Hong Kong in the approximately US$1.6 billion Cyber-Port project (www.cyber-port.com) announced by the Financial Secretary Donald Tsang in his 1999 Budget. The Cyber-Port is a comprehensive facility designed to foster the development of Hong Kong`s information services sector through the formation of a strategic cluster of both information technology and services companies at the one location. Microsoft is the latest to join the list of prospective tenants which include everyone from Cisco to Softbank, all intending to apply for admission.

Pacific Century CyberWorks Limited is the Hong Kong-listed technology flagship of the Pacific Century Group (www.pcg-group.com). WOOOOW !!!

OVERVIEW
Spike Networks Limited (ASX: SPK), the internet media and services
group, today announced revenue for the six months to 31 December 1999
of $7.309 million (1998 $2.129 million) which represents a 243%
increase revenues for the same period in 1998. Based on the current
levels of business combined with the forecast activity for the
remainder of the financial year, Spike`s directors are confident that
the full year revenue forecasts will be exceeded.

The increase in revenue resulted from major new service projects in
Japan, and the expansion of existing business in Australia, including
the acquisition of New Toys. Significant revenue was earned from
SpikeRadio, which was launched in September 1999.
While the operating revenues for the six month period were $1.274
million less than the prospectus forecast, the company anticipates
that its revenues will grow significantly in the current six month
period. The recently announced joint venture with Pacific Century
CyberWorks and the exclusive alliance with Arthur Andersen, both of
which extend throughout the Asia-Pacific region, provide a sound
platform for supporting substantial growth in revenues from the
company`s core services activities.
The net loss for the six months of $12.79 million includes expenses
of $6.007 million incurred in establishing SpikeRadio. These costs
have all been fully expensed. Given the positive market reception to
SpikeRadio, the Board of Spike decided to significantly bring forward
its investment program for SpikeRadio so as to maintain SpikeRadio`s
first mover advantage. This has resulted in expenditure which is
$3.486 million in excess of prospectus forecasts.
CURRENT POSITION AND FUTURE PROSPECTS
SPIKERADIO.COM
Launched officially on the 9th September 1999, SpikeRadio achieved
early "first mover" advantage in the highly competitive Internet
radio space as the first 24-hour-a-day, seven-days-a-week, live
Internet radio site focussed on a global youth market aged 16 to 30.
On average, 57 per cent of SpikeRadio`s user base is North American,
14% is in Japan, 12% from the European Economic Community, 11% in
Australia, 3% in Africa and the balance in South America, the Middle
East and the remainder of Asia.
With its rich media mix of live DJs (called Ds), streaming audio and
video, and magazine-style text content covering music-related
personalities and events, as well as fashion, lifestyle, music and
film reviews, global travel information and social and political
issues relevant to its target demographic, SpikeRadio surpassed
management milestones to date relating to its audience and advertiser
targets, resulting in revenues that are $A73,000 ahead of forecast.
The acceleration of SpikeRadio`s investment program has been
concentrated in three key areas:
Platform Stability and Scaleability: SpikeRadio is one of very few
Internet radio sites to provide audio on multiple platforms,
including WinMedia, Quicktime, and, soon, RealAudio. It has also
launched, and continues to develop and refine, a proprietary
"receiver" application that enables high quality audio and video
streaming and text information from a small "footprint" on the
desktop. Considerable attention has been paid to ensure this
application is fast to download, easy to install and offers stable,
high quality audio to the user. As well as delivering audio, video
and data from its own server network, SpikeRadio recently announced a
distribution arrangement with Apple`s Quicktime TV network which will
ensure scaleable delivery of SpikeRadio`s audio and video streams to
the Mac platform.
Brand Awareness: SpikeRadio was launched through URL-focussed
advertising in a combination of traditional media - specifically
global titles aimed at the relevant market (ie The Face, iD,
Detour, Flaunt, Wallpaper), and North American entertainment and
technology industry magazines (Variety, Hollywood Reporter, Industry
Standard) - and online media. SpikeRadio has also gained key US
industry credibility and recognition through "grass roots" promotions
(such as a weekend-long live webcast from the Fifth Avenue windows of
New York department store, Henri Bendel) and high profile presences
at entertainment and technology industry trade shows and conferences,
notably CMJ in New York, the Consumer Electronic Show in Las Vegas,
and the upcoming Winter Music Festival in Miami.
Audience Acquisition: Investing in both on-air talent and original
content, Spike has created opportunities to increase its audience
(and therefore its advertising revenue) through arrangements that
either distribute links to SpikeRadio or syndicate segments of its
content to other sites and offline broadcasters. In addition to its
deal with Apple Quicktime TV, Spike has recently signed agreements
with Music Choice, the US and Europe-based cable radio network, and
College Broadcast, that will deliver SpikeRadio programming to a
potential audience of 45 million.
Having signed Toyota as a keystone advertiser prior to its launch in
1999, the growth and high responsiveness of SpikeRadio`s audience
compared to other, similar youth-focussed sites such as DEN, Sputnik
7 and KGrind TV, has attracted the attention of other high profile US
advertisers, including Warner Bros Pictures, Cabrillo East Media
(AT&T) and FingerHut. Such interest is managed by a US-based
advertising sales team and a network of independent agencies.
Examples of such agreements concluded in the past few months are:
* An advertising deal with Fingerhut/Atomic Living providing for a
combination of $US500,000 in advertising bookings and commission on
e-commerce sales resulting from click-throughs from SpikeRadio.
* An advertising and e-commerce deal with Cabrillo East Media (AT&T)
to share revenue on subscriptions for AT&T`s DSL service via
click-throughs from SpikeRadio.
* A distribution agreement with Kikwear.com in which SpikeRadio`s
audio content is streamed on Kikwear.com in return for a share in
Kikwear`s e-commerce revenue.
A number of other significant advertising, e-commerce and
distribution agreements are pending, and SpikeRadio is confident of
achieving significant revenues, particularly during Q4 of the 99/00
Financial Year.
As a consequence of SpikeRadio`s strong market positioning, Spike is
actively considering strategies to unlock the value of SpikeRadio
including the sale of an equity interest to a strategic partner. A US
investment bank has been engaged to assist in this process.
SPIKESTUDIOS
Five years on from its foundation, SpikeStudios continues to be the
leading provider of strategic Internet services in Australia. During
the past six months, it has further expanded its operations in
Sydney, Tokyo and Los Angeles to include new offices in Melbourne,
Osaka and Hong Kong. The new offices are in response to new clients
or promising opportunities that will ensure that SpikeStudios will
exceed its forecasts for the current financial year.
In October 1999, Spike acquired New Toys, a boutique web, multimedia
and video production studio whose integrated approach to "convergent"
media has led to a high demand for its services among
content-focussed institutional and corporate clients.
Key to Spike`s Asia Pacific expansion are Spike`s separate
relationships in the region with Pacific Century Cyberworks and
Arthur Andersen.
In December 1999, Spike Networks and Pacific Century CyberWorks
announced their intention to form a joint venture company to provide
a comprehensive range of creative and strategic Internet services
throughout the Asia Pacific region, complementing the current
geographical focus of both companies. It is anticipated that all
requisite consents and approvals, including the approval of the
company`s shareholders, will be obtained by the end of April.
Under the terms of the arrangement, and in addition to the
establishment of the Spike CyberWorks venture, Pacific Century
CyberWorks will acquire a 5% equity in Spike Networks and has the
option to acquire an additional 10% within 12 months of the
completion of the joint venture transaction.
As a result of the close relationship with Pacific Century
CyberWorks, SpikeStudios has already been engaged to develop a number
of sites for Pacific Century CyberWorks and its associated companies,
resulting in the establishment of an office and full production
management team in Hong Kong.
In February 2000, Spike Networks and the global professional services
firm, Arthur Andersen, announced the formation of an exclusive
alliance to deliver integrated e-business consulting services and
solutions throughout the Asia Pacific region. Spike and Arthur
Andersen are already working on a number of assignments together.
Finally, Spike`s marketing alliance with I&S/BBDO, Japan`s fourth
largest advertising agency, has been very successful, resulting in
the launch of a Japanese-language site for M&Ms, a confectionery
brand of Masterfoods. A number of other, large-scale projects are
pending client approval, with the newly established sales office in
Osaka offering opportunities for further, substantial growth in the
Japanese market.
Spike continues to expand its close relationship with Toyota in
Japan, having completed production of one major, global assignment
and other smaller assignments. Spike has recently concluded new
contracts with Toyota Japan in the amount of $6.22 million.
MANAGEMENT RESPONSIBILITIES
Spike Networks has made certain key senior management changes which
at once strengthen its leadership team and enable the company to
respond even more effectively to a fast moving, constantly evolving,
global e-business environment.
Given the opportunities available to Spike through its relationship
with Pacific Century CyberWorks as well as its exclusive alliance in
the Asia Pacific region with Arthur Andersen, the Board of Spike
Networks has confirmed the immediate appointment of its Chairman,
John McGuigan, as the group`s Executive Chairman. As such, he will
have direct responsibility for all of Spike`s global operations.
In addition, Lawrence Maltz, former Chief Operating Officer of the
Starbucks Group of Companies and a Non-Executive Director of Spike
based in Los Angeles, will assume the role of Executive Chairman of
SpikeRadio. Lawrence`s role will be to oversee SpikeRadio`s
operations during a period of significant development and growth.
C Chris O`Hanlon, Spike`s founder, remains as Spike Network`s Chief
Executive Officer. He will continue to spearhead Spike`s overall
vision and strategy, but will have specific responsibility to develop
Spike`s relationships and opportunities with Pacific Century
CyberWorks, Arthur Andersen and other major companies and to create
the pre-eminent digital services group in the Asia Pacific region.

Hey Freunde,

Kaufen liegen lassen. Helkon ist ein guter kurzfristiger Zock.

Hallo Titi
Bezgl. Helkon: Als nichts anderes sehe ich diesen an. Es läuft ganz
gut an heute.
