Majesco Entertainment Company Announces Increased Availability Under Its Existing Financing Arrangements

EDISON, N.J., Oct. 18 /PRNewswire-FirstCall/ -- Majesco Entertainment Company (Nasdaq: COOL - News), today announced that its credit grantors have increased the Company`s availability under existing factoring and finance facilities.

Cash advances under the factoring and financing arrangement have been increased to $16 million from $7.5 million. In addition, the Company reactivated its $10 million letter of credit facility for purchase order financing.

The Company is in active negotiations to restore its credit availability to prior levels.

SAN FRANCISCO, Sept 29 (Reuters) - Majesco Entertainment Co. (COOL.O: Quote, Profile, Research) said in a regulatory filing on Thursday that Trinad Capital Master Fund has offered to invest $5 million in the financially strapped video game publisher.
The proposed investment from Trinad, a hedge fund co-founded by Robert Ellin, would be through the purchase of 3.3 million shares of Majesco common stock at the price of $1.50 per share. Majesco shares closed at $1.23 on the Nasdaq.

The capital infusion is subject to several conditions, including the completion of due diligence and the ability of Trinad to appoint a majority of members to Majesco`s board.

Majesco on Sept. 12 said it swung to a third-quarter loss of $37.5 million on revenue that fell to $4.6 million from $34 million last year.

The company, which had $10.3 million in cash at the end of the quarter, said it may not have enough money to fund current and anticipated operations.

But Trinad, which now controls more than 9% of Majesco`s stock, warned that it wouldn`t just go away if the offer is turned down. Instead, Ellin issued an only thinly veiled threat to enlarge Trinad`s stake and to start a hostile takeover of the company.
