      Entry into Material Agreement, Non Reliance on Prev Financials, Audits or

      Item 1.01 Entry into a Material Definitive Agreement.
      On November 22, 2005, we entered into a Letter of Intent with M/S Al Dunia International, a Kuwait corporation. Pursuant to this Letter of Intent, we granted M/S Al Dumia an exclusive right to distribute our custom made industrial air conditioning equipment in the following countries: Kuwait, Quatar, Saudi Arabia, Heharin and the United Arab Emirates. We will manufacture and sell our products to M/S Al Dunia at a transfer price equal to 89% of the gross sales price of such products. The contract is to have a 5 year term and M/S Al Dunia's exclusive right to distribute our products in such aforementioned territories is contingent on their purchasing the following aggregate amount of our products in each year: (i) year 1: $300,000; (ii) year 2-$400,000; (iii) year 3-$500,000;
      (iv) year 4-$750,000; and (v) year 5-$1,000,000. M/S Al Dunia will be responsible for securing all regulatory approvals within each territory for distribution of our products in such territory and will bear the costs of seeking such approval. We are currently preparing and negotiating the definitive agreement, which will be filed upon completion.

      We effected a 1 for 100 reverse split of the outstanding and authorized shares of our common stock on January 25, 2006 (the "Effective Date"). On the Effective Date: (i) our total authorized shares of common stock was reduced from 5,000,000,000 shares to 50,000,000 shares; (ii) each one hundred (100) outstanding shares of our common stock were automatically converted into one (1) share of our common stock, resulting in 4,484,802 shares of our common stock outstanding as of the Effective Date and (iii) our common stock began trading under the symbol "MMIO" A certificate of change pursuant to NRS 78.209 was filed with the Nevada Secretary of State effectuating the reverse stock split and such action was approved by our Board of Directors.
      LETTER OF INTENT
      This letter of intent, dated as of November 22, 2005, will serve to outline a proposed distribution agreement by and between Marmion Industries Corp., a Nevada corporation ("Marmion") and M/S Al Dunia International, a Kuwait corporation ("M/S Al Dunia").
      RECITALS
      A. Marmion designs, manufactures and markets custom made industrial air conditioning equipment (the "Products").
      C. Marmion is willing to grant, and M/S Al Dunia desires to acquire, an exclusive right to distribute the Products in the countries of Kuwait, Quatar, Saudi Arabia, Beharin, and the United Arab Emirates (each a "Territory" and collectively the "Territories").
      TERMS
      This letter of intent shall be binding on both parties; provided, however, that the parties agree to negotiate in good faith, on an exclusive basis, for the purpose of entering into one or more definitive agreements (the "Definitive Agreements") with respect to the subject matter of this letter of intent. It is understood that the Definitive Agreements, when executed, shall supersede this letter of intent.
      1. GRANT OF DISTRIBUTION RIGHT. On the terms and conditions set forth in the Definitive Agreement, Marmion shall grant to M/S Al Dunia the exclusive right to distribute, market, and sell the Products in the Territories. The parties agree that Marmion may sell Products outside of the Territories, even if such Products are ultimately re-sold or otherwise up being used within the Territories, and such sales shall not be covered by the distribution right to be granted under the Definitive Agreements.
      2. TRANSFER PRICE. Marmion will manufacture and sell the Products to M/S Al Dunia at a transfer price equal to 89% of the gross sales price of the Products.
      3. CONSIDERATION. In consideration of the distribution rights to be granted and Marmion's other obligations under the Definitive Agreements, M/S Al Dunia agrees that, upon receipt of all required regulatory approvals, M/S Al Dunia will use it best efforts to market and sell the Products in the

      Territories. M/S Al Dunia will be responsible to maintain the purchase requirements set forth on Exhibit A hereto in order to retain the exclusive right to sell the Product.

      6. DEFINITIVE AGREEMENTS. Beginning after the date of this letter of intent, the parties will use their best efforts to negotiate and enter into the Definitive Agreements by January 1, 2006. Such Definitive Agreements shall contain the terms and conditions of this letter of intent and the normal and customary representations, warranties, indemnities and other terms and conditions as are customary in agreements relating to a transaction in the nature of the transactions proposed herein. The Definitive Agreements shall be subject, in all respects, to the approval of all parties thereto.
      7. FEES AND EXPENSES. Marmion and M/S Al Dunia shall each bear their own costs and expenses relating to the transactions contemplated hereby, including without limitation, fees and expenses of legal counsel, accountants, investment bankers, brokers or finders, printers, copiers, consultants or other representatives for the services used, hired or connected with the Definitive Agreements. Marmion and M/S Al Dunia shall each pay any commission or finder's fee or similar amount incurred by them by agreement or otherwise for retaining or consulting any broker, finder or investment banker in connection with the transactions contemplated by this letter.
      8. CONFIDENTIALITY. Each of the parties hereto agrees that all confidential information obtained by them in the course of negotiating the Definitive Agreements and conducting the due diligence investigation regarding the Definitive Agreements as described above will be used solely for the purpose of negotiating and consummating the Definitive Agreements, will be held in strictest confidence by each of the parties hereto and their agents and will be divulged only to those directors, officers, employees and agents of the parties hereto, including legal counsel, accountants and financial advisers, who have a need to know such information in strictest confidence. Each party hereto shall direct such directors, officers, employees and agents to treat such information confidentially and shall advise such persons of the confidential nature of such information. Each party hereto also agrees to promptly return to the party from whom originally received all original and duplicate copies of written materials containing such confidential information should the transactions contemplated herein not occur.

      Der Kurs ist immer weiter runtergerasselt.

      Warum?

      Ich glaube (glauben heißt allerdings: nicht wissen), dass der Grund darin zu
      suchen ist, dass nach den Meldungen mit den Mio-Aufträgen keine Meldung mehr
      kam.
      Die Firma mußte sich allerdings erst aufstellen für die Aufträge!
      Und das geht aus allen Meldungen hervor.
      Marmion macht einen ehrlichen Eindruck.

      Wünsche mal allen investierten einen schönen,langen Aufwärtsrend, auch wenn´s in nem OTCBB wert wohl eher sehr "überraschend volatil" werden kann "

      "Marmion liefert Klimaanlagen, Luftreinigungsanlagen usw. speziell für die Prozessindustrie, also Raffinerien, Chemie aber auch für den Bereich der Gebäudeautomatisierung. MMIO hat auch Produkte für den EX-geschützen Bereich und für andere rauhe Umgebungsbedingungen, darauf sind sie spezialisiert. In diesen Branchen sind die Produktanforderungen sehr hoch angesiedelt, ebenso die Anforderungen an deren Verfügbarkeit und lange Projektlaufzeiten sind bei diesen Baumaßnahmen üblich. Dafür wird aber richtig gut Geld bezahlt und es herrscht kein Preisdumping weil der Wettbewerb auf wenige Anbieter beschränkt ist. MMIO ist stark in Texas tätig und ist dabei, seine Aktivitäten weltweit auszudehnen. Projekte in Mexiko und in den Vereinigten Arabischen Emiraten wurden bereits akquiriert und sind schon am Laufen. Auch im Management hat man sich durch erfahrene Leute verstärkt und Präsident Marmion ist sehr umtriebig, wie die viele News auch bestätigen. Jetzt muss nur noch der Kursverlauf entsprechend anziehen, dann sind alle glücklich "

      Mit einer absoluten Mini-Marktkapitalisierung ignoriert die Börse derzeit völlig die Chancen bei Marmion Industries (WKN: A0H1A3). Denn die Umsätze werden sich auf absehbare Zeit von Jahr zu Jahr verdoppeln. Der Sprung in die Gewinnzone dürfte damit bald bevorstehen. Zahlreiche Vertriebserfolge lassen auf ein explosives Wachstum schließen. Darin liegt für Investoren die besondere Chance in der Aktie.

      Für Investoren ist es immer die gleiche Frage: Stecke ich mein Geld in bekannte Blue Chips und warte ab, oder gehe ich auf die Suche nach kleinen unterbewerteten Perlen, die zwar sicherlich höhere Risiken mit sich bringen, aber dafür auch extreme Gewinnchancen aufweisen? Viele Großanleger machen mit ihren immer weiter steigenden Investments in dem Bereich Venture Capital klar, wohin der lukrativere Trend geht: Junge, kleinere Unternehmen, die vor dem Durchbruch am Markt stehen, erfolgversprechende Produkte entwickeln oder bereits den Marktstart hinter sich haben und nun vor einer starken Expansion stehen.

      Wir sind bei unserer Suche in diesem Umfeld fündig geworden und wollen Ihnen mit Marmion Industries ein Unternehmen vorstellen, das auf den ersten Blick wohl konservativ erscheint. Marmion entwickelt, produziert und vertreibt Klimaanlagen verschiedenster Größenordnungen. Klingt langweilig? Ist es aber nicht, denn Marmion ist eine Wachstumsmaschine in einer nach außen hin konservativen, aber interessanten Branche. Hinzu kommt das wichtigste für Investoren: Die Aktie, erscheint klar unterbewertet. Bedenken Sie in diesem Zusammenhang bitte: Die gesamte Marktkapitalisierung des Unternehmens beträgt derzeit nur wenige hunderttausend Dollar! Es ist ein absoluter Micro Cap, den wir Ihnen vorstellen, mit allen Risiken und vor allem auch Chancen.

      Dies zeigt ein Blick auf die Zahlen. Nicht einmal eine Million Dollar zahlt die Börse derzeit für ein Unternehmen, das aktuell für das Jahr 2005 einen Umsatzanstieg um satte 128 Prozent auf 2,49 Millionen Dollar bekannt gegeben hat. Damit lag man geradezu exorbitant über der zunächst prognostizierten 30-prozentigen Wachstumsrate. Zwar stiegen die operativen Kosten von Marmion aufgrund der starken Expansion im Jahr 2005 überproportional an, das Management rechnet aber damit, dass sich dieser Effekt aufgrund der höheren Verkaufszahlen nun umdreht. Insgesamt stieg der Rohgewinn von 0,29 Millionen Dollar im Jahr 2004 auf 0,51 Millionen Dollar im Jahr 2005. Noch fiel unter dem Strich ein Verlust von 1,22 Dollar je Aktie an, dieses sollte sich aber mit steigenden Umsätzen schnell drehen. 2005 sank der Verlust bereits spürbar von 3,10 auf 2,28 Millionen Dollar.

      Auch wenn derzeit noch rote Zahlen geschrieben werden, dürften die vergangenen Wochen und Monate der Durchbruch für Marmion Industries und seine Produkte gewesen sein. Eine ganze Reihe neuer und zum Teil sehr großer Aufträge wurde an Land gezogen, beginnend im September 2005. Da konnte das Unternehmen aus Houston im US-Bundesstaat Texas einen exklusiven und satte 9 Millionen Dollar schweren Großauftrag mit einer mexikanischen Ingenieurfirma aus dem Bereich der petrochemischen Industrie melden. Zahlreiche größere und kleinere Aufträge von US-Firmen und staatlichen Institutionen folgten.

      Doch nicht nur vor der eigenen Haustür und im südlich von Texas angrenzenden Mexiko expandiert Marmion, auch die weiteren internationalen Märkte stehen auf der Agenda des Unternehmens. Ein riesiger Schritt vorwärts ist dabei sicherlich die Vertriebsvereinbarung mit der kuwaitischen Al Dunia International, die Marmion in den kommenden fünf Jahren mindestens 3 Millionen Dollar Umsatz einbringen soll. Al Dunia hat von Marmion exklusive Produktvertriebsrechte in Ländern des Mittleren Ostens erhalten, unter anderem in Kuwait, den Vereinigten Arabischen Emiraten und Saudi-Arabien. Ein neues Vertriebsbüro für die internationalen Märkte wurde zudem in New York eröffnet. Dort soll man sich ausschließlich auf das Knüpfen internationaler Allianzen konzentrieren.

      Kein Wunder also, dass man bei Marmion sehr optimistisch in die Zukunft blickt, nachdem man 2005 die Umsätze mehr als verdoppelte. Gleiches ist für das laufende Jahr zu erwarten, mit entsprechend positiven Auswirkungen auf den Gewinn. Es wird erwartet, dass Marmions derzeitige Wachstumsrate auch über die nächsten Jahre zu anhalten wird. Dies erfordert neue Produktionskapazitäten, um mit der Nachfrage Schritt zu halten. Mit den neuen Vertriebsvereinbarungen sieht Marmions Management die Produktion in die Höhe schnellen.

      Alles in allem sind in den kommenden Jahren massive Wachstumssprünge zu erwarten. Das Wachstum sollte Marmion nicht nur zu zweistelligen Millionenumsätzen pro Jahr verhelfen, sondern in absehbarer Zeit auch den Sprung in die schwarzen Zahlen ermöglichen. Unterstellt man für 2006 eine erneute Umsatzverdoppelung, so wird das Unternehmen derzeit gerade einmal mit einem 0,18-fachen Umsatzmultiple gehandelt.

      Fazit: Nicht nur fundamental, auch charttechnisch ergibt sich für die Aktie von Marmion Industries aktuell eine hoch interessante Lage: Im Februar und März hat der Aktienkurs oberhalb von 0,07 Dollar einen Boden gebaut, von dem aus eine deutliche Aufwärtsbewegung bereits eingeläutet wurde. Der Aktienkurs ist volatil, sodass sich intraday immer wieder sehr schöne Gelegenheiten zum Aufstocken bzw. Aufbau von Positionen ergibt. Zuletzt wurde eine Supportzone um 0,15 Dollar erfolgreich getestet, der Kurs prallte von dort nach oben ab. Sollte der Widerstand bei 0,22 Dollar nun überwunden werden, hat die Aktie aus technischer Sicht exzellente Kurschancen.

      Marmion Industries: Exzellente Turnaround-Spekulation aufmerksam
      Auch wenn die Aktie von Marmion Industries (WKN: A0H1A3) in den vergangenen Wochen schon deutliche Kursaufschläge verzeichnen konnte, ist das Unternehmen immer noch ein Micro Cap mit einer Mini-Marktkapitalisierung. Völlig unberechtigt, wie wir bereits vor einiger Zeit in unserem ersten Bericht zur Aktie deutlich aufgezeigt haben - seitdem hat sich der Kurs sehr positiv entwickelt, deckt aber unverändert bei weitem nicht die Potenziale ab, die in dem Unternehmen stecken.

      Das zeigt auch die heute vorbörslich veröffentlichte Nachricht des Unternehmens: Marmion Industries wächst weiter rasant. Unternehmenschef W.H. Marmion III zeigt sich sehr zufrieden mit dem Weg, den die Company geht. Die Businessstrategie wird erfolgreich umgesetzt. Dennoch schaut man sich weiter nach zusätzlichen Möglichkeiten um, mit denen man den eigenen Produkte und Services zu einer noch stärkeren Marktdurchdringung verhelfen kann.

      Bringt man die Meldungen über das weiter hohe Wachstum in Zusammenhang mit den 2005er-Zahlen, so kann der Turnaround beim Ergebnis des Unternehmens bereits in die Kalkulationen für die kommende Zeit einbezogen werden. Operativ ist man längst in der Gewinnzone angekommen. 2005 hat Marmion Industries weit besser als erwartet mit einem Umsatzanstieg um satte 128 Prozent auf 2,49 Millionen Dollar abgeschlossen. Der Rohgewinn stieg von 0,29 Millionen Dollar im Jahr 2004 auf 0,51 Millionen Dollar im Jahr 2005. Unter dem Strich blieb allerdings noch einen Verlust von 1,22 Dollar je Aktie.

      Doch bei den aktuellen Wachstumsraten ist es nur eine reine Frage der Zeit, bis auch unter dem Strich schwarze Zahlen stehen. 2006 sollte aufgrund zahlreicher größerer Projekte bereits wesentlich bessere Zahlen bringen. Dass dies alles andere als unrealistisch ist, unterstreicht auch die heutige Meldung des Unternehmens, die auf ein im Vergleich zu 2005 weiter beschleunigtes Wachstum bei Marmion hindeutet. Interessante Aufschlüsse über das genauere Ausmaß dürften auch die Zahlen zum ersten und auch zweiten Quartal 2006 bringen.

      Das Unternehmen ist und bleibt eine knallharte Turnaround-Spekulation, die aufgrund der Großaufträge sehr gute Aussichten auf Erfolg hat. Der Kurs ist auf dem aktuellen Niveau grotesk unterbewertet. Interessant sind nicht nur die Inlandsaktivitäten des Unternehmens, das neben Klimatechnik unter anderem auch explosionssichere Technologien und Filteranlagen für die chemische Industrie entwickelt und herstellt, interessant, sondern vor allem auch das Auslandsgeschäft. Das soll weiter forciert werden. Bisherige Highlights sind ein exklusiver, 9 Millionen Dollar schwerer Auftrag aus Mexiko und eine Vertriebsvereinbarung mit der kuwaitischen Al Dunia International, die Marmion in den kommenden fünf Jahren mindestens 3 Millionen Dollar Umsatz einbringen soll.

      Fazit: Setzt Marmion Industries die Wachstumspläne um, so steht der Aktie eine fulminante Aufwärtsbewegung bevor. Trotz der Kursaufschläge sollte das Papier dann weiterhin deutlich steigen können. Auch die charttechnische Situation spricht klar für weiter steigende Kurse, bereits im gestrigen Handel zog die Notierung wieder deutlich an. Darüber hinaus hören wir Gerüchte am Markt, dass in Kürze weitere gute Nachrichten von Marmion Industries anstehen könnten.
