Sehr geehrte Investoren, liebe Freundeich wünsche Ihnen ein Frohes Neues Jahr 2017! Heute informiere ich Sie über neue Unternehmensentwicklungen bei West Red Lake Gold Mines Inc. (CSE: RLG; Frankfurt: HYK).
Gestern am späten Abend mitteleuropäischer Zeit veröffentlichte das Unternehmen eine Pressemitteilung bezüglich einer abgeschlossenen Finanzierung mit Bruttoeinnahmen in Höhe von C$ 852.500. Bei dieser Kapitalerhöhung wurden im Rahmen einer Privatplatzierung 4.262.500 Einheiten zu einem Preis von C$ 0,20 ausgegeben (sogn. "Flow-Through Units"), wobei jede Einheit aus jeweils einer neuen Stammaktie von West Red Lake Gold Mines Inc., sowie einem halben Aktienbezugsrecht besteht. Jedes volle Aktienbezugsrecht, welches in Verbindung mit der Finanzierung ausgegeben wurde, ermöglicht es dem Inhaber zu einem späteren Zeitpunkt eine weitere Stammaktie zu einem Preis von C$ 0,35 zu erwerben. Die Laufzeit der Aktienbezugsrechte beträgt ausgehend vom Ausgabedatum 18 Monate.
Die Einnahmen werden für weitere Explorationsaktivitäten in dem 3100 ha großen West Red Lake Projekt im reichhaltigen Goldbergbaurevier Red Lake, im Nordwesten von Ontario, Kanada verwendet. Im Zusammenhang mit der Finanzierung zahlte West Red Lake Gold Mines Honorare an berechtigte Personen in Höhe von C$ 58.135.
Im Zuge der Kapitalerhöhung erhöht sich der Stimmrechtsanteil eines Hauptaktionärs von West Red Lake Gold Mines, die Accilent Capital Management Inc. bzw. deren Tochtergesellschaft Pavilion Flow-Through L.P., welche an der Finanzierung teilgenommen hat, von zuvor 26,3 % auf 27,7 % auf voll verwässerter Basis.
West Red Lake Gold Mines gab zudem bekannt, dass das Unternehmen 771.776 Stammaktien zu einem geltenden Preis von C$ 0,20 mit einem Wert von insg. C$ 154,355 an verschiedene Dienstleister ausgegeben hat. Ferner wurden Beratern 350.000 Aktienoptionen gewährt mit einem Ausübungspreis von jeweils C$ 0,20 und einer Laufzeit von 3 Jahren.

Related Party Transactions
John Kontak (President) and Accilent Capital Management Inc. ("Accilent") (>10% shareholder) are insiders of the Company who participated in the financing. By virtue of their participation, the financing constitutes “related party transactions” within the meaning of Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions (“MI 61-101”).
John Kontak subscribed for 100,000 Flow Through Units for an aggregated purchase price of $20,000 and an affiliate of Accilent subscribed for an aggregate of 2,500,000 Flow Through Units for an aggregated price of $500,000 and Accilent received a finders’ fees of $35,000 in cash (collectively, the “Related Party Transactions”).
As a result of the Related Party Transactions, the direct and indirect shareholding of John Kontak in the Company has decreased from 2.287% to 2.27% on a fully diluted basis and the direct and indirect shareholding of Accilent in the Company has been increased from 26.3% to 27.7% on a fully diluted basis.
The Related Party Transactions require the Company, in the absence of exemptions, to obtain a formal valuation and minority shareholder approval pursuant to MI 61-101.
The Company has determined that an exemption is available from the formal valuation requirement under Section 5.5(a) of MI-61-101 and an exemption is available from the formal valuation requirement under Section 5.7(1)(a) of MI 61-101 because the fair market value of the Related Party Transactions in the aggregated amount of $555,000 does not exceed 25% of the Company’s market capitalization (25% being $5,335,591 as of the date hereof).
The Related Party Transactions were approved by all of the board of directors on December 20, 2016 (John Kontak abstaining) with regard to the offering of Flow Through Units. Upon review of the terms of the financing and the Related Party Transactions, the board (John Kontak abstaining) determined that the financing, including the Related Party Transactions, were in the Company’s best interests. The board (John Kontak abstaining) also determined that all of the related parties to the Company participating in the financing would not be receiving preferential treatment vis-à-vis the other subscribers and that all shareholders are being treated equally. No contrary view was raised by any director and the Related Party Transactions.
This material change report is being filed less than 21 days prior to the expected date of the closing of the financing. The shorter period is necessary in order to permit the Company to complete the financing in a timeframe consistent with usual market practice for transactions of this nature as well as to allow the Company to avail itself of potential financing opportunities.

alles schön und gut...habe aber keine lust zu verbilligen. hier hat man sich schon zu oft die finger verbrannt. sobald hier mal 30 euro cent erreicht werden, verkaufe ich plus minus null...

ich erwarte heute bei steigendem Goldpreis (aktuell über 61,8%Fibu drüber) einen weiteren Schub nach oben. Aktuell sind das hier noch gute Einstiegskurse.
