INVESTMENT SUMMARY AND DETAILS OF THE OFFER

This section is intended as an Introduction and not as a summary of
this Prospectus, it should be read in conjunction with the rest of
this Prospectus.

INTRODUCTION AND PURPOSE OF THE OFFER

In December 1999 My Casino, formerly Abador Gold NL, announced its
intention to change the focus of its business from mineral
exploration to internet gambling. In May 2000 My Casino determined to
float off its gold and base metal assets, which are to be held by
Rox, by way of an entitlement offer to My Casino shareholders. My
Casino will cease to hold an interest in Rox and all existing loan
balances between My Casino and Rox will be extinguished. Rox will
apply for listing on the ASX with a portfolio of mineral assets and
net working capital of approximately $2.2 million (assuming
acceptance of the maximum number of over-subscriptions).

THE OFFER

Pursuant to this Prospectus, Shareholders are being offered
10,000,000 Shares at a price of 20 cents per Share on a pro rata
basis based on My Casino shares held as at the record date of 5.00pm
WST on 18 July 2000. In calculating Entitlements, fractions have been
rounded down to the nearest whole Share. The directors reserve the
right to accept over-subscriptions of up to 2,000,000 Shares.

Entitlements will be based on the number of My Casino shares on issue
at the record date. At present there are 186,288,553 My Casino shares
and 81,261,500 My Casino options on issue. My Casino also proposes to
issue a further 11,185,527 shares and 4,000,000 options prior to the
record date. Holders of My Casino options do not have an Entitlement
pursuant to this Offer unless they exercise their options. If none of
the My Casino options currently on issue is exercised prior to the
record date, Shareholders will be entitled to Shares on the basis of
approximately 1 Share for every 20 My Casino shares held on the
record date. If all of the My Casino options currently on issue are
exercised prior to the record date, Shareholders will be entitled to
Shares on the basis of approximately 1 Share for every 28 My Casino
shares held.

The Offer is underwritten to the extent of $2,000,000 (refer Section
1.8). The Directors and the Underwriter will consider applications by
Shareholders for Shortfall Shares, particularly where Shareholders
are seeking to increase their shareholding in Rox to a marketable
parcel.

The Offer is non-renounceable and therefore Shareholders cannot sell
or assign their Entitlements.
