WAXS) announced today that, as anticipated, it has received a notice of default
from the holders (the "Noteholders") of its 13.25% Senior Notes due 2008 (the
"Notes") as a result of its failure to re-initiate a tender offer for
approximately $161.4 million of outstanding Notes. As previously announced, the
Company has engaged UBS Warburg to assist in restructuring of the Notes and
other obligations, following the Company`s conclusion that it has insufficient
financial resources to both fund the tender obligation and meet operating cash
requirements.
In addition, World Access has been notified that the Noteholders have filed an
involuntary bankruptcy petition in Delaware. The Company is evaluating the
petition with its advisors and intends to meet with the petitioners to determine
if an agreement with respect to a consensual restructuring can be reached.
World Access also announced today that its Board of Directors has evaluated the
funding requirements for its subsidiary, TelDaFax AG, and has approved a plan to
meet the obligations of TelDaFax to Deutsche Telekom AG ("DT"), its largest
vendor, in accordance with previously discussed terms. The funding plan is
contingent on the approval of the ad hoc committee of the Noteholders, which is
expected to meet this morning to evaluate the proposal. World Access informed DT
this morning of the Board`s approval of funding. However, TelDaFax circuits were
disconnected beginning at 11:00 a.m. Central European Time. World Access will
have further discussions with DT today based on the outcome of the Noteholder

schon wieder so eine Meldung über die Annschaltung eben in NTV (unbegreiflich)!!!
Ich habe vorhin gegen 16:30 Uhr ein Ferngespräch geführt, sowie einen teureren Dienst 0190er Nummer über 01030 (Teldafax) geführt. Beides ging problemlos.
Außerdem wurde gestern in der Telebörse (22:30)bei einem Gespräch mit einem Vertreter von Moblicom, von diesem nicht dementiert, Interesse an Teldafax zu haben.
Ich glaube Absichtserklärungen werden als Tatsachen publiziert!!!

Worauf ich sch,ließ, daß nur da weiter telefoniert werden kann wo Teldafax selbst präsent ist.

Habe gerade mal in den Amiboards gestöbert und was witziges gefunden. Einige könnten sich vorstellen das die DTAG World Access übernimmt. WAXS ist vom Handel ausgesetzt, dann das mit Teldafax(Waxs ist 70% beteiligt). Vielleicht etwas weit hergeholt aber interessant.

It`s very possible that DT will buy WAXS...
I think that`s what WAXS is shooting for here. Teldafax is DT`s main competitor in Germany, and DT was eager to force Teldafax into insolvency. WAXS now controls Teldafax and has a market cap of under $25 MILLION.
If (big "if") WAXS actually can block DT`s takeover of VSTR then it might be worthwhile for DT to buy out WAXS. VSTR has a market cap of nearly $24 BILLION. WAXS is pocket change for DT.
The book value of WAXS is, I think, not a major factor as half is goodwill and intangibles. Real value right now depends on what it`s worth to DT to take out their main competitor in their home market and eliminate any hindrance in their takeover of VSTR at the same time.
Can`t speculate on what the takeout price would be...but suddenly this is an interesting speculation again.
At the very least, I think DT will cut a deal allowing Teldafax to stay open - this to assuage public opinion. And I think it`ll happen within a week. WAXS could double on this news alone. IMHO

Das Unternehmen teilte weiter mit, ihm sei ein entsprechendes Dokument (notice of default) von den Inhabern der vorrangigen 13,25-prozentigen Schuldverschreibungen von 2008 zugestellt worden. World Access sei es nicht gelungen, ein Angebot für die ausstehende Anleihe von 161,4 Millionen Dollar zu erneuern. Den Angaben zufolge prüft World Access die Forderungen und plant ein Treffen mit den Gläubigern. Das Unternehmen habe den Finanzbedarf seiner Tochter Teldafax geprüft und habe einem Plan zugestimmt, die Verpflichtungen von Teldafax gegenüber der Deutschen Telekom als größtem Gläubiger entsprechend zuvor diskutierter Konditionen zu übernehmen.
Der von der Zahlungsunfähigkeit bedrohten Teldafax AG wurden unterdessen wie angekündigt von der Deutschen Telekom die Telekommunikationsnetze abgeschaltet. Hintergrund sind hohe Außenstände von Teldafax bei der Telekom für die Nutzung der Leitungen. Am Dienstag hatte der US-Telekommunikationskonzern World Access angekündigt, als Mehrheitsaktionär die Außenstände von Teldafax übernehmen zu wollen. "Innerhalb weniger Wochen werden wir die Außenstände zurückgezahlt haben und Teldafax wird wieder normal arbeiten", sagte World Access-Präsident Walter Burmeister am Dienstag. Er verwies darauf, dass World Access über 100 Millionen Dollar an Barmitteln besitze.
Der ebenfalls am Neuen Markt gelistete Telekommunikationskonzern Mobilcom AG teilte unterdessen mit, ein Übernahmeangebot von 170.000 Teldafax-Kunden für 400 Millionen DM abgelehnt zu haben, da dieses "viel zu teuer" gewesen sei.
Trotz intensivster Verhandlungen hat Teldafax nach Angaben der Telekom keinen tragfähigen Tilgungsplan für die ausstehenden Schulden bei dem Unternehmen von derzeit rund 90 Millionen DM vorgelegt. "Wir haben bislang kein Geld gesehen", sagte ein Telekom-Sprecher. Das am Neuen Markt gelistete Unternehmen hatte zu Wochenbeginn wegen offener Rechnungen mit der Telekom ein Insolvenzverfahren beantragt.
