      WE HAVE INSTALLED MANAGING DIRECTORS FOR THE ANTIGUA OPERATIONS AND THE VANCOUVER DEVELOPMENT OFFICE…AND WE HAVE RE-ESTABLISHED CLEAR REPORTING LINES, OPEN COMMUNICATION AND EXACTING PERFORMANCE REQUIREMENTS FROM BOTH TEAMS.

      WE ARE CURRENTLY COMPLETING A REVISED BUSINESS PLAN THAT PROVIDES A CLEAR DIRECTION FOR WORLD GAMING’S CONTINUED GROWTH INTO THE $177 BILLION (US) GAMING INDUSTRY. THE PLAN WILL BE FINALIZED THIS MONTH.

      OF COURSE, WE ARE ALSO PREPARED TO DEFEND HISTORICAL OPERATIONS IN THE EVENT A RESOLUTION CANNOT BE REACHED AND THE CROWN ELECTS TO PROCEED TO LAY CHARGES.

World Gaming announced the conversion into equity of the $1.5 million loan made to it last year by its largest licensee, Internet Opportunity, which operates see www.sportsbook, com, www.playersonly.com, and www.acescasino.com. Additionally, Internet Opportunity agreed to exclusively utilize World Gaming software through August 2004. This conversion improves the balance sheet, removing the only long term debt. The move was strategically significant. It locks in its largest licensee, although it had previously signaled its support with the loan. However, with the defection of Golden Palace from Micro Gaming, which was its largest licensee, the competitive attention to Internet Opportunity had probably been intense since the RCMO raid two years ago.

      ST. JOHN`S, Antigua--(BUSINESS WIRE)--June 22, 2001--Starnet Communications International, a subsidiary of World Gaming plc (NASDAQ OTC: WGMGY - news), a global pioneer in I-gaming technologies, has signed a Memorandum of Understanding to fully settle in all respects all class action lawsuits consolidated in the United States District Court for the District of Delaware that have been pending since late 1999.

      ``Today`s settlement is a major accomplishment that will have a positive impact on the company going forward. I am glad to have it behind us,`` said Michael Aymong, CEO of World Gaming. ``This settlement is not an admission of guilt or wrongdoing. It`s about continuing our efforts to significantly grow the business and dramatically increase shareholder value.``

      World Gaming Plc (WGMGY) Announces Settlement Agreement of Class Action Suits

      June 22, 2001.
      In a major announcement, Mike Aymong announced a Memorandum of Understanding with lead counsel to settle the suits. The prospective issuance of a fixed number of shares, 1,050,000, with a minimum guaranteed per share value of $1, and only $100,000 cash, is a significant event as World Gaming resumes its pace of growth. It also clears the way to address a settlement of the RCMP raid two years ago, and the holding of $7.3 million of company cash by the Crown.
      The RCMP raid, with no charges and the intervening change of attitude towards I-Gaming suggest strongly this case and suit should never have happened.

      Q & A: Michael Aymong

      Is World Gaming plc`s star back on the rise? The corporation, once known as Starnet Communications, was recently reincorporated as a U.K. company, and along the way Michael Aymong was appointed chief executive officer. Under his leadership, World Gaming is going through a metamorphosis with high hopes for returning to its golden days.

      Two years ago Starnet was the high-flying darling of Internet gaming investors, with its stock price soaring to well over $20 a share. Things were looking so good that the company in March 1999 applied for a listing on the Nasdaq National Market. Fortune`s favor was fleeting, however, as the bright lights began dimming.

      Since `99, the company has suffered several legal and financial woes, including a $1 billion lawsuit filed against the company by one of its licensees and an investigation into illegal gambling activity that came to a head when the company`s offices were raided by the Royal Canadian Mounted Police. The company`s stock consequently took a dive, and shareholders shortly thereafter filed a series of class action lawsuits on the grounds that several company officials misled them about the company`s financial standing. The suits also charged that a few Starnet executives may have even engaged in insider trading.

      The company`s troubles proved to be too much for Aymong`s successors, who were unable to turn things around, but the new CEO, who seems to thrive in the face of adversity, says he`s up to the challenge. Aymong recently spoke with IGN from his home in New York.

      IGN: When you first came on board, did you come into an unhappy company?

      Michael Aymong: Yeah, the moral was low, but it has picked up significantly in both Vancouver and Antigua. I would say it`s 250 percent better. The reason it was unhappy is because there was no true leader, there was no true strategy. Now we have leadership; we have a strategic direction. We have a participative management style; we share the same principles and values. That makes a big difference.

      IGN: What are the statuses on the various lawsuits faced by the company?

      MA: I`ve got a memorandum of understanding for the class action lawsuit, which was the most important issue that I wanted to resolve. I absolutely wanted to focus on resolving the class action lawsuit and it will enable us to put some of the litigation behind us and focus on the operation of the business. (According to corporate council John Ford, the memorandum of understanding could be agreed to and signed sometime within the next few days.)

      Since I came on they were looking for a bunch of cash, and I think they realized with the size of the market, the tier-one management team I`m building and my track record--not only on Wall Street but in the businesses I`ve been involved with--we`ve just done a fantastic deal. They (the class) are going to take 1,000,050 shares. They`d rather have shares, which to me is a tremendous indication of the support they have for the new management. What the class is indicating to us is that they`re supporting the new tier-one management team: "We support World Gaming, therefore we`re going to take equity in the company as opposed to cash." Obviously we`re paying their expenses. It`s a great accomplishment.

      IGN: Why was the rollout of World Gaming 3.1 (formally called Beyond 2000) delayed?

      MA: I think the reason is that we have a bunch of perfectionists in our organization. They wanted to make the best software in the world. I`m more of the sort of 95 percent. . . Let`s get it out when it`s 95 percent right. Then we`ll get feedback and we`ll tweak it, and that`s sort of the stage we`re at. We`ve got it in our production facilities. We`re testing it with white box (structural) and black box (functional) testing and we`re going to launch it at the end of July. It`s just amazing, amazing software. It really is.

      IGN: How are you going to accomplish these new updates every 12 weeks? That`s a pretty tough deadline.

      MA: We`ve put in place a process in the organization--a professional software process--where people are working on a project management basis. It`s a much better environment.

      IGN: Can you share what happened during the reorganization into World Gaming and becoming a U.K. listed company. It seemed to take a long time to accomplish. Were there objections from the shareholders?

      MA: No, it had nothing to do with the shareholders. It had more to do with the legalities behind it. It`s a very difficult process when you do it. . . very expensive and arduous. But it`s a very good move for the shareholders. The shareholders had nothing against it. In fact, the shareholders were overwhelmingly in favor of it.

      IGN: Will there be any other changes to the company following the reorganization?

      MA: There`s some stuff being done internally that won`t be as visible. The other stuff will be definitely visible. We`re hiring a managing director for each of the regions. (The company`s operations have been divided into five regions: North America, South America, Europe, Australia and Pacific Asia.) We`re going to have four or five sales people in each of the regions and a marketing person in each of the regions. So, this sort of commando team will go out to each of the regions and build their own business in each of the regions and have their own separate profit and loss.

      IGN: That sounds like warfare!

      MA: It`s a competitive environment that I intend to win. I intend to keep our market share and grow it. I intend to continue to be the leader in technology and I definitely intend to grow the business for our shareholders.

      IGN: What about the company`s stock price? It`s at about $1.40 or so. That`s a long way from meeting the Nasdaq full-listing requirements.

      MA: It`s gone up over 150 percent in the last two weeks. I think once we put all of these initiatives in place--once we start getting some momentum in the marketplace--our stock is a very undervalued stock.

      He`s betting he`s a lucky guy

      For a man who hates to gamble, Michael Aymong has a hell of a poker face. The 36-year-old Toronto native, who in April was hired as chief executive officer of World Gaming PLC, doesn`t so much as flinch at the Internet gaming firm`s troubled past.

      World Gaming (it changed its name from Starnet Communications International Inc. last month) was once a dot-com darling with a market cap approaching US$870-million and a share price in the US$30 range.

      But the company`s luck evaporated in the summer of 1999, after the RCMP raided its Vancouver offices on suspicion of peddling child porn and dabbling in illegal gaming. Although the porn allegations proved to be unfounded, the probe was enough to incite a class action lawsuit and send panic through the ranks of investors, who lopped nearly US$750-million off the company`s value. The stock has since languished in the cellar, closing yesterday at US$1.38 on the Nasdaq over-the-counter bulletin board.

      Given the company`s sordid past, it seems odd that Mr. Aymong would relinquish an executive vice-president`s seat at GT Group Telecom Inc. to take the reins of what many would describe as a lame horse. The compensation package, of course, was lucrative -- a US$350,000 salary, a similar bonus, and a 7% stake in the company--yet he claims it had little to do with his decision.

      "I don`t need the money," shrugs the former telco executive, explaining he cashed in a significant equity position in MetroNet Communications and is financially independent. He already has homes in Calgary, Florida, and New York, and recently purchased another in Antigua, where World Gaming relocated its operations two years ago.

      "I need the challenge and I need to work in an interesting environment. This is a huge, huge business opportunity."

      Mr. Aymong, who was in Toronto last week to open a new corporate office, claims the international online gaming industry is worth US$177-billion annually, and is hoping to carve out a US$500-million slice of that pie over the next decade. The company`s active customer base stands at 250,000, and he said revenue will be split evenly between software sales (sportsbook, horse racing, and casinos) and a licensee business in which World Gaming hosts and operates gaming sites for overseas clients. The company is putting together a $5-million private placement to bankroll its expansion into emerging markets in Asia-Pacific, Europe and South America, where there are fewer restrictions on Internet gambling.

      To be successful at home, however, Mr. Aymong knows he will have to do more than sell software programs to racetracks and lotteries: he will have to improve the image of an industry the public associates with organized crime and high-tech grifters. But he is betting he can sway popular opinion, and perhaps change a few minds in the federal government at the same time. He took a step in this direction on Friday, settling the class-action suit for just over $1-million in shares, and expects the RCMP matter to be concluded next month.

      "They will charge us with something, and we`ll just have to settle," he said matter-of-factly. "Either that or we`ll litigate: one of the two."

      He has also restructured the front office, recruiting an executive from 724 Solutions Inc. in an effort to restore the company`s credibility, and he has signed the company`s five biggest clients to extended contracts. In the next few weeks he hopes to hire a new chief financial officer and add 30 employees to the staff of 128.

      Although he claims to have wagered only $400 in his lifetime, he has few misgivings about playing the odds in the business arena.

      "I got lucky and was in the right business at the right time," he said, describing his success in the telecommunications field. "I try to pick the right industries and that`s why I think I`m going to be lucky again."

      In meinem Depot bei der comdirect wird für die wgmgy immer noch kein Kurs eingestellt, was sich entsprechend negativ auf meinen Depotstand (und auf den Beleihungswert :( ) auswirkt.

      In order to accommodate on-going discussions between the parties, an Order has been signed by the Supreme Court of British Columbia, Canada, extending the current restraints previously issued by the Court until August 31st, 2001.

      The investigation is reviewing the operations of the company that were conducted in Vancouver up to August 1999.

      Given the lack of any legal precedent in the application of old gambling laws to I-gaming operations, we are prepared to aggressively defend such practices.       Starnet ordered to forfeit $6 million

      `Proceeds of crime` penalties assessed for Internet gaming

      Starnet Communications International Inc. was fined $100,000 Friday for its involvement in Internet gaming and was ordered to forfeit $6 million deemed to be the proceeds of crime.

      The penalties were assessed after the company pleaded guilty to one count of keeping a device for gambling or betting.

      The guilty plea, which came one day after charges were laid in the case, wrapped up an investigation dating back to early 1998.

      The money forfeited by the company will become the property of the province under proceeds of crime legislation.

      Inspector Mike Ryan of the Organized Crime Agency of B.C. said no company officials were personally charged.

      "That was a decision made by crown counsel in consultation with the police," Ryan said, adding he was pleased with the outcome. "We think it`s a fair and positive solution to the case."

      Calls to Starnet`s lawyer, Len Doust, who negotiated the company`s plea, were not returned.

      The company ran its gaming sites from Antigua, where it was licensed to conduct such activities. It was not licensed in B.C. or elsewhere in Canada or the United States.

      Because of uncertainty over gaming laws, the company said it would not take bets from residents of Canada or the United States.

      Most of Starnet`s revenue was generated by licensing its technology to third parties and running gaming sites for them.

      Police allege that some of those licensees took bets from Canadians.

      By July 1999, the company had become recognized as a leader in the Internet gaming industry. Its stock, which trades on the OTC Bulletin Board in the United States, surged to a high of $26 for a total stock market value of more than $800 million US.

      The next month, members of the Organized Crime Agency raided Starnet`s Carrall Street offices in Vancouver, alleging that it was conducting unlicensed gaming activities and distributing illegal pornography.

      Police seized boxes of documents and, when the company tried to withdraw money from its CIBC accounts, obtained a court order freezing its funds.

      The raid threw a cloud of uncertainty over the company and its stock plunged to the $5 US level.

      A month after the raid, the company relocated its head office to Antigua, keeping only its software development group, which operates as Inphinity Interactive, in Vancouver.

      Vancouver, BC, August 20, 2001 - Starnet Communications International, a subsidiary of World Gaming plc (OTCBB: WGMGY), has reached a settlement with Canadian authorities whereby the subsidiary plead guilty to a single charge, a violation of Section 202 (1) b of the Canadian criminal code, bringing the three-year old RCMP investigation into the historical operations of the company, for the period ending in August 1999, to a close.

      World Gaming plc Reports Fiscal 2001 Results


      LONDON--(BUSINESS WIRE)--Sept. 25, 2001--World Gaming plc (OTC BB: WGMGY - news), a global pioneer in I-gaming technologies, today announced results for the fiscal year ended April 30, 2001. All figures are in U.S. dollars. For additional notes to the financial statements please refer to the Company`s 6K.

      Total revenue for the year was $20.2 million, a 13 per cent increase over the $17.9 million reported in fiscal 2000. The Company reported a loss from continuing operations of $16.8 million or $0.52 per share for the year ended April 30, 2001 compared to $4.5 million or $0.16 per share for the prior year.

      During the fiscal year the Company incurred a number of one-time charges relating to restructuring, bad debts and other balance sheet adjustments and accruals for the settlement of outstanding legal matters totalling $10.5 million.

      SG&A expenses increased 54 per cent from the previous year to $18.0 million as the Company made substantial investments in software development in conjunction with the launch of its new software platform, version 3.2.

      ``2001 represented a turbulent time for the Company which resulted in a number of significant, one-time charges,`` said Mike Aymong, World Gaming CEO. ``With many of the legal matters, bad debts and restructuring costs behind us now, World Gaming is in a much stronger position to focus on its core business.``

      Gross margins decreased slightly to 70.6 per cent in 2001 from 71.2 per cent in 2000, largely due to an increase in transaction processing charges. World Gaming expects these rates will improve as the Company assumes more direct control of its transaction processing expenses.

      Breaking the revenue down by sector, royalty related revenues increased 33 per cent to $18.4 million, while licensing revenues decreased 56 per cent to $1.8 million. This was primarily due to a delay in new license sales in anticipation of the release of the new version 3.2 software package.

      Former Starnet hires `tier one` executives to put distance between software maker and troubled past

      Wanted: A reputable Canadian business executive to run a struggling Internet gambling firm faced with multi-million-dollar lawsuits, an RCMP probe, stagnant sales and dwindling cash reserves.


      That was the unusual pitch Starnet Communications Inc. made to Michael Aymong when the beleaguered gaming software maker went shopping for its fourth chief executive officer in as many years.

      ``It was the strangest job interview I`ve ever had,`` Aymong recalled in a recent interview.

      Toronto-born Aymong, 37, had spent most of his career in the telecommunications sector, most recently as executive vice-president of GT Group Telecom Inc.

      The son of a food industry executive, he had attended private school and earned his M.B.A. degree from one of Canada`s prominent business schools, the University of Western Ontario.

      When Starnet asked Aymong if he wanted the job, he took the bait.

      How much harder could it be than tackling Bell Canada on its own turf, Aymong asked himself at the time. His employer, Group Telecom, was one of the few companies that challenged Bell and survived after regulators opened up Canada`s $24.4 billion local telecommunications market to competitors.

      Group Telecom had grown to nearly 1,000 employees and annual revenues of $73.2 million by the time Aymong departed, though it had hefty losses that have since widened along with the rest of the telecom sector.

      Despite Starnet`s problems, the Internet gaming industry clearly offered better prospects. The global market for online gambling is an estimated $177 billion (U.S.), and the business is hugely profitable.

      While other online ventures have burned through billions of dollars and then tanked, Internet gambling software providers like Toronto-based CryptoLogic Inc. run profit margins in the 40 per cent to 50 per cent range.

      Starnet, which was recently renamed World Gaming PLC, isn`t currently among them. The company reported last week that it lost $16.8 million, or 52 cents a share, on sales of $20.2 million for the year ended April 30. (All figures are in U.S. dollars.)

      Most of the loss was related to one-time charges for restructuring, bad debts and settlement of outstanding legal issues, paving the way for an improved performance in the future, the company`s new chief financial officer Rodney Davis noted.

      Meanwhile, Starnet`s shares, which trade on the Nasdaq over-the-counter bulletin board in New York, have fallen to 50 cents apiece from a high of $25 in July, 1999.

      Still, with the right management, policies and procedures in place, Aymong figures, World Gaming could catch up and possibly even leapfrog over its competitors.

      It would, however, require starting with a clean slate. Again.

      Founded in 1995 in Vancouver, Starnet was one of the first companies to exploit the newly commercialized Internet. Its principal business originally was euphemistically called ``adult entertainment.``

      Its three sites included a gay site and a site featuring one-on-one interaction with women, according to the prospectus the company filed with the U.S. Securities and Exchange Commission in June, 1997, in support of its application for a Nasdaq listing.

      When reminded of Starnet`s history in the pornography business, Aymong winces. ``Please don`t write that. My mother might read it,`` he says.

      Starnet also had interests in the online gaming business through a subsidiary called World Gaming.

      In financial terms, Starnet was wildly successful. The company enjoyed sales, based mainly on monthly subscriptions, of $1.3 million in the nine months ended Jan., 31, 1997 - a 760 per cent increase over the year-earlier period, according to the documents filed with U.S. securities regulators.

      By July, 1999, the company had begun developing more aggressively its online gambling business. Sales had grown to $9.8 million and the company reported profits of $2 million. Its share price soared to $25.

      What could go wrong?

      A month later, the RCMP conducted a raid on the company`s offices and on several homes of executives and directors, based on allegations that Starnet was engaged in illegal gambling and pornographic activities. One employee, who told investigators he was in possession of child pornography, was immediately fired.

      The police probe didn`t immediately lead to the laying of any particular charges, but it caused Starnet`s share price to plummet, sparking a class-action lawsuit by U.S. investors. For more than two years, the case distracted the company`s management while the legal issues were sorted out.

      In October, 1999, the company named its lawyer, Meldon Ellis, as chief executive officer. During his brief tenure, the company sold off its adult entertainment division, installed a new management team and introduced new software. A year later, Ellis bowed out.

      The company`s chairman, Fred Hazell, stepped in as interim chief executive until Aymong came on board April 10 this year.

      In retrospect, Aymong says, a lot of Starnet`s problems were typical of a dot-com start-up: inexperienced managers, bad decision-making, compounded by fuzzy laws governing the online gambling business.

      In the end, the RCMP laid just one charge under a section of the Canadian Criminal Code that makes it an offence to own or operate a device that permits gambling. In Starnet`s case, that meant the powerful computer servers housed in its Vancouver offices.

      World Gaming has since taken the same steps other Canadian Internet gambling firms have done to avoid prosecution: It has moved all its servers to an offshore jurisdiction where online gambling is permitted, namely Antigua.

      Like other Canadian firms, the company doesn`t run any gambling sites directly. Rather, it sells ``turnkey`` gambling solutions - everything from the software to the payment systems, plus Web hosting - to third parties who operate the sites themselves.

      Since joining World Gaming, Aymong has remade the executive team and attracted what he calls ``tier one`` advisers and suppliers, including IBM Corp., Bay Steet law firm McCarthy Tetrault and public relations firm Goodman Communications Inc.

      His new chief financial officer, Rodney Davis, is a KPMG-trained accountant with a background in mergers, acquisitions and corporate financing. Davis was most recently CFO at MGI Corp., a visual media software supplier.

      The new chief operating officer, David Pasieka, came from 724 Solutions Inc., where he was COO of Canada`s leading wireless banking service provider.

      Since Aymong`s arrival, World Gaming has also settled the U.S. class-action lawsuit, agreeing to pay out a minimum of $1.05 million in shares to disgruntled shareholders.

      As well, the company pleaded guilty to a single charge in the RCMP investigation and paid a fine of $100,000, along with the standard victim surcharge of $15,000. The company forfeited $3.9 million in assets frozen since the raid, but it recouped another $3.6 million in frozen assets.

      Not a bad start, but the company still has a long way to go.

      Companies like CryptoLogic and Boss Media, based in Sweden, have clearly leapfrogged past Starnet while it was preoccupied with its problems.

      During last week`s conference call after releasing its financial results. World Gaming`s investors were clearly worried the company wasn`t doing enough to catch up.

      But Aymong said he`s confident the company not only can catch up but also surpass its competitors.

      John Dutton, the only analyst currently following the company, rates it a ``speculative buy`` for aggressive investors, in other words, a fairly big gamble.

      Dutton is bullish on Aymong, whom he describes as a strong leader who`s very marketing-oriented.

      The company`s licensees, Dutton also notes, have remained surprisingly loyal through all of its troubles.

      World Gaming plc Delivers Profitable Fourth Quarter

      LONDON--(BUSINESS WIRE)--Feb. 28, 2002--World Gaming plc (OTCBB:WGMGY - news) today posted its first profitable quarter for the three-month period ending December 31, 2001. The Company also released preliminary results for its eight-month period ending December 31, 2001. (For additional notes to the financial statements please refer to the Company`s 6-K filing with the U. S. Securities and Exchange Commission for the periods ended September 30, 2001. Note that the Company has changed its fiscal year end to December 31 from April 30, which results in the eight-month stub period. All amounts are in U.S. dollars.)

      Total revenues for the fourth quarter were $6.6 million compared to $6.4 million for the same period last year, representing an increase of 1.9 per cent. Net income for the quarter ending December 31, 2001, after including one-time redomiciling costs of $438 thousand ($81 thousand in 2000), was $536 thousand or $0.02 per share compared to a net loss of $199 thousand or $0.01 per share for the corresponding period last year -- representing a $735 thousand increase. Excluding the one time redomiciling costs, net income for the fourth quarter was $974 thousand or $0.03 per share.

      It was recently determined that redomiciling costs, previously capitalized, should be expensed in accordance with U.S. GAAP. According to FASB SOP 98-5, these expenses should be charged against income as incurred. This resulted in the Company expensing $438 thousand in redomiciling costs, which included $142 thousand that had been capitalized prior to the fourth quarter.

      For the eight-month period ending December 31, 2001, revenues were $12.1 million compared to $14.1 million for the same period last year, representing a decrease of 14.0 per cent. Net loss for the period after redomiciling costs was $2.2 million or $0.07 per share compared to a net loss of $2.7 million or $0.08 per share last year.

      ``The fourth quarter results demonstrate our ability to deliver on our commitments to shareholders despite industry challenges like payment processing,`` said Mike Aymong, Chief Executive Officer of World Gaming. ``Bringing sustained profitability to the Company has been a major focus since the new management team assumed control. While we are not finished yet, we are optimistic that we have reached a turning point and are now well positioned to continue delivering profitable growth.``

      Gross margins rose from 76 per cent to 89 per cent in the quarter, an increase of 13 percent, and from 72 per cent to 81 per cent for the eight-month period, an increase of 9 per cent, respectively from the prior year, reflecting a more profitable revenue mix.

      Operating expenses excluding redomiciling costs decreased 5.0 per cent during the fourth quarter and fell 9.8 per cent over the eight-month period. This is the result of a significant reduction in operating costs and marketing outlays. World Gaming expects continued improvements in these areas over the course of fiscal 2002.
