Erste INTASYS-Beteiligung geht an die NASDAQ
Montreal (ots) - INTASYS Corporation (NASDAQ: INTA) gibt den
ersten Börsengang einer Beteiligung bekannt: die US-Gesellschaft
interWAVE hat am vergangenen Freitag den Prospekt für das Anfang
nächsten Jahres geplante IPO an der NASDAQ (Kürzel: IWAV) bei der
amerikanischen Börsenaufsicht SEC eingereicht.

InterWAVE wird von einem Konsortium unter der Führung von Bank of
America Securities, Salomon Smith Barney und SG Cowent begleitet.
Dabei sollen 7,5 Mio. Aktien plaziert werden, was einem Free Float
von 19 ntspricht, die Bookbuilding-Spanne liegt zwischen 8 und 10
Dollar. Der Emissionserlös wird rund 65 Millionen Dollar betragen.

InterWAVE ist ein Unternehmen, das sogenannte "Microcellular
Systems" entwickelt und vertreibt. Dabei handelt es sich um
miniaturisierte Basisstationen für kleinräumige GSM-Netze. Im
Gegensatz zu den herkömmlichen Basisstationen, die darauf ausgelegt
sind, große Flächen und viele Teilnehmer ans Festnetz anzuschließen,
versorgen interWAVE-Basisstationen kostengünstig kleine Areale. Die
interWAVE-Technologie ist darauf ausgelegt, Wohnanlagen oder Firmen
ohne Verkabelungsaufwand mit Telekommunikationsdiensten abzudecken
(Sprachtelefonie und Daten) und an großräumige Netze anzuschließen.
InterWAVE hat einen entscheidenden technologischen Vorsprung
gegenüber anderen Diensten durch die Kombination von hoher
Bandbreite, Konversion von Sprach- und Datentelekommunikation und
geringem Investitionsaufwand. Im vierten Quartal 1999 hat interWAVE
die eigene Umsatzprognose um das Sechsfache übertroffen: statt der
erwarteten 5 Mio. Dollar Umsatz hat das Unternehmen bereits 30 Mio.
in den Büchern.

INTASYS hatte erst im September einen Anteil von 3 Prozent an
interWAVE zu einem Preis von 5 Mio. Dollar erworben. Auf der Basis
der Bookbuilding-Spanne von 8 bis 10 Dollar ergibt sich eine
Marktkapitalisierung von 300 bis 350 Mio. Dollar. Der INTASYS-Anteil
daran hat einen Buchwert von rund 12 Mio. Dollar. Analysten schätzen,
daß sich die Marktkapitalisierung des Unternehmens in der derzeitigen
Marktsituation rasch verdreifachen könnte.

Der Börsengang von interWAVE zeigt, daß die Strategie von INTASYS,
sich als neue CMGI an der Schnittstelle von Internet und mobiler
Telekommunikation zu positionieren, erfolgreich begonnen wurde. Durch
die Beteiligung kooperiert INTASYS im operativen Geschäft mit den
interWAVE-Shareholdern Nortel und Alcatel und konnte im Rahmen eines
OEM-Agreements seine Billing- und Customercare-Software in allen
interWAVE-Produkten plazieren.

INTASYS hält Anteile an interWAVE (3 der Metasearchengine
Mamma.com (69 4 Mio. einzelne Besucher pro Monat), der
Internet-IT-Consulting Firma TECCorp. (35 und der INTASYS
Management Corp (100 Billing-System für GSM-Provider). Die
Beteiligungen sind Teil einer wachstumsorientierten
Netzwerkstrategie, die Synergien zwischen den Beteiligungen schafft
und INTASYS als Global Player an der Schnittstelle von Internet und
mobile Telekommunikation positioniert.

IPO Filed By Intasys Incubator`s First Investment

MONTREAL--(BUSINESS WIRE)--Dec. 22, 1999--Intasys Corporation (NASDAQ: INTA) today announced that interWAVE Communications International Ltd. ("interWAVE") has filed a registration statement with the Securities and Exchange Commission for an initial public offering of shares from the treasury of company. The shares have been approved, subject to notice of issuance, for quotation on the Nasdaq National Market under the symbol: IWAV.

On August 30, 1999 Intasys announced that its incubator division, recently created in order to provide investment capital and management counsel to cutting-edge Internet, e-commerce and wireless telecommunications ventures, had invested US $5.05 million in interWAVE. Pursuant to this investment Intasys acquired 715,000 preferred shares (each convertible into one common share) and common share purchase warrants which entitle Intasys to purchase a further 715,000 common shares at $1 each.

Under the terms of the registration statement filed, interWAVE expects to raise a maximum aggregate amount of $86,250,000 by selling 7.5 million shares. The lead underwriters for the IPO are Salomon Smith Barney Inc., Banc of America Securities LLC and SG Cowen Securities Corporation.

Current interWAVE shareholders include such major telecommunication companies as Nortel Networks Corporation and Alcatel USA, a unit of Alcatel Alsthom Cie Generale d`Electricite. interWAVE is a provider of compact wireless communications systems based upon GSM, an international standard for voiceves to be the only commercially available system that provides all of the infrastructure equipment and software necessary to support an entire wireless network within a single enclosure. The company`s products are marketed globally through strategic relationships with Alcatel and Nortel.

At the time of the Intasys investment in interWAVE, the two companies signed an agreement whereby Intasys is to integrate its billing system with interWAVE`s digital microcellular network solutions, which will result in a product that can then be marketed by interWAVE on an OEM basis.
