MELROSE PARK, Pa.--(BUSINESS WIRE)--Feb. 16, 2005--CinTel Corp. ("CinTel") (OTCBB:CNCN - News), Korea`s top Internet Traffic Management (ITM) solution provider, is pleased to announce that it is supplying its log-analysis solution, PacketCruz(TM) iLog, to Samsung Electronics Co., Ltd. ("Samsung") of Korea at its Kiheung Center in Kyoung-gi Province. Additionally, the agreement calls for CinTel to provide the same equipment to Samsung`s headquarter in Seoul and to its Kumi Center in Kyoung-gi Province.
Enterprises are increasingly searching for ways to protect their corporate data and intellectual property from not only external network threats but also internal threats as well. CinTel`s new PacketCruz(TM) iLog is a network security solution that addresses these requirements by using an automatic management and event tracking technology for logging data of cache servers and/or web servers. ("CinTel") (OTCBB: CNCN-News) today announced that along with KT, has signed a contract to provide a wireless personal audio tour guide system for the National Museum of Korea. The National Museum of Korea(NMK) is operated by the Republic of Korea`s Ministry of Culture and Tourism.
The first phase of the project will enable delivery of audio and visual content to visitors on Personal Digital Assistants (PDAs) with RFID technology as well as on monitors throughout the museum. CinTel`s contract for this project is valued at approximately US$780,000(786,378,157 Won).

Kentucky Becomes `New` Home

CinTel Corp. Pays Down All Remaining Amount Under Cornell Capital Partner`s Standby Equity Distribution Agreement
CinTel Corp. ("CinTel") (OTC BB: CNCN),
a leader of Internet traffic management solutions, today announced that it has extinguished all of the shares and promissory note issued under the Standby Equity Distribution Agreement ("SEDA") with US-based investment fund Cornell Capital Partners LP ("Cornell") entered into in September of last year.
Under the terms of the SEDA, Cornell had committed to provide up to $5 million in funding to CinTel over a 24-month period, to be drawn down at CinTel`s discretion through the sale of CinTel`s common stock to Cornell. The purchase price of said shares purchased under the SEDA, with respect to any advance, was equal to 98% of the lowest closing bid price of the Common Stock on the listed market for the five days immediately following the notice date for the advance.
The SEDA facility may be used in whole or in part entirely at CinTel`s discretion. The issuance of the shares according to the Agreement was permitted by an effective registration statement.
"We are very pleased that we have bought back the shares issuable under the SEDA with Cornell," said Sang-Don Kim, President and CEO of the Company. "I thank Cornell for the SEDA which provided a ready source of cash for general and special corporate purposes at the time of CinTel`s greatest needs. Although the company still has the option to further drawdown based on the SEDA, we have extinguished 10,836,880 shares held in escrow by paying down all of the debt to Cornell. By stopping such new issuance of stock under SEDA, even if the transaction volume has decreased, we believe that the pricing pressure on the stock price has eased. Our paying down the debt is in alignment with CinTel`s efforts to maximize shareholder value," he added.

The main economic factors for the decrease of 8.6 % in revenue for the first nine months of 2005 compared to the previous year can be attributed to the slow economic condition in Korea and the temporary delay of some projects until the following quarter. The economic climate is turning positive and we expect this issue to disappear by the next quarter. In the upcoming quarter, the company expects significant new revenues due to factors such as a new strategic alliance with companies such as Hyundai HDS and is continuing to capitalize on past opportunities. The company will increase the reach with current trusted customers and partners with our expanded revenue generating product lines.
A 14.7% decrease in costs compared to last year can be attributed to higher profit margins on products sold. For example, the profit margin of merchandise in Q3, 2005 was 2.3%, but that margin in Q3, 2005 was 12.9%. Second, the gross profit margin of finished products in 2004 was 25.9%, but in 2005 it was 35.6%. Our contract with the Korea Museum Project with KT (Korea Telecom) is a direct example of 12.9 % increase in merchandise. Although the total dollar amount on finished goods was down the cost of sale was more than proportionately reduced and thus resulted in these increased margins.
One large factor in our increase in cost of overseas operations was a result of travel expenses to markets such as China, Australia and the United States. Another cost increase is directly related with an increase in expenses to build alliances and research of potential new markets that will help to build our bonds with large customers and corporate alliances. The results of this contribution should be clear by the end of this year.
Management believes the ITM market continues to expand globally soon. Although the company`s financial performance is down compared to last year largely due to a lack of diversification in its products and markets, the company can expect to show additional revenue and profits in near future with the strong relationships it has with its enterprise level customers. In accordance with the directive of the board of directors, management will use the balance of fiscal year 2005 to expand its products and markets. In its core market, Korea, CinTel will better leverage its alliance with Hyundai HDS and expand the solution portfolio from the single ITM solutions to include more enterprise IT solutions, including security products with HDS. We believe this partnership with HDS will continue to enable growth for CinTel in the current IT environment. CinTel is taking steps to establish several business partnerships in the U.S. Additionally, CinTel will study other markets to enter where we can leverage our distribution channels and product strengths.

Operations for the next twelve months
Our financial plan for the next twelve months depends on important assumptions, most of which are shown in the following table. The key underlying assumptions are:
o We assume a slow-growth economy without major recession.
o We assume there are no unexpected discoveries in technology to make our products immediately obsolete.
o We expect the global IT spending environment to remain flat to slightly above this year`s levels.
o Nature and Limitation of Projections -This financial projection is based on sales volume at the levels described in the revenue section and presents, to the best of management`s knowledge and belief, the company`s expected assets, liabilities, capital, revenues, and expenses. The projections reflect management`s judgment of the expected conditions and its expected course of action, given the assumptions.
o Revenues - The Company`s revenues are derived primarily from the sale of IT solutions to enterprise customers. Revenue projections are based on the 2005 sales in the comparable market nationwide, based on industry average. The exact numbers can be found in the Sales Forecast table and chart section.
o Expenses - The Company`s expenses are primarily those of salaries, sales commissions, development costs, operating costs, and administrative costs. Other expenses are based on management`s estimates and industry averages.
Trends
The ITM market is currently undergoing rapid transformation from a pure caching appliance environment to a convergence of more enterprise network traffic and application management features such as SSL VPN, Application Acceleration (Web-enabled), WAN optimization, Firewall and Content Security. CinTel must incorporate these functionalities into its current product line to better compete in the marketplace.
Wireless ISP market access penetration is rapidly increasing in North America as wireless and Broadband technologies are being deployed. As the standards are agreed upon, and as the new business models begin to surface broadband access penetration will become ubiquitous and will open up new business opportunities for companies like CinTel and others in this space.
Income/loss elements not a part of regular business operations
Although in the normal course of business there will always be a percentage of receivables that will go uncollected, a significant amount was written off the books this fiscal year. This was due to the downturn in Korea`s IT climate that began a few years ago, and these companies were never able to recover from that, and management has conceded and recognized the fact. This is not a symptom of poor vendor qualification.
Liquidity
Although results of this fiscal quarter did not yield a profit, we believe this was due to our concentration of risk on a small number of customers for the majority of our revenues, and not due to any specific weakness in our business opportunity overall in a broader marketplace. Therefore we do not believe reducing expenses to achieve profitability in one single year will help to grow the business in the long run for our shareholders. We anticipate increasing our expenditure to capture market share in the areas we have outlined above will result in a solid base for future growth and profitability.

Item 1.01 Entry into a Material Definitive Agreement.
On November 17, 2005, Cintel Corp. (the “Company”) entered into securities purchase agreements with ten accredited investors for the sale of an aggregate of $2,161,334 principal amount convertible notes (the “Convertible Notes”). The Convertible Notes do not bear interest and, unless converted into shares of the Company’s common stock, are due and payable on May 17, 2007. The Convertible Notes are convertible into the Company’s common stock at any time after issuance at a conversion price of $0.14 per share. If at any time the Company determines to file a registration statement under the Securities Act of 1933, as amended (the “Securities Act”), other than on Form S-4 or S-8, the Company must provide written notice of such determination to the holders of the Convertible Notes. If within 15 days after such notice the holders so request in writing, the Company must include the shares of common stock issuable upon conversion of the Convertible Notes in such registration statement. The sale of the Convertible Notes was exempt from registration requirements pursuant to Section 4(2) of the Securities Act and Rule 506 promulgated thereunder.

CinTel Corp. Receives Approximately $5.56 Million in Convertible Notes
CinTel Corp. ("CinTel") (OTC BB: CNCN), a leader of Internet traffic management solutions, today announced that on December 15, 2005, it received approximately $5.56 million in investment capitol from a group of investors in the form of convertible notes, convertible to the common stock of the company at $0.35 a share, more than 30% premium above the closing price of the stock of $0.26 on that day. (Please refer to the related 8-K filed on December 20, 2005). Although the convertible notes will be convertible into slightly less than 16 million shares, CinTel plans to parlay this private investment to invigorate marketing and sales results in 2006 and to possibly make acquisitions of profitable and/or promising companies which would increase CinTel`s earnings per share on a fully diluted basis.
"We are very pleased to receive over $5 million in investment capitol from these long-term investors," said Sang-Don Kim, the CEO and President of CinTel. "Current shareholders must realize that the holders of the convertible notes cannot convert the said notes into common stock of CinTel until a conversion notice is provided by such holders and a registration statement is effected. In fact, the same is true of all convertible notes issued in the last two months; none of them has registration rights, only piggyback registration rights. We anticipate this process of effecting a registration statement for the converted shares to take at least a couple of months, as registration of the conversion shares will most likely invoke a review of the Securities and Exchange Commission, as is the current practice of the regulatory body.

LOUISVILLE, KY -- (MARKET WIRE) -- 01/20/06 -- On October 26, 2005, CinTel Corp. (OTC BB: CNCN), a leader in Internet traffic management, had made the announcement that it expected $12M-$14M in contract value to be signed by 2005. However, today, CinTel announced that due to the request from the prospective end user that particular project which was obtained in cooperation with Hyundai HDS has been delayed until year 2006. CinTel had entered into a strategic alliance relationship with Hyundai HDS in August 2005 with the view of focusing on providing a total solution, including main storage, for financial institutions. The prospective end user, which is one of the largest financial institutions in Korea had already used the solution provided by CinTel-Hyundai HDS alliance on a trial basis, and a definitive agreement was to be signed before the end of 2005. Due to the increased number of customers, transactions and database and its search for greater stability, the prospective end user had been seeking to upgrade its existing system. However, due to difficulty of (a) the Herculean task of migrating billions of terabytes of data, and (b) bullet-proofing the system from failures, the prospective end-user had only a few days ago officially requested to Hyundai-HDS and CinTel a longer test period to assure itself of the fail-proof nature of the solution. Essentially, the reason for the delay in signing the purchase agreement may be said to be due to the end-user`s need to thoroughly test the system`s stability, as it is a very high-profile financial institution. This large project is merely delayed; the demonstration is going smoothly; the prospective end-user is not considering any other alternative solution; and CinTel expects to sign the purchase agreement as soon as the prospective end user becomes completely assured of the stability of the system.
Hyundai HDS`s CEO, Mr. Chul-Joo Jung, states, "It was really unexpected and disappointing that we could not secure this large project with a leading bank in Korea in 2005, because we had been repeatedly assured by the prospective end user that we would conclude the purchase agreement by the end of 2005. From Hyundai HDS`s perspective, this project was quite important as it offered a diversification away from our reliance on Hyundai affiliates and inclusion of a great value-added product such as CinTel`s iLog which excels in data management. CinTel and Hyundai HDS are cooperating together to secure bigger orders in 2006. Although we were planning on concluding this project in 2005 and using this client as a reference for future business, I was very disappointed to hear that the prospective end user informed us at the very last minute -- quite apologetically -- that it could not assure itself 100% of the system`s stability by the end of 2005 and thus needed more time. However, we will continue with the alliance with CinTel, and I am confident that the alliance will bear fruit in other significant additional projects in 2006."
Sang-Don Kim also added, "CinTel is very close to receiving the largest order since establishment, and I am disappointed with this delay to book the $12-$14 million project. On the bright side, since this is only a delay, I am confident that CinTel will conclude this project at the latest by 2006. I will work my hardest to realize all of CinTel`s goals. From Hyundai HDS`s perspective, this project was quite important as it offered a diversification away from our reliance on Hyundai affiliates and inclusion of a great value-added product such as CinTel`s iLog which excels in data management. CinTel and Hyundai HDS are cooperating together to secure bigger orders in 2006. Although we were planning on concluding this project in 2005 and using this client as a reference for future business, I was very disappointed to hear that the prospective end user informed us at the very last minute -- quite apologetically -- that it could not assure itself 100% of the system`s stability by the end of 2005 and thus needed more time. However, we will continue with the alliance with CinTel, and I am confident that the alliance will bear fruit in other significant additional projects in 2006."
Sang-Don Kim also added, "CinTel is very close to receiving the largest order since establishment, and I am disappointed with this delay to book the $12-$14 million project. On the bright side, since this is only a delay, I am confident that CinTel will conclude this project at the latest by 2006. I will work my hardest to realize all of CinTel`s goals. CinTel will look markedly improved by end of 2006 than by end of 2005."
