In connection with the proposed transaction, VSAC and Mediforum intend to cause a registration statement on Form F-4 or S-4 to be filed with the SEC, which will include a proxy statement to be distributed to VSAC's stockholders in connection with VSAC's solicitation for proxies for the vote by VSAC's stockholders in connection with the proposed transaction and other matters as described in the registration statement, as well as a prospectus relating to Mediforum’s securities to be issued in connection with the proposed transaction.
