Montréal, August 23, 2016 – Sphinx Resources Ltd. (“Sphinx” or the “Corporation”) (TSX-V: SFX) is pleased to announce the execution of a binding letter of agreement to form a 50-50% joint venture with Sirios Resources Inc. (“Sirios”) to explore 551 claims that are presently under request (the “Project”) by this consortium along the northwest extension of the Cheechoo-Éléonore trend, located in the Eeyou Istchee James Bay region, Québec. A map showing the perimeter of the Project may be consulted by clicking here.

Under the terms of this joint venture agreement Sphinx and Sirios have agree to:

spend a minimum of $ 500,000 by each party over the next five years;
create a management committee to design and oversee the exploration program on the Project;
have Sirios act as operator of the Project; and
provide that if of a party’s interest dilutes to 10% or less, its interest shall be converted to a 2% net smelter return royalty (the “Royalty”). At any time, the non-diluted party may purchase half of the Royalty-holder’s rights to all future Royalty payments for an immediate payment of $1,000,000.
Sphinx and Sirios join their robust and complimentary technical expertise to carry out an exploration program which aims to identify gold deposits along this promising and underexplored corridor. This trend comprises Sirios’ Cheechoo gold discovery (see Sirios’ press releases of March 29, June 8 and August 10, 2016) and the Éléonore mine, a world-class gold operation owned by Goldcorp Inc. The Project’s southeastern extremity is situated about 24 km northwest of the Éléonore mine and road access is available within 14 km of this location. On the basis of the same high degree of metamorphism and similar gold-arsenical paragenesis, Sphinx considers that the geological setting of the Project is of a similar character to the Cheechoo discovery and the Éléonore mine.

The technical information presented in this press release has been approved by Normand Champigny, President and Chief Executive Officer of Sphinx, and a Qualified Person as defined by NI 43-101. The transaction is an exempt transaction under Policy 5.3 of the TSX Venture Exchange.

SPHINX AND SIRIOS COMMENCE EXPLORATION ON THE CHECHOO-ELEONORE TREND PROJECT, EEYOU ISTCHEE JAMES BAY REGION

Sphinx Resources Ltd. and its partner, Sirios Resources Inc., have begun exploration work on the Cheechoo-Eleonore Trend project in the Eeyou Istchee James Bay region in Quebec.

The objective of this first phase of exploration is to provide a preliminary evaluation of the gold potential of this promising and unexplored 50-kilometre trend that comprises the interpreted northwest extension of the Cheechoo-Eleonore corridor. This trend hosts Sirios's Cheechoo gold discovery and the Eleonore mine, a gold operation owned by Goldcorp Inc. The project's southeastern extremity is situated about 24 kilometres northwest of the Eleonore mine and road access is available within 14 kilometres of this location.

The management committee of the joint venture has approved a till sampling program that will be conducted and completed during the month of October by Consultants Inlandsis with the collaboration with TJCM (Table jamesienne de concertation miniere). The sampling will use a spacing of 200 metres and the program is designed along a line perpendicular to the ice-flow direction, as well as down ice from the interpreted Chechoo-Eleonore corridor. This survey is oriented in a northwest-southeast direction within the project's claims and will include a quality control program.

On Aug. 23, 2016, Sphinx and Sirios announced the signing of a letter of intent to form a 50-per-cent/50-per-cent joint venture for the project, which consists of 551 claims (286 square kilometres).

SPHINX AND SOQUEM IDENTIFY UNDRILLED, STRONG AND EXTENSIVE ZINC-LEAD SOIL ANOMALIES ON THE CALUMET-SUD PROJECT, QUEBEC

Sphinx Resources Ltd. and its partner SOQUEM have released new and positive results for zinc and lead from a geochemical soil sampling program on the Calumet-Sud project. These results were obtained in follow-up of the HELITEM30C MULTIPULSE(TM) airborne survey completed earlier this year. Both the Sonny Zone and a new parallel zone (the "Sonny West Zone"), located 150 m west of the Sonny Zone, are delineated by strongly anomalous values in soil for zinc and lead. The Sonny Zone discovery was initially reported in the press release dated June 25, 2015. Both zones are untested by drilling.

The combined soil sampling data from the Sonny and Sonny West zones comprised 1,034 soil samples (B Horizon) over an area totalling approximately 0.8 km2 (see appended Figure 1). Sampling and analytical protocols are comparable and consist of a spacing of 100 m by 100 m regionally and approximately 25 m by 25 m in and between the two zones. Sampling has not been conducted to the south of the anomalous area.................

("Sphinx" or the "Corporation") (TSX VENTURE:SFX) announces that the Fonds de solidarité FTQ (the "Fonds") and the Fonds de solidarité FTQ Nord-du-Québec (the "Fonds NdQ") have accepted a settlement of the repayment of the amount of their debentures of $150,000 and $75,000 respectively issued by Sphinx (see press release dated December 19, 2014). The settlement will be made through the issuance of 4,500,000 common shares of Sphinx to the Fonds and 1,500,000 common shares to the Fonds NdQ at a price of $0.05 per share, subject to approval by the TSX Venture Exchange (the "Exchange").

As a result of this settlement, the Fonds and the Fonds NdQ will exercise control on 3,720,032 and 1,887,392 common shares respectively, representing 6.15% and 3.12% of the outstanding common shares............

SPHINX CLOSES $1,402,810 HARD DOLLAR PRIVATE PLACEMENT FINANCING

Sphinx Resources Ltd. has closed a non-brokered hard-dollar private placement for aggregate gross proceeds of $1,402,810, including $804,110 from subscribers identified by Haywood Securities Inc. and $400,400 from four Quebec-based institutional funds:

Caisse de depot et placement du Quebec (CDPQ) ($150,000);
Capital croissance PME II sec (CCPME) ($100,200);
Societe de developpement de la Baie-James (SDBJ) ($100,200);
Societe d'investissement dans la diversification de l'exploration (SIDEX) ($50,000).
The private placement comprised 23,380,165 units of the corporation at a price of six cents per unit. Each unit consists of one common share in the capital of the corporation and one common share purchase warrant. Each warrant entitles the holder to acquire one common share at a price of nine cents per common share until Feb. 28, 2020. The securities of the corporation to be issued pursuant to the private placement are subject to a four-month hold period expiring June 29, 2017. Management and one director of the corporation subscribed for an amount of $15,300 of the private placement.

The net proceeds of the private placement will be used to finance the corporation's precious metals exploration projects (Cheechoo-Eleonore trend and Chemin Troilus in Eeyou Istchee James Bay and Green palladium in the Pontiac regional municipal county in southwestern Quebec) and for general working capital purposes. Financing for drilling the Calumet-Sud zinc project (next to the Green palladium project) will be provided solely by SOQUEM, Sphinx's partner on that project. SOQUEM can acquire a 50-per-cent interest in the project by carrying out exploration work totalling $450,000. The private placement has been conditionally accepted by the TSX Venture Exchange.

SPHINX ANNOUNCES THE GENERATION OF THE TESSOUAT ZINC PROJECT, ZIAC DISTRICT, PONTIAC MRC

Sphinx Resources Ltd. has entered into an agreement with Resources Tranchemontagne Inc. and Gardin Inc. to acquire a 100-per-cent undivided interest in 22 claims (13 square kilometres) held by Tranchemontagne. The claims are known as the Tessouat project, located in the Pontiac regional county municipality (MRC) in southwestern Quebec.

Under the terms of this agreement, Sphinx acquires the claims for a consideration that consists of:

A payment of $26,000;
The issuance of 100,000 common shares of Sphinx;
Carrying out exploration work totalling $70,000 over a period of two years with work completed prior to Aug. 1, 2019;
The grant of a net smelter return of 2 per cent.
The shares to be issued have a deemed price of 4.5 cents per share and will be subject to a four-month hold period. The agreement is subject to TSX Venture Exchange approval and other customary closing conditions. Pursuant to Policy 5.9 of the TSX-V and Multilateral Instrument 61-101, the proposed transaction may be classified as a related party transaction as Gardin is a principal shareholder of the corporation. In reviewing the applicable valuation and minority shareholder approval requirements under Multilateral Instrument 61-101, the corporation is relying on the exemptions from such valuation and minority shareholder approval requirements of MI 61-101 contained in sections 5.5(a) and (b) and 5.7(a) of MI 61-101.

The project is located five kilometres northeast of the municipality of Waltham with excellent road access throughout the year. The project is located at the northern end of a northwest-trending corridor as defined by zinc-bearing dolomitic marbles. This corridor has a length of 40 kilometres and is named Ziac (abbreviation for zinc Pontiac). The corridor includes the historical New Calumet zinc-lead-silver-gold mine (30 kilometres southeast of the project), which was operated from 1943 to 1968; the Calumet-Sud project currently explored by Sphinx and its partner Soquem; and Sphinx's Green palladium project (see press release of Aug. 3, 2017).

Sphinx has designed a $20,000 exploration program to be completed this summer. The program will consist of soil sampling (approximately 400 samples) that will aim to identify the most prospective areas and define drill targets in this high-grade metamorphic environment.

("Sphinx" or the "Corporation") (TSX VENTURE:SFX) is pleased to announce that it has acquired a total of 392 claims (230 km2) through map staking in the newly-coined Ziac district (the "Ziac") located in the Pontiac MRC region in southwestern Quebec. The Ziac is a 40-km long northwest trending corridor defined by zinc-bearing dolomitic marbles (see press release of August 8, 2017) typical of the Balmat-Edwards-Pierrepont zinc district (the "Balmat district"), located in the state of New York, United States. The Ziac is separate from the meta-volcanic rocks that host the historic New Calumet zinc-lead-silver-gold mine which was operated from 1943 to 1968.

The Corporation believes that the zinc results received to date and the presence of two styles of zinc mineralization indicate the presence of robust mineralized systems in the Ziac.

Sphinx has acquired the following new projects within the Ziac:

Tessouat-Sud (296 claims, 177 km2); and
Obwondiag (96 claims, 53 km2).
In addition, the Ziac includes:

the Calumet-Sud project currently being explored by Sphinx and its partner SOQUEM (21 claims, 12 km2);
the Tessouat project (22 claims, 13 km2), 100% owned by Sphinx; and
the GPd project (74 claims, 41 km2), 100% owned by Sphinx and on which newly identified zinc potential has been confirmed.
There appear to be many common geological features between the Ziac and the Balmat district. Sphinx Resources Ltd. and its partner SOQUEM have released additional positive results for zinc and lead from a soil sampling program on the Calumet-Sud project. The detailed soil survey with a spacing ranging from 25 metres to 100 m was carried out to determine the extension of the mineralized trends and to better delineate the strong zinc and lead anomalies identified during the previous surveys. These new results confirm anomalous zinc and lead values over a distance of 1,000 m along the Sonny zone and the Sonny West zone. This survey also assessed the southward extension of the anomalies where no previous work was done and particularly south of the Sonny discovery (see images on the company's website, drill hole 1400-17-03, 4.1 per cent zinc over three m at a depth of 11 m in carbonate rocks). The two zones are covered by a thin layer of altered soil and rock and hosted in metamorphosed carbonate rocks...........

("Sphinx" or the "Corporation") (TSX VENTURE:SFX) is pleased to announce that strong zinc anomalies, with values up to 5,650 ppm zinc and 271 ppm lead, have been identified following a soil sampling survey carried out earlier this fall on its 100% owned Tessouat project (the "Project"). These results defined anomalous zinc and lead values over an area of about 400 m by 400 m, located in the central portion of the Project. The detailed soil survey was designed to test for the presence of zinc mineralization in the underlying bedrock and to delineate areas where follow-up trenching and stripping can be performed. Samples were taken at a spacing ranging from 25 m to 100 metres.

Sphinx is designing a follow-up trenching and rock sampling program to be executed during the month of November.

The program will aim to investigate the most prospective areas and to define drill targets in this high grade metamorphic environment. The Project consists of 22 claims (13 km2), and is located 5 km northeast of the municipality of Waltham. Excellent road access throughout the year is available. Sphinx recently acquired the Project and a definitive agreement has been executed between Gardin Inc. and the Corporation............

SPHINX RESOURCES AND SOQUEM: CALUMET-SUD PROJECT RETURNS EXTENSIVE ZINC VALUES AT SURFACE

Sphinx Resources Ltd. and its partner SOQUEM have discovered extensive surface zinc mineralization as part of a stripping program on the Calumet-Sud project. Channel sample composite 17-04 assayed 2.37 per cent Zn over 20.3 metres, sample composite 17-06 was at 6.0 m at 3.23 per cent Zn and sample composite 17-05 had four m at 3.34 per cent Zn. The discovery area is located two kilometres from the historic New Calumet Mines Ltd. zinc-lead-silver-gold mine, which produced 3.8 million tonnes of ore at a grade of 5.8 per cent Zn, 1.6 per cent lead, 65 grams per tonne silver and 0.4 g/t gold from 1944 to 1968 (reference: annual report New Calumet Mines 1968).

The channel sampling results reported below were obtained from the Sonny and Sonny West zones which are parallel mineralized structures approximately 420 m apart. Mechanical stripping that significantly extended the mineralized areas sampled previously by trenching and tested by the first phase of drilling (see press releases of June 25, 2015, and July 13, 2017, respectively). The project is a joint venture between Sphinx (50 per cent) and SOQUEM (50 per cent). Sphinx is the operator of the project.

Results

Geological mapping of the stripped areas confirmed the stratiform and continuous nature of the zinc mineralization hosted in dolomitic marble rocks.

Sonny zone

Two subparallel horizons, each with an estimated true thickness of 3.0 m, were exposed over a strike length of 75 m in the stripped area. Mineralization is stratiform, oriented north-south with a shallow dip (10 to 20 degrees) to the east. It is open along strike and spatially correlated to very high zinc values in soils over 360 m (see press release Dec. 20, 2016). The best composite intervals are:
Channel 17-01: 10 m at 1.93 per cent Zn and 5.9 m at 1.75 per cent Zn;
Channel 17-02: 10 m at 1.93 per cent Zn;
Channel 17-03: 10 m at 1.66 per cent Zn;
Channel 17-04: 20.3 m at 2.37 per cent Zn;
Channel 17-05: four m at 3.34 per cent Zn;
Channel 17-06: six m at 3.23 per cent Zn;
Channel 17-07: 8.7 m at 2.38 per cent Zn.
Sonny West zone (420 m to the NW)

One horizon of up to six m in thickness was exposed in the stripped area over a strike length of 40 m. The mineralized horizon is oriented north-south and with a shallow dip (30 to 40 degrees) to the east. It is open along strike and spatially correlated to very strong zinc values in soils over 1.8 km (see press release Dec. 20, 2016). The best composite intervals are:
Channel 17-01: 4.1 m at 1.75 per cent Zn;
Channel 17-02: 4.4 m at 1.77 per cent Zn;
Channel 17-03: 10 m at 0.53 per cent Zn;
Channel 17-04: 1.4 m at 1.83 per cent Zn;
Channel 17-05: 4.2 m at 0.92 per cent Zn.
The samples weighed 3.4 kilograms each, on average. All channel samples have been individually described and both geological and drone mapping of the stripped outcrops has been completed. The 12 channel samples were cut generally perpendicular to the strike of the mineralized horizons and comprise 115 individual samples with a cumulative length of 212 metres. True thicknesses may range from 25 per cent to 50 per cent of apparent widths at surface.

Exploration potential

The potential to extend the mineralization along strike of the mineralized horizons is considered excellent in both directions and is supported primarily by a southwest-northeast to northwest-southeast trend of very strong anomalous zinc values in soils. On the basis of the work performed to date a drilling program is being designed by the joint venture partners.

The program aims to identify at depth and extend along strike the mineralization discovered by stripping on the Sonny and Sonny West zones.

The new drilling campaign will begin in the following weeks...........

SPHINX AND SOQUEM ANNOUNCE INTERSECTION OF EXTENSIVE NEAR-SURFACE ZINC MINERALIZED HORIZONS IN DRILLING ON THE CALUMET-SUD PROJECT

Sphinx Resources Ltd. and its partner SOQUEM have completed their second diamond drilling program. Eleven holes have been drilled for a total of 426 m on the Calumet-Sud zinc project. The visual observations show that:

On the Sonny zone, all eight holes intersected a subhorizontal zinc-bearing horizon that is continuous over 113 m with a width of 60 metres. It starts at surface and continues to a depth of 29 metres.
On the Sonny West zone, the three holes indicate that the horizon is subvertical. It was intersected over 50 metres.
All of the drill holes confirm that mineralization is metamorphosed sedex type (sedimentary exhalative, more than half of the world's zinc and lead production is from mines producing from of this type of deposit).
These horizons are defined by the presence of massive sphalerite bands ranging from one centimetre to several centimetres in thickness, as well as disseminated sphalerite, all hosted in marble. Beyond the area of this drilling, the horizons can be traced over a 1.5 km strike length on the basis of anomalous zinc values in soils and limited drilling conducted by Sphinx and Soquem in 2017 (see press releases dated July 13, 2017, Feb. 22, 2017, and Dec. 20, 2016).

This campaign follows the discovery of new and extensive zinc mineralization on surface during the stripping program on the Sonny and Sonny West zones of the project (see press release of Nov. 22, 2017). The program aimed to identify the continuation of the zinc-mineralized horizons at the periphery of the stripped areas.

The discovery area is located two km from the historic New Calumet Mines Ltd. zinc-lead-silver-gold mine, which produced 3.8 million tonnes of ore at a grade of 5.8 per cent zinc, 1.6 per cent lead, 65 grams per tonne silver and 0.4 g/t gold from 1944 to 1968.

The project is part of the larger Ziac zinc district. This emerging zinc play is a 40 km long northwest-trending corridor defined by zinc and lead-bearing dolomitic marbles (see press release of Aug. 8, 2017). These rocks are typical of the Balmat-Edwards-Pierrepont zinc district, located in the state of New York, United States............

SPHINX AND SOQUEM INTERSECT 9.0% ZINC OVER 1 METRE WITHIN A STRATIFORM, SHALLOW-DIPPING AND NEAR-SURFACE HORIZON GRADING 3.1% ZINC OVER 6.4 METRES IN DRILLING ON THE CALUMET-SUD PROJECT

Sphinx Resources Ltd. and its partner SOQUEM have released the initial results of their recently completed diamond drilling program on the Calumet-Sud zinc project in Quebec.

Hole CS-18-06 returned 9.0 per cent zinc over one m within a stratiform and shallow-dipping mineralized horizon that graded 3.1 per cent zinc over a 6.4-metre length beginning at a depth of 15.6 metres.

Based on outcrop measurements of mineralization and drill hole orientation, the true thickness is estimated at 100 per cent of the drilled length.

This hole is located on the Sonny zone where all eight holes drilled during this program intersected the subhorizontal zinc-bearing horizon. The horizon is known to date over a surface area 113 m long by 60 m wide (see press release of Feb. 6, 2018). The corporation considers that these results are very encouraging.

Assays are pending for the remaining 10 holes..............

Alle holes sind „durch“.
Der Kurs kommt aktuell wieder etwas zurück....da ist ja auch noch ein gap offen...
Mal sehen, ob sich da vor dem im Frühjahr beginnenden Anschluss Exploration Programm noch Chancen ergeben.

Sphinx Resources Ltd. and its partner SOQUEM have released the results from the remaining nine holes from the 11-hole diamond drilling program completed earlier this year on the Calumet-Sud project in Quebec. The results include 13.1 per cent zinc over 1.0 metre in hole CS-18-02 within a stratiform and shallow-dipping mineralized horizon that graded 3.8 per cent zinc over a 5.0 m length beginning at a depth of 15 metres.

This is in addition to hole CS-18-07 that returned 6.6 per cent zinc over 1.4 m within 3.0 per cent zinc over a 6.8 m length beginning at a depth of 18 m and to hole CS-18-06 that returned 9.0 per cent zinc over one m within 3.1 per cent zinc over a 6.4 m length beginning at a depth of 15.6 m (see press releases of Feb. 22 and March 6, 2018).....
