gestern hat die sagenumwobene MAMMA.inc nachbörslich bekanntgegeben, dass die copernic übernehmen... an den deal hat schon keiner mehr geglaubt! nun ist er in trockenen tüchern ... und noch nicht mal zu teuer. dazu der deal mit infospace. werbenetzwerk mammamediasolutions hat in den letzten monaten ordentlich zugelegt... die aktie könnte durch die decke gehen...

einige scheinen das noch nicht geschnasselt zu haben... man kann sich hier vorbörslich mit einem wert eindecken ... der möglicherweise in kürzester zeit einen riesensprung macht... mamma hat copernic übernommen, die wiederrum den desktop search für niemand geringeres als aol lizensieren!!!! - außerdem läuft mammamediasolutions weitaus besser als allgemein angenommen... man hat immer noch eine 8% tige beteiligung an ltrim!!!

MONTREAL--(BUSINESS WIRE)--Dec. 22, 2005--Mamma.com Inc., (the "Company"), (NASDAQ:MAMA - News), announces that the Company`s board of directors and the board and shareholders of Copernic Technologies Inc. ("Copernic") have approved definitive purchase agreements to acquire 100% of the issued and outstanding securities of Copernic (the "Transaction"). Unless otherwise stated, all figures in this release are in US dollars.
The Company has agreed to acquire 100% of the issued and outstanding securities of Copernic, including an amount to cover Copernic`s outstanding stock appreciation rights obligations, for $15,900,000 and the issuance of 2,380,000 common shares of the Company. Copernic had approximately $5.9 million of revenue and EBITDA of approximately $1.8 million in their fiscal year ended June 30, 2005. The Transaction closed today, December 22, 2005. Merriman Curhan Ford & Co, an investment bank headquartered in San Francisco, is acting as M&A advisor to Mamma.com in this acquisition.
Copernic`s Chairman, Martin Bouchard will join the Company as Executive Vice-President and Chief Strategist and Technology Officer. As part of the Transaction, it has been agreed that the Company will recommend to the Company`s shareholders that the Company`s board of directors be increased to seven members with the appointment of Martin Bouchard and an independent director. Shareholders will be asked to approve this either at a Special Shareholders` meeting or the next Annual General Meeting of the Company. As well, Eric Bouchard, Copernic`s Executive Vice-President, Products will join the Company as Vice-President of Research and Development and Albert Dang-Vu, Copernic`s Vice-President, Technology will join the Company, as Vice-President of Technology.

...nicht ausgestiegen?? das war natürlich sehr schmerzhaft. na dann kommt die schmerzlinderung ja gerade rechtzeitig zu weihnachten. hab damals ganz gut verdient, und hab jetzt durch nachkäufe einen relativ guten schnittpreis von ca. ein bisschen mehr als €2. hoffe auf bessere zeiten, und das auch die 2.hürde, die probleme mit der sec, sich anfang 06 in rauch auflösen. ehrlich gesagt platzte der deal mit copernic das erste mal ja wegen der sec, warum sollten sie ihn neu aufrollen wenn irgendwas im busch wäre...

ich bin gespannt wie es die tage weiter geht! auf jeden fall bringt copernic mehr substanz in den laden als alle bisherigen zukäufe zusammen. dazu der ltrim anteil. und vielleicht noch der infospace deal... ich bin für die nächsten wochen recht zuversichtlich. noch wird die aktie ja sogar noch unter 3 dollar gehandelt. ist ja sogar billiger als die randphänomene auf dem deutschen suchmaschinenmarkt:
abacho: mk: 12 mio - umsatz mit suchmaschindiensten. ca. 800.000
mamma: mk ca. 35 mio - umsatz mit suchmaschinendiensten ca. 14. mio.
auch bei den großen ein umsatzmultible an annähernd 10:
google: 4,5-5 mrd umsatz: bewertung 42 mrd!!!!

ich denke schon an ein paar Monate. Aber ein wenig Steigerung auf 3 € innerhalb ein paar Wochen wäre schon toll.

aber da mein stop loss gestern ausgelöste wurde
muss ich erstmal kurzfristig auf niedrigere kurse hoffen, um mich wieder günstig eindecken zu können
und realistisch betrachtet rechne ich noch mit irgendeiner guten nachricht, die sie rausbringen, damit sich das jetzige niveau hält.
