UPDATE 1-Immunex to sell new shares, AHP trims stake

LOS ANGELES, Aug 9 (Reuters) - Immunex Corp.
announced on Wednesday plans for the sale of up to 70 million
shares of its stock and said American Home Products Corp.
, which now owns more than half of the biotechnology
company, will cash out more than 20 percent of its stake.
"We are evolving from a majority-owned entity into more of
an operating partnership," Ed Fritzky, chief executive officer
of Seattle-based Immunex, said during a conference call.
The company`s shares, which rose 1-14/16 to close at
53-7/16 on Nasdaq before the announcement, had fallen to around
47 in after-hours trading.
Immunex said it filed to sell up to 20 million shares of
its common stock in a primary offering and AHP, which is based
in Madison, N.J., filed to sell up to 50 million shares in a
secondary offering.
"That`s a lot of supply -- about $4 billion. That`s why the
stock is down," said Matt Geller, an analyst at CIBC World
Markets. At the end of June, Immunex had just over 543 million
shares outstanding.
The companies said they will sell the new shares, barring
adverse stock market conditions, as early as this fall.
The combined effect of the equity offering is expected to
cut AHP`s ownership stake in Immunex from around 55 percent to
about 43 percent. AHP will still be the company`s largest
shareholder.
Once AHP`s ownership falls below 45 percent, the company
will lose one of its three seats on the Immunex board.
AHP also agreed to sell its recently acquired biotech
manufacturing facility in Rhode Island to Immunex at its cost
of some $250-300 million, to secure financing guarantees for up
to $550 million toward the cost of Immunex`s proposed new
research and technology center in Seattle, and to convert an
existing $450 million convertible subordinated Immunex note
into Immunex common stock.
Immunex said the actions will enable it to finance
construction to meet demand for its flagship drug, the
rheumatoid arthritis treatment Enbrel, and to pursue
strategies, like acquisitions or collaborations, aimed at
long-term growth.
"This arrangement gives us greater strategic freedom to
capitalize on the technology revolution now underway in
medicine," Fritzky said.
Immunex expects to double its domestic capacity to produce
Enbrel once the Rhode Island plant comes onstream. Fritzky said
the plant is slated for completion by the end of this year and,
if all goes smoothly, certification by the U.S. Food and Drug
Administration by early 2002.
"The Rhode Island plant adds strategic value. It enhances
our own product line and allows us to attract product deals,"
Fritzky said.
The CEO repeated comments made last month that Immunex
plans to boost Enbrel production capacity to the $4-5 billion
range over the next five years, but capacity will remain at
$800-900 million for this year.
Fritzky also downplayed concerns that Immunex may face
supply constraints for Enbrel, which has seen double-digit
sales growth since it was approved by the FDA 1998. "We are
working very hard to improve demand and also supply," he said.
Immunex, which is also studying Enbrel as a treatment for
heart failure, specializes in research for cancer and immune
system treatments.

Ich denke, Immunes kommt wieder. Zwar wird sie wegen der Sache mit AHP an der nas Minus erleiden, aber in den dutschen Kursen ist der Schock ja schon so gut wie drin, oder??!!

der Kurs bei uns wird sich ensprechend des Wechselkursverhältnisses am US-Kurs orientieren aufgrund der
dort gehandelten höheren Stückzahlen.

Also sooo schlimm siehts ja heute mit Immunex nimmer aus. Ich hoffe also, dass sie wieder kommen und halte weiter.
Mein stop loss hab ich f. 48 notiert. Aber soweit wird es hoffetlich nicht kommen...

Die Umsätze erhöhten
sich um 66 Prozent auf 213,2 Mio. US-Dollar. Die
Verkaufszahlen für Enbrel konnte Immunex um 18 Prozent auf
155,9 Mio. Dollar vermehren. Dadurch übertrifft man also die
Schätzungen der Analysten von 150 Mio. Dollar und auch
die eigenen Wachstumsvorgaben von 15 Prozent. Im nächsten Quartal
hat sich das Unternehmen wieder das Ziel von einem
Zuwachs zwischen 10 und 15 Prozent gesetzt. Bereits in
fünf Jahren erhofft man sich einen Jahresumsatz von 4-5

Analystenhaus erwartet ein starkes Wachstum und eine größere Produktpipeline. Das „Strong Buy“-Rating wurde wiederholt.


Also ich denke mal RUHIG BLEIBEN JETZT und ab Herbst brennt der Himmel über IMMUNEX wieder

Wie wertet die Board-Community den Rückzug von Teil-Rückzug von AHP bei Immunex ?

Hallo Gendsi!

Ich bin selber in Immunex investiert. Auf den ersten Blick sieht das natürlich schlecht aus, aber die REaktion darauf ist ja schon vorbei. Immunex ist Donnerstag um 12% gefallen, das war die Reaktion.

Was mich allerdings positiv stimmt, ist, daß die Bank of America trotz des Rückzugs die Einschätzung "Strong Buy" für Immunex noch einmal bestätigt hat und das Kursziel auf 65 $ angehoben hat. (zur Zeit ca. 51$).

Ich bin davon auch überzeugt, daß Immunex einen guten chart hinlegen wird.
