Hallo zusammen!
Business activities:
The group is one of the leading network solution providers in the PRC, specialising in DDN, Frame Relay, ATM
and IT technologies. The group provides fully integrated services ranging from provision of networking equipment
to network planning, design, installation and implementation as well as after-sales maintenance and technical
support to public telecommunications service providers which are under China Telecom which is in turn under the
administration of MII, and enterprises in the PRC an Macau markets.

Jenny Szeto – 2218-2807, jenny_szeto@guoco.com
Vodatel’s net profit and turnover for the nine-month period
ended March 2000 fell 18.8% YoY to $48.4mn and
$323.6mn respectively due to a slow down in sales in 1Q00,
as a result of the restructuring of the Ministry of Information
Industry. Although contributions from lower-margin trading
sales increased from 10.8% to 20.0%, overall operating
profit margin was maintained at 17.7%. As at March 31,
2000, Vodatel reported orders on hand of US$9.3mn, with
another US$10.4mn in the process of being finalised.
We expect demand for broadband data network services to
grow explosively in China, and Vodatel is believed to be one
of the major data network solution providers. Our six-month
price target of $3.00 is based on discounted cash flow
valuation with weighted average cost of capital of 14.2%,
which also equates to 22.4x FY01 prospective PER.
Major Player In The High Growth Market. Vodatel has
over 40% market share of the investment in DDN (Digital
Data Network) made by MII/MPT since 1992. It was also
awarded the Frame Relay/ATM network projects by the
telecom authorities of various provinces. Although
Vodatel’s major customers are provincial and municipal
telecom authorities and bureaus, we believe that its expertise
in the carrier market will aid its expansion of business into
other carriers such as China Unicom and JiTong.
IDC projects that the broadband data network market will
grow from $1.19bn in 1998 to $14bn in 2003. We expect
market growth to be driven by the convergence of data and
voice and the proliferation of Internet usage.
Expansion Into The Wireless Data Communications
And E-Commerce/Internet Businesses. In March,
Vodatel formed a JV with Guangdong Thinker
Communications Technology Co. (GTCT) to research,
develop and market wireless data communications and
Internet-related products. GTCT is under the Guangdong
Telecommunications Academy of Science and Technology.
In April, Vodatel acquired a 40% stake in King Glory for
$28mn from Crossland Technology. King Glory, to be
renamed as Vodatel Crossland, owns 100% stakes in
Crossland Business Solution Ltd. and Oriental Skill Ltd.
Vodatel Crossland has developed three vertical eCommerce
solutions (for horse racing, stock trading and book trading)
based on a new economy -trading platform to assist
organisations to move their businesses online. It also
provides outsourcing services and service bureaus to
customers.

STRONG CUSTOMER BASE
Vodatel’s success in attracting and keeping customers, in particular major telecommunications
carriers, gives it a comparative advantage over its competitors, and again provides a barrier to
entry.
Vodatel’s clients include provincial and municipal telecommunications authorities in provinces,
municipalities and autonomous areas in China. Ultimate users of public data communications
include government institutions, banks, securities and brokerage houses, private enterprises, R&D
institutes and colleges.
Vodatel plans to penetrate vertical markets such as cable television operators, customs, power
bureaus and police departments; and expand its customer base to other telecommunications carriers
such as China Unicom, JiTong and Netcom.
As China is building its IT infrastructure, telecommunications carriers are expanding and upgrading
their networks. With its successful track record, Vodatel is well positioned to make the most
from the growth in the PRC’s telecommunications industry. A strong customer base will fuel
Vodatel’s speculative growth.

Richard Li in quest for Macau foothold
BEN KWOK
--------------------------------------------------------------------------------
Pacific Century CyberWorks is teaming up with Macau-based, Growth Enterprise Market-listed, Vodatel Networks Holdings to bid for one of three Macau mobile-telephone licences.
CyberWorks, whose chairman is Richard Li Tzar-kai, will hold a minority stake in the consortium, one of the eight bidders for a second-generation mobile network.
"Macau is a strategically important market for us, both in terms of its proximity and part of our plans to expand into Greater China," a CyberWorks official said.
The consortium presents a direct challenge to London-based Cable & Wireless (C&W), which has a 51 per cent stake in Companhia de Telecomunicacoes de Macau (CTM), the existing mobile-telephone monopoly.
C&W has 19.1 per cent of CyberWorks as a result of its merger with Cable & Wireless HKT.
Vodatel managing director Richard Yim declined to specify the shareholding structure of the consortium, but said it would include private investors from Macau and Hong Kong.
Vodatel Holdings includes Banco Comercial de Macau, South China Telecommunications and businessman Ma Yao-hang, son of Macau`s Chinese business community leader Ma Man-kei.
"We hope to leverage on their operation experience with our infrastructure public network," Mr Yim said.
Macau`s telecommunication authority on Saturday said it received eight proposals from local and overseas bidders. The Macau Government last December decided to deregulate the telecommunications market and end CTM`s 18-year monopoly.
Hutchison Telephone, SmarTone Mobile Communications (Macau), New World PCS Holdings and Sunday Communications have also submitted bids.
Other bidders are I-STT Macau-Telecom, a joint venture between Singapore Technologies Telemedia and local casino tycoon Stanley Ho; Kong Seng Paging; and Polytex Corp, a consortium led by Macau businessman Liu Chak-wan.

We visited the management of Vodatel[8033] (8033.HK) yesterday. CSC Research Comment: We initiate coverage on Vodatel with a BUY rating. We expect the network solution provider to record a modest 2.0% increase in project sales and turnover sales for the corresponding period, and able to improve the gross margin by 2.0 percentage points, owing to the adoption of cost control measures. We tentatively project Vodatel`s earnings for the year ended 30th June 2000 to grow at 8.0% to HK$77.0 million, translating to a historical PER of 9.0X, which is much lower than that of its peers. Besides, we are also very optimistic about its investment in LG Tops and Vodatel Crossland. BUY. Our year-end target price is HK$1.68 or 12.0X historical earnings multiple.

Vodatel [8033] (8033.HK) recorded an earnings growth of 9.8% and posted a HK$78.2 million profit for the year ended 30th June
2000. Earnings per share were flat at HK$0.146. Final dividend per share was HK$0.015. During the financial year, the network
solutions provider teamed up with Guangzhou P&T Equipment and Korean LG to LG Tops, which is primarily engaged in the
manufacturing of CDMA systems and terminals. The network solutions provider also acquired a 40.0% stake in Vodatel Crossland,
which is a trading enabler. CSC Research Comment: The results are slightly above our forecast of HK$77.0 million. We are of the
opinion that China`s entry into the WTO will provide lots of business opportunities to Vodatel. As such, we are very optimistic about
the prospects of the network solutions provider. We expect to see Vodatel to record another 10.0% earnings growth for this year.
From the valuation perspective, Vodatel is trading at about 8.0X prospective PER. Cash position is very strong, as Vodatel is sitting
with over HK$100 million net cash. BUY maintained. Our 6-month target price is HK$1.80.

Hi Leute!
Heute mal
We met with the management of Vodatel Networks [8033] yesterday.
CSC Research Comment: Vodatel, a network solutions provider, is expected to post a 5% y-o-y mild growth of net profit of HK$13.5 mn for Q1 FY2001. This is in stark contrast to the market expectations. We believe the prevailing share price has not discounted this issue. This flat growth can be attributed to Vodatel being unlikely to recognize the entire contract amount from the Guangdong PTA integrated network project as revenue and profit in the first quarter. Selling pressure may arise when market realizes Vodatel will post mild earnings growth for Q1. We anticipate the market sentiment towards Vodatel is likely to reach maximum bearish in mid-November. Nevertheless, Vodatel is likely to post strong earnings growth for the second quarter, as the incomes from the Guangdong PTA integrated network project will be booked. Moreover, Vodatel is in talks for several mega projects, which will be finalized soon. We advise investors to accumulate Vodatel when the first quarter results are released. At present, Vodatel is sitting with HK$250 million net cash (representing HK$0.41 per share). Valuation wise, Vodatel is trading at a prospective PER of 6.3X. BUY.
Hoffentlich klappt das mit den "mega projects".

This expansion project will further enhance the inter-operability and connectivity of the two networks. As a result, improvement in network performance and satisfaction in user demand will be achieved. Jiangxi DDN network covers 5 regions including Ganzhou, Yichun, Shangrao, Ji`an, Fuzhou and 6 cities (Nanchang, Jingdezhen, Jiujiang, Pingxiang, Xinyu, Yitian).
Alternate carriers in the PRC have been actively upgrading and reconstructing their data networks. This expansion project targets to maintain Jiangxi China Telecom`s competitive position in the market. Precise and accurate planning is required to effectively improve the distribution of network resources. Thus, Mr. Richard Yim, Managing Director of Vodatel Networks said that, "this project is tailor-made for Jiangxi China Telecom with our extensive experience and expertise in the PRC in order for them to achieve better economic benefit."

Hallo Michael!

Vodatel Networks interim results hits $35.8 million profit
[Hong Kong, February 12, 2001] Vodatel Networks Holdings Limited (8033) today announced the interim results ended 31
December 2000 for fiscal year 2001. The company recorded HK$35.8 million of profit for the 6-month period from July to
December, a 20.1% increase compared to the same period last year, while total turnover rose 25.6% to HK$262.5 million.
Profit in the second quarter recorded a growth of 31.5%, reaching HK$23.3 million while turnover was HK$182.5 million, up
35.9% from the same period a year ago.
Satisfactory growth in business achieved especially in the second quarter has been the result of a number of network
infrastructure projects obtained in the PRC. Below are some of the signed contracts and projects in progress with total value of
HK$210 million:
1. HK$32.7 million contract of Jiaxing IP Metropolitan Network construction with China Telecom Zhejiang Corporation Jiaxing
Branch in enhancing the intelligent residential management system and promoting the e-commerce business to the enterprises in
the PRC.
2. Integrated Access Backbone Network project awarded by Jiangsu China Unicom.
3. Installation of VodaImage, a customer resources management system developed by Vodatel, to Shenzhen China Mobile.
Shenzhen China Mobile`s 1.9 million customers` data records will be digitized and available for updating and retrieving.
4. HK$17.7 million Digital Data Network expansion contract awarded by China Telecom Guizhou Corporation and Jiangxi
China Telecom Corporation.
5. HK$138.6 million contract for the Guangdong Provincial Digital Data Network and Broadband Network Integration and
Expansion, which will become the largest Integrated Network in the PRC on completion.
6. Commercial Video Conferencing System will be implemented in 24 cities of Guangdong province so enterprise users in the
PRC will benefit from such a time saving and cost effective solution.
Mr. Jos Manuel dos Santos, Chairman of Vodatel Networks Holdings Limited, said, "to meet with the great demands for
upgrading network infrastructure in the PRC, Vodatel has been continually receiving orders from China Telecom at both
provincial and municipal levels. Up to February 2001, Vodatel has approximately total HK$150 million contracts on hand.
These projects include building and expanding the narrowband and broadband data networks for our clients and also providing
integration on their existing networks. At present, Vodatel has over HK$200 million cash on hand with neither short nor long
term debts."
Vodatel`s e-commerce
Vodatel anticipated an upsurge in competition among telecommunications providers and Broadband IP Metropolitan Network
would become the market trend after China joined the WTO. Thus, the company has teamed up with Australian Crossland
Technology Group as a strategic partner in 2000 to form a partnership company, Vodatel Crossland. Capitalizing the huge
e-commerce market in the PRC, Vodatel provides equipment, network design and construction, and technical support; and
Vodatel Crossland provides various network management and value-added e-trade applications to run on the broadband IP
platform. On top of that, Vodatel has rolled out the promotion of products developed by Vodatel Crossland such as NETP and
other vertical solutions to the Government of Hong Kong and Macau, as well as other enterprises.
Vodatel`s Wireless Telecommunications
As to the wireless telecommunications market, Guangzhou LG-TOPS which Vodatel has equity interest, has successfully
secured contracts of CDMA Wireless Systems and Terminals from Guangzhou China Telecom and Chengdu China Unicom in
the city of Sichuan Province. LG-TOPS will continue to extend the promotion of CDMA products to meet the expanding
market of wireless telecommunications in the PRC.
Looking forward, Mr. Jos Manuel dos Santos said, "to meet with the demands from both commercial and home users,
Vodatel will continue to focus on our core business in the construction of narrowband and broadband data networks, as well as
our specialization in integrated data network. We would continue to strengthen our reseller channel through the promotion of
VodaImage. We also expect to increase our market share in e-commerce with Vodatel Crossland. We would continue to look
for more strategic partners that would create synergy and help to broaden up the business scope of the Company, hence
strengthen the revenue base of the Company."
