      Mamma.Com Inc. Plans to Acquire Copernic Technologies Inc.
      Thursday November 25, 3:30 pm ET


      MONTREAL--(BUSINESS WIRE)--Nov. 25, 2004--Mamma.com Inc., (NASDAQ: MAMA - News; the "Company"), and Copernic Technologies Inc. is pleased to announce that the Company has signed a letter of intent ("LOI") whereby Mamma.com would acquire all of the shares of Copernic Technologies for a combination of cash and shares of Mamma.com Inc. The closing of the acquisition will be effected by the parties pursuant to a definitive purchase agreement, when and if negotiated and entered into by Mamma.com and Copernic. The specific terms and conditions of the LOI, including the proposed purchase price are not being disclosed at this time due to the confidentiality restrictions in the LOI and the ongoing due diligence, which could alter such terms and conditions. The parties expect to close this transaction in the first quarter of 2005. According to the LOI, the acquisition would be subject to, among other conditions, approval by the directors of Mamma.com Inc., the shareholders of Copernic Technologies Inc. and the satisfactory completion of due diligence which has commenced on signing of the LOI. Although the LOI provides that the parties will negotiate the terms and conditions of a definitive purchase agreement in good faith, Mamma.com cannot assure that the parties will successfully negotiate and enter into a definitive acquisition agreement, or, that if entered into, the parties will be able to satisfy the conditions prerequisite to closing. Merriman Curhan Ford & Co, an investment bank headquartered in San Francisco, is acting as M&A advisor to Mamma.com in this potential acquisition.

      AOL Refreshes Search Services

      America Online today announced new search services to capitalize on rising interest in the technology from users and advertisers.

      The Internet arm of Time Warner (Quote, Chart) also announced several partnerships with smaller specialists to develop desktop search, expanded local search and new opportunities for advertisers and businesses.

      "Updating the service is an ongoing process," Jay Esmele, an AOL spokeswoman, told internetnews.com. AOL is working to gain ground from heavy search hitters Google (Quote, Chart), Yahoo (Quote, Chart) and Microsoft (Quote, Chart).

      In addition to a cleaner look, improvements unveiled today should help users get answers faster. With technology from Vivisimo, search results are organized into topics and displayed alongside the list of general Web search results.

      In addition, a new SmartBox suggestion tool helps narrow a query even before users hit the search button. For example, if a user enters the word "eagles," the feature presents options for the band, the football team or the bird.

      A new layer above the search results, called SnapShots, is designed to showcase editorial content from AOL sites. And quick tools such as AOL Travel, CityGuide, Yellow Pages, MapQuest and Moviefone will also be easily accessible.

      "The new features are nothing revolutionary, but are useful and powerful, and effectively differentiate AOL Search from the other major players, including AOL Search partner Google," Chris Sherman, associate editor of Search Engine Watch, wrote in the site`s blog. (Search Engine Watch is owned by the same parent company as internetnews.com.)

      AOL, which still has 22 million members despite slipping subscriber statistics in recent years, also promised future upgrades. The Dulles, Va., unit will work with Fast Search & Transfer to expand local search based on a new algorithm.

      The improved local search will be available later this year, Esmele said. She also noted that the agreement should not be seen as dissatisfaction with Google. The companies have a multi-year deal and remain a very important search partner, she said.

      AOL is also working on desktop search. Under a pact with Copernic, AOL will deliver a tool to allow users to comb through their computer hard-drives for files.

      Other coming advances are squarely aimed at advertisers and businesses. While continuing to use Google to provide Web search results and sponsored links for AOL Search, AOL will also work with Ingenio.

      Ingenio`s ad platform will allow AOL to charge advertisers for the number of phone calls directed their way from AOL`s search pages. That could potentially expand their addressable market, allowing AOL to market to local companies that don`t have a Web site yet.

      Mamma.com Inc. Adds Auction Component to its Pay-Per-Click Advertising Program

      MONTREAL--(BUSINESS WIRE)--Feb. 3, 2005--Mamma.com Inc., (the "Company"), (NASDAQ:MAMA - News), a leader in internet search and online advertising, announced today it has enhanced its flat rate pay-per-click search product, Mamma Classifieds, to incorporate an auction based pricing tool. The system has passed Mamma`s quality assurance standards and is now available to all advertisers.
      The decision to include an auction component to the pay-per-click system is in part due to overwhelming advertiser demand for more choice regarding pricing and ranking at the individual keyword level. Placement of advertisers on Mamma.com will remain in the top three positions above the metasearch result set, but advertisers will now have a choice to bid or maintain a flat rate price for their position. All advertisers will continue to be ranked by price in the Mamma Media Solutions Network, which receives over half a billion searches per month.

      Mamma Classifieds also underwent a significant upgrade and many new tools were added to increase the ease of campaign management. Some new features added include a keyword suggestion tool, an option to soft or hard map keywords, traffic and bid estimators, the ability to set bidding options to flat rate or auto bid, as well as an API for SEM`s and SEO`s. Geo-targeting, ROI analysis and live customer service will continue to be offered to all advertisers.

      AOL To Use Copernic For Desktop Search

      AOL is not very good at keeping secrets. News is out that AOL`s desktop search solution will be powered by Copernic, which pretty much assures that an agreement is in place between the two companies.

      While Yahoo has announced a deal with X1, AOL`s pact with Copernic is a smarter move. X1 is processor-heavy and RAM intensive, which means that Yahoo will have to trim it down a lot, in order to make a free download feasible. Meanwhile, Copernic is more efficient and less draining - I`ve never seen a slowdown with it installed - and should be a more compelling download.

      Update: Does this impact Mamma.com`s letter of intent to acquire Copernic? The two companies are a good match, but should AOL try and woo Copernic at the last minute? After all, they`re going to license their technology. It would be cheaper for AOL to acquire Copernic now, before they become part of Mamma, then AOL would have to buy both. Just some speculation. ;-)

      tja, die Vermutung habe ich eben auch, das der Mamma - Copernic Deal geplatzt ist. Bis auf die Ankündigung der Übernahmeüberlegung für Copernic vor über 2Monaten ist es doch recht ruhig um Mamma geworden. Schade für Mamma, denn mit AOL hätte man einen Kunden mit dem man seine Geschäfte in Richtung Suchtechnologie, Werbung, etc. in Zukunft auch ausbauen könnte.

      News werden sicher kommen ;), aber der Kursanstieg gestern lagen wieder einmal Übernahmegerüchte zu Grunde (es sollten lt. MW bereits Gespräche laufen). Allerdings hat der CEO gleich ein Statement abgegeben, das dem nicht so ist und schon geht es wieder nach unten. Zudem gibt es wohl Probleme mit dem Auditor PricewaterhouseCoopers LLP, so das der Jahresbericht 2004 wohl nicht fristgerecht eingereicht werden kann. Zudem scheint sich auch die SEC wieder für Mamma zu interessieren - es geht wieder mal um die starken Volumen vom letzten Jahr. Also erst mal abwarten :yawn:
