- Risks of a total loss significantly higher than the chance of repayment once the geopolitical situation stabilizes
- All noteholders invited to participate in the second noteholders' meetings on 3 and 4 June 2024 in Heidelberg
Walldorf, 27 May 2024 - Schutzgemeinschaft der Kapitalanleger e.V. (SdK), one of Germany's leading investor associations with over 8,700 members, has spoken out in favor of approving the
restructuring proposal regarding the Ekosem-Agrar bonds. In a newsletter to interested noteholders, SdK emphasizes that, in its view, the problems at Ekosem-Agrar are "almost exclusively due to the
geopolitical situation". In summary, SdK considers the risks of a total loss "to be much higher than the chance that the geopolitical situation will stabilize again in the foreseeable future to
such an extent that the bonds can be repaid to the noteholders as planned". Accordingly, the SdK will vote in favour of the proposed resolution for its own holdings and will also vote in favour of
the proposed resolution for all transferred voting rights, unless the respective noteholder indicates otherwise.
The second noteholders‘ meetings for the ESA bond 2012/2027 (ISIN: DE000A1R0RZ5 / WKN: A1R0RZ) and the ESA bond 2019/2029 (ISIN: DE000A2YNR08 / WKN: A2YNR0) will take place on 3 and 4 June 2024 in Heidelberg.
The company calls on all noteholders to make use of their voting rights and to participate in the second votes in order to achieve an attendance of 25% of the outstanding bonds now required for a quorum.

How investors ensure that they cast their votes effectively:
In order to participate, investors require a "Special Verification and blocking notice", which must be requested from the custodian bank. A corresponding sample form can be found on the website on the pages of the 2012/2027 bond and the 2019/2029 bond respectively. In addition, noteholders are usually informed by their custodian bank by letter or in their online mailbox.
