No dividend with antisoma. They plan on using money for share buy back to get the price up a lot. Once the
share price has risen considerably will they swap to a dividend. Which I am ok with as it is a long term
investment for me and dividend distrubution has a lot of costs associated with it.

"During the quarter notable new investments include: ASM, Symphony
International, Kinnevik and Dundee Corp. ASM is a European
technology holding company which could potentially be restructured."
"Antisoma is now an investment holding and management company whose principal activity is investment in and growth and
development of businesses which present opportunities for value creation"

Aus dem LSE Forum :
"parties deemed to be acting in concert with ORA will hold between 25.83% and 29.95%" I am still wondering
if Antisoma did buy into Ceres power at the same time as ORA capital did. If they did join wily Richard
Griffiths in his 30% stake (1.65M) at 1p a share, a big profit has been made. As Ceres power shares are now
8.7p or (14.355M). I can not wait to see the annual report, when they should show what they have bought.

Antisoma reported a small loss after tax of £30,000 for the six months to 31 December 2012 (2011: loss
of £264,000) with administrative costs reduced to £129,000. At 31 December 2012 the Group had net
assets of £12.88 million (2011: £12.27 million) including cash and short term deposit balances of £9.48
million (2011: £13.46 million).
Consequently, whilst the Board has identified and reviewed a number of
potential opportunities to date, we have only made one relatively small investment of £1.0 million
under the new investing strategy, as well as the £4.0 million GVC commitment referred to above. That £1.0 million investment is in a profitable AIM listed care sector support services business with a solid
dividend yield and a good growth record. ( um wen es sich da wohl handelt?)
Outlook
Whilst US deficit fears, the Eurozone crisis and the health of China’s economy remain major downside
risks for Europe and the global economy, Antisoma benefits from a solid balance sheet and strong cash
position, together with a low cost base. This places the Company in a good position to exploit
opportunities as they emerge in the current volatile economic environment. We will therefore, continue
to maintain a highly selective investment approach with a view to building considerable value for
shareholders going forward.

Vorabzahlung & Eigenkapital + US$400 Mio. Meilensteinzahlungen) und an Pfizer/Quark (für $95 Mio. Meilensteinzahlungen) auslizensiert.

New Ordinary Shares (following the Share Consolidation) and 2,000,000 New Ordinary Shares (following the Share
Consolidation), respectively, at the Placing Price. Under the AIM Rules, Richard Griffiths, by way of his direct personal holding in shares of the Company and his ownership of a controlling majority of the share capital of ORA (Guernsey) Limited, is deemed to be a related party due to his substantial direct and indirect shareholding in the Company. Antisoma plc, by way of Richard Griffith's ownership of a controlling majority of the share capital of ORA (Guernsey) Limited, is an associate of Richard Griffiths. As such, the participation of Richard Griffiths and his associate Antisoma plc in the Placing is deemed to be a related party transaction. The Directors consider, having consulted with N+1 Singer, that the terms of the Placing are fair and
reasonable insofar as Shareholders are concerned. In providing advice to the Directors, N+1 Singer has
taken into account the commercial assessments of the Directors. Recommendation The Directors believe that the Placing and the Share Consolidation and therefore the Resolutions are in the best interests of the Company and Shareholders taken as a whole. The Directors therefore unanimously recommend that you vote in favour of the Resolutions to be proposed at the General Meeting, as they intend to do in respect of their own shareholdings. General Meeting A notice convening a General Meeting of the Company to be held at 10 a.m. on 29 April 2013 at the offices of Covington & Burling LLP at 265 Strand, London, WC2R 1BH, is being sent to Shareholders shortly, at which the Resolutions (summarised below) will be proposed: Resolution 1 An ordinary resolution to undertake the Share Consolidation. Resolution 2 An ordinary resolution to authorise the Directors to allot New Ordinary Shares at 200 pence per share up to a maximum nominal amount of £475,625.00 pursuant to the Placing. This Resolution is conditional upon Resolution 1 becoming unconditional. Resolution 3 A special resolution, pursuant to section 571 of the Companies Act, to disapply the statutory pre-emption rights on the allotment of equity securities, pursuant to the authority contained in Resolution 2. This Resolution is conditional upon Resolutions 1 and 2 becoming unconditional. Resolution 4 An ordinary resolution to authorise the Directors to allot relevant securities for the purposes of section 551 of the Companies Act provided that such power be limited to the allotment of new Consolidated Ordinary Shares up to an aggregate nominal amount of £352,601.66 (representing 15 per cent. of the Enlarged Share Capital at Admission). This Resolution is conditional upon the passing of Resolution 1 and upon such Resolution becoming unconditional. Resolution 5 A special resolution to grant the Directors authority to allot equity securities for cash as if section 561 of the Companies Act did not apply to such allotment provided that such power shall be limited to the allotment of new Consolidated Ordinary Shares up to an aggregate nominal amount of £352,601.66 (representing 15 per cent. of the Enlarged Share Capital at Admission). This Resolution is conditional upon the passing of Resolutions 1 and 4 and upon such Resolutions becoming unconditional. The authorities in Resolutions 2, 3, 4 and 5 will expire (unless previously revoked or varied by the Company in a general meeting) on the date 15 months from the passing of such Resolutions or at the conclusion of the next annual general meeting, whichever occurs first. The authority and power in Resolutions 2 and 3 are in addition to the authority and power to be conferred upon the Directors pursuant to Resolutions 4 and 5. The authority and power in Resolutions 4 and 5 will replace all other existing authorities and powers previously conferred on the Directors (with the exception of Resolution 2 and 3 above) including the authorities and powers granted at the General Meeting of the Company held on 31 July 2012.

In light of the above situation, the Company announced in its 2013 Annual Report, on 25 April 2013, that the Board was reviewing the merits of its AIM quote. The Board has now concluded that the cancellation of the Shares from trading on AIM would be beneficial for the Company and Shareholders as a whole. An AIM cancellation would not alter the Board's strategy for ORA which would be to continue the development and growth of trading companies within its business portfolio.

Ich meine schon.
Zum Beispiel
Quelle www.antisoma.com

10.04. Antisoma PLC: Placing Agreement with Silence Therapeutics plc
28.03. Antisoma PLC: Placing Agreement with Plant Health Care
21.03. Antisoma to get back £4m set aside for GVC shares ( gescheiterter Deal mit GVC, Sportingbet)
21.03. Antisoma PLC: Agreement with GVC Holdings plc
The principal activity of the Company is the investment in and growth and development of businesses which present opportunities for value creation.
aus dem Halb-Jahresbericht vom 19.2.
Since the Company's admission to the Alternative Investment Market on 11 January 2012 as an Investing Company, the Board has adopted a highly selective investment approach in these times of global economic uncertainty. Consequently, whilst the Board has identified and reviewed a number of potential opportunities to date, we have only made one relatively small investment of £1.0 million under the new investing strategy, as well as the £4.0 million GVC commitment referred to above. That £1.0 million investment is in a profitable AIM listed care sector support services business with a solid dividend yield and a good growth record. Wer ist das?
Antisoma had cash and short term deposit balances of £9.48 million at 31 December 2012 as well as a £4.0 million receivable held in a client escrow account in support of the GVC commitment. This places the Company in a strong position to take advantage of further investment opportunities that arise.

Siehe Investition in Silence Therapeutics plc

In April 2011, ACT acquired 100% rights to Antisoma’s clinical stage asset, AS1411, now referred to as ACT-GRO-777. ACT-GRO-777 is an aptamer that binds to a protein called nucleolin which is found on the surface of many cancer cells. ACT-GRO-777 binds to nucleolin and causes cancer cell death. Phase I and II human clinical trials have reported evidence of anti-cancer activity and a favorable safety profile. ACT is evaluating ACT-GRO-777 for additional human cancer trials in collaboration with the James Graham Brown Cancer Center.

Because of the rapid growth of its translational research programs, Brown Cancer Center scientists have already developed three novel cancer treatments which are currently in early phase trials. Additionally, they have at least twenty-seven new drugs or targets which are in various stages of preclinical testing. This is one of the most robust pipelines of any cancer center in the world. In order to ensure that these drugs are developed locally we have created Advanced Cancer Therapeutics (ACT), a biotech company which will be partially owned by the University of Louisville/Brown Cancer Center. ACT will fund the development of two to three new drugs per year through Phase I clinical trials.http://www.browncancercenter.org/research/

- Silence Therapeutics plc
- Plant Health Care
an.
Was meint ihr dazu???

Dividende???? Was geht hier ab ????

Antisoma after-tax profits rise
1 October 2013 | 07:49am
StockMarketWire.com - Antisoma posts after-tax profits of £0.62m for the year to the end of June - up from £0.38m last time.
Net assets at the year-end stood at £13.53m (2012: £12.91m); including cash and deposit balances of £6.87m (2012: £12.91m).
Chairman Michael Bretherton said: "After a profitable year to 30 June 2013 for Antisoma, we expect another positive current year although the potential for volatility in capital markets remains. We will, therefore, continue to maintain a highly selective investment approach, whilst running a low cost base for the company, in order to deliver additional value for our shareholders.
"Antisoma benefits from a solid balance sheet and strong cash position, which places the company in a good position to exploit investment opportunities as they emerge."
The company is proposing to change its name to Sarossa Capital to reflect investment company activities.

that the 2013 Annual General Meeting of Antisoma Plc (the “Company”) will be held at 11.00 a.m. on
1 November 2013
An overview of the activities of the portfolio businesses in which Antisoma has a holding of over 3 per cent. is given below:
Silence Therapeutics Plc (Silence), which is AIM listed, is a global leader in the discovery, development and delivery of novel RNAi therapeutics for the treatment of serious diseases. The core technology of Silence is its proprietary form of short interfering RNA molecule, known as AtuRNAi, that enables the development of novel molecular entities that "silence" or inactivate the genes expressed in some diseases. Additionally, the Company has developed technology that preferentially delivers AtuRNAi to the vascular endothelium (AtuPLEX), the lung endothelium (DACC) and the liver (DBTC). ATU027 is the company's leading Oncology product and its phase 1b/2a combination trial into pancreatic cancer commenced in April 2013 with the dosing of cancer patients. The trial will test Silence's Atu027 anti-metastatic ability to eliminate or decrease metastatic spread of the cancer, in combination with Gemcitabine, the leading anti-tumour drug. In April 2013, the company also raised approximately £19 million through a share placing that significantly strengthened its balance sheet and will provide cash to enable the company to both progress its Atu027 clinical asset and to broaden its preclinical pipeline.Antisoma held 4.3 per cent. of the issued share capital of Silence at 30 June 2013.
Plant Health Care Plc (PHC) which is AIM listed, is a leading provider of novel patent protected biological products to the global agriculture markets. PHC's products increase crop yields by enhancing natural processes within the plant. During the current year, PHC made a number of significant beneficial changes to its strategy and management team and also announced in July 2013, that it had agreed with Monsanto, to discontinue an agreement under which Monsanto had certain exclusive rights to develop and sell Harpin. PHC has, therefore, now resumed direct control of the Harpin product and has regained the flexibility to partner with others to develop and sell this into all crop markets on a global basis. PHC's long-term vision is to establish itself as a highly profitable technology licensing business, embedded in the global agrochemical industry, earning most of its income as royalties and licensing fees. The company has already formed partnerships with several of the leading agrochemical companies including Direct Enterprises Inc. and Arysta Life Science. PHC continues to have no debt and on 15 April 2013 it raised £13.4m ($20.3m) under a share subscription to fund the expansion of its R&D and commercialisation programmes. Antisoma's holding in PHC at 30 June 2013 was 4.8 per cent.
In addition to the above, Antisoma has a holding of below 3 per cent. in a profitable AIM listed care sector support services business with a solid dividend yield and a good growth record.

Hallo Leute,

Dear Shareholder,
Authorisation for Buyback of Shares
Notice of General Meeting
Background to and reasons for the Proposal
The Directors believe that the ability of the Company to purchase its Shares is an important mechanism for
managing capital efficiency. In particular, the Directors may want to take advantage of circumstances where
a purchase by the Company of its Shares would represent good use of the Company’s available cash
resources and increase net asset value per Ordinary Share and Shareholder value. For these reasons, the
Resolution as set out in the Notice of General Meeting on page 6, is being proposed. Shares purchased under
the authority would be treated as cancelled (and the number of Shares in issue reduced accordingly) or would
be held as treasury shares, which may be re-sold or cancelled.

Sarossa Capital plc
("Sarossa" or the "Company")
Half Year Report
London, UK - Sarossa Capital plc (LSE: SRC) today publishes its half year report for the six months ended 31 December 2013.
Chairman's Statement
The Company changed its name from Antisoma Plc to Sarossa Capital Plc "Sarossa" on 1 November 2013 in order to reflect the fact that the Company no longer has operations in biotechnology development and is now an Investing Company.
Sarossa delivered a Group profit after tax for the six months ended 31 December 2013 of £0.47 million compared to a small loss of £0.03 million in the previous 2012 half year. The reported profit mainly reflects unrealised revaluation gains amounting to £0.51 million on portfolio investments and on a derivative trading asset in the six month period.
The Board has continued to adopt a highly selective investment approach in these times of global economic uncertainty. Consequently, whilst the Board identified and reviewed a number of potential opportunities in the period, we did not make any further investments and nor did we seek any realisations of existing investments in the six months ended 31 December 2013.
Sarossa currently holds 3 principal portfolio investments, all of which are quoted on AIM, and for which the carrying value at 31 December 2013 was £7.82 million (31 December 2012: £1.0 million represented by 1 quoted holding). In addition, the Company has subscription options in GVC Holdings plc for which the carrying value as a derivative trading asset at 31 December 2013 was £0.46 million (31 December 2012: £nil).
The Group continues to benefit from a strong balance sheet with cash balances of £7.44 million at 31 December 2013 compared to cash balances of £6.87 million at the previous 30 June 2013 year end. Net assets attributable to holders of Sarossa at 31 December 2013 were £14.00 million compared with £13.53 million at 30 June 2013.
Business model
Sarossa is an investment holding and management company whose principal activity is investment in and growth and development of businesses which present opportunities for value creation.
The Company has an investing strategy to identify investment opportunities offering the potential to deliver a favourable return to shareholders over the medium term, primarily in the form of capital gain. A particular consideration is to identify businesses which, in the opinion of the Board, are under-performing and present opportunities for value creation.
Sarossais mainly focused on portfolio businesses with product and service platforms targeting major international markets through customers and partners with an international profile. The Company's equity interest in a potential investment may range from a minority position to 100 per cent. ownership and the interest may be either quoted or unquoted.

DEFINITION OF 'BUYBACK'
The repurchase of outstanding shares (repurchase) by a company in order to reduce the number of shares on the market. Companies will buy back shares either to increase the value of shares still available (reducing supply), or to eliminate any threats by shareholders who may be looking for a controlling stake. When a company does repurchase shares, it will usually say something along the lines of, "We find no better investment than our own company."http://www.investopedia.com/terms/s/sharerepurchase.asp
INVESTOPEDIA EXPLAINS 'BUYBACK'
A buyback allows companies to invest in themselves. By reducing the number of shares outstanding on the market, buybacks increase the proportion of shares a company owns. Buybacks can be carried out in two ways:
1. Shareholders may be presented with a tender offer whereby they have the option to submit (or tender) a portion or all of their shares within a certain time frame and at a premium to the current market price. This premium compensates investors for tendering their shares rather than holding on to them.
2. Companies buy back shares on the open market over an extended period of time.
http://www.investopedia.com/terms/b/buyback.asp
If a company with the potential to use cash to pursue operational expansion chooses instead to buy back its stock, then it could be a sign that the shares are undervalued. The signal is even stronger if top managers are buying up stock for themselves.http://www.investopedia.com/articles/stocks/10/share-buyback…

hallo, hier mal von einem englischen Aktionär.
Gains / losses since Year End (Dec 31st)
Although not yet reported, as YE results were February...
SLN - 4.2% holding prior to dilution was at last count 2,186,000 shares, no equivalent to 3.14%. At 31st Dec 2014 the stock value was 220p, now they are 36% higher at 300p even after major fundraising (placing) and the holding is worth £6,558,000 approximately £1.75m added to the investment value to date.
PHC - 5.3% holding, equivalent to 3,802,220 shares. At 31st Dec 2014 they were approx 118p however they are now 108p in the middle of their trading range, total value of £4,106,000, a loss of £0.38m
In addition to the above, Sarossa has holdings of below 3.0 per cent. in
- a profitable AIM listed care sector support services business with a solid dividend yield
- a good growth record and a multinational sports betting and gaming group also with a solid dividend yield
That's over £1.4m in portfolio appreciation over the past 5 months. Of the Company's investments, at 31 December 2014 they had a total value of £12.23 million. Cash balances of £6.29 million at 31 December 2014. Therefore net assets including investments totaled £18.53 million.
Assuming the two unknown investments are flat we are looking at £13.5 million portfolio value today. Cash will have fallen by just less than £900k as 52 million shares were bought and cancelled at 1.72p, so let's say £5.4 million in the bank. £200k of fees for the period. Net assets therefore marginally higher at £18.7 million
But of course the current MCAP after factoring in the recent buy back of shares is only £10.6 million at this price...(0.018 x 588,188,754 shares). It was around the £12 million level recently.

( zumindest in Deutschland )
( zumindest in Deutschland )

@Gurktal

Sarossa is pleased to announce that at the General Meeting (GM) of the Company held earlier today in connection with the proposed Cancellation of its Shares from Admission to AIM, a proposed Buyback of Shares and the proposed waiver of Rule 9 of the City Code on Takeovers and Mergers, all resolutions were passed by shareholders.
Effect of Cancellation
The Cancellation will take effect at 7.00 a.m. on 1 February 2016.
Following the Cancellation, there will be no market facility for dealing in the Shares and no price will be publicly quoted for Shares as from close of business on 29 January 2016. As such, interests in Shares are unlikely thereafter to be readily capable of sale and where a buyer is identified, it may be difficult to place a fair value on any such sale.
As a public company with its registered office, place of central management and control in the Channel Islands, the Company will remain subject to the City Code. The City Code is issued and administered by the Takeover Panel. The City Code and the Takeover Panel operate principally to ensure that Shareholders are treated fairly and are not denied an opportunity to decide on the merits of a takeover and that Shareholders of the same class are afforded equivalent treatment by an offeror. The City Code also provides an orderly framework within which takeovers are conducted. In addition, Shareholders may be required to approve other transactions, such as share buybacks or the issue of further equity, so as to ensure that no obligation arises for any Shareholder or potential Shareholder to make a mandatory offer under Rule 9 of the City Code.
The Directors are aware that certain Shareholders may be unable or unwilling to hold Shares once the Cancellation becomes effective. To the extent that Shareholders are unable or unwilling to hold Shares following the Cancellation becoming effective, such Shareholders should consider selling their interests in the market prior to the Cancellation becoming effective.
Buyback of Shares authority
Shareholders have today approved an authority to enable the Company to buy back up to a further 81,518,446 Shares (representing approximately 15.00 per cent. of the Company's current issued ordinary share capital), having already bought back 95,904,055 Shares in the year to date. The Buyback is intended to provide demand for the Shares, thereby affording Shareholders with an opportunity to realise their investment prior to the Cancellation becoming effective, which as stated above will take effect on 1 February 2016.
Website and availability of Interim Report to 31 December 2015
The Company will continue to post relevant information on its website (www.sarossaplc.com) and to hold general meetings in accordance with the applicable statutory requirements and the Company's articles of association.
It is the intention of the Company to approve its Interim Report to 31 December 2015 on 30 March 2016 and post this to its website on that date.
Investments and net asset value of the Company
As a result of changes since 30 June 2015 in the London Stock Exchange market price quotations of shares in the Company's principal investment portfolio businesses, comprising Silence Therapeutics Plc, in which the Company has an equity interest of 3.14 per cent. and Plant Health Care Plc, in which the Company has an equity interest of 5.35 per cent, the Company's investment and net asset valuations at today's date are around 20 per cent. lower than those at 30 June 2015 (the date to which the latest published audited accounts of the Company were prepared).

The above buy-back of Shares was undertaken under a share buy-back authority approved by the Company's shareholders at the same time that they approved a resolution for the proposed cancellation of its Shares from admission to AIM. The cancellation will take effect on 1 February 2016 and the last day of dealing in the Shares will be today, the 29th January 2016. As such, interests in Shares are unlikely thereafter to be readily capable of sale and where a buyer is identified, it may be difficult to place a fair value on any such sale.
