übernommen hat, einen 40,4% Anteil erworben.

Dies die kurze Zusammenfassung. Die Nachricht kam heute morgen 7.15 Uhr per E-mail, ich denke, das war auch in AUS so, die Börse folglich geschlossen, deshalb das Minus.....

Union Capital Limited (Union) announces that it has entered into a shareholders agreement with various other parties to form a consortium to purchase a 40% interest in Eastern Telecommunications of the Philippines (ETPI). Union will hold a 40.4% interest in the consortium, which will come together in a corporate structure as Australian Gigahertz Networks International Pty Limited (AGNI). The consortium also includes other high net worth private investors.

AGNI has signed a Memorandum of Agreement with an existing shareholder of ETPI to acquire this 40% interest in ETPI for a total acquisition price of approximately US$21 million subject to certain conditions being fulfilled. Union will contribute cash of US$10 million (AUD 18.5 million) of this purchase price under convertible loan arrangements which will entitle Union to 40.4% of the shares in AGNI and 2 of the 4 board seats on AGNI. Under the arrangements Union will have until 1 March 2002 to elect whether to convert its investment into equity in AGNI. The funding is on a secured basis and attracts a coupon rate of 10% interest unless Union elects to convert in which case no interest is payable.

The Memorandum of Agreement between AGNI and the vendor of the ETPI shares will be supported by formal agreements between the parties to be executed over the next few days with settlement to take place on 27 September 2000.

However, Union`s participation in AGNI is conditional on the following:
(a) Union being satisfied with the due diligence reports by AGNI`s technical consultants.
(b) Union completing a placement of between 48 million and 49.8 million shares to raise approximately AUD10 million by 22 September 2000.
(c) AGNI securing from the other participants in AGNI, the balance of funds for settlement.
(d) Union`s lawyers being satisfied with all legal documentation, including subscription and loan agreements for the funds to be advanced.

ETPI is an established Philippine telecommunication company that has been in business for over 100 years and currently provides international transit, national transit, direct local and payphones telecommunications services. ETPI runs one of the world`s largest cable landing stations at Ilocos Norte, north of Manila and is a member of the Asia Pacific Cable Network. The company has agreements with 41 foreign telecommunication carriers with access to more than 200 countries worldwide. ETPI`s core market is business customers in the Makati Financial District of Manila where it leads market share in data transmission.

ETPI is setting up a Metropolitan Area Network (MAN) in support of the Internet and data requirements of its corporate customers. The roll out of its high speed network is expected to provide affordable and scalable Internet access to its clients.

Whilst ETPI has significant market share in International Long Distance telephony and provision of Data and Voice services to business customers, it is felt that the cable and cable station assets can be utilized to expand market share not only domestically but internationally as the Philippines is strategically located between the Americas and Asia.

A summary of ETPI`s audited results for the last five calendar years, converted at an exchange rate of 44 Peso to the US dollar is:

As the investment in AGNI will be a significant investment for Union, the Company attaches pro-forma balance sheets of pre and post this transaction and the share placement.

Brisbane investment bank Union Capital has committed $18.5 million, to be partly funded by a $10 million share placement, to buy into Eastern Telecommunications of the Philippines.

Union said yesterday it intended taking a stake in a consortium, to be called Australian Gigahertz Networks International, to buy 40 per cent of the Philippines telco, known locally as ETPI.

According to Australian Securities and Investments Commission records, the directors of AGNI are Sydney accountant Jacob Selinger and the former head of Matrix Telecommunications, now EasyCall International, Richard Freyer.

British telco giant Cable & Wireless has been trying to sell its 40 per cent stake in ETPI for several months, and had an agreement with Digital Telecommunications Philippines to buy the holding for $US18 million ($A33 million).

The AGNI arrangement is to pay $US21 million, or 16.6 per cent, more than cable & Wireless`s selling price, though it is not clear who the Union/AGNI deal is with.

ETPI`s other shareholders are Smart Communications, a Philippines mobile phone company with 10 per cent, the Philippines Government with 10 per cent and the Africa and Nieto families, which each own 20 per cent.

The Philippines Government seized 60 per cent of ETPI in the 1980s on
suspicion of it being part of the ill-gotten gains of former President Ferdinand Marcos, but has since handed most of that back.

The shareholders in ETPI all have a first right of refusal over one another`s stake, but Smart said on Wednesday it would not exercise its right to pre-empt Digital`s purchase of the Cable & Wireless shares.

If C&W is not the seller to AGNI, it is likely to be the Africa and Nieto families cashing in.

No spokesman was available at Union to discuss the deal yesterday. Dr
Feyer was also unavailable.

Union plans to have a 40.4 per cent stake in AGNI, which will become the biggest item on its balance sheet, and has said only that the other investors will be "high-net-worth individuals".

It said the $18.5 million being put in will actually be in the form of a convertible loan, carrying a 10 per cent interest rate, and two of AGNI`s four board seats will go to Union.

ETPI, which has seen its earnings decline for the past three years even though revenue has been rising, has a major submarine cable station north of Manila. Its core market is business customers in Manila`s financial district.

Its growth strategy is rolling out a high-speed network for those corporate customers. Union said it also wanted to exploit ETPI`s ownership of cable outside of the Philippines.

Union Capital shares yesterday fell one cent to 21.5 cents.

Metroland Australia Limited ("Metroland") wishes to advise that it
has entered into a Heads of Agreement with Union Pacific
Communications Pty Limited ("Union Pacific") to take an assignment of

Union Pacific`s investment in AGNI will be by way of a loan of
approximately A$6.8 million to AGNI convertible into equity in AGNI.
AGNI will be raising up to A$42 million for the acquisition of the
said 40% equity interest in ETPI through its wholly owned subsidiary
in the Philippines. The other investors in AGNI will include Union
Management Limited, a subsidiary of Union Capital Limited ACN 002 118
872 a company listed on the Australian Stock Exchange.

ETPI was established in 1873 following a merger between Eastern
Extension Australasia and China Telegraph Company and was known as
Eastern Extension. ETPI subsequently became a part of Imperial and
International Communications Limited now known as Cable & Wireless.

ETPI is now one of the largest telecommunications carriers in the
Philippines. Its 1999 audited revenue was in excess of A$74 million
and its net profit after tax was in excess of A$18 million.

ETPI has an international gateway facility providing international
direct dial (IDD) and other international voice and data services to
businesses and other customers in the Philippines. It has extensive
cable connections throughout the world through its investments in
major cable networks such as Asia Pacific Cable Network (APCN) and
the Fiber Optic Link Around the Globe (FLAG). ETPI has entered into
correspondent agreements with a number of international carriers
around the world including Telstra and Optus in Australia, Teleglobe
(Canada), China Tel (China), HK Telecom (Hong Kong), PT Indosat
(Indonesia), Japan Tel, IDC and KDD (Japan), Korea Tel (Korea),
Telekom Malaysia, Saudi Tel (Saudi Arabia), Sing Tel (Singapore),
Chunghwa (Taiwan), Cable & Wireless plc (UK) and MCI Worldcom and
Sprint (USA).

ETPI also operates a prepaid calling card business enabling calls to
be made from over 500 strategically located payphones to more than 50
provinces in the Philippines and more than 250 destinations
worldwide.

ETPI is a recognised internet solutions provider and its services
include the wholesaling of its data infrastructure and facilities to
Internet Service Providers (ISPs) and major corporations. It also
provides dial-up internet access to residential and business
customers.

Further details of Metroland`s negotiations with Union Pacific will
be announced as soon as they have been finalised.

Liebe Gemeinde,
wie gehts weiter mit UCL? Diese Frage stellt sich unwillkürlich nach dem Kursfeuerwerk, das die Union in den letzten Tagen und Wochen
abgezogen hat.
Kursfeuerwerk??..Hmhmhmhmhahahihihi...manch einer wird jetzt verschmitzt hinter vorgehaltener Hand lachen..das war doch kein...
....doch, doch...was kann denn der arme Vorstand dafür, wenn die Rakete verkehrt herum im Boden steckt...das kommt doch vor!!..
...also, wie geht es weiter...??

.....es geht so weiter, dass UCL weiter Beteiligungen kauft, wir weiter UCL-Aktien kaufen, auf steigende Kurse warten, IDENTIKEY langsam
vergessen, uns immer mehr darüber im klaren sind, dass IDENT. überhaupt nicht mehr der Renner ist, weil zwischenzeitlich andere Lösungen
gefunden wurden....und irgendwann wird durch eine ganz belanglose Aktion, die keiner richtig nachverfolgen kann, der Kurs steigen, ...
..die Rakete steht plötzlich richtig herum auf der Rampe, und die paar, die noch dabei sind, werden mit hochgeschossen, andere springen noch auf,
viele zu spät....auch ich werde unter meiner Brücke rausschauen, mir den Schlaf aus den Augen reiben, heute mal den Tag nicht mit Jägermeister beginnen,
...sondern den Start beobachten, losspurten, bei Rob den PC starten, rein ins Internet, Comdirect aufrufen, meine in.....eintätowierte Kto. und Geheimnr. eintippen,
und einen Verkaufsauftrag reinknallen,...der 2 Minuten später als ausgeführt gemeldet wird.
10.000% Gewinn!......ich kauf mir die Villa auf dem Hügel, mit dem grossen Park, mit Blick auf den Fluss...die Einrichtung der 650m² bezahl ich mit den T-online-Calls,

...ich wollte noch einen Erklärungsversuch für den Kursrückgang letzte Woche liefern:

Wie UCL auf der Homepage schreibt, möchte sie die AGNI Beteiligung zum grössten Teil mit neuen Aktien bezahlen( s.o.Pkt b)
Ob sie die gewünschten 10 Mio.AUD zusammenbekommen hat ist bisher nicht bekannt, der Kurs hat auf jeden Fall stark gelitten,
allerdings scheint jetzt das schlimmste vorbei zu sein.
Ich habe eine Mail an UCL geschrieben und gebeten, die Beteiligung an AGNI als vollzogen zu melden, oder das scheitern zu verkünden.
..dann blickt man wenigsten wieder einigermaßen durch..

ich habe heute morgen Nachricht von MM bekommen, wie ich mir gedacht habe, der Telecomdeal ist noch nicht in trockenen Tüchern
deshalb weiter unsichere Stimmung, die zusätzlich zu dem allgemein schlechten Börsengeschehen kommt.
Weiteres warten ist angesagt, nachfolgend der Originaltext von MM..

collected. The placement will be finalised once final agreement between all

think that the severe price fluctuations in Union`s share price are probably
attributed to this ETPI deal and also just simply because there is a lot of
uncertainty in the tech stocks right at the moment. We believe that
purchasing an interest in a telecommunications company is strategic - a
counter cyclical approach that means we are probably buying an undervalued
asset with huge potential.
There should be announcements soon advising a final decision on this
announcement.

Hallo Leute,
heute morgen gabs Post aus Brisbane, darüber wurde z.T. schon berichtet.

Zusätzlich kam die Nachricht, dass eine Entscheidung zur ETPI- Übernahme am Montag 16.10.00 fällt.
Ich sehe das eher als Vorabankündigung, dass der Deal nicht zustande kommt, etwas abgemildert durch
das Zinkgutachten, aber auch hier wird viel über Blei gesprochen....sicherlich ein Element der Vergangenheit und
nicht der Zukunft.
...also insgesamt eher negative Nachrichten, eingebettet in ein weltweites Börsenjammertal....aber wie der erfahrene
Mathematiker und Unionist weiss:....Minus und Minus gibt Plus......

Fazit:...sollte die Übernahme zustande kommen ist locker ein Kurssprung von > 20% drin,
Klappts nicht, kann der Kurs garnicht mehr weit fallen.....also was machen wir heute noch rasch????
