TheGlobe 916929 hat gestern bei einem Umsatz von knapp 500.000 Dollar an der OTCBB einen Satz von 75 % gemacht. Hier rennt der Kurs auch schon obwohl die News noch nicht draußen ist. Was da wohl noch kommt. TheGlobe war meines Erinnerns schon vor Jahren mal ein heißer Kandidat den durchbruch höherer Gefilde . Evtl ist es jetzt soweit.

The Securities and Exchange Commission granted theglobe.com confidentiality treatment with respect to full disclosure of the details of the Agreement pursuant to Rule 406 under the Securities Act of 1933, as amended. Theglobe.com intends to exercise its purchase option for Tralliance upon certain conditions being met, including final approval to be the registry of the .travel top-level domain from ICANN. If, and when theglobe.com exercises its purchase option, it will issue 1.5 million shares of its common stock in exchange for all the capital stock of Tralliance.

Tralliance Corporation was created to develop, operate and administer the .travel top level domain, a new segment of the Internet devoted to the travel industry. In October 2004, ICANN agreed to initiate exclusive negotiations with Tralliance for the .travel domain. The industry-sponsored .travel domain, designed to serve the global travel and tourism community, will launch when negotiations are completed. Tralliance Corporation intends to administer the .travel registry, a global online source of travel data organized according to a proprietary taxonomy designed to match buyers and sellers of travel, tourism or travel-related products or services.

ICANN, established by the U.S. Department of Commerce in 1998, is responsible for centralizing technical coordination functions of the Internet. ICANN is a non-profit organization that manages and coordinates the domain name system to ensure that it continues to function effectively.

ich kann dir auch nicht sagen wieviele Aktien es gibt. Aber ich glaube bei OTC Werten kann man das nie genau wissen. Ich weiss auch leider nicht wieviele Aktien der Ceo besitzt. Der Grossinvestor wenn er die 4 Millionen investiert hat wird in etwa 35-40 Millionen Aktien besitzen. Wird seit einigen Monaten in Amerika zu Kursen zwischen 8 und 13 Us Cent mächtig gesammelt. Habe dass beobachtet. Aber ich denke das da was Grosses kommt sonst wäre die Aktie am Freitag wieder etwas zurückgekommen. Dass war aber nur kurz der Fall. Also ich bleibe mindestens bis 1 Euro investiert. Bei guter Nachrichtenlage villeicht auch länger. Solltest du noch nicht investiert sein, würde ich bis Montag mittag Eröffnung in USA warten. Denke es wird wohl einen kleinen Rücksetzer geben.

OVERVIEW

As of June 30, 2005, theglobe.com, inc. (the "Company" or "theglobe") managed four primary lines of business. One line of business, Voice over Internet Protocol ("VoIP") telephony services, includes voiceglo Holdings, Inc., a wholly-owned subsidiary of theglobe that offers VoIP-based phone services. The term VoIP refers to a category of hardware and software that enables people to use the Internet to make phone calls. The second line of business consists of our historical network of three wholly-owned businesses, each of which specializes in the games business by delivering games information and selling games in the United States and abroad. These businesses are: our print publication business, which consists of Computer Games and Now Playing magazines; our online website business, which consists of our Computer Games Online website (www.cgonline.com) and our Now Playing Online website (www.nowplayingmag.com), which are the online counterparts to our magazine publications; and our Chips & Bits, Inc. (www.chipsbits.com) games distribution company ("Chips & Bits"). We entered a third line of business, marketing services, on September 1, 2004, with our acquisition of SendTec, Inc. ("SendTec"), a direct response marketing services and technology company. On May 9, 2005, we entered a fourth line of business, which we call our Internet Services business, when we exercised our option to acquire Tralliance Corporation ("Tralliance"), a company which had recently entered into an agreement to become the registry for the ".travel" top-level Internet domain.

As of June 30, 2005, our revenue was derived principally from the operations of SendTec, and to a lesser extent from the operations of our computer games related businesses. Our VoIP products and services have yet to produce any significant revenue. Tralliance does not expect to begin generating revenue until sometime around September 2005.

During the first quarter of 2005, management began actively reevaluating the Company`s primary business lines, particularly in view of the Company`s critical need for cash and the overall net losses of the Company. As a result, management is currently exploring a number of strategic alternatives for the Company and/or its businesses, including continuing to operate the businesses, selling certain businesses or assets, or entering into new lines of businesses.

On August 10, 2005, the Company entered into an asset purchase agreement with RelationServe Media, Inc. ("RelationServe") whereby the Company agreed to sell all of the business and substantially all of the net assets of its SendTec marketing services subsidiary to RelationServe for $37,500,000 in cash, subject to certain net working capital adjustments. In connection with the asset purchase, RelationServe has placed into escrow a $1,000,000 cash deposit, which will be applied toward the purchase price at date of closing. In the event that RelationServe fails to close on the asset purchase without fault of the Company or SendTec, the Company is entitled to retain the $1,000,000 deposit as a break-up fee. RelationServe has also agreed to separately provide certain substantial RelationServe stock ownership consideration to SendTec management at the time of closing. The closing of the asset sale is subject to the satisfaction of a number of closing conditions including distribution of an information statement describing the asset sale to our stockholders and entry into a redemption agreement whereby the Company will redeem approximately 28,900,000 shares of its Common Stock, and cancel certain other options and warrants, owned by management and certain employees of SendTec for approximately $12,500,000 in cash. These shares and related options and warrants were issued to SendTec management in connection with the Company`s acquisition of SendTec. The Company anticipates filing the information statement with the SEC in the near future and will distribute the information statement to its stockholders as soon as practicable after the information statement has been cleared by the SEC, with the closing anticipated to occur approximately 20 days thereafter.

BASIS OF PRESENTATION OF CONSOLIDATED FINANCIAL STATEMENTS; GOING CONCERN

Certain matters discussed below under "Liquidity and Capital Resources" raise substantial doubt about our ability to continue as a going concern. In addition, we received a report from our independent accountants, relating to our December 31, 2004 audited financial statements containing an explanatory paragraph stating that our recurring losses from operations and our accumulated deficit raise substantial doubt about our ability to continue as a going concern. Our condensed consolidated financial statements have been prepared in accordance with accounting principles generally accepted in the United States of America on a going concern basis, which contemplates the realization of assets and the satisfaction of liabilities in the normal course of business. Accordingly, our condensed consolidated financial statements do not include any adjustments relating to the recoverability of assets and classification of liabilities that might be necessary should we be unable to continue as a going concern.


OUR VOIP TELEPHONY BUSINESS
During the third quarter of 2003, the Company launched its first suite of consumer and business level VoIP services. The Company launched its browser-based VoIP product during the first quarter of 2004. These services allow consumers and enterprises to communicate using VoIP technology for dramatically reduced pricing compared to traditional telephony networks. The services also offer traditional telephony features such as voicemail, caller ID, call forwarding, and call waiting for no additional cost to the consumer, as well as incremental services that are not currently supported by the public switched telephone network ("PSTN") like the ability to use numbers remotely and voicemail to email services. In the fourth quarter of 2004, the Company announced an "instant messenger" or "IM" related application which enables users to chat via voice or text across multiple platforms using their preferred instant messenger service. Additionally, during the second quarter of 2005, the Company released a number of new VoIP products and features which allow users to communicate via mobile phones, traditional land line phones and/or computers.

The Company now provides the following VoIP services, on a retail basis, to individual consumers and businesses:

o Browser-Based - full functioning voice and messaging capabilities that reside on the computer desktop and also include web-based solutions. The only system requirements are a browser and an Internet connection. The Company is seeking various patents to protect its position. The browser-based products work on broadband, dial-up and wi-fi Internet connections and can optionally be used with a USB phone or other peripheral devices.

o Hardware-Based - a long distance or phone line replacement service. Requires an Internet connection and can optionally be used with an adapter or regular, cellular, wi-fi or USB phone directly over a user`s computer if desired. The service works on broadband, dial-up and wi-fi Internet connections.

The Company`s retail VoIP products are provided under various tradenames including "voiceglo", "GloPhone" and "tglo". Customers choose their levels of service from a number of available packages and complete online registrations and credit card payment transactions via websites maintained by the Company. The Company`s browser-based plans require the customers to download a simple "plug-in" to their browsers to enable voice and messaging communications. Certain of the Company`s hardware-based plans require the customer to either register the phones (and phone numbers) that the customer will be using and/or to purchase and install certain peripheral equipment such as adapters or bridge devices prior to activating service.


OUR COMPUTER GAMES BUSINESS
Computer Games Magazine is a consumer print magazine for gamers. As a leading consumer print publication for games, Computer Games magazine boasts: a reputation for being a reliable, trusted, and engaging games magazine; more editorial content, tips and hints than most other similar magazines; a knowledgeable editorial staff providing increased editorial integrity and content; and, broad-based editorial coverage, appealing to a wide audience of gamers. In Spring 2004, a new magazine, Now Playing began to be delivered within Computer Games magazine and in March 2005, Now Playing began to be distributed as a separate publication. Now Playing covers movies, DVD`s, television, music, games, comics and anime, and is designed to fulfill the wider pop culture interests of our current readers and to attract a more diverse group of advertisers; autos, television, telecommunications and film to name a few.

Computer Games Online (www.cgonline.com) is the online counterpart to Computer Games magazine. Computer Games Online is a source of free computer games news and information for the sophisticated gamer, featuring news, reviews and previews. Features of Computer Games Online include: game industry news; truthful, concise reviews; first looks, tips and hints; multiple content links; thousands of archived files; and easy access to game buying.

Now Playing Online (www.nowplayingmag.com) is the online counterpart for Now Playing magazine. Now Playing Online provides free, up-to-date entertainment news and information for the pop culture consumer. Features of Now Playing Online include: industry news in music, movies and games; reviews of concerts, movies and DVDs; and exclusive video interviews by Now Playing writers done with well-known Hollywood stars.

Chips & Bits (www.chipsbits.com) is a games distribution business that attracts customers in the United States and abroad. Chips & Bits covers all the major game platforms available, including Macintosh, Window-based PCs, Sony PlayStation, Sony PlayStation2, Microsoft`s Xbox, Nintendo 64, Nintendo`s GameCube, Nintendo`s Game Boy, and Sega Dreamcast, among others.


OUR MARKETING SERVICES BUSINESS
On September 1, 2004, the Company acquired SendTec, a direct response marketing services and technology company. SendTec provides clients a complete offering of direct marketing products and services to help their clients market their products both on the Internet ("online") and through traditional media channels such as television, radio and print advertising ("offline"). SendTec is organized into two primary product line divisions: the DirectNet Advertising Division, which provides digital marketing services; and the Creative South Division, which provides creative production and media buying services. Additionally, its proprietary iFactz technology provides software tracking solutions that benefit both the DirectNet Advertising and Creative South businesses.

o DirectNet Advertising ("DNA") - DNA delivers results based interactive marketing programs for advertisers through a network of online distribution partners including websites, search engines and email publishers. SendTec`s proprietary software technology is used to track, optimize and report results of marketing campaigns to advertising clients and distribution partners. Pricing options for DNA`s services include cost-per-action ("CPA"), cost-per-click ("CPC") and cost-per-thousand impressions ("CPM"), with most payments resulting from CPA agreements.

o Creative South - Creative South provides online and offline agency marketing services including creative development, campaign management, creative production, post production, media planning and media buying services. Most services provided by Creative South are priced on a fee-per-project basis, where the client pays an agreed upon fixed fee for a designated scope of work. Creative South also receives monthly retainer fees from clients for service to such clients as their Agency of Record.

o iFactz - iFactz is SendTec`s Application Service Provider ("ASP") technology that tracks and reports on a real time basis the online responses generated from offline direct response advertising, such as television, radio, print advertising and direct mail. iFactz` Intelligent Sourcing (TM) is a patent-pending media technology that informs the user where online customers come from, and what corresponding activity they produced on the user`s website. The iFactz patent application was filed in November 2001 and the Company expects the application to be reviewed during 2005. iFactz is licensed to clients based on a monthly fixed license fee, with license terms ranging from three months to one year.


OUR INTERNET SERVICES BUSINESS
Tralliance, headquartered in New York City, was incorporated in 2002 to develop products and services to enhance online commerce between consumers and the travel and tourism industries, including administration of the ".travel" top-level domain. In February 2003, theglobe.com entered into a Loan and Purchase Option Agreement, as amended, with Tralliance in which theglobe.com agreed to fund, in the form of a loan, at the discretion of theglobe.com, Tralliance`s operating expenses and obtained the option to acquire all of the outstanding capital stock of Tralliance. On May 5, 2005, the Internet Corporation for Assigned Names and Numbers (ICANN) and Tralliance entered into a contract whereby Tralliance was designated as the registry for the ".travel" top-level domain for a period of ten years. Effective May 9, 2005, theglobe.com exercised its option to purchase Tralliance.

As the registry for the ".travel" top-level domain, Tralliance will be responsible for the administration and maintenance of the master directory and database of all second-level ".travel" domain names. In addition, Tralliance will be offering, free of charge, to all ".travel" top-level domain registrants the ".travel" directory, a global online source of travel data organized according to a unique vocabulary for the travel industry. Tralliance has outsourced or is planning to outsource to third parties many of the processes required to operate as the ".travel" registry. Expected to launch in the 2005 fourth quarter, the full introduction of ".travel" will be preceded by a start up period for limited registration of pre-authenticated ".travel" registrants during the third quarter of 2005. Tralliance does not expect to begin collecting fees from ".travel" registrars for its services until sometime around September 2005.


RESULTS OF OPERATIONS
The nature of our business has significantly changed from 2004 to 2005. On September 1, 2004, we entered into a new line of business, marketing services, as a result of our acquisition of SendTec, Inc. ("SendTec"). Also, on May 9, 2005, the Company entered into another line of business, Internet services, when it exercised its option to acquire Tralliance Corporation ("Tralliance"), a company which had recently been designated as the registry for the ".travel" top-level Internet domain. The results of both SendTec and Tralliance are included in the Company`s consolidated operating results from their respective dates of acquisition. Primarily, as a result of the acquisition of SendTec, our results of operations for the three and six months ended June 30, 2005, are not necessarily comparable to our results of operations for the three and six months ended June 30, 2004.

NET REVENUE. Net revenue totaled $10.0 million for the three months ended June 30, 2005 as compared to $0.8 million for the three months ended June 30, 2004. The $9.2 million increase in consolidated net revenue was principally the result of the $9.4 million in additional net revenue, net of intersegment eliminations, resulting from the operations of SendTec, which was acquired on September 1, 2004. Partially offsetting this additional revenue was a decline of $0.2 million in net revenue of our computer games business segment due primarily to a decrease in the volume of games products sold by Chips & Bits, Inc., our retail distribution business. Net revenue generated by our telephony services division totaled approximately $0.1 million in each of the second quarters of 2005 and 2004.

COST OF REVENUE. Cost of revenue totaled $8.4 million for the three months ended June 30, 2005, an increase of $6.2 million from the $2.2 million reported for the three months ended June 30, 2004. The increase in cost of revenue as compared to the 2004 second quarter was principally attributable to the $6.2 million in cost of revenue of SendTec, net of intersegment eliminations. A $0.2 million increase in cost of revenue reported by our computer games segment as compared to the second quarter of 2004 was offset by a $0.2 million decline in cost of revenue of our VoIP telephony services business.

Cost of revenue related to our computer games business segment consisted primarily of printing and distribution costs of our games magazines, Internet connection charges, personnel costs, maintenance costs of website equipment and the costs of merchandise sold and shipping fees in connection with our online store. The increase of $0.2 million in cost of revenue of our computer games segment as compared to the second quarter of 2004 resulted primarily from the costs of our new magazine, Now Playing, which began distribution as a separate publication in March 2005.

Cost of revenue related to our marketing services business segment consists of fees paid to third party vendors for project related research, production and post-production services and products. Additionally, cost of revenue includes third party vendor fees incurred to acquire online advertising media, including the actual cost of the media.

Cost of revenue of our VoIP telephony services business segment is principally comprised of carrier transport and circuit interconnection costs related to our retail products, as well as personnel and consulting costs incurred in support of our Internet telecommunications network. The decrease of $0.2 million in cost of revenue as compared to the 2004 second quarter was primarily the result of lower costs associated with call usage.

SALES AND MARKETING. Sales and marketing expenses consist primarily of salaries and related expenses of sales and marketing personnel, commissions, advertising and marketing costs, public relations expenses and promotional activities. Sales and marketing expenses totaled $1.0 million for the three months ended June 30, 2005 versus $1.9 million for the same period in 2004. A decrease of $1.5 million in sales and marketing expenses of the VoIP telephony services business segment was partially offset by the addition of $0.5 million of sales and marketing expenses incurred by the marketing services business segment. During the second quarter of 2004, the VoIP telephony services business incurred significant costs in advertising its then existing retail products in Internet and television advertising campaigns, as well as commissions expenses related to its "free" GloPhone customer registrations. During the first quarter of 2005, the Company reevaluated its existing VoIP telephony services business plan and began the process of terminating and/or modifying certain of its existing product offerings and marketing programs. The Company also began to develop and test certain new VoIP products and features, some of which were completed and released during the 2005 second quarter. As a result, the VoIP telephony services business segment has significantly slowed its sales and marketing efforts as compared to the same period in 2004.

PRODUCT DEVELOPMENT. Product development expenses include salaries and related personnel costs; expenses incurred in connection with website development, testing and upgrades; editorial and content costs; and costs incurred in the development of our VoIP telephony products. Naja geschäftstüchtig ist die Firma ja , keine Frage. Bei so vielen Geschäftszweigen: Zeitungen , Spielportale, VOIP, .Travel -Ambitionen und jetzt noch diese neue "Ebay" Spiele Geschichte. Klar gehen da erst mal die Barreserven aus aber wenn nur einer dieser Dinge richtig krass zum Zuge kommt sieht es ganz schnell anderst aus. Die kommen mir schon fast wie eine richtige Beteiligungsfirma vor. Naja TheGlobe gibt es ja schon viele Jahre. Die Kurse hier ziehen schon mal an, von ,29 auf , 33 das sind schon mehr als 10 % und nachdem wir uns an der OTCBB wieder von -10 auf fast +- 0% hochgearbeitet haben würde ich sagen sieht es ganz gut aus. Nur wer interpretiert die Zahlen und stuft sie als hoch oder niedrig ein. Das müssen wohl die Amis machen , aber auch die Beteiligungsstruktur wie in dem Link offengelegt finde ich persönlich mal ganz interresant. Es sind trotz des Risikos viel Fonds und vor allen Firmen drinnen die ihre Pensionen/Renten mit der Aktie absichern. Transparenz ist ja leider ganz selten gegeben wenn es um OTCBB Werte geht.

Cyberads habe ich auch im Depot,ich habe mit mal mit meinem Börsenprogramm die Mühe gemacht,Pennystocks herauszusuchen,die sich mal irgendwann von irgeneinem Niveau verhundertfacht hatten,nun auf dieses niedrige Niveau zurückgefallen sind und habe mir 7 davon ins Depot gelegt,Cell Therapeutics habe ich vor 3 Tagen auf die Watchlist gelegt,nächsten Tag stiegen sie um 50 %,wichtig ist,dass in dem Moment,wenn man kauft,keiner drüber berichtet

Nun ja,wenn man diese Aktien kauft,man denkt sich dann,es würde sich vielleicht ein Doppelboden bilden,aber dann sacken sie weiter nach unten durch,man hat schnell 30-70 % Verlust,dann kommt der erste Reverse-Splitt,dann der 2. und plötzlich ist der Kurs tiefer als die Verkaufsgebühren,was noch nicht mal das Schlimmste ist,dann kommt das Delisting,man kann noch nicht einmal die Steuerverluste realisieren,dann hilft dann nur noch eine Ausbuchung aufs Schrottdepot der BHF-Bank,um die Depotgebühren zu senken

In USA haben wir gestern gegen Handelsende noch leicht abgegeben. Es ist eben Wochenende. Für uns dazu noch ein Langes und die News sind auch raus. Ich glaube jeder Anleger weiß, was viele Gleichgesinnte in so einer Situation bei so einer Aktie tun werden. Trotz der guten langfristigen Aussichten wird es wohl das Beste sein, erst einmal etwas Ruhe bei TheGlobe abzuwarten und am Dienstag die Sache neu in Angriff zu nehmen. Auch die Amis müssen noch handeln und Korrekturpotential ist noch jede Menge (bis 0,20 Euro). Auch die haben das WE vor sich.

CLOSING OF DISPOSITION OF ASSETS OF SENDTEC, INC; SHARE REDEMPTION; FUNDING OF ESCROW.

As previously reported, on August 10, 2005, theglobe.com, inc. (“theglobe”) entered into an Asset Purchase Agreement with RelationServe Media, Inc. (“RelationServe”), a Nevada corporation, whereby theglobe agreed to sell all of the assets of its subsidiary, SendTec, Inc., (“SendTec”), to RelationServe for $37.5 million in cash, subject to certain adjustments (the “Asset Sale”). On August 23, 2005 we entered into Amendment No. 1 to the Asset Purchase Agreement with RelationServe (the “1 st Amendment” and together with the original Asset Purchase Agreement, the “Purchase Agreement”). On October 31, 2005, we completed the Asset Sale. Including adjustments to the Purchase Price (related to excess working capital), we received an aggregate of $39.9 million in cash pursuant to the Asset Sale. In accordance with the terms of an escrow agreement established as a source to secure theglobe’s indemnification obligations under the Purchase Agreement, $1.0 million of the Purchase Price and an aggregate of 2,272,727 shares of our unregistered common stock (valued at $750,000 pursuant to the terms of the Purchase Agreement based upon the average closing price of the stock in the 10 day period preceding the closing) were placed into escrow. To the extent any of these shares are released to RelationServe, they will be issued in reliance on the exemption from registration afforded by Section 4(2) of the Securities Act of 1933. Any shares released from escrow to RelationServe will be entitled to customary “piggy-back” registration rights.

As contemplated by the Purchase Agreement, immediately following the Asset Sale we completed the redemption of approximately 28.9 million shares of our common stock owned by six members of management of SendTec for approximately $11.6 million in cash pursuant to a Redemption Agreement dated August 23, 2005. Pursuant to a Termination Agreement, we also terminated and canceled certain options and warrants held by these six members of management for approximately $400,000 in cash. HOLDBACK ESCROW AGREEMENT

THIS HOLDBACK ESCROW AGREEMENT (this "Agreement"), dated as of October 31, 2005, is made by and among RelationServe Media, Inc., a Nevada corporation ("Buyer"), theglobe.com, inc., a Delaware corporation ("Globe"), SendTec, Inc., a Florida corporation ("Seller") and, together with SendTec, the "Seller Parties"), and Olshan Grundman Frome Rosenzweig & Wolosky LLP, a New York limited liability partnership (the "Escrow Agent"). Unless otherwise defined, capitalized terms used herein shall have the meaning assigned to them in the Asset Purchase Agreement (as defined below).

Preliminary Statement

WHEREAS, Buyer and the Seller Parties have entered into that certain Asset Purchase Agreement, of even date herewith;

WHEREAS, Sections 3.1(b) and 3.2 of the Asset Purchase Agreement provides for Buyer to deposit One Million Dollars ($1,000,000) (the "Holdback Cash") and for Globe to deposit a number of shares of its restricted Common Stock, par value $.001 per share having an aggregate value of Seven Hundred and Fifty Thousand ($750,000) Dollars (the "Holdback Shares," and together with the Holdback Cash, the "Escrow Property") with the Escrow Agent contemporaneously with the execution thereof, such amount to be held by the Escrow Agent subject to the terms and conditions of this Agreement and the Asset Purchase Agreement.

NOW, THEREFORE, in consideration of the mutual promises, covenants and conditions contained herein, the parties hereto hereby agree as follows:

Section 1. Establishment of Escrow Accounts. Buyer and the Seller Parties hereby authorize the Escrow Agent to establish an escrow account (the "Escrow Account") to hold the Escrow Property. Buyer has delivered to the Escrow Agent the Holdback Cash upon execution of this Escrow Agreement, and Globe has delivered to the Escrow Agent the Holdback Shares upon execution of this Agreement. The Escrow Property shall be held, administered and disposed of by the Escrow Agent in accordance with the terms and conditions hereinafter set forth.

Section 2. Investment of Escrow Amount Fund; Distribution of Interest.

(a) The Escrow Agent shall act as custodian of the Escrow Property and shall from time to time invest and reinvest the Escrow Property and other proceeds in any commercial bank Money Market Deposit Account. No other type of investment is permitted.

(b) The Escrow Agent shall have the power to sell or liquidate the foregoing investments whenever the Escrow Agent shall be required to release the Escrow Property pursuant to Section 3 of this Agreement. The Escrow Agent shall have no responsibility for any investment losses resulting from the investment, reinvestment or liquidation of the Escrow Property, provided such investment, reinvestment and liquidation occurs in accordance with this Agreement.

(c) Any interest or other income received on such investment and reinvestment of the Escrow Property shall become part of the Escrow Property.

Section 3. Release of the Escrow Property.

(a) As used herein, the following terms shall have the following meanings:

(i) "Award Notice" shall mean a true copy of a final, non-appealable order of a court or other tribunal in any dispute over a Notice of Claim resolved by litigation or binding arbitration.

(ii) "Notice of Claim" shall mean a claim or claims by Buyer or either Seller Party, as the case may be, that it is entitled to the Escrow Property pursuant to the terms of the Asset Purchase Agreement.

(iii) "Notice of Release" shall mean a written declaration, executed by the Seller Parties and Buyer, specifying the resolution of a dispute with regard to a Notice of Claim and the disposition to be made of the Escrow Property or any portion thereof that was the subject of such dispute. . . .

On October 4, 2005, Sprint Communications Company, L.P. (“Sprint”) filed a lawsuit in the United States District Court for the District of Kansas against theglobe, our subsidiary, voiceglo Holdings, inc. (“Voiceglo”), and Vonage Holdings Corp. (“Vonage”). Neither theglobe nor Voiceglo has any affiliation with Vonage. Sprint alleges that Voiceglo has made unauthorized use of “inventions” described and claimed in seven patents held by Sprint. Sprint seeks monetary and injunctive relief for this alleged infringement. Voiceglo has not yet responded to the complaint. The complaint does not specify which claimed “inventions” allegedly have been used by Voiceglo or what specific activity of Voiceglo is alleged to infringe the asserted patents. It is not possible to predict the outcome of this litigation with any certainty or whether a decision adverse to theglobe or Voiceglo would have a material adverse affect on our developing VoIP business and the financial condition, results of operations, and prospects of theglobe generally.

Der Wiederstand bei 0,4 ist leider´noch nicht genommen
Bei ca 0,27 bis 0,30 usd hat tglo jedoch eine starke Unterstützung,welche auch bei hohen Umsetzen gehalten hat
Ich glaube das sich der Kurs um ca 0,30 bis 0,35 stabilisiert um dann neuen Anlauf nach 0,80 zu machen
An der positiven entwicklung der Firma hat sich ja nichts geändert

Theglobe`s New World

REMEMBER THEGLOBE.COM? Founded in 1997 by a couple of freshly minted Cornell grads, the company was a pioneer in the personal Web page business -- think MySpace, before anyone had heard of blogs. In 1998 it came public at $9 a share, opened at 87, and closed at 63.50, with the then-largest first-day gain ever. The stock, of course, eventually collapsed.

But the company never actually went away, unlike, say, Pets.com or Webvan. While the original Cornell wunderkinder left the company, theglobe (ticker: TGLO) soldiered on, among other things publishing computer-gaming magazines. Now, however, the company has two intriguing businesses which make it an intriguing speculation.

For one thing, it`s a play on Voice over Intenet Protocol, in particular the low-cost Web-based variety practiced by Skype. In fact, with the acquisition of Skype by eBay (EBAY), theglobe`s Web-based voice service, recently renamed TGLO (like the company`s stock symbol) but also known by its previous name, Voiceglo, is the largest independent in the category, with 5 million registered users. That`s a far cry from the Skype`s 54 million, but so what? Skype was valued at nearly $50 per user. Give that a haircut and value Voiceglo`s users at, say, $30 each, and you get $150 million value for theglobe`s phone service.

Edward Cespedes, theglobe.com`s president -- and along with partner and CEO Michael Egan, a pre-IPO investor in the company -- is excited about VoIP, but what really has him juiced is a five-person subsidiary called Tralliance. That unit has control of the new " .travel" top-level Internet domain name, which opens for business in January.


Let the Games Continue: While gamers eagerly awaited the release of Microsoft`s Xbox 360, it was traders who scored as the Nasdaq rang up its highs for the year. Deals, such as Cisco`s buy of Scientific-Atlanta, helped run up points.


Cespedes says the company will be wholesaling travel domains for $80 a year. He thinks the market for .travel domains could eventually reach 10 million customers. Let`s say he`s off by a factor of 10, and there`s one million. That would suggest $80 million in annual revenue.

And here`s the thing: theGlobe.com trades in the obscurity of the OTC bulletin board at 30 cents a share. With 230 million fully diluted shares, its market cap is a tad short of $70 million. (And it has about $20 million in the bank, by the way.) In short, buying a few shares of theGlobe is a bet that it will either a) find a buyer for its VoIP business or b) find serious demand for .travel domains. It`s not exactly Google, but if things break right, it could provide a nice payday.

Hierzu mal ein kurzer Bericht:

gTLD - Neues von .sco, .travel und .mobi Noch ist das Jahr nicht ganz vorbei, da verkünden die Verwalter generischer Top Level Domains grosse Taten für 2006: sowohl .mobi als auch .travel feiern im neuen Jahr Premiere. Und mit etwas Glück haben die Schotten schon bald eine neue virtuelle Heimat.

Auf den Spuren von .cat wandelt die schottische dotSCO-Kampagne. Ebenso wie das katalanische Vorbild hat sich eine Gruppe um den Glasgower Softwarespezialisten Euan McCreath der Förderung der schottischen Sprache und Kultur verschrieben, der auch die erste Website ins Netz gestellt hat. Noch ist man allerdings weit davon entfernt, sich ernsthaft um die Zuteilung einer eigenen Top Level Domain zu bewerben, und will zunächst Unterstützung und Mitglieder sammeln. Doch dabei kann man schon richtige Erfolge verzeichnen; so hat etwa eine Gruppe aus Mitgliedern des schottischen Parlaments angekündigt, die Kampagne unterstützen zu wollen.

Da ist die Reise-Domain .travel dagegen schon den entscheidenden Schritt weiter. Nach Ankündigung von Ron Andruff, Präsident und CEO vom Verwalter Tralliance Corporation, soll die globale Registrierung bereits am 2. Januar 2006 um 09.00 Uhr EST starten. Derzeit läuft noch die Phase des "Limited Launch", die bis zum 26. Dezember 2006 andauert. Aktuell hat Tralliance nochmal einen Aufruf für Länder, Städte und Gemeinden gestartet, die noch bis längstens 31. Dezember 2005 die Chance haben, sich ihre .travel-Domain bevorrechtigt zu registrieren, andernfalls die Adressen in den Pool der freien Domains zurückfallen. Ich will ja niemanden verunsichern aber bei eine Schuldenstand von ca 280.000.000 kann mann sich ausrechnen wie lange es dauert bis die in die gewinnzohne kommen
Das einzige was ich positiv sehe ist das über den Verkauf von Voiceglo nachgedacht wird

Woher weist du den Schuldenstand??

6 Milionen werden sich bei .travel nie registrieren.
Jedoch ist die Resonanz wesentlich höher als bei anderen Domain wie z.B. von .museum oder anderen. Ich glaube langfristig ist bei .travel ein großes Potenzial vorhanden,
was sich nicht nur auf die Registrierungen beschränken wird.

Theglobe hat mittlerweile selbst Patente angemeldet!!
Ich glaube nicht das die Klage aussicht auf Erfolg hat!!

Die Zahlen haben leider keine Belebung des Kurses aktiviert.
Aber die Strategie des Unternehmens ist auch eine andere, man will möglichst schnell viele neue User im VOIP Bereich gewinnen und da ist man sehr erfolgreich.Laut Tglo kommt der Service Ende 2006 auch nach Europa und zur Zeit arbeitet man in 3 Schichten um die Neuanmeldungen zu schaffen. Nachdem Ebay Skype für 4.3 Milliarden übernommen hat ist TheGlobe das welt größte Voip Unternehmen und die 4.900.000 User auf der Seite sind schon lange nicht mehr aktuell.Je mehr User sich anmelden um so höher wird die Wertschätzung für den Werbemarkt durch die hohe Erreichbarkeit zu den Endkunden ( Analysten rechnen da 1 Dollar pro Kunde )
Dann ist man im wachstumsstarken MMO (online Spiele Markt)aktiv und zusätzlich fleißen noch langfristig die Einnahmen von Tralliance in die Kasse. Mein Fazit wer schon Aktien hat sollte diese langfristig halten (min. 2 - 3 jahre ) und kann sich dann die Riester-Rente sparen

Hatte zwar damit gerechnet das der Kurs schon jetzt deutlich Richtung Norden geht, muss mich dann wohl noch etwas gedulden.

Bis zur Riester-Rente hab ich auch noch ein wenig Zeit.

Übrigens gebt mal in der erweiterten Suche bei GOOGLE die Domain .travel ein. Die .travel Domain hat meiner Meinung nach eine große Zukunft vor sich.

Hab mal eine E-Mail im März zu Tralliance geschickt und nachgefragt wieviel Registrierungen für die .travel Domain bereits vorhanden sind,

Keine Ahnung warum wir so eingebrochen sind.
Vielleicht haben wir heute die tiefsten Kurse gesehen.

Es wird meiner Meinung nach genauso schnell wieder nach oben gehen.

Wenn die 10Mio User-Grenze überschritten wird,was meiner Meinung nach nicht mehr all zu lange dauern düfte - wird die Börse das mit einem Kurs-Feuerwerk belohnen ! Die kurs-Belebung vor ein paar Monaten war auch nicht durch gute Zahlen oder andere positive Nachrichten aktiviert sondern durch 4,0 Mio User (75% Aufschlag) und einen Tag später die Korrektur in den USA und auf der Internet-Seite auf 4,8 Mio User (59% Aufschlag)
Außerdem stehen die Quartals-Zahlen vor der Tür wo evtl. Travel Einnahmen zusätzlich Auftrieb geben könnten.
Meine Prognose LANGFRISTIG halten,an THEGLOBE werden wir noch viel Freude haben
