      Madge Networks N.V. Seeks Shareholder Approval for an Extension of Time to Prepare Its 2000 Financial Statements

      AMSTERDAM, The Netherlands--(BUSINESS WIRE)--May 30, 2001--Madge Networks N.V. (NASDAQ NM: MADGF - news), a global network solutions provider, today announced that at its Annual General Meeting of Shareholders to be held on June 28, 2001, it will ask its shareholders, in accordance with Dutch law, for an extension of the time to prepare its 2000 annual financial statements because of the uncertainty at this time about certain assumptions and estimates relating to its subsidiary Madge.web that are needed to finalize the financial statements.

      As previously announced, Madge Networks has determined to cease funding the operations of its Madge.web business and to seek a sale of the business as a going concern. In order to enhance the likelihood that it can sell the Madge.web business as a going concern, on April 27, 2001, Madge.web Ltd., a United Kingdom company, entered into Administration in accordance with English law and, on May 15, 2001, Madge SE Asia Pte Ltd., the Singapore Madge.web subsidiary, similarly entered into Interim Judicial Management under the laws of Singapore. These processes are broadly similar to that of Chapter 11 reorganization under U.S. law. To date, Madge Networks has funded approximately $6.5 million of costs relating to these processes.

      Under generally accepted accounting principles, the Madge.web business must now be accounted for as discontinued operations and Madge Networks is in the process of re-stating its 2000 financial results and balance sheet, as well as its 1998 and 1999 statements of operations. Madge Networks is diligently seeking a purchaser for Madge.web, as a whole or in parts, but at this time no sale has been agreed and the overall outline of the terms and conditions of any such sale or other transaction have not been determined. The possibility also exists that certain Madge.web entities will be liquidated, rather than sold as going concerns. Madge Networks believes that there is insufficient certainty with regard to the current situation of Madge.web and the impact of this on the overall financial position of Madge Networks (which is a creditor of Madge.web, as well as a guarantor of certain Madge.web liabilities), to make it possible to finalize the financial statements in time to mail them to shareholders sufficiently in advance of the Annual General Meeting at the end of June.

      Madge Networks will for administrative reasons be asking its shareholders for the maximum six month extension of time permitted by Dutch law. However, at this time, it believes that the outcome for Madge.web will be sufficiently clarified over the next month and that it will be able to file its Annual Report on Form 20-F containing its 2000 financial statements with the Securities and Exchange Commission by the final due date of June 30, 2001, and that it will then be able to call an additional shareholders meeting to approve these accounts.

      Due to the likely provision in the Madge Networks accounts for potential residual liabilities of Madge.web, and making certain assumptions about the level of realization of proceeds to Madge Networks from the sale of Madge.web in whole or in parts, it is probable that the December 31, 2000 restated balance sheet will show a shareholders` deficit. Therefore, in accordance with Dutch law, Madge Networks intends to discuss possible remedial measures with its shareholders at the Annual General Meeting.

      As previously announced, in April 2001, Red-M, previously a 100 per cent owned subsidiary of Madge Networks, secured additional funding as a result of which Madge Network`s share holding in Red-M decreased to 49.6 per cent of the voting rights and 41.6 per cent of the equity, which percentages will decrease further upon the occurrence of various events. Therefore, as of April 12, 2001, Red-M is classified as an associated company and Madge Networks will no longer receive any direct revenues from Red-M. In accordance with generally accepted accounting principles, Madge Networks will recognize its appropriate share of Red-M`s net income or loss on its income statement, but will only receive cash if Red-M pays a dividend or makes a distribution to its shareholders. Madge Networks has no further funding commitment to Red-M.

      Guten Abend,

      @ Tbroker schau mal ! Auf den Kurszettel.

      Wahrscheinlich haben sich die Investoren so erschrocken, daß Red M noch zuckt, daß sie haufenweise Aktien außenbords geschmissen haben.
      Nach eingehender Prüfung meiner Bestände habe ich festgestellt, daß ich noch bis zum 09.07.01 Zeit habe, die Scheidung von Madge einzureichen.
      Bin also hinsichtlich Madge noch investierter Marktteilnehmer. Heute - 14 %, meine Fresse. Doch der Trost ist nahe; wir finden ihn in der jahrtausende alten chinesischen Philosophie: wenn man am Boden liegt, so sagt der Chinese, kann man nicht mehr tiefer fallen.
      Das Rückschlagpotential von Madge ist jetzt begrenzt.Viel weiter runter geht`s nun mal nicht.In ein- bis zwei Wochen dürften wir mit dem Lift schlußendlich im Kellergeschoß angekommen sein.
      Dann tritt Ruhe ein. Die Aktie kann verschnaufen - und sich für den Aufstieg rüsten.

      in der Tat : bei mir gibt es jetzt auch optimistische Worte.
      Dies hängt aber nicht so sehr mit Madge zusammen sondern mit meiner Hoffnung, daß ich mit meinen diversen Bio-Calls eventuell noch mal ungeschoren davon kommen kann.Da hab ich jetzt fast 6 Monate auf ein minus zwischen 70 und 80 Prozent gesehen. Doch jetzt kommen sie seit ein paar Tagen mächtig. Zerren sogar schon etwas an der Leine.
      Das erfüllt mein altes Herz mit solch einer Freude, daß davon sogar etwas zu Madge rüberschwappt.
      Heute stand ein großer Bericht über Blue Tooth im Handelsblatt.
      Fazit : Das Jahr 2001 ist aufgrund von unerwarteten Anlaufschwierigkeiten ( technischer Natur ) ein schmerzhaftes Jahr für die noch junge Technologie.Sie erlangt den angestrebten Reifegrad halt später, als wie erwartet.
      Aber dann, mein lieber Schwan ......

      - RedM ist Partnerschaft mit Nowood-Systems eingegangen
      - RedM hatte recht gute Produktvorstellung beim Bluetooth-Kongreß in Monte Carlo.
      Glaube das hat den Kurs beflügelt.
      Danke auch Dir Franta für die "Mutmache". Glaube die News und so ein schöner Kurssprung bestätigen es. Hoffentlich nicht eine Eintagsfliege.

      Madge ist tot, es lebe Madge.In der Freitagsausgabe des Handelsblatt ist Madge, bzw. Red- M analog zu dem was Rbroker schreibt,auch sehr gut weggekommen.Da wurde auch über den event in Monte Carlo berichtet.Ausführlich - und explezit wurde über die Bestückung des Krankenhauses mit der neuen Technik geschrieben.
      Bleibt zu hoffen, daß das Licht, welches wir im Moment am Ende des Tunnels sehen, nicht der entgegenkommende Zug ist.

      warst wieder mal schneller. Habe die Sache gerade gelesen und wollte sie posten. Jo, war gerade bei 0,67$, hatte aber heute schon mal 0,8$ drauf. Die Umsätze gefallen mir so richtig.
