SanDisk Names Frank Calderoni Chief Financial
      Officer and Senior Vice President, Finance and Administration;
Calderoni Leaves Vice President Post At IBM

      SUNNYVALE, Calif.--(BUSINESS WIRE)--March 1, 2000--SanDisk
Corporation (Nasdaq:SNDK) today announced the appointment of Frank A.
Calderoni as chief financial officer and senior vice president,
finance and administration. Calderoni, who will report to Eli Harari,
SanDisk CEO and president, was formerly vice president, finance &
operations, global small business, international business machines
(IBM Corp). The appointment is effective today.
Calderoni replaces Cindy Burgdorf. Burgdorf, who joined SanDisk
in 1994, announced last year that she wanted to retire to spend more
time with her husband and three young daughters.
Harari said, "Frank`s appointment comes at a critical time for
SanDisk, as growth in our target markets is accelerating, fueling
strong demand for our products. Frank brings to SanDisk`s executive
management team a wealth of financial and operational experience in
      large scale businesses.
"Frank is taking over a solid finance and administration team and
a superb balance sheet, the legacy of Cindy Burgdorf`s leadership.
Over these past six years, Cindy has guided SanDisk through our IPO
and two subsequent secondary financings. She has graciously and
patiently postponed her retirement until Frank came on board. We will
miss her and wish her all the best."
A resident of San Jose, Calderoni held several high level
financial and management positions during his 20 years at IBM. Most
recently he was controller of IBM`s storage systems division, a
multi-billion dollar international storage products division. His
earlier positions included controller of IBM`s server group, director
of finance and planning in the system 390 division and site controller
in the large scale computing division.
Calderoni, who holds a Master of Business Administration degree
from Pace University, formerly sat on the board of directors of two
companies - Storage Products Thailand, Inc., and Hailiang Storage
      Products Co., Ltd.

Position in Scandisk aufgebaut.

SanDisk Corp. (SNDK: news, msgs) warned investors that it sees lower
quarter-over-quarter revenue growth in the fourth quarter than in the third
quarter. The Sunnyvale, Calif.-based company said the financial impact of
the Taiwan earthquake would only be felt in the fourth quarter, in terms of
spot shortages and increased expediting costs. In the third quarter,
SanDisk recorded earnings in line with analysts` consensus estimate of 21
cents a share, or $6.5 million. Revenue jumped to $67.5 million, up
almost 30 percent quarter-to-quarter and up just over 100 percent,
year-to-year. SanDisk supplies flash memory data storage products.

SanDisk to Supply MultiMediaCards for Casio`s
New Internet `Wrist Watch` Music Player; MultiMediaCard Built Into
      World`s First Wrist-Type Wearable MP3 Player

      LAS VEGAS--(BUSINESS WIRE)--Jan. 6, 2000--SanDisk Corporation
(Nasdaq:SNDK) announced today that it will supply Casio, Inc. with its
stamp-size MultiMediaCard for storage of MP3 audio in the WMP - 1V
Wrist Audio Player, the world`s first wrist-type wearable MP3 player.
The wrist player was introduced today at the CES trade show.
The Wrist Audio Player features a built-in 16MB (megabyte) flash
memory MultiMediaCard that enables the highly portable device to store
and play up to 66 minutes of recorded sound and music. The
MultiMediaCard, which SanDisk co-invented, is currently available in
      8, 16 and 32MB capacities with 64MB available in 2000.
Casio, a widely-recognized innovator in consumer electronics
products, advances the state of the art in "wrist data devices" with
its Wrist Audio Player. The Wrist Audio Player enables consumers to
download MP3 format files to the device from the Internet or from
their favorite music CDs, created using commercially available MP3
file creation software. Using the included stereo earphones, the Wrist
Audio Player now makes high-fidelity digital music available just
      about anywhere and anytime.
"We are proud that an industry leader such as Casio has selected
SanDisk`s MultiMediaCard for use in the WMP-1V Wrist Audio Player,"
said Nelson Chan, senior vice president of marketing at SanDisk.
"Innovative products, such as Casio`s Wrist Audio Player, clearly
demonstrate how our advanced flash memory solutions are making a new
generation of ultra-portable consumer electronic products possible.
With some 40 announced Internet music players already using the
MultiMediaCard for audio storage, we believe that the MultiMediaCard
has emerged as the standard music storage card in the fast growing
      digital audio market."
Weighing only 70 grams, the Wrist Audio Player enables users to
store approximately 33 minutes of CD-quality sound, 44 minutes of near
CD-quality sound, or 66 minutes of FM broadcast-quality sound on the
      built-in MultiMediaCard. In addition, a high-speed built-in USB
interface enables users to download a four minute audio track in as
      little as 70 seconds.
The Wrist Audio Player leverages the MultiMediaCard`s low-power
design enabling users to enjoy approximately four hours of continuous
playback when the device`s rechargeable lithium-ion battery is fully
charged. Other advanced features include a Flashback Title display
that scrolls through song titles and artists, as well as Animated
Motion Graphic characters that move in one of 10 different styles
according to the song being played.
SanDisk`s MultiMediaCard relies on solid-state memory to deliver
rugged and reliable performance to low power, battery-operated
devices. With no moving parts, the MultiMediaCard ensures that music
players never skip and that sound quality retains its original
fidelity with repeated play and re-records. The memory card continues
to be rapidly adopted by applications in markets as diverse as smart
phones, digital video, industrial handheld computing and Internet
      music players.
SanDisk Corporation, the world`s largest supplier of flash data
storage products, designs, manufactures and markets industry-standard,

scheinen fast unbegrenzt (Palm, Handy, Musik-Player etc.)
      Meine Frage:

in Fiscal Q1 From Taiwan Foundry Investment

      SUNNYVALE, Calif.--(BUSINESS WIRE)--Jan. 14, 2000--SanDisk Corp.
(Nasdaq:SNDK) announced today that it will realize a $344 million
pre-tax ($204 million after-tax) gain in its fiscal first quarter
ending April 2, 2000 as a result of the merger of United Silicon Inc.

The gain is based on the share price of UMC at the date of the

All of the UMC shares received by SanDisk are subject to trading
restrictions imposed by UMC and the Taiwan Stock Exchange. The trading
restrictions will expire on one-half of the shares six months after
the date of the merger. The remaining shares will become available for

are ultimately sold, it is possible that additional gains or losses
      will be reported.
Eli Harari, SanDisk`s President and CEO said, "The accounting
gain that we report today from the merger of USIC with UMC is the
icing on the cake for our original investment. UMC and USIC have
surpassed all expectations we had for the production of high quality,
advanced technology flash memory wafers when we made our investment in
USIC. As a result of the consolidation, SanDisk will now have greater
access to UMC`s other fabs. We have already started to bring up our
flash technology at Fab 8F, UMC`s newest and most advanced facility.
By mid 2000, we expect to have three UMC 8 inch wafer fabs producing
      our flash memory wafers."
SanDisk Corporation, the world`s largest supplier of flash data
storage products, designs, manufactures and markets industry-standard,
solid-state data, digital imaging and audio storage products using its
patented, high density flash memory and controller technology. SanDisk
      is based in Sunnyvale.
The matters discussed in this news release contains forward
looking statements including our expectation that SanDisk may
recognize a gain or a loss in future periods when the UMC shares are
sold due to fluctuations in the market value of the UMC shares. These
forward looking statements are also subject to certain risks and

      betrifft Aktie: SANDISK CORP.DL-,001 624572
Der Chip- und Kartenhersteller SanDisk Corp. (SNDK) wurde heute vom Merrill Lynch-Analysten
Eric Rothdeutsch heraufgestuft.

      Stand: 142$.

Sharp, Sony to develop high-density memory disc

TOKYO, March 23 (Reuters) - Sharp Corp <6753.T> and Sony Corp <6758.T> said on Thursday they will join hands to develop small, high-density magneto optical discs, in a bid to grab a larger piece of the fast-growing memory device market.

The new disc will be used in mobile devices such as personal digital assitants, digital still cameras, video cameras and personal computer data storage units, and will allow the development of smaller devices with greater memory capacity, the companies said.

Sharp plans to begin marketing a new mobile device using the disc by the end of this year, a company spokesman said.

A Sony spokeswoman said, however, that her company has no plans at this time to launch a product with the new disc.

They added that several electronics manufacturers had agreed to support the new magneto optical disc format, including Casio Computer Co Ltd <6952.T>, Fujitsu Ltd <6702.T>, IBM Japan Ltd <IBM.N>, Mitsubishi Chemical Corp <4010.T>, Pioneer Corp <6773.T> and TDK Corp <6762.T>.

The companies said their technology will permit recording more than two gigabytes of data on a 50.8mm disc.

Electronics makers are vying to dominate the memory device market by introducing new products.

In February, Sony said it added 19 companies including General Motors Corp <GM.N> to the list of firms it has licensed to develop gadgets using its chewing gum-sized memory stick as a data storage device.

Matsushita Electric Industrial Co Ltd <6752.T> developed a secure digital memory card with Toshiba Corp <6502.T> and SanDisk Corp <SNDK.O> to compete with Sony`s memory stick. They plan to bring the device to market during the April-June quarter.

Sharp`s shares closed at 2,160 yen on Thursday, down 35 yen or 1.59 percent. Sony`s shares closed at 25,870 yen, down 510 yen or 1.93 percent.

World`s First Product Designed to Use The SD Flash Memory Card is Introduced; SanDisk, Co-Inventor Of The Card, Will Manufacture And Market The SD Card

SUNNYVALE, Calif.--(BUSINESS WIRE)--March 27, 2000--SanDisk Corp. (Nasdaq:SNDK) announced today that Toshiba Corp. has introduced the world`s first product designed to use the SD (Secure Digital) Memory Card, a high-capacity, high-security flash memory card.

The device, a mobile Internet audio player (MEA110AS), is the first of a series of products that SanDisk expects will be introduced that will use the SD Memory Card. Several industry leading companies have indicated that they plan to base many of their new consumer electronics products on the SD Memory Card.

The SD Memory Card was introduced in August, 1999, by Matsushita Electric Industrial Co., Ltd. (NYSE:MC), best known by its Panasonic brand name, SanDisk and Toshiba Corp. In January, 2000, the three firms announced that 71 companies have stated that they plan to join the new SD Association, an industry-wide association created to set industry standards for the card and promote its wide acceptance in digital applications including Internet music players, Internet appliances, cellular phones, digital still cameras, digital video cameras, handheld computers, automotive systems, set-top boxes and other products. Initial membership in the association is expected to include approximately 100 companies.

Nelson Chan, SanDisk`s senior vice president of worldwide marketing, said, "Toshiba`s ground-breaking introduction of its new SD Internet music player is the first of many new SD-based consumer electronics products that we expect to see on the market this year and in 2001. Toshiba is a world-class leader in both flash memory and consumer electronics products and we applaud Toshiba`s vision in helping establish the SD Memory Card as an industry standard in the era of the Internet."

Toshiba`s new mobile audio player has a slot for the SD Memory Card, a durable, solid-state (no moving parts), removable card with the physical profile of a postage stamp (24mm x 32mm x 2.1mm). Toshiba announced that "this is the world`s first AAC -- and MP3 -- compatible mobile audio player with a SD Memory Card slot. Support for AAC -- high quality sound compression for music distribution and digital satellite broadcasts that will start later this year -- and for MP3 -- today`s most widely used format for digital music on the Internet -- assures that the MEA110AS will bring consumers a tremendous range of audio content. MEA110AS incorporates the SDMI-compliant Content Protection for Recordable Media (CPRM) developed by Toshiba and other leading IT companies, assuring a high level of copyright protection and data security, while achieving full compliance with the SD Audio format specified by the SD Association. The player`s built-in 64 megabyte (MB) flash memory stores 60 minutes of music. An optional 64MB SD Memory Card adds a further 60 minutes."

The MEA110AS will be available in Japan starting April 22, according to Toshiba. Toshiba is now readying the product for its introduction in the international market.

"The SD Memory Card is a self-contained solution for the coming era of booming electronic distribution," said Masao Suga, who promotes mobile AV product applications at Toshiba, and will head the Mobile AV Network Division, which will be established on April 1 at Toshiba Corp. "A strong partnership between SanDisk and Toshiba in flash memory allows users of our new SD-based mobile products to be highly confident about the future of this small but powerful medium."

Both Toshiba and SanDisk plan to separately introduce 128MB SD Memory Cards by the end of 2000. The card provides an SDMI-compliant (Secure Digital Music Initiative) high level of copyright protection.

The judge also denied two motions by Lexar -- one claiming SanDisk`s `987 patent is invalid and requesting a partial summary
      judgment of non-infringement.

Eli Harari, SanDisk CEO and president, said, "Judge Breyer`s ruling vindicates our stand with regard to Lexar`s infringement of
SanDisk`s `987 patent. We had on several occasions offered a patent cross-licensing agreement to Lexar under reasonable
terms, but Lexar rejected our proposals. Our strategy has been, and remains, to license our patents to enable an open,
competitive market for flash cards. We believe that this ruling strongly reaffirms SanDisk`s pioneering innovations in flash memory
storage and are optimistic that it will pave the way for other flash memory card suppliers that are not currently licensed by
SanDisk to negotiate cross-licenses with SanDisk."

SanDisk`s patent no. 5,602,987 teaches and claims important aspects of the emulation of a magnetic disk drive in removable
flash memory cards, such as PC CARD, CompactFlash(TM), MultiMediaCard and the Secure Digital (SD(TM)) Memory
Card. The removable flash memory card claimed in the patent appears to the computer, digital camera, digital Internet music
player or other digital device to be completely identical to the industry standard magnetic disk drive although the flash memory is
solid state, has no moving parts, is extremely compact and rugged and consumes negligible battery power. Therefore it is ideally
suited to be the universal digital storage device in the emerging post-PC era.

SanDisk, a pioneering technology company in the flash memory market, holds more than 100 related patents.

SanDisk, Inventor of CompactFlash, Announces Continued CompactFlash Support for Windows-Powered
      Pocket PCs

      NEW YORK--(BUSINESS WIRE)--April 19, 2000--SanDisk Corporation (Nasdaq:SNDK), the world`s largest supplier of
flash data storage products and inventor of CompactFlash(TM) (CF(TM)) memory cards, announced today the continued
support of the CompactFlash standard in Microsoft Windows-powered Pocket PCs. SanDisk joined Microsoft and other
Pocket PC Launch Partners today for the Pocket PC Launch to bring next-generation mobile devices to consumers and the
      enterprise.

By teaming with Microsoft and its other Pocket PC Launch Partners, SanDisk is helping to expand the functionality and usage of
today`s Personal Digital Assistant (PDA) and putting the power of the PC in the user`s pocket.

"Pocket PCs," have considerably more power than traditional PDAs according to Microsoft, with a 32-bit CPU and 16
Megabytes (MB) to 32MB of Random Access Memory (RAM). With the addition of industry standard CF expansion slots,
users can extend their storage and connectivity options. For example, users can take a CF card and insert it into the Pocket PC
to add up to 192MB of flash storage.

"By allowing users to do more personal customization, and by providing a more powerful device than the average PDA, Pocket
PCs can better meet the individual, professional and personal needs of consumers," said Nelson Chan, senior vice president of
worldwide marketing for SanDisk Corporation. "Consumers will be able to use products such as SanDisk`s CompactFlash cards
to back-up data, images or audio and be able to use new applications with the extra storage they get from high capacity SanDisk
      CF cards," said Chan.

Pocket PCs have a built-in audio player that allows users to listen to their favorite CD quality, MP3 and Windows Media
formatted music. On a typical 64MB CF card, users will be able to listen to one hour of playback using MP3 and two hours of
musical playback using the Windows Media Format.

"Windows-powered Pocket PCs are the most expandable device in the industry, designed to meet our customers` growing
needs," said Rogers Weed, director of marketing for the Mobile Devices Division at Microsoft Corp. "By using industry
standards-based Compact Flash solutions developed by SanDisk, our customers have a continually growing choice of hundreds
      of possible expansion options."

In addition to offering more capabilities, the Pocket PC provides the familiarity of Windows, does not require them to learn how
to write in a particular way, automatically syncs the device with their PC and has an easier to read color screen. Consumers will
also be able to use familiar applications similar to those available on their desktops such as pocket versions of Microsoft Word,
Excel, Outlook and Internet Explorer. Users will have access to full online/offline email capabilities including the review of
attachments and will not be limited to one application at a time, but instead, will be able to work on several applications at once.

SanDisk Announces Record Revenue, Net Income and Earnings Per Share for First Quarter 2000

      SUNNYVALE, Calif.--(BUSINESS WIRE)--April 19, 2000--SanDisk Corporation (Nasdaq:SNDK), the world`s largest
supplier of flash memory data storage products, today announced record revenue for its quarter ended March 31, 2000. Total
first quarter revenues were $109.4 million, an increase of 148% from the first quarter of 1999 due primarily to increased sales of
our CompactFlash and MultiMediaCard products. Product revenues were $97.2 million, an increase of 171% from $35.9
million compared to the same period last year. Revenues from licenses and royalties were $12.1 million, up 48% from $8.2
million in the first quarter of 1999. Net income for the quarter was $219.3 million and included a one-time after tax gain of $204
million from the previously announced conversion of SanDisk`s investment in the United Silicon Inc. foundry into shares of United
Microelectronics Corp. Excluding this one-time gain, net income for the current quarter was $15.3 million, up 256% compared
to $4.3 million in the same period last year. In the first quarter, diluted earnings per share were $3.00, which included $2.79 per
share from the gain on SanDisk`s foundry investment. Diluted earnings per share excluding this one-time gain were $0.21 per
share compared to $0.07 per share in the first quarter of 1999.

Total first quarter revenues increased sequentially by $26.6 million, or 32%, from total revenues of $82.8 million for the fourth
quarter of 1999. Product revenues increased by 39%. Current quarter diluted earnings per share, net of the one-time gain
related to the USIC merger, increased to $0.21 per share, up 40% compared to $0.15 per share for the fourth quarter of 1999.

"The first quarter was an outstanding quarter for SanDisk with total revenues reaching a record high, surpassing the $100 million
mark for the first time," said Dr. Eli Harari, President and CEO of SanDisk. "Product gross margins improved by three
percentage points to 30% and operating income reached a record level. New bookings significantly surpassed the previous
quarter`s record bookings and backlog at quarter-end was at an all time high.

"Sales growth improved sequentially in all geographic regions of the world, particularly in Japan and Europe. We experienced

"Looking forward to the next several quarters, bookings visibility and new design win activity continue to be very good. Flash
supply from the major vendors, including SanDisk, remains tight. Our primary focus in the near term is to work with our wafer
foundry suppliers to further increase our shippable flash memory capacity through process shrinks and the qualification of
additional fab capacity for second half shipments. We are optimistic about our continued growth in sales, product gross margins,
      and profits in fiscal 2000."

This news release contains forward looking statements including the Company`s expectations for future product revenues and
bookings, average selling prices, gross margin and profits that are based on current expectations and involve risks and
uncertainties that may affect the Company`s business, financial condition and results of operations. In addition to the factors
discussed above, other risks include: the availability of adequate supply of flash memory wafers from UMC in Taiwan and from

SANDISK (SNDK) PRESIDENT AND CEO ELI HARARI ON EARNINGS AND FUTURE OUTLOOK

      APRIL 20, 2000

SUMMARY: Harari is confident on the near-term and long-term continued strength of the company. He believes in open standards and
open competition in the industry. He explains the company`s customer base.

Tyler: Sandisk beats the street. Net income more than tripled to $15 million, or 21 cents a share. Three cents ahead of estimates.
Revenues soared about 150% to $109 million. The company is a leading maker of flash memory storage devices, integrated circuits
that retain data when power is off. Some memory chips lose stored data as soon as power is interrupted. In the past 52 weeks, the
stock has gone from $9 to $169, and is now at about $105 a share Let`s get some more details on Sandisk`s latest profit report.
Joining us now from Mountain View, California is Eli Harari President and CEO of Sandisk. Welcome, nice to have you with us.

      Good morning, Tyler.

Tyler: Business is extraordinary good with a tripling in net income. Can you keep it up?

We intend to. Our entire focus in increasing production and meeting the very strong and surging demand for our products. We are very
confident about the near term as well as long-term prospects for the company.

Tyler: To whom do you sell most of your product? Well, Sandisk really has pioneered what we call disruptive technology, displaced
existing mechanical rotating or chemical devices, for example, everybody knows today about digital cameras, flash, which the
company pioneered is now the standard digital film for digital cameras. The majority of Cannon, HP`s cameras, use the flash supplied
by sandisk. So, this one example. We now have the music players, MP3 players and again, disruptive technology that replaces tape
and again, in the multimedia card that Sandisk is selling today, the majority of music player companies.

Susan Byrne Westwood: This is Susan Byrne Westwood. Just wondering, we can all know from the products that you are going into
we would all recognize those products as new products and we are all using them and very exciting. Do you see competition coming
down the pike from some of, from some other folks, some of the larger players or do you feel your position and product is
well-protected through patent or the manufacturing process?

Sandisk has very pioneered technology, over 100 patents confirmed in court. We have licensed technology to leading manufacturers
such as Intel. We believe the markets are going to be very, very large markets and we believe that it is very important to have open
standard and open competition. We feel we have the best team in the industry for flash development, for control technology. We are
very, very good manufacturing partners in Taiwan. We have recently announced a very important strategic long-term cooperation
agreement with Toshiba. Toshiba and Sandisk together with have a very strong showing and though to the market as the market takes
      off.

Susan Byrne Westwood: Quickly on another subject, Seagate owns as large part of your condition and they are involved in a
corporate develop. What happens to their ownership and does that go into the private deal?

      Tyler: Quick answer please.

Seagate Technology has already sold most of the shares in the company and now formally out of 70 million shares. So, the represent
ownership in the company is small.

Tyler: Congratulations again in the blockbuster quarter in your company, Sandisk. President and CEO of Sandisk.

Matsushita to offer SD Memory products from June

TOKYO, May 9 (Reuters) - Matsushita Electric Industrial Co Ltd <6752.T>, the Japanese electronics giant, said on Tuesday it will start selling SD Memory Card-based products in Japan from June to cash in on the Internet music boom.

The memory cards will be used in mini music players which can download and play music from the Internet, following the growing popularity of the medium due to the start-up of web site-based music distributors and in response to a similar device launched by rival Sony Corp <6758.T> last year.

Matsushita will launch the Panasonic SV-SD70 and SV-SD01 audio players on June 30 and July 10, producing 3,000 of each per month, before putting them on sale in Europe and the United States in July or August, a company spokesman said.

It will also introduce SD Memory Card-compatible desktop personal computers and e-mail terminals in July or August.

Matsushita will start selling 64 megabyte (MB) and 32 MB SD Memory Cards on June 30, producing up to 100,000 of each a month, and plans to launch 256 MB cards in the year starting April 2001, the spokesman said.

The SD Memory Card was developed by Matsushita, California-based SanDisk Corp <SNDK.O> and Toshiba Corp <6502.T> under an accord between the firms announced in August last year.

The SD is a postage stamp-sized flash memory card with built-in copy protection, a high-speed read-write rate, a large capacity to accomodate various types of media from audio visual content to other kinds of data, the company said.

Seventy to 90 companies including Hewlett Packard, Eastman Kodak, Motorola and Compaq are expected to introduce products compatible with SD Memory Cards, a Matsushita spokesman said.

Matsushita`s shares closed at 2,960 yen on Tuesday, down 10 yen or 0.34 percent.

Sony Corp launched its Memory Stick -- a chewing gum-sized memory card -- in February 1999. It launched its Memory Stick version of the portable Walkman music player last December

      Hallo Ruebezahl,

Japan 99/00 PC card shipments up 14 pct yr/yr

TOKYO, May 18 (Reuters) - Japan`s shipments of PC cards rose 14 percent from a year earlier to 5.22 million in the year
ended on March 31 in line with increased demand for digital cameras and personal computers (PCs), an industry association said
      on Thursday.

The shipments rose 83 percent in value terms from a year earlier to 30.20 billion yen ($277.7 million), the Japan Electric Industry
      Development Association (JEIDA) said.

PC cards include card-type modems and memory cards for use in notebook PCs and digital cameras, for which domestic
demand rose sharply last year due to increased use of the Internet e-mail.

Demand for use as memories for Web-based music devices that can download and play music from the Internet also helped to
boost PC card shipments, an association official said.

The association expects shipments in 2000/01 to rise 19.5 percent from a year earlier to 6.24 million units, worth 32.5 billion
yen, up 7.6 percent from a year ago, he said.

The figures are based on a survey of 48 Japanese distributors and makers of PC cards including Iwatsu Electric Co Ltd
<6704.T>, NTT Data Corp <9613.T>, Kyocera Corp <6971.T>, Omron Corp <6645.OS>, SanDisk Corp <SNDK.O>,

US$ liegen.
      KUV 2000: 7-9
Marktkap.
      Prämissen: ..Q-Umsatz-Wachstum 25%/20%/15% für 2000/01/02
      .............Nettorendite: 15%/15%/15% für 2000/01/02
      2000: 634 Mio. / 95 Mio. ...KUV:7/KGV:46
      2001: 1.382 Mio. /208 Mio. ...KUV:3/KGV:21
      2002: 2.558 Mio. /384 Mio. ...KUV:2/KGV:11

LG Information and Communications MP3 Cell Phone Uses SanDisk
      MultiMediaCard to Store Music

CyON MP3 is World`s First Integrated Cell Phone-MP3 Player

SUNNYVALE, Calif.--(BUSINESS WIRE)--May 22, 2000--LG Information and Communications has introduced the world`s first integrated cell phone-MP3
Internet music player that uses the SanDisk flash memory MultiMediaCard to store audio and data. The device is called the CyON MP3, LG-P810. A stamp-sized
SanDisk 16 megabyte (MB) or 32MB MultiMediaCard will be bundled with each device sold.

The innovative CyON is compatible with most digital audio players, because it uses the standard MultiMediaCard and MP3 formats. Users can interchangeably
use their MultiMediaCards from their MP3 players with the CyON and either play pre-recorded songs or download music directly to their phone.

Nelson Chan, SanDisk senior vice president of worldwide marketing, said, ``Introduction of the CyON MP3 is a major endorsement of the removable
MultiMediaCard as a storage standard for the cell phone and Internet player markets. We believe that in the future, most cell phones will have the capability to
play digital audio and will require a memory card slot for added device capability. SanDisk co-invented the MultiMediaCard and currently is the world`s largest
supplier of the flash memory card.``

The user-friendly phone has an LCD remote control and a simple one-touch button that activates the audio player. Using CyON`s LCD remote, which is attached
to the earphones, users can make calls, check call lists and listen to music. In addition, CyON`s charger has a built in mini-audio component that can play music or
the radio while the phone is recharging.

Currently, the CyON MP3 is available only in Korea. It has not been determined when the device will be available in other parts of the world.

SanDisk`s Flash Memory Cards to be Supported by QUALCOMM`s CDMA Chipsets and System Software
      SUNNYVALE, Calif.--(BUSINESS WIRE)--May 23, 2000--

SanDisk MultiMediaCards To Provide Storage For Next-Generation Wireless Internet Mobile Phones

SanDisk Corporation (Nasdaq:SNDK), today announced that QUALCOMM Incorporated (Nasdaq:QCOM), pioneer and world leader of Code Division Multiple Access (CDMA) digital wireless technology, will provide support for flash storage MultiMediaCards, co-invented by SanDisk, in QUALCOMM`s CDMA chipsets and system software solutions.

The announcement marks QUALCOMM CDMA Technologies` (QCT) initial support for a removable storage card in its CDMA chipsets and system software.

The first QCT product that will utilize the stamp-sized MultiMediaCard will be the MSM3300(tm) Mobile Station Modem (MSM(tm)) solution, the first multimedia-enabled chipset and system software solution. With built-in support for the MultiMediaCard, the MSM3300 solution features the highest level of integration of multimedia features available for mobile phones, providing Global Positioning System (GPS) satellite location information, wireless communications based on the Bluetooth standard, and multimedia audio such as MP3 music and Musical Instrument Digital Interface (MIDI)-based multimedia software. An interface for MultiMediaCard storage will be built into the MSM3300 solution, allowing future phones to store CD-quality music, mapping information from a geographical navigation service, voice mail and data from other applications.

SanDisk is the world`s largest supplier of removable flash memory MultiMediaCards. They are currently available from SanDisk in 8, 16, 32 and 64 megabyte (MB) capacities. The compact size (36mm x 43mm x 3.3mm) and low power requirement of the 2.7 volt SanDisk flash memory MultiMediaCard makes it an ideal storage medium for battery-powered devices such as mobile phones.

Johan Lodenius, senior vice president of marketing and product management for QUALCOMM CDMA Technologies, said, "The ultra-small SanDisk MultiMediaCard, offering mass storage in a rugged, standards-based format, was a logical choice. QUALCOMM expects that the MultiMediaCard will be a key enabling technology for future wireless technology."

Nelson Chan, SanDisk`s senior vice president of marketing, said, "QUALCOMM`s support for the SanDisk MultiMediaCard reflects the exploding market for Internet smart phones. Our advanced flash memory cards enable manufacturers and service providers to greatly expand functionality and differentiate their products, enhancing a new generation of ultra-portable devices with removable MultiMediaCard slots. These slots will offer users wireless communications, Internet access, GPS position location, multimedia music and much more."

SanDisk CompactFlash Cards Find New Home in Weave Innovation`s StoryBox Smart Picture Frame

SUNNYVALE, Calif.--(BUSINESS WIRE)--May 24, 2000--SanDisk Corporation (NASDAQ:SNDK), today announced a new mass consumer application for its industry-leading CompactFlash(TM) (CF(TM)) memory card - digital picture frames. The first internet-connected picture frame to utilize the CompactFlash card, the StoryBox(TM) Smart Picture Frame, has been introduced by Weave Innovations.

The removable CompactFlash card, invented by SanDisk, will store images that can either be viewed one at a time or as a slide show, changing as often as the viewer dictates. The StoryBox Smart Picture Frame has the capability, due to an embedded controller, for the owner to remove the CompactFlash card from their digital camera, insert it into the frame and retrieve, transfer, print or share the images without the assistance of a personal computer.

StoryBox frames connect to the StoryBox Network through a normal telephone line. By using the frame and storing images on a CF card, users are able to send their pictures via the StoryBox Network to other StoryBox Smart Picture Frames as well as e-mail and photo sharing websites. Once connected, the StoryBox Network updates consumers` StoryBox Smart Picture Frames with personalized content from E!Online, MSNBC.com, SportsLine.com, Traffic Station and The Weather Channel.

Craig Rotbert, a SanDisk product manager, said, "The StoryBox Smart Picture Frame is an exciting product and gives the CompactFlash standard another unique product win. More than 260 other products have already been introduced with CompactFlash card slots including digital cameras, handheld computers, MP3 Internet players, printers, vehicle navigation systems, pay phones and medical monitors. We expect that over time, these digital picture frames will become very popular and will accelerate the sale of SanDisk CompactFlash cards."

"The CompactFlash design provides the StoryBox Smart Picture Frame with two key competitive advantages," said Mark Hoffman, senior director of marketing and customer service, Weave Innovations, Inc. "By incorporating CompactFlash in the StoryBox design, digital camera owners can take their CompactFlash cards right out of the camera and put it into the StoryBox to instantly view and share pictures with friends and family. Also because of the design decision, our product is the only internet enabled picture frame that can send and print digital pictures without the aid of a PC."

Kodak branded StoryBox Smart Picture Frames will be available at retail this summer with a suggested retail price of $299.

Founded in 1998, Weave Innovation is focused on creating new categories of interpersonal communication products powered by innovative technologies that are transparently woven into people`s lives. The Weave Innovations management team consists of experienced executives and engineers from storied Silicon Valley-based companies, such as Intel Corporation, Silicon Graphics Inc., and Sun Microsystems. Hallo liebe Sandisk Freunde, hallo DomRep !

Amkor to Assemble Multi-Media Cards for SanDisk

      CHANDLER, Ariz.--(BUSINESS WIRE)--June 5, 2000--SanDisk Corporation`s (Nasdaq: SNDK) multi-media card (MMC),
which places more flash memory into a smaller, easier to use package, owes its growing consumer demand to SanDisk`s own
pioneering semiconductor technology and the advanced module packaging techniques developed by Amkor Technology, Inc.
      (Nasdaq: AMKR).

The postage stamp-sized multi-media card, which is assembled by Amkor, is slightly thicker than a credit card and half the area
of competing cards. It provides re-writable memory for many of today`s portable multi-media devices, including internet music
players, digital camcorders and still cameras, cellular telephones, personal digital assistants (PDAs), and other new devices
      currently growing in popularity worldwide.

A single 32-megabyte memory card holds the equivalent of a full compact disk of music, 480 minutes of voice-only audio or
24,000 pages of double spaced text. Higher-capacity Amkor-assembled memory cards of the same size and format are
expected to be available later this year. More than 80 companies worldwide currently produce products that rely on multi-media
      cards for their solid-state storage.

"The joint effort by Amkor and SanDisk to increase manufacturing capacity within a short window is one example of Amkor`s
expanding efforts in System in Package module manufacturing," said Patrick McKinney, senior vice president of business
development and marketing for Amkor`s modules group. "We are leveraging Amkor`s semiconductor package assembly
capability with surface mount technology and a supply management program to benefit the marketplace."

Amkor`s modules group assembles the cards in 16- and 32-megabyte capacities using SanDisk-developed IC die, components
and substrates. By mid-summer, Amkor will begin providing components and substrates for SanDisk through a turnkey supply
      chain management program.

Amkor is increasing its assembly and test capacity for flash storage cards to achieve higher storage densities, including the use of
stacked die, to meet growing market requirements from SanDisk and other customers.

"We look forward to rapid market acceptance of the MMC form factor and being able to meet SanDisk`s increasing volume
requirements as the multi-media card demand grows," McKinney said.

      Hallo Leute,

"Alte Anwendungen": Camcorder, Digi-Cameras, MP3-Player

      Ich bleib dabei...

SANDISK (SNDK) PRESIDENT AND CEO ELI HARARI ON FLASH DATA STORAGE

      JUNE 12, 2000

SUMMARY: Harari comments on flash data storage used in electronic systems. Harari says the company`s cards add new
functionality to cell phones. Harari talks about the company`s growth rate.

Bill: SanDisk is the world`s biggest supplier of flash data storage devices. Its products include removable and embedded memory
cards used in everything from digital cameras, cell phones and even some MP3 players. This gee-whiz technology makes it faster and
easier to access pictures and data here is one you can use in computer and other devices. We`ve received a lot of viewer email about
SanDisk, so by request here to talk about his company is President and CEO Eli Harari, joining us from Mountain View, California this
afternoon. Thank you, for joining us.

      Good morning, Bill.

Bill: Remember the 5 1/4 floppy and the 3 1/2 inch. Here is one more to show you. I showed this one, it holds 192 mega bits. Watch
this guy, this thing is a postage stamp that holds 64 mega bits.

      That`s right.

Bill: How much smaller can they get?

      Not any smaller.

      Bill: Are you sure?

That is as small as they need to get to fit into a cell phone.

Bill: This does go for a cell phone. Which way does it go, the cell phone makers set a standard you meet or do you set the standard
      they have to meet?

We work together. The whole idea is you want to make sure the Nokia, Ericsson, Motorola, Qualcomm, NTT Docomo, Worldwide and
Siemens that they all have one standard, which makes it possible for consumers to be very happy with the product.

Bill: What am I storing, email and phone numbers and things.

Yes, but you can also store music, one of the 64 megabyte cards holds a complete hour of music, in the future, video, movies the
whole thing. Basically just about any kind of digital data.

Bill: I have an email question along these lines, I will pose this question through Ted: How will the extreme shortage of flash memory
cards effect your sales and revenue, how bad is it right now?

It is pretty tight. Supply is very tight. I think it is going to loosen up in the second half of the year. We are taking a lot of steps to bring
up additional chance capacity. We think it is going to get better in the second half and significantly better next year.

Bill: Are customers on allocations right now?

Yes, customers on allocation. We could sell more, but that is true for the rest of the industry. The whole semiconductor industry is
very, very hot today. The growth rate projected for the next several years is immense. The entire industry will grow from $150 billion
this year to about $300 billion in two or three years from now.

Bill: Is your growth rate essentially being capped by this, the fact you have to allocate to customers?

To a certain extent, but we are growing still at a very, very rapid rate. We are bringing up additional capacity. We have signed a major
manufacturing agreement with Toshiba that will add basically triple our manufacturing capacity in the next two years.

Bill: Here is a question from Tom, he wants to know how you compare the future demand from compact flash memory to flash ram and
how is SanDisk strategically positioned to is have a competitive advantage in each?

We are not competing in the flash ram, which is the chip that goes into a disk drive. We are in the number one in the card business
for removable flash storage where we are the number one market share player that technology is very, very specialized. We think in
that market we are the number one and have the best technology, the best intellectual property and we think we are very, very well
positioned to benefit and prosper from the growth that we see for the next five to ten years.

Bill: Rocky asks: what is the difference between using removable flash card storage and using embedded flash.

It is very simple. You want the cell phone to be as cheap as possible because it is given away for free and you want the card to add
functionality. For example, it is $2 more to add a connector for; this is a cell phone.

Bill: Hold it closer to your face we will be able to see it.

This is a cell phone, you add a $2 for a connector and with that you can make a music player this. This is an MP3 cell phone and you
really don`t want to incur the costs with this card with every phone because not every person wants it to be a music player.

Bill: It is one of those situations, I always ask a CEO like you, you can do it but will I do it. Do I want to play music on a phone if the
batteries will the dead after a few minutes after listening to the music?

The batteries won`t be dead until--.

Bill: They have to be enlarged -.

No that is the beauty of flash memory. It consumes almost no power and has a 2% drain on the battery for playing one hour of music.
There is really no issue with the battery or the technology it is about the costs and getting the costs down.

Bill: He writes: you and the officers at SanDisk sold over 30 million dollars worth of your stock, how can I expect good things from your
company in the future when there is this kind of selling? Is it normal? A lot of times CEOs and directors sell for estate planning
      purposes. Sometimes it is not?

I can speak for myself. I have the majority of high assets tied up in SanDisk. It would take me at the rate of my quarterly sales it would
take 14 years to liquidate my assets. So, I feel very, very bullish about SanDisk`s future.

Bill: Nice to see you. Thank you for joining us.

      Thank you.

Bill: Eli Harari, the president and CEO of SanDisk, joining us today from Mountain View, California. Taking a look at how shares of
SanDisk have traded over the past 12 months down 1 1/2 %.

Matsushita ties with RealNetworks on online music

TOKYO, June 13 (Reuters) - Japanese electronics giant Matsushita Electric Industrial Co <6752.T> said on Tuesday it had joined
hands with RealNetworks <RNWK.O> of the U.S. on new technology used for music distribution via the Internet.

Matsushita, the world`s biggest consumer electronics manufacturer, said its memory storage and music distribution technology will
be used for RealJukebox, a popular jukebox software developed by RealNetworks.

Matsushita will use the RealJukebox software in its new audio player to be released in North America later this year. It uses Secure
Digital (SD) Memory Card, a small-sized memory storage card developed by Matsushita, Toshiba Corp <6502.T> and U.S.-based
      SunDisk Corp <SNDK.O>.

The move came just when Matsushita`s SD camp and its arch rival Sony Corp`s Memory Stick have been vying to dominate the
fast-growing market for memory devices using flash-memory chips, which retain under date even if the power source is cut off.

The announcement came after the Tokyo stock market had closed. Matsushita shares ended up 1.73 percent to 2,650 yen.

SanDisk to Supply MultiMediaCards for New Openers Portable MP3 Internet Music Player

      MONDAY, JUNE 19, 2000 9:17 AM
      - BusinessWire

SAN DIEGO, Jun 19, 2000 (BUSINESS WIRE) --

Hanzoom Digital Music Player Features Support for Both
MultiMediaCard and the Secure Digital Memory Card

SanDisk Corporation (Nasdaq:SNDK) announced today that it will supply OPENERS Co., Ltd. of South Korea with its
MultiMediaCard for storage of MP3 audio in the "hanzoom(TM)" DMP-2000 Digital Music Player. Hanzoom, which
means "handy" in Korean, is an Internet music player featuring two flash memory card slots capable of supporting
both the MultiMediaCard as well as the upcoming Secure Digital (SD) Memory Card.

The announcement was made at the MP3 Summit trade show. SanDisk is demonstrating products, including the
      hanzoom, in booth No. 45.

Available in a range of colors including Black, Gray, Indigo and Vivid Yellow, the hanzoom DMP-2000 is an advanced
MP3 music player packaged in an ergonomic and user friendly design featuring a rubber cover that doubles as a
sure-grip handle and a shock absorbing jacket for extra durability. In contrast to most digital audio players available
today, the hanzoom supports multiple audio formats in addition to the popular MP3 including Windows Media Audio
(WMA) and soon, MPEG-2 Advanced Audio Coding (AAC). Since WMA produces smaller files and encodes faster
than earlier audio codes, the players double the compression space and are able to store twice as much data as
most other digital players that supports only MP3.

"With support for both MultiMediaCard and the SD Memory Card, the hanzoom DMP-2000 is an appealing Internet
music player offering consumers the opportunity to easily migrate from today`s most popular digital audio memory
card to tomorrow`s most advanced e-commerce secure storage platform," said Nelson Chan, senior vice president of

new Internet music players have MultiMediaCard slots."

S.W. Kim, president of Openers Co. Ltd., said, "The ultra-compact size, low power consumption, and proven
performance and reliability of SanDisk`s MultiMediaCard make it an ideal match for the hanzoom DMP-2000. The
combination of long battery life, a young and energetic design, together with support for the most popular digital audio
file formats as well as SDMI will enable hanzoom to open a new world of digital music to our customers."

SanDisk Corporation, the world`s largest supplier of flash data storage products, designs, manufactures and markets
industry-standard, solid-state data, digital imaging and audio storage products using its patented, high density flash
memory and controller technology. SanDisk is based in Sunnyvale, Calif.

SanDisk Supports Palm`s Selection of the SD --Secure Digital-- Card for New Palm Handheld Computers

NEW YORK--(BUSINESS WIRE)--June 27, 2000--SanDisk Corporation (NASDAQ: SNDK) today announced its support for Palm`s decision to use the Secure Digital Card (SD Card) in future Palm(tm) brand products. In addition, SanDisk welcomed Palm as the newest member of the Secure Digital Association (SDA), a consortium of companies SanDisk helped found to work to promote the widespread adoption of the SD Card. Palm also accepted an invitation from the SDA to become a member of its Board of Directors. The announcement was made today at the PC Expo in New York City.

"Palm`s endorsement of the SD card standard is a clear indication of the value and flexibility it provides for both secure memory and I/O expansion. SanDisk, which co-invented the SD card, with Matsushita and Toshiba, is proud to assist Palm developers in the creation of a wide variety of SD card applications for future Palm handhelds," said Wes Brewer, director of strategic marketing for SanDisk.

Palm chose to support the SD card for use in its brand of handheld computers because of the numerous advantages the card format offers, which includes compatibility, cost, data storage access and security. As an open industry standard, the SD Card is already supported by over 60 companies including Hewlett Packard, NEC, Pioneer, Qualcomm and Thomson. Many of these companies are already developing MP3 players/recorders, digital cameras and smart phones, which will be SD compatible. Because of the card`s widespread industry support, it is expected to proliferate in the consumer electronics market and be compatible with a large array of products.

"The SD card is a widely supported initiative that encourages interoperability between various consumer electronics devices," said Byron Connell, vice president, consumer markets group at Palm. Inc. "Consumers will be able to transfer cards between devices, share image and music files and even insert an I/O option like Bluetooth, which will facilitate the creation of powerful applications for consumers and the enterprise."

The thumbnail-size SD card will start shipping in Q4 of this year in 32 and 64 megabyte (MB) versions, with plans for much higher capacity in the future. Proprietary security functions have also been incorporated into the SD card that facilitate the secure exchange of content between devices and the card. The security technology has been designed to comply with the Secure Digital Music Initiative (SDMI), making it an ideal solution for the transfer of digital content such as music and movies.

The SD Memory Card was introduced in August, 1999, by Matsushita Electric Industrial Co., Ltd. (NYSE:MC), best known by its Panasonic brand name, SanDisk and Toshiba Corp. The new SD Association is an industry-wide association created to set industry standards for the card and promote its wide acceptance in digital applications including Internet music players, Internet appliances, cellular phones, digital still cameras, digital video cameras, handheld computers, automotive systems, set-top boxes and other products.

Tower Semiconductor And SanDisk Corporation Announce $75 Million Strategic Investment Agreement

      MIGDAL HA`EMEK, Israel--(BUSINESS WIRE)--July 4, 2000--

Tower To Build New Fab In Israel With SanDisk As First Wafer Partner
Tower Expects To Sign Additional Partners In Near Future
Construction Of New Fab Anticipated To Start This Year
Parties Will Host Joint Teleconference Call On July 5

Tower Semiconductor (NASDAQ:TSEM) and SanDisk Corporation (NASDAQ:SNDK) today announced that they have entered into a definitive agreement under which SanDisk will make a $75 million strategic investment in Tower.

In return for its investment, SanDisk will receive equity, corresponding representation on Tower`s board and committed production capacity in the advanced fab Tower plans to build in Migdal Ha`emek, Israel. The announcement was made at a joint Tower-SanDisk press conference.

Tower plans to raise additional equity, mostly from other strategic partners in similar transactions, of approximately $350 million. It is expected that following the completion of all the financing transactions necessary for the new wafer manufacturing facility, SanDisk will hold approximately a 10% stake in Tower, while the Israel Corp. will have about 20%. Additional strategic partners that will join the initiative will hold together approximately 30% of the company.

"I am pleased to announce that SanDisk is joining us both as a major investor and wafer partner in the new fab," said Dr. Yoav Nissan-Cohen, Tower`s Co-Chief Executive Officer. "The two partnerships announced so far - first with Toshiba and now with SanDisk - were significant steps toward the new fab. Following this agreement with SanDisk, we expect to announce similar agreements with additional wafer partners in the very near future."

Nissan-Cohen continued, "This fab, which will be the most advanced pure-play foundry facility in Europe, will enable us to provide our customers with leading edge processes and meet the demand for our advanced specialized technologies. With the new fab, we will be able to maximize the value of our CMOS image sensor technology, and also of the microFLASH(R) process, which we developed jointly with Saifun Semiconductor based on their pioneering technology."

Dr. Eli Harari, President and CEO of SanDisk said, "SanDisk is very pleased to announce this strategic investment in Tower Semiconductor. This step represents a natural extension of our strategic alliance with Toshiba for the joint development and manufacturing of advanced flash memories and SD (Secure Digital) Card controllers. Toshiba has recently agreed to transfer its advanced CMOS Logic technology to Tower under a separate Technology License Agreement. We intend to incorporate this technology in the design and future manufacturing by Tower of the advanced controller chips used in SanDisk`s flash memory cards. Our highly successful SanDisk Israel Design Center, which has the responsibility for developing every SanDisk Flash controller used in our MultiMediaCards and Secure Digital Cards, will work closely with Tower to bring up the production of future advanced controller chips for SanDisk."

Harari also said, "The strong financial incentives package expected from the Israeli government, including substantial grants and favorable tax incentives, was a critical element in our decision. We were also impressed with Tower`s reputation for excellent customer service, and we agree with Tower`s strategy to position itself as a European Centric foundry specializing in advanced CMOS logic, embedded microFLASH and CMOS Image Sensors."

Tower and Israel Corporation Chairman Idan Ofer commented, "This agreement reflects Israel Corporation`s decision to focus on the semiconductor industry as one of our main holdings. An advanced wafer fab is central to Tower`s long term plans. The combination of Toshiba`s advanced technologies, Tower`s quality people and management team, and SanDisk`s leadership and product innovation in its market, will help us transform Tower into a world class, leading edge semiconductor manufacturer over the next few years. We are now proceeding to put into place the other necessary elements of the new fab. We are working to obtain approval of a government incentive package, bring in additional wafer partners and secure the necessary financing to launch this exciting project."

Yasuo Morimoto, the president of Toshiba Semiconductor Company, said: "Toshiba welcomes SanDisk`s decision to join Tower as a wafer partner in its new fab. We are already cooperating with SanDisk in the area of NAND Flash, and we believe the Tower project will enable the two companies to enhance their business. We are also confident that the support of Toshiba and SanDisk will contribute to the success of Tower`s project."

      About Tower`s New Fab

Tower will use the investment, expected government grant, bank loans and its own cash toward constructing an advanced fab adjacent to its current facility in Migdal Ha`emek, Israel. The new fab, called "Fab 2", is planned to employ approximately 1,000 professionals and produce up to 33,000 200-mm wafers per month. Tower has already started recruiting employees for Fab 2 in Israel and abroad, and is preparing an extensive training program to bring the new recruits to the necessary skill level. Tower is planning to commence construction of the new Fab later this year. The agreement between Tower and SanDisk follows the previously announced technology transfer agreement between Tower and Toshiba Corporation pursuant to which Toshiba agreed to transfer to Tower the deep sub-micron CMOS process technologies to be used in the new fab. Transfer of know-how from Toshiba has already begun with Tower engineers at Toshiba`s plant in Japan.

      Agreement Terms

Under the terms of the agreement, SanDisk`s investment will be made in several stages over an approximately 18 month period, against satisfactory completion of key milestones for the construction, equipping and commencement of production at the new wafer fab. SanDisk will receive from Tower a guaranteed portion of the available wafer capacity at competitive pricing, with first production expected in 2002. SanDisk will also hold an option to acquire additional equity of approximately 10% of Tower under generally similar terms. The total cost of the project is estimated at $1.5 billion through the end of 2003.

The closing of the transaction with SanDisk is subject to several conditions, including the timely approval of a financial incentive package from the Israeli government, securing additional required financing from other wafer fab partners and banking and/or financial institutions, and timely commencement of fab construction.

Tower and SanDisk CEOs will hold a joint teleconference call to discuss the news in this press release. The call will take place at noon (EDT), Wednesday, July 5. SanDisk<SNDK.O> to invest $75 mln in Tower<TSEM.O>

TEL AVIV, July 4 (Reuters) - Israel`s Tower Semiconductor said on Tuesday it had entered into an agreement under which SanDisk will make a $75 million strategic investment in Tower.

In return, California-based SanDisk, the world largest supplier of flash data storage products, will receive equity, representation on Tower`s board and committed production capacity in the advanced chip plant Tower plans to build in Migdal Haemek, Israel. The total cost of the new plant is estimated at $1.5 billion through the end of 2003.

Tower said it plans to raise additional equity, mostly from other strategic partners in similar transactions, of about $350 million. It is expected that following the completion of all the financing transactions necessary for the new wafer manufacturing facility, SanDisk will hold about 10 percent of Tower, while the Israel Corp <ILCO1.TA> will have about 20 percent.

Additional strategic partners that will join the initiative will together hold appoximately 30 percent of the company.

Following the agreement with SanDisk, Tower said it expects to announce similar agreements with the additional wafer partners in the very near future.

      Flashy growth for memory-chip makers
Interest in cutting-edge gadgets like MP3 players and digital cameras has exploded demand for flash-memory technology. Three companies that benefit: SanDisk, Silicon Storage Technology and M-Systems Flash Disk Pioneers.
      By Michael Brush

If the person snapping your photo this Fourth of July weekend is hip enough, you`ll be playing a minor role in a major technology investing trend: flash memory.

The reason? The slender card inside the camera that will retain your image is one of its biggest drivers of demand. So are many other cutting-edge tech gadgets you may enjoy -- from MP3 digital-music players and cell phones to Palm-like devices, DVDs and DSL modems.

Brisk sales of items like these explain why flash-memory sales rocketed by 71% last year, making it the fastest-growing segment of the chip sector. They are also behind the powerful demand and upward earnings revisions at three companies that design and supply flash-memory chips: SanDisk (SNDK, news, msgs), Silicon Storage Technology (SSTI, news, msgs) and M-Systems Flash Disk Pioneers (FLSH, news, msgs).

All three stocks are selling down right now on concerns of weakening demand from the cell-phone market, but the fears are overdone -- presenting a buying opportunity in these stocks, analysts say.

Two characteristics set apart flash, or nonvolatile, memory: It does not get wiped out when the power is turned off, and it can be easily erased and reprogrammed. While the leading firms in the sector are giants like Intel (INTC, news, msgs) and Advanced Micro Devices (AMD, news, msgs), the three companies described here are better ways to invest in the trend because they are pure plays.

      SanDisk: Twice the capacity
Demand is so strong that this Sunnyvale, Calif.-based producer of removable flash-memory storage ships only slightly better than half the cards requested by the companies making digital cameras and MP3 players. That`s a good problem to have, notes Lauren McMahon, an analyst for Forstmann Leff Associates, which holds shares in the company.

And it probably won`t change any time soon. "The market this year will be double last year`s market, and we expect it to grow at a 50% annual rate over the next five years," says chief executive Eli Harari. That would put flash-card sales at $10 billion in five years, up from $1.5 billion in 2000.

Cards made by SanDisk, which has 28% of that market, are popular in part because they use a technology that allows twice the storage capacity as competing cards -- which means they are also cheaper.

About 70% of SanDisk revenue comes from flash-memory cards used in consumer electronics. Around 60% of that is linked to digital cameras; Kodak and Nikon, for instance, are major customers of SanDisk`s CompactFlash storage card. The rest comes from sales of music players and handheld devices. The other 30% of overall sales comes from cards used in things like switches, routers and base-station equipment sold by companies like Cisco Systems (CSCO, news, msgs) and Nortel Networks (NT, news, msgs).

While both areas are growing rapidly, some of the most exciting changes will come in consumer electronics, Harari predicts. "The landscape will be completely different. This is a disruptive technology." He says, for example, flash cards will replace 35mm film, audiotape and compact discs. Next, SecureDigital flash-memory cards, to ship in earnest in a quarter or two, should pave the way for the electronic sale of music over the Internet because they block bootleg copying and have higher capacities. Use of flash-memory cards in cell phones will bring data-intensive features to handsets -- like voice mail, digital music and mapping. A few years out, SanDisk products will be used to store movies.

One risk for the company is that it might lose too much business because it simply can`t line up enough capacity to meet demand. Another potential threat: Sanyo`s release of a magneto-optical storage device later this year, which could cut into demand for flash products. SanDisk shares recently traded for around $57, way down from its March high of $169; that gives the company a market cap of about $3.7 billion on trailing 12-month revenue of $312 million.

      Silicon Storage Technology: Embedded memory
While SanDisk`s specialty is removable chips that store data, Silicon Storage Technology is a pure play on the other side of the business -- embedded memory that stores code. Chips produced in this larger, if slower-growing, end of the flash-memory market basically store software commands that tell components inside electronic devices what to do. (The Sunnyvale, Calif.-based company also has mass data-storage products coming on line.)

Focussing on code-storage chips does not give Silicon Storage any less exposure to the hot consumer and wireless markets. Indeed, the company`s memory chips store command code in popular products like digital cameras, MP3 players and handheld devices. Its chips also go into cell phones, Bluetooth wireless devices and networking gear like modems used in regular and DSL Internet access.

The strongest annual growth right now comes from consumer, networking and wireless demand (340% to 600%), overpowering PC-related growth of 130%. The company has been quickly ramping up the number of products for the newer communications and consumer markets. It will turn out about 80 products by the end of this year, compared to only four in the middle of 1998.

Silicon Storage has staked out its turf in the "lower density" end of the market -- meaning chips that have anywhere from 512K to 8MB of storage capacity. This is the space being abandoned by bigger flash-memory players like Intel and Atmel (ATML, news, msgs), which favor higher-capacity code-storage chips more commonly used in cell phones. But that exodus is a good thing for Silicon Storage. "Most people thought that low density equals low margins," explains chief executive Bing Yeh. "That may be true for our competitors, but not for us."

The reason is that Silicon Storage uses a patented process known as SuperFlash, says Timothy McSweeney, an analyst Essex Investment Management, which owns shares in the company. This process brings down costs in part by allowing the company to use smaller die sizes. It also makes for more reliable products, because oxide layers on the chips don`t break down as much.

      Details

Revenue growth this year should reach 200%, and Yeh expects another strong year in 2001, when he hopes sales will reach $1 billion. The stock recently traded at $78, giving the company a market cap of $3.2 billion on trailing 12-month revenue of $169 million. While the company`s proprietary technology and focus on the low-density end of the market should protect it from competitors, investors have to be ware of execution risks in any company growing at this rate.

      M-Systems: Hard drives on chips
As Internet access flows away from the PC towards smaller devices, hard drives can`t make the transition. They are too big, slow and expensive. What`s more, they eat up too much power, and they are not rugged enough. Instead, a new kind of drive has been developed to do the job. Essentially, it is a flash-memory chip with software on it that makes it act like a hard drive.

If Internet appliances like set-top boxes and hand-held products ever really take off, demand for this new ‘disk on a chip` will be even stronger than it is right now. And that will be good for M-Systems, whose DiskOnChip product provides storage inside Internet appliances.

"It is an emerging market, but the opportunity is large," says Gary Craven, a portfolio manager who holds shares of M-Systems in the Evergreen Small Company Growth Fund (EKAAX), up 67% over the past 12 months. No one knows for sure, but International Data thinks Internet appliances will grow by 81% annually to reach 64.5 million units by 2002, from 6 million in 1998.

In addition to DiskOnChip, which accounted for about 80% of the company`s revenue in the first quarter, M-Systems makes a hard drive substitute known as FastFlashDisk (FFD) used in routers and switches. This brings in about 10% of revenue, while slower-growth legacy products used in PCs make up the rest.

"FFD will be nice but the explosive growth will come from the Internet appliance market," says Chuck Schouw, the president and chief executive of the U.S. division of M-Systems, which is based in Israel. DiskOnChip can be found inside Virgin Entertainment Group`s Webplayer Internet access devices, and WebTVs made by Microsoft (MSFT, news, msgs). M-Systems may be developing relationships with Sony, Philips and Thompson among others.

Sell-side analysts expect sales at the company to grow by about 60% a year over the next three years. That kind of outlook has helped drive M-System shares to around $72, down from $93, giving it a market cap of about $745 million on trailing 12-month revenue of $41 million. At these levels, Craven says, the stock is probably fairly valued, and investors might do better to wait for an entry in the $60 range.

      The big risk
Anyone who has invested in storage stocks before knows they can run up fast on enthusiasm over strong demand for new consumer-electronics devices, only to crash hard when a supply glut leads to savage price-cutting. Remember the rise and fall of Seagate Technology (SEG, news, msgs) and Western Digital (WDC, news, msgs) in 1997? If not, do yourself a favor before you plunge into flash memory, and look at the charts. Western Digital started in 1997 around $24, zipped to $54 by August, but ended the year around $16 despite a boom in sales of PCs.

Naturally, given the level of demand, more flash-memory supply is on its way. But analysts say it will fall short of meeting demand at least through part of 2001. They think it might take even longer, given that demand comes from a rich variety of consumer and telecom applications this time, not just the PC sector.

Perhaps the cycle will be different this time. "But in these fast-growing industries, the good times are not perpetual," notes Craven. "At some point, supply catches up with demand." If the durable recall of flash memory inspires you to remember this fundamental rule of economics, your portfolio should benefit in more ways than one.
