Abraxas Announces Registration Statement Effective

SAN ANTONIO--(BUSINESS WIRE)--Sept. 29, 2005--Abraxas Petroleum Corporation (AMEX:ABP) today announced that the Securities and Exchange Commission ("SEC") has declared Abraxas` Registration Statement on Form S-3 effective relating to 5,096,479 shares of Abraxas common stock.

A total of 4,000,000 shares were issued on July 20, 2005 in Abraxas` previously announced private placement and 1,096,479 shares were issued pursuant to the exercise of certain warrants which were granted in connection with Abraxas` October 2004 refinancing. The Registration Statement permits all of these shares to be freely traded, provided that the seller of any such securities must deliver a final prospectus to the buyer.
