NATIONAL Finance Plc, an affiliate of Siam Commercial Bank, is considering acquiring a sizeable stake in Thai Military Bank by subscribing to its capital increase under the August 14 Banking Restructuring Programme, central bank officials said.
Bantherng Tantiwit, chairman of National Finance, has consulted Bank of Thailand governor MR Chatu Mongol Sonakul about the possibility of acquiring a stake in Thai Military Bank, they said on condition of anonymity.
National Finance would be interested in the stake if it fails to obtain a licence from the central bank allowing it to upgrade itself from a finance company to a restricted bank, they said.
Details of the size of the stake were not disclosed.
If National Finance obtains a licence, it would be able to conduct almost as many financial services as a commercial bank. But it might not get the licence, media reports said.
National Finance`s interest in Thai Military Bank coincides with the bank`s efforts to increase its capital. The bank is seeking approval from the Financial Restructuring Advisory Committee (FRAC), which supervises bank restructuring, for substantial assistance in a capital increase.
It will need about Bt40 billion to fulfil its 100-per-cent provisioning requirements by the end of this year.
There have been confusing media reports about the formula of the bank`s recapitalisation plan, which should be approved by financial authorities this week.
Media reports have been inaccurate, the bank said in a press release yesterday.
Reports that the bank asked the FRAC to revise regulations to facilitate its recapitalisation were incorrect, it said.
"The bank would like to clarify that those news articles are not correct," it said. "The bank is presently waiting for the result of the consideration from the FRAC."
Thai Military Bank is seriously considering National Finance`s proposal because it would allow it to raise equity in the bearish stock market, one central bank official said. However, since National Finance does not have substantial funds, the bank decided to turn to the government, the official said.
Thai Military Bank is trying to attract investors to its new issue by offering two warrants for every preferred share, central bank officials said.
Last year, the bank raised Bt9.96 billion through a hybrid securities issue. The FRAC will match these funds with an additional Bt9.96 billion, they said.
The bank hopes that it can raise another Bt10 billion on its own and a further Bt10 billion under the bank restructuring programme, they said. In all, the bank plans to raise Bt39.92 billion, they said.

24Mar2000 CHINA: Moody`s says Thai TPI decision positive for banks.
HONG KONG, March 24 (Reuters) - Analysts from ratings agency Moody`s Investors Service will incorporate the recent developments on debt restructuring into their next review on Thailand ratings, an official from the company said on Friday.
Deborah Schuler, senior analyst in the Financial Institutions Group at Moody`s Asia Pacific Ltd, told Reuters the recent decision in the bankruptcy court over Thai Petrochemical Industry Plc (TPI) was positive news for the banks.
The Central Bankruptcy Court on March 15 declared TPI, which owes $3.4 billion to 147 creditors, insolvent and ordered it to be restructured.
"Obviously the TPI outcome affects the outlook for the banks," Schuler said, adding that in the case of Thailand a big factor in the sovereign ratings is the health of the banking system.
"The TPI news is more information and it didn`t come out disastrously negative which it could have," she said.
"But it`s not like this one thing will affect the rating. It`s never one thing unless it`s a very big thing," she said.
Moody`s sovereign analysts are due to visit Thailand again in coming months, but Schuler could not confirm a specific timetable for the trip.
"We`ll go if they (Thailand) want us to go, and we go routinely whether or not a country`s ratings are on review," she said.
"Our presence does not necessarily mean ratings are changing."
Moody`s have had a positive outlook on Thailand`s Ba1 rating since May 1999, and last visited the country in October, nearly six months ago.

BANGKOK, March 24 (Reuters) - Thai finance stocks jumped
almost 13 percent on average on Friday morning as retail
investors piled into the sector after two companies announced
they would recapitalise via potentally attractive share issues.
Bouncing back from recent heavy falls, the finance sector
index had risen 119.81 points to 1,050.43 by the 0530
GMT lunch break.
Until Thursday`s close, the finance index had fallen more
than 45.8 percent so far this year, compared with a decline of
17 percent in the Thai benchmark SET composite index .
But on Friday, Kiatnakin Finance announced it was
reducing its capital to 2.55 billion baht from 4.99 billion and
then issuing 459.82 million new shares to increase its capital
to 7.15 billion baht.
The new shares would be issued to existing shareholders at
a ratio of one new share for every five old shares at 25 baht
each.
Kiatnakin Finance said that with every new share, investors
would be entitled to three free warrants.
Analysts said the warrant issue had helped investors buy
the stocks as they were valuing the warrants more than the
stocks.
Also on Friday, AIG Finance said it would issue
13.78 million new shares at 35 baht a piece. Its share price
closed on Thursday at 27 baht. The subscription dates for the
new shares would be from May 8 to 12.
Analysts said the recapitalisation announcements were
positive news for the entire Thai finance sector.
"This indicates that the sector was heavily oversold and it
just needed some positive news to spark the fire," said a
dealer at Jardine Fleming Securities.
Other analysts agreed, saying the closure of most of
Thailand`s finance companies during the Asian crisis of 1997
and 1998 had left the remaining players in the industry
reasonably viable and potentially attractive to investors.
Until the crisis, Thailand had 91 finance companies. It now
has about 20.
"Most of the remaining finance companies are sure survivors
and there are no reasons why these shares should be trading
below their par value," said Adisak Kammool, banking analyst at
Phillip Securities.
He said news of the recapitalisations had helped spark broad
investor interest in the sector.

National Finance Schlußkurs am NASDAQ_OTC = 0,16$. Gibt`s Gründe dafür?
Mit der Banklizenz - das sind Geruechte, ich weiss nicht, wieso, kann es mir schwer vorstellen.
Sollte NFS die TMB schlucken, haette es ja eine Lizenz !
Uebrigens ist NFS auch ohne die Lizenz > 20 Baht wert, denn NFS ist eine Art Investment Bank + Consumer/Housing-finance.
Das mit der NASDAQ fuer 0,16 muss eine andere Aktie sein

Ich denke das wir bei NFs das gröbste überstanden haben. Da der Wert kein allzugroßes Rückschlagpotential mehr hat kann mann nun durchaus anfangen Positionen aufzubauen. Sollte der Markt tatsächlich anspringen wird NFS eine der interressantesten Werte sein.

Meine Prognose: Wir werden in 2000 das 1999-Hoch uebertreffen, und das lag bei 0,75 E !

Der Druck nach oben wird immer staerker, vor allem bei den local shares, die auf 9,9 gestiegen sing, die foreign shares auf 10 Baht.
Bei anderen Thai-Aktien, insbes. BBL, muss man einen Riesen-Aufschlag bezahlen (BBL-F 68 Baht, BBL (local) 40 Baht, Differenz oekonomisch nicht gerechtfertigt.
Bei NFS erhaelt man nicht nur eine spottbillige Aktie, sondern auch noch die Gewissheit, dass im naechsten Aufschwung - wenn die Auslaender wie immer im Aufschwung ueberproportional stark wieder in den Wert reingehen, diese Differnz wieder auf 3-4 baht steigt. Man hat also einen "risikofreien Multiplikator"

Wortlaut war ungefähr:
