Wie in der Pressemitteilung vom 20. November 2014 bekanntgegeben wurde, hat sich Naturally Splendid bereiterklärt, bestimmte Technologien im Zusammenhang mit der Omega-Gewinnung und den Omega-Rezepturen (die „Omega-Technologie) und der Cannabinoid-Gewinnung und den Omega-Rezepturen (die „CBD-Technologie“) zu lizenzieren.

Naturally Splendid freut sich, bekanntzugeben, dass es unter Vorbehalt des Erhalts der ausreichenden endgültigen Unterlagen, des Abschlusses der zuvor angekündigten Finanzierung im Rahmen einer Privatplatzierung und der Erfüllung bestimmter anderer Bedingungen der TSXV die bedingte Zustimmung von der TSXV zur Transaktion erhalten hat. Naturally Splendid hat sich insbesondere dazu verpflichtet, vor Erhalt eines zufriedenstellenden Gutachtens hinsichtlich der Rechtsmäßigkeit dieser Produkte und der Zustimmung der TSXV keine Produkte unter Anwendunng der CBD-Technologie herzustellen, zu verkaufen und zu vermarkten.

Naturally Splendid wird seine Ressourcen auf den Verkauf von Produkten konzentrieren, die mithilfe der Omega-Technologie entwickelt wurden (z.B. HempOmega™). Naturally Splendid entwickelt derzeit aktiv unternehmenseigene Rezepturen unter Einsatz von HempOmega™ und arbeitet eng mit Nature’s Health Products Canada Corp. („NHPCC“), einem Mitglied der POS-Unternehmensgruppe mit Sitz in Saskatoon (Saskatchewan), zusammen, um die unmittelbaren Chancen wahrnehmen zu können, ausgewählten Kunden HempOmega™ vorzustellen und ihnen dies in großen Mengen zu verkaufen.

Naturally Splendid rechnet damit, dass die TSXV bei Abschluss der Privatplatzierung und der Lizenzvereinbarung den Handelsstopp seiner Stammaktien aufheben wird.

Also ist die Privatplatzierung immer noch nicht abgeschlossen.

NATURALLY SPLENDID CORPORATE UPDATE

Naturally Splendid Enterprises Ltd. is providing an update in connection with the TSX Venture Exchange review of Naturally Splendid's transaction with Full Spectrum Laboratories Ltd. (FSL) pursuant to the terms of a novation agreement among FSL, Boreal Technologies Inc., Naturally Splendid USA Ltd., a wholly owned subsidiary of Naturally Splendid, and Naturally Splendid. As set out in the news release dated Nov. 20, 2014, Naturally Splendid has agreed to license from FSL certain technologies relating to omega extraction and formulations, and cannabinoid (CBD) extraction and formulations.

Naturally Splendid is pleased to state that the TSX-V has provided conditional acceptance of the transaction, subject to receipt of satisfactory final documentation, closing of the previously announced private placement financing and satisfying certain conditions of the TSX-V. In particular, Naturally Splendid has agreed to not produce, sell or market any products utilizing the CBD technology until it has obtained a satisfactory opinion on the legality of these products and the acceptance of the TSX-V.

Naturally Splendid will focus its resources on selling those products developed utilizing the omega technology, such as HempOmega. Currently, Naturally Splendid is actively developing proprietary formulations incorporating HempOmega, as well as working closely with Nature's Health Products Canada Corp. (NHPCC), a member of the POS Group of Companies based in Saskatoon, Sask., to capitalize on immediate opportunities to present and sell bulk volumes of HempOmega to selected clients.

On closing of the private placement financing and the novation agreement, Naturally Splendid anticipates that the TSX-V will remove the trading halt of its common shares.

But Naturally Splendid is trade halted, and has been for a few months now. Why?Because they’re complicated and the TSX is scared of weed.

NSP is trying to complete a deal that will bring in some new partners, new product lines, and new uses for their IP, and the TSX doesn’t know what in the hell to make of all this. I’m told by a contact in the legal area that NSP was asked by the TSX to sign a document agreeing that they ‘wouldn’t conduct any illegal activity’ if they were allowed to resume trading.

Not that they ever have done anything illegal, and not that any other company anywhere has had to sign such an undertaking before to my knowledge, but what they actually do is a bit of a mystery to many, and it’s one of the reasons their stock has underperformed over the last ten months.

Vor Kurzem war Marihuana noch komplett verboten, nun weichen die Regeln auf.

Wenn das stimmt, dass die TSX NSP gefragt hat, ob sie wenn sie wieder zum Handel zugelassen werden, auch ja keine illegalen Aktivitäten unternehmen, dann fällt mir nicht mehr viel dazu ein.
