      Easyknit Enterpris (HK:616)aus Hongkong bietet ca. 21 eigene Aktien für je eine WITM-Aktie.
      Kurs Easyknit:1,60 HKD
      Kurs WITM aktuell:0,535 USD
      Wechselkurs: 7,80 HKD= 1 USD

      1,60x21=33,6:7,80= 4,30USD

      Die zusätzlichen Aktien von Easyknit bedeuten natürlich eine deutliche Verwässerung von über 40%. Aber, selbst wenn man annimmt, dass sich deren Kurs halbiert bedeutete das immer noch gute 2 Dollar pro WITM-Aktie. Fast das Vierfache des aktuellen Kurses.
      Von der Marktkapitalisierung her könnte Easyknit den Deal stemmen. Die sind 6,2 MRD HKD wert, umgerechnet 795 Mio. USD.
      WITM hat nur eine Marketcap von 49 Mio. USD.

EasyKnit is a Bermuda incorporated company with its principal office in Hong Kong and its securities listed for trading on the Hong Kong Stock Exchange under the symbol "616 on SEHK." The non-binding memorandum of understanding has been expanded to include material terms whereby all outstanding common shares of Wits Basin will be exchanged for three billion (3,000,000,000) shares of EasyKnit, which represents approximately 43 percent of the issued capital. It further provides for definitive documents to be finalized during February 2007. The timetable for closing will be dependent upon obtaining required regulatory approvals as well as mutual on-going due diligence review and votes by the shareholders of both companies.
      Detailing the proposed transaction, Wits Basin's CEO Stephen King explains, "The proposed exchange ratio for each common share of Wits Basin represents approximately 21 shares of EasyKnit for each Wits Basin common share.

      -- That management of Wits Basin will be retained to manage and lead the direction of the merged company.

      Ich habe auch mal nachgeforscht, warum diese Übernahme, und warum so teuer. WITM exploriert wohl in Südafrika in einem der aussichtsreichsten Goldgebiete überhaupt. Und Easyknit haben wohl ihr Kerngeschäft verkauft und wollen mit ihrem Geld in was Neues einsteigen.

      Warum das Papier nicht durchstartet weiss ich zwar auch nicht , aber wundern tut mich an der OTC nicht viel.
      Ich hatte hier auch geschrieben, weil ich dachte, jemand meldet sich, der was sieht, was ich übersehen habe.

      Technisch ist das Papier kurz-, mittel und langfristig long.
      Wer eine Position hat kann also durchaus schauen, wie es hier weitergeht.
      Interessant wird es, wie morgen der Übernehmer in Hongkong schliesst. Theoretisch dürfte sie bis 0,20 HKD fallen, ohne das WITM ins Minus rutschen müsste. Aber das wäre ein Abschlag von 87,5%. Glaubt hier wer daran? Ich nicht.

      Übrigens, ich habe gesehen, das der Research-Link zur Börse Hongkong nicht direkt funktioniert. Also, bei Code die Zahl 616 eingeben und dann unter "Info Type" die entsprechende Information wählen.

      The impressive property portfolio held by Wits Basin Precious Minerals Inc. (OTC BB: WITM) includes a past-producing gold mine in Colorado that experts believe may still contain more than a million ounces of gold, and nearly a half-million acres in South Africa that may host an extension of the famed, gold-rich Witwatersrand Basin.

      Wits Basin has acquired the rights to purchase the Bates-Hunter Gold Mine and the Golden Gilpin Mill in Central City, Colorado. Discovery of gold at the Bates-Hunter Mine in 1859 kicked off the Colorado gold rush and established Denver as a major American city. The mine, which has been dormant since 1936, is located in a mining district that historically has produced more than 4 million ounces of gold. Twenty-five percent of the gold mined came from the area immediately surrounding the Bates- Hunter mine. Wits Basin's property controls the nine principal veins underlying the mine. The veins historically produced about 750,000 ounces mined to an average depth of 600 feet. When the mine was closed, the mineshaft reached 800 feet. Drilling in the 1990s confirmed grades of .48 ounces over 10-foot widths with veins running from a couple of feet to 20 feet wide. Workings down to the 800-foot level confirm that the gold veins continue to depth. Similarly mineralized properties in the region have been mined to 2,400 feet in depth.

      Wits Basin's exceptionally strong management team includes professionals with over 150 combined years of business, mining and technical experience. CEO Vance White also serves as president of Hawk Precious Minerals. From 1993 to 1995 he was president of AfriOre Limited, the company's partner in its South African project. He also served as president of Mid North Engineering Services and the Dickenson Mines Group. President and Director Stephen King is also CEO of SDK Investments, a financial advisory firm based in Atlanta, Georgia. He has extensive corporate finance and real estate experience. CFO and Director Mark Dacko previously served as controller and secretary of several publicly traded companies, including Active IQ and Popmail.com. Director Norman Lowenthal is a South African businessman, vice chairman of the Taylor Companies, a Washington, D.C.-based private bank, and chairman of the Hong Kong-based Mandarin Financial Services. He is past-chairman of the Johannesburg Stock Exchange and is currently a member of the exchange's Securities Regulation Panel.

      If even one vein at the Bates-Hunter continues to a depth of 2000+ feet, the mine could host more than a million ounces of gold. Similar strike lengths on the other Bates-Hunter veins would multiply that resource by up to a factor of 10. "We are dealing with very rich grades - from the half-ounce to the six, seven and eight ounce range. We feel we can generate a resource pretty quickly," says White. And since permitting is already in place, White expects to get the mine into production fairly quickly with actual revenues flowing into company coffers within the next two years. "The permits represent a distinct economic and operating advantage for Wits Basin," says White, adding that even if the Bates does not become a large mine, "production of 200 tons a day can be very profitable." All of these factors open the very real possibility that Bates could provide Wits Basin with much more than operating cash flow. Then there is the apparent geologic confirmation that Witwatersrand rocks may be present on the company's FSC property. "With our Colorado project nearing production and the success of our exploration in South Africa," says White, "we believe that Wits Basin offers investors very little downside risk and all kinds of upside potential."

      Wits Basin controls a 35% mineral rights interest – with the right to earn up to 50% – adjacent to the Witwatersrand Basin, the most prolific gold producing region in the world. The basin includes seven gold fields that have produced 35% of the world’s gold– more than 1.5 billion ounces since the late 1800s and still containing more than 1 billion ounces. The FSC property encompasses 140 km of strike length and ranges from 10 to 20 km wide. The company has accumulated more than $14 million worth of property geophysical, gravity, seismic and drilling data that appears to support its theory that the property could contain a southern extension of the Witwatersrand basin’s goldproducing mineralogy. The company believes its second drill hole may have identified rock structures similar to those in the Witwatersrand basin. The geological model was developed by AfriOre and academic geologists from Witwatersrand University. If you use only one-third of the gold mineralization ratios found in the producing basin, Wits Basin’s property could host 100 million ounces of gold with a resource value in the billions. The current exploration program has drilled to a depth of 1644 meters into Proterozoic cover rocks, the same type that immediately overlie the gold-bearing upper part of the stratigraphy of the Witwatersrand rocks.

      Prinzipiell bin ich etwas skeptisch. So (zeitlich) lange Übernahmestorys müssen immer misstrauisch machen. Man muss sich fragen, warum teilen die das nicht erst mit, wenn alles in trockenen Tüchern ist? Deshalb auch die kleine Verkaufswelle nach der Meldung. Die Leute haben klarere Zeichen erwartet. Was die gemeldeten Deals anbelangt, dass liest sich nicht unbedingt uninteressant. Ich hatte aber leider noch nicht die Zeit das genauer zu durchleuchten. Vielleicht über Ostern.

      MINNEAPOLIS, Apr 20, 2007 (BUSINESS WIRE) -- Wits Basin Precious Minerals Inc. (WITM) is pleased to announce that it has finalized and executed the definitive documents regarding the announced merger with Easyknit Enterprise Holdings Limited (SEHK:616).

      The exchange will grant a minimum of 21 shares of Easyknit for each share of Wits Basin. Any additional payment of Easyknit shares may be used for the purpose of exercised warrants, options, transaction and fee expenses, and ongoing financing costs.

      The rules of the Hong Kong Stock Exchange regarding a material acquisition require the trading of the Easyknit shares to be suspended until the Hong Kong Stock Exchange permits resumption of trading.

      Pursuant to the terms of the merger, Easyknit will file immediately with the depository trustee to commence the initiation of the ADR program. The ADR program will enable our North American shareholders to have a North American exchange available to them to buy and sell their respective shares after completion of the merger. The Company intends to implement the ADR program in conjunction with the merger.

      Both companies have agreed to use good faith and best efforts to complete the merger. The merger documents require a break fee of US$30M dollars for any arbitrary termination of the merger by either party.

      Also, ganz ehrlich, mir schmeckt die Sache nicht. Das sieht doch bischen "cobracrestig" aus. Da könnten die Chinesen die Aktien noch für 1/7 des Übernahmepreises am Markt bekommen und der Kurs bewegt sich nur wenig. Aber vielleicht haben die ja genug Geld und müssen nicht sparen...:confused:
      Ich habe die vergangenen Wochen 4-5 Übernahmen an den Pink Sheets und OTCBB erlebt. Da war der Kurs zu Handelsbeginn schon in die Nähe des Übernahmepreises getaxt. Hier ist er meilenweit davon entfernt.
