Nanophase Technologies Announces Third Quarter 2001 Results
ROMEOVILLE, Ill., Oct. 25 -- Nanophase Technologies Corporation (Nasdaq: NANX), a leader in nanomaterials and nanoengineered products, announced results for the quarter ending September 30, 2001. The company achieved gross revenue of approximately $1.1 million, or the same as the second quarter of 2001. However, reportable revenue for the current quarter equaled approximately $700,000 due to the reversal of a previously reported sale to a UK company, Celox Ltd., based on the customer`s failure to pay. As reported in June 2001, Nanophase and Celox, and its affiliates, had been in final negotiations for Nanophase to develop, manufacture, and jointly market a catalytic fuel additive using Nanophase`s proprietary nanocrystalline materials on an exclusive basis. Nanophase terminated these negotiations and revised its revenue forecasts accordingly due to its concerns about Celox`s capital structure and its ability to perform to commitments.
Management now believes that the probability of receiving payment for this contractually owed revenue from Celox is limited based on the customer`s now-admitted financial inability to pay, its failure to meet the conditions that would allow shipment of the purchased material by July 2001 when it had represented that its warehouse would be ready, and numerous meetings with the customer, most recently on October 16, 2001. Nanophase`s auditor, Ernst & Young LLP, which reviewed the recording of the revenue in the first quarter of 2001, concurs that the transaction now should be reversed to properly reflect the company`s revenues through September 30, 2001. Nanophase is pursuing prudent and appropriate legal remedies with the customer.
Gross margin for product sales in the third quarter of 2001 was negative due to the revenue reversal, several one-time events, and the shutdown of the company`s Burr Ridge nanopowders facility during early July to make vital long-term improvements to the factory and the company`s patented PVS reactors. Improvements were targeted to improve output rates and product quality, and reduce product cost. The company had a net loss of $1.4 million, or $0.10 per share fully diluted, compared with a net loss of $715,000, or $0.05 per share fully diluted, for the third quarter of 2000. For the nine months ending September 30, 2001, Nanophase`s revenues totaled approximately $2.8 million, compared to $3.1 million for the same period of fiscal 2000.
"Based on recent global events and the recessionary nature of the economy, which is particularly significant in the manufacturing sector that represents our primary customer base, we are carefully managing costs," stated Joseph Cross, president and CEO. "At the same time, looking forward to 2002 and the future, we are also pushing ahead with product and nanotechnology developments that significantly advance material performance, and scaling-up manufacturing processes that enable us to maximize efficiency and reduce cost. While 2001 has been a very difficult year for Nanophase, we remain focused on our increasing array of intellectual property, and the tremendous potential of this emerging science in myriad applications. Our current and potential customers continue to express strong interest in our technology and nanomaterial applications."
Despite very difficult economic conditions and global issues that have impacted the company, Nanophase made significant progress in a number of areas. Highlights of the third quarter include:
-- James A. Henderson, former chairman and CEO of Cummins Engine
Company, joined the Nanophase board of directors.
-- Nanophase applied for a patent on unique chemistry to disperse
nanocrystalline materials in organic resins and solvents to achieve
highly stable dispersions that are applicable to a variety of
applications.
-- In July 2001, the company announced a line of higher performance
products based on the improvements instituted during July at its Burr
Ridge facility targeted for the electronics, polishing, lighting,
thermal spray, and catalysis markets.
-- In August 2001, Nanophase announced the availability of three types
of transparent, functional coatings designed to protect against
ultraviolet and infrared radiation, provide significantly increased
wear resistant coatings, and allow conductive or anti-static coatings
on a variety of substrates.
-- Nanophase completed construction of its proprietary nanomaterials
coating production area and initial qualification lots for customer
sampling and acceptance.
-- The company completed construction of its pilot facility to
manufacture commercial quantities of dispersions and formulations and
expects to begin initial deliveries during the fourth quarter of
2001.
-- Nanophase implemented an automatic distributed process control system
for its patented PVS reactors that reduces staffing requirements and
improves product quality. Through the control system, reactor
improvements, and new automatic material handling systems, the
company was able to reduce its manufacturing workforce by 25% during
July-August 2001, and maintain its 1,000,000 pound annual capacity,
ability to meet or exceed customer delivery requirements, and offer
full product line capability.
-- Through process and reactor technology improvements, Nanophase
implemented improvements to:
* Increase reactor output by 2.5 times for its NanoTek(R) Aluminum
Oxide HP and reduce variable manufacturing cost by 38%;
* Increase reactor output for its NanoTek(R) Antimony Tin Oxide by
2.3 times and reduce variable manufacturing cost by 40%.
* Achieve five-sigma manufacturing process capability for its
nanopowders processes in its continued drive toward six-sigma
quality.
-- Received preliminary approval for settlement of the remaining
litigation from the company`s initial public offering in 1997 that is
to be funded by the company`s directors and officers liability
insurance. Neither the settlement nor administration payments will
have a material adverse effect on Nanophase`s financial position or
results of operations.
During the fourth quarter, Nanophase currently expects revenues to be in excess of $1.2 million.

Kaum vorstellbar.
Mein Fazit: Lage schlecht, keine Besserung in Sicht.

Nun ja Kauderni, da ist was dran.
