governance practices adopted by the Board. The Directors wish to
accelerate the market disclosure of a specific transaction that would
ordinarily be the subject of disclosure in its year-end financial
report.
The Company`s online erotic entertainment subsidiary. Today`s Success
Pty Ltd, entered into a webmaster arrangement with Ms Bree Maddox and
a company owned and controlled solely by her, B Mad Online Pty Ltd,
in December 2001. Under this arrangement, B Mad Online Pty Ltd
generates online traffic and directs that traffic to the Company`s
websites. Consequently, a portion of that traffic subscribes to the
websites and the Company earns revenues from those subscriptions. B
Mad Online Pty Ltd receives payment from the Company on the basis of
the successful member signups from the traffic introduced by it. The
terms and conditions of the commercial arrangement with B Mad Online
Pty Ltd are the same as those of other webmasters in that category.
During the period December 2001 to 30 June 2002, the amount paid or
payable to B Mad Online Pty Ltd was $849,912. The amount paid or
payable to B Mad Online Pty Ltd for the period from 1 July 2002 to
the date of this announcement is approximately $748,230. B Mad Online
Pty Ltd is one of many webmasters used by the Company and the
payments made to it represent a minor proportion of the total
webmaster payments made by the Company.
The arrangement with B Mad Online Pty Ltd has been acknowledged by
the Directors as a related party transaction following recent legal
advice that Ms Maddox is deemed a de-facto spouse of the Company`s
managing director, Mr Malcolm Day. Mr Day has confirmed to the Board
that he has no financial, legal or beneficial interest in B Mad
Online Pty Ltd.
In keeping with the Directors desire to promote high standards of
corporate governance, the Company and B Mad Online Pty Ltd have, by
mutual consent, agreed to immediately cease the commercial
relationship that has existed between the two companies.

Mr Gillard said he was stepping down from the Board because of the time and resources demanded of the position.

I wish the company well in its endeavours and, as a shareholder, look forward to future profit success" said Mr Gillard.

The Directors have appointed Mr Kim Heitman as the non-executive chairman of the Board, with immediate effect.

Gillard goes as job gets too big

ADULTSHOP.COM chairman Reg Gillard quit the company yesterday amid the revelation that the internet specialist behind the company`s online pornography operations has been on a year-long sell down of the company`s stock.

Substantial shareholder notices lodged with the stock exchange late on Wednesday show that Queensland-based internet entrepreneur Dean Shannon, a consultant to AdultShop, was selling shares in the company from November last year until August 15.

Mr Shannon is believed to manage the online pornography operations. The cyber-porn businesss was at the centre of a shock earnings downgrade by the company last week that prompted the Australian Stock Exchange to launch a probe.

AdultShop had predicted in May that the success of the online pornography operations acquired from Mr Shannon and his partner, Steve Jones, would drive the company to $11.6 million profit in the December half. It was now likely to be less than $2 million.

Mr Gillard confirmed last night he had resigned from the company`s board but declined to comment on the revelations over Mr Shannon`s sales or the stock exchange probe.

Mr Gillard, a Perth accountant and manager of several leading footballers, said he did not have time or the resources to oversee the company`s operations.

He later said in a statement released by AdultShop.com that the week`s events had shown him the position needed a substantial executive presence inside AdultShop far beyond the conventional role of a non-executive director.

"It actually requires a full-time executive chairman."

AdultShop.com said director Kim Heitman had been appointed non-executive chairman.

Mr Gillard`s resignation comes on top of the resignation on Tuesday of Perth businesswoman Samantha Tough from the AdultShop board.

Ms Tough said she was extremely busy and could no longer give AdultShop the attention it required.

AdultShop`s online pornography operations appear to be based on an internet traffic capturing model brought into the company when AdultShop acquired the porn operations from Mr Jones and Mr Shannon in June last year for 61 million shares plus cash.

Mr Jones sold down most of his stake by January. Substantial shareholder notices lodged by AdultShop on Wednesday night show Mr Shannon sold more than 8.5 million shares in the AdultShop between May 13 and August 15 this year, when he ceased being a substantial shareholder.

The notices also show Mr Shannon sold another 10 million shares between November and the end of April this year for prices ranging from 15¢ to 25.4¢.

They show he received his best prices for the shares after the Perth-based company made its forecasts in May. Mr Shannon sold his last tranche of 500,000 shares at 24.45¢ each on August 15.

AdultShop shares plunged from 23.5¢ to 10¢ last Friday after the shock earnings downgrade was announced. They closed 1.5¢ down at 12.5¢ yesterday.

Mr Shannon could not be contacted. Mr Day, who has asked for questions to be sent by email, did not respond to a series of questions about Mr Shannon.

bin vor über 2 Jahren rein gegangen, zu 0,69, seit dem hab ich sie nur liegengelassen und hab nichts gemacht,
jetzt hab ich nur noch nen Bruchteil, wenn ich jetzt verkaufe bekomme ich zwar nach abzug von Gebühren,
nur noch ganz wenig, aber besser als gar nichts!!
was meint ihr, gibt es auch jemand der denkt das die sich wieder erholen!!

Hallo, jetzt flattern einigen aber die Nerven. Statt bei
0,06 zu kaufen und bei 0,08 zu verkaufen (wie in den letzten
paar Tagen ja möglich) wird gejammert, was ASC doch eine
schlimme Firma ist. Obwohl alle wissen, wie das Geld ver-
dient wird (oder werden sollte). Nun bleibt mal auf dem
Teppich. Wer hat denn die Millionen Aktien der letzen Tage
gekauft ? und warum ??? Weil er weiss, dass jetzt einige
Tage wild geschrien wird und dann, wenn sich die Stürme
gelegt haben, wird es wieder aufwärts gehen. Dann kommen
auch die wieder, die jetzt schreien (oder andere) und
kaufen das Zeug. Bleibt ruhig, behaltet eure Aktien und
wartet ab. Schaut euch den neuen Markt an. Dort sind viele
mit "seriösen" Firmen baden gegangen. Ich glaube, mit ASC
wird bald wieder Geld verdient. ASC hat schon wildere
Zeiten gesehen. Denkt doch einfach mal ein Jahr zurück.
0,08 - 0,25 = 200 % keine 6 Monate
0,06 - ???

In 3 Monaten könnt Ihr ja mal vergleichen.

du erwartest doch nicht wirklich in diesem board auf jemanden zu stoßen, der dir eine ernstzunehmende und am ende auch richtige antwort auf deine frage geben kann.

die frage mußt du schon für dich allein entscheiden.

mit sicherheit wirst du hier niemanden mehr finden, der die aktie im schnitt zu 0.69 gekauft hat. die meisten sind schon viel früher raus und sind billiger wieder eingestiegen.
Du mußt dich damit trösten, daß du deren gewinne und mr. days penthouse und dessen mitgift finanziert hast.

asc wird sich in kurzer zeit wieder erholen und vielleicht auf 0.08 - 0.10 steigen. aber was machst du dann?
hoffen, daß sie auf 0.20 steigt? vergiß es. genauso schnell ist sie nämlich auch wieder bei 0.05. für`s zocken denke ich, ist die aktie gut genug aber nicht als langfristige geldanlage. wenn du deine verluste mit asc wieder reinholen willst, solltest du dich mit dem gedanken anfreunden, schnell zu traden. heute rein morgen wieder raus. kleinvieh macht auch mist, oder wie heißt es?

die fragen, die sich dir stellen sind doch:
wann steige ich aus? und wann steige ich wieder ein?
da du diese fragen nach 2 jahren noch nicht beantworten kannst, sind deine dir verbleibenden 10% in deinem sparschwein in jedem fall besser aufgehoben als bei asc.

Obwohl ich selbst entäuscht bin über "Malcolms Way of Finance"

Nur sollte man nicht vergessen, dass die MegaSShares (ca,90mio) irgendwo eingesammelt wurden und das die Story noch kein ende hat.

Partnerprogramme laufen, Shop läuft gut und die nichteinsichtigen Einnahmen sicher auch nicht schlechter.

The Perth Theatre Company describes Bree Maddox as an international model, fashion parade star, commercial actor and 2000 Penthouse Pet of the Year, but it is her business and private relationship with Adultshop.com managing director Malcolm Day that is now being exposed to public attention. Adultshop.com told the Australian Stock Exchange yesterday it had terminated a business deal between a subsidiary, Today`s Success, and Ms Maddox that had netted the Miss Universe Australia runner-up $1.6 million in payments since December 2001.

B Mad Online Pty Ltd, owned and controlled by Ms Maddox, was paid an ongoing fee by Adultshop.com to direct Internet traffic to the company`s porn-related web sites. Aultshop.com, which is the subject of an ASX investigation announced on Friday last week, said in yesterday`s message to the ASX it had recently received legal advice that as Ms Maddox was deemed a de facto spouse of Mr Day, the item should be treated as a related-party transaction.

"In keeping with the directors` desire to promote high standards of corporate governance, the company and B Mad Online have, by mutual consent, agreed to immediately cease the commercial relationship that has existed between the two companies," said the chairman of Adultshop.com, Kim Heitman. He added that commercial arrangements with B Mad Online were similar to deals the erotic goods e-tailer had with other companies. Mr Day was unavailable for comment yesterday.

An Internet entertainment site last year reported that Ms Maddox had broken up with Mr Day and was seen having lunch with Australian movie star Heath Ledger. At the time Ms Maddox, who is an actor in her own right, having appeared in the Perth Theatre Company`s production of The Vagina Monologues, said of her meeting with Mr Ledger: "There`s nothing romantic going on, or anything like that." Ms Maddox was unavailable for comment yesterday.

Adultshop.com is being investigated by the ASX over whether it has complied with the market`s disclosure regime, and other issues. Adultshop.com shares closed slightly weaker at 11.5c.

Folgendes Posting habe aus einem australischen Investerboard. Es spiegelt die Einstellung in Down Under zu ASC wieder:

Hi everyone.
I`ve been watching ASC trend and this forum(particular) with great interest, although I`m not a shareholder myself. IMO, those who`s holding ASC currently for long-term should consider selling coz TA tells me the share price at the moment cannot sustain. I don`t think you`ve seen the bottom yet from here. If those long-term holders DO NOT take evasive action quickly, you will see your capital being erode. By how much? I`m predicting it will be well below 7.5 on 05/09 low. This process will slowly take you there. Anyway here`s what I came out with:

1) 10/09, was the highest it went, high 15.5 low 13.5 close 14
2) since than, it`s been trending downwards. The closing price will never break the previous high of the day, this confirms a downtrend(bearish sign) from 10/09 of 15.5
3) it may have a technical rebound next wk, but that won`t last long. ie last chance to exit at a bit higher price
4) short sellers will keep dumping at a lost if no upward movement on share price.
5) 10cps support is the last stronghold. Once that broken, a free fall from there. 10cps itself will be the resistance.
6) All my TA tells me it is just in the beginning of a "confirm" downtrend since 11/09
7) All traders/buyers should stay away, there`s more fall to come esp with all the bad publicity/media/announcement/suspension unknown/trading halt from ASX at anytime/plus hell more to come and I`m sure most readers here know about it. (i.e. Tylor`s book)
8) Good luck to those who`s still got faith on ASC. I myself would NEVER get involved in it, even for a short term hold.

Thaller muss noch einen Informanten bei ASC haben! Dieser Maulwurf versorgt ihn mit News und Malcoms Dreckwaesche. Wir wissen auch, dass Thaller mit Neale Prior dem Wichser bei der The West Australian zusammenarbeitet. Interessanterweise hat die Kakerlake Neale Prior immer Informationen, die er gar nicht haben konnte.

Die Sau gibt das auch noch offen zu. Wisst Ihr wie die Bree Maddox Geschichte ans Licht kam?

1. Informant in ASC erzaehlt es Thaller
2. Thaller erzaehlt es Prior
3. Prior fragt vorsichtig bei Malcolm an ob man denn die Geschaeftsbeziehung mit B Mad nicht eventuell doch offenlegen moechte?
4. Malcolm Day holt sich Rat bei einem Anwalt und stellt fest, dass ein Verhaeltnis mit Bree Maddox als "eheaehnlich" eingestuft wird.
5. Bevor Neale etwas in der Zeitung schreiben kann macht Malcolm ein Announcement an der ASX um der schlechten Presse zuvorzukommen.

Warum ich das alles weiss? Ganz einfach so steht es in der Samstagsausgabe von "The West Australian" in der Kolummne "Heard on the Terrace" Neale Prior gibt das Ganze auch noch offen zu.

Bevor Thaller mit Day nicht fertig ist sehe ich schwarz fuer diese Firma. Ich bin schon echt gespannt was in seinem Buch steht!

Anyone who has bought ASC since May 13, as a direct result of directors public statements, should send them a claim to the value of their investment, as it is quite clear that there is a case for misrepresentation here, in my online complaint form to ASIC, which is registered, and reply received, I stated the amount I spent.
I remember Hugh Mc,Clearnon doing the same thing, and winning his case.
No wonder these scoundrels are deserting en masse, trying to cover their lousy backsides, from an action that they know, has in the past suceeded, their assets and ill gotten gains should be immediately frozen, and be made to recompense anyone investing as a direct result of their collective complicity.
I hope everone that has been affected here, will remember for years to come, the names of these slime,and should firmly affix the list to their foreheads with a six inch nail, just so they remember how painful it is, to get in any way involved with any one of them in the future, I wouldn,t give them a job cleaning my dunny. Wonder what Woodside thinks?, I sincerely hope the lot of them lose any other positions that they hold, I would imagine that they are now a liability and embarrassment to any company stupid enough to employ them.
It,s amazing, that in the space of a couple of weeks, these non executive directors suddenly find themselves SOOOO busy, not for long I hope.

WITH disclosure a hot topic of discussion down at the Northbridge offices of online porn and sex-toy purveyor AdultShop.com, it was heartening to see embattled managing director Malcolm Day really take to his obligations with new found gusto.

When we called to inquire about the various shenanigans going on at AdultShop earlier this week, an earnest Day was determined to assist.

Yes, he would happily respond to our questions, he told us, but just to make sure his replies were representative of the board`s position and there was no chance of misunderstanding, would we mind emailing our queries to the company.

Not a problem. We promptly fired off a list of questions.

Sure enough, about half an hour later we got a reply, or so we thought.

Another hour passed, and Day telephoned us in the office to tell us not to panic, he`d ring us back in five minutes with the answers we were seeking. Another reply that he`d reply.

Sure enough, he called back shortly afterwards with full responses to each question. In the old-fashioned way of him talking, and us taking notes.

In another round of emails on Thursday, we asked: What disclosure will the board or AdultShop.com be making regarding Bree Maddox (his de facto spouse) being a webmaster with links to AdultShop.comwebsites?

Sure enough, next morning AdultShop fired off a notice to the stock exchange confirming the company`s online erotica arm had entered into a webmaster arrangement with Ms Maddox last December.

Now that`s continuous disclosure.
