Die Anwälte schreiben:
file a Motion for Leave to Amend
the First Amended Class Action Complaint for Violation of the Federal Securities
Laws and requests permission to file within 30 days of Wirecard AG’s (“Wirecard” or
the “Company”) publication of its second quarter financial results for the period ended
June 30, 2020 (“Q2 2020”), incorporating its financial results for that period.
Wirecard’s Q2 2020 financial results is likely to be filed on or about August 5, 2020.
In addition, Plaintiff hereby requests that the Court stay all briefing on the pending
motion to dismiss the First Amended Class Action Complaint for Violation of the
Federal Securities Laws (“First Amended Complaint”).
The request to amend the complaint is necessitated by new disclosures, revealed
just two days ago, of multiple adverse findings from KPMG’s audit of Wirecard, an
expanded class period incorporating the new disclosures, and the pending release of
financial statements relevant to the expanded class period. The new disclosures were
made after months of brazen and repeated assurances by Wirecard that KPMG had
made no significant adverse findings regarding the Company’s accounting practices.
Good cause exists for granting Lead Plaintiffs’ ex parte application because
class members will suffer undue prejudice without the requested expedited relief, and
because the proposed amendments will not prejudice Defendants, are timely made in
good faith, and are not futile.
This Application is based on this Application, the Memorandum of Points and
Authorities filed concurrently herewith, all of the pleadings, files, and records in this
proceeding, all other matters of which the Court may take judicial notice and any
additional argument or evidence that may be presented to or considered by the Court
prior to its ruling.

Die Anwälte der Wirecard reagierten sehr ungehalten:"The Court should deny Plaintiff’s second attempt to avoid filing a response to Defendants’ pending motion to dismiss through yet another improper ex parte application. (...) It is clear that Plaintiff has no
response to Defendants’ Motion to Dismiss, especially the arguments that this case
must be dismissed on forum non conveniens and personal jurisdiction grounds—
defects that cannot be cured by amendment. The Court should reject Plaintiff’s delay
tactics, deny his ex parte application to stay, and grant Defendants’ unopposed Motion
to Dismiss with prejudice (...)
To the contrary,
adhering to the case schedule is the best way to conserve resources, not, as Plaintiff has attempted time and again, delaying the deadline to respond to Defendants’ Motion to
Dismiss by filing needless and improper ex parte applications. (...) The ex parte application also should be denied because the sole basis for the
requested stay—to wait for the impact of KPMG’s audit, if any, on Wirecard’s
financials—has no bearing on Defendants’ pending Motion to Dismiss. The Motion to
Dismiss must be decided based on Plaintiff’s operative complaint. What Wirecard reports about its financials in the future is irrelevant to whether Plaintiff’s current
complaint states a claim. Thus, Plaintiff’s argument that he and other putative “class
members will be irreparably injured as they will face a dispositive motion without
having an opportunity to provide a more fully informed complaint” is nonsense. (...) The KPMG audit Plaintiff says he wants to add to a
new complaint has nothing to do with Defendants’ improper forum and personal
jurisdiction arguments. (...) Defendants have repeatedly
argued that this action should be dismissed without leave to amend because the
jurisdictional and forum defects cannot be cured (...) Plaintiff’s silence tells this Court everything it needs to know: any amendment
cannot cure these threshold pleading defects.
Under these circumstances, the ex parte application should be denied, and the
unopposed Motion to Dismiss should be granted. "

"Defendants’ Motion to Dismiss (ECF No. 73) is unopposed for the second time
in a row and therefore should be granted with prejudice. (...) Plaintiff’s
opposition to the Motion to Dismiss was due April 30, 2020, but Plaintiff filed no
opposition brief. (...) Plaintiff’s repeated failure to oppose the Motion to
Dismiss makes clear that he has no response to Defendants’ arguments. Accordingly,
Plaintiff’s complaint should be dismissed with prejudice for the reasons stated in
Defendants’ brief. (...) Defendants’ unopposed Motion to Dismiss should be granted on this basis. And
for the reasons set forth in that motion, this case should be dismissed with prejudice.
Specifically, in addition to moving to dismiss for failure to state a claim, Defendants
moved to dismiss on forum non conveniens grounds and for lack of personal
jurisdiction because this action does not belong in the United States."

Darauf erfolgte am 4.5. wieder eine Gegenrede der Klägerseite:
"Defendants do not deny that Wirecard and its executives brazenly
misrepresented themselves as having been cleared of all negative findings for months,
and even publicly declared that there was “no evidence of balance sheet manipulation”
and “no substantial findings have been made in all four areas of the audit” just a few
days before the release of the KPMG audit.

The instant ex parte application follows
the release of the KPMG audit, which, in direct contrast to Defendant’s statements,
indicated an inability of KPMG to verify over $1 billion in transactions, as well as
Wirecard’s apparent lack of cooperation with KPMG”s investigation.2
The requested relief is appropriately granted on an ex parte basis, as it was only
upon the release of the KPMG audit on April 28, 2020 that it was readily apparent that
an amended complaint would be necessary to incorporate the newly revealed findings. (...)
The results of KPMG’s audit warrant inclusion in the operative pleadings in this
matter as the audit results have a direct bearing on this case. (...)
