      Strike hits Petra Diamonds

      Ines Schumacher | Wed, 09 Sep 2009 16:43
[miningmx.com] -- MINE workers at AIM-traded diamond miner Petra Diamonds are striking at its Sedibeng operation in Kimberly.
The strike has entered its second day over a fundamental wage increase disagreement. Petra is offering its workers a 5% increase whereas the National Union of Mineworkers (Num) is demanding nearly 50%.
“The majority of the workers earn a minimum salary of R2,200, hence the demand for R1,050 salary increase as they cannot survive on a pittance salary they are currently getting,” said Num regional organiser Peterson Muleya.
The strike does not materially affect Petra’s operations. “Sedibeng is a small part of Petra’s production profile,” said spokesperson Nicola Taylor.
Taylor said 338 employees are striking, whereas the Num said it was over 500.
"All the employees not striking are non-Num members," Taylor said.
The Num said Petra boasted a five-fold increase in production.
“The company must consider interests of its workforce if it is serious about developing a world class status. We cannot allow the company to achieve its goals at the expense of workers,” Muleya said.
Petra recently announced it is renegotiating terms of a R160m convertible bond with major shareholder, Al Rajhi Holdings, amid “tight” cash flow conditions.
In July, Petra CEO Johan Dippenaar told Miningmx that Petra experienced a general price recovery in the region of 25%. This followed an estimated 65% decline in rough (unpolished) diamond prices.
Petra derives most of its production from South Africa, largely as the beneficiary of restructuring at De Beers from which it has bought the century-old Cullinan mine, as well as Koffiefontein.

Petra Diamonds Aims To Double Production To 2 Million Carats In Next 2-3 Years
      Charles Wyatt
AIM listed Petra Diamonds has pulled another rabbit out of the hat – in this case a world class rough diamond from the Cullinan mine in South Africa which it only took over last year. Petra is now one of the biggest independent producers in the world as it has interests in five producing mines in South Africa– Cullinan, Koffiefontein, Helam, Sedibeng and Star – and it has also acquired a 75 per cent stake in the Williamson mine in Tanzania. The company has also agreed to buy the Kimberley Underground mines from De Beers. The latest big diamond found at Cullinan weighs 507 carats in the rough state which is equivalent to 3.5 ozs and takes it into the world’s top twenty in terms of size. It would be much too heavy to wear as a single piece of jewellery, as chairman Adonis Pouroulis points out, but at least 50 per cent of the weight will be lost in the cutting and polishing process and it may be possible to divide it into several gem stones.
The original Cullinan diamond which was discovered in 1905 weighed 3,106 carats and was divided into nine separate stones which are now part of the Crown Jewels. At the moment all that is known is that the latest find at Cullinan is of exceptional colour and clarity and is most likely to be a Type 1 diamond. It is now being viewed and assessed by expert cutters but it may be some time before a decision is made as to where the first cleavage should be made. No point...

      Overview of Mining Operations

Petra Diamonds has operations in five African countries. It has a relationship with De Beers from which it has bought several mines in South Africa and Tanzania. Petra also has exploration projects in Angola, Botswana and Sierra Leone at varying stages of development.

      South Africa
Petra Diamonds operates five producing diamond mines in South Africa. These break down into two categories, fissure mines (Helam, Sedibeng, Star) and underground kimberlite pipe mines (Koffiefontein, Cullinan). It will also shortly acquire a sixth mine in South Africa, the Kimberley Underground mines.

The fissure mines were acquired by Petra when it merged with Crown Diamonds NL in May 2005. Petra is renowned for its in-house expertise in mining such difficult fissure orebodies, unlocking value in otherwise economically inviable structures.

Petra Diamonds has established a record of turning De Beers' unprofitable South African mines into financial successes. According to Nicky Oppenheimer, Chairman of De Beers, the reason for this was "De Beers was operating the mines with too large a cost structure, something Petra doesn't have."[2] The underground kimberlite mines were purchased from De Beers Consolidated Mines. Koffiefontein was purchased in December 2006 for ZAR82m, mostly covering the rehabilitation obligations at the mine.[3] Petra managed to turn Koffiefontein mine into a profitable operation by making modifications to both the plant and the mining process, as well as by applying a leaner cost structure. Production from Koffiefontein at the end of April 2008 had an average value per carat of $484 which places the value of Koffiefontein's production amongst the world's top kimberlite mines.

      Cullinan Diamond Mine
In July 2008, Petra led a consortium which acquired the Cullinan diamond mine from De Beers Consolidated Mines for a total cash consideration of ZAR1 billion. In line with the South African Mining Charter, the Petra Diamonds Cullinan Consortium included broad based Black Economic Empowerment partners.

The Cullinan kimberlite pipe is the second largest indicated diamond resource in the world by in-situ value. The current operating levels include the B-Cut at a depth of 747 metres, and beneath that lies the Centenary-Cut (“the C-Cut”), a world class diamond resource. There are extensive resources in place (58 million carats) at the B-Cut, excluding the potential of the 133 million carat C-Cut resource.[4]

The mine, previously known as Premier Diamond mine, is renowned for producing many of the world’s largest and most famous diamonds, including the Cullinan Diamond, the world’s largest gem diamond, at 3,106 carats rough. Sir Thomas Cullinan, the former chairman of the Premier Diamond Mine, presented the Cullinan to England’s King Edward VII in 1905.[5] The Cullinan, which was found near Pretoria more than a century ago, was until recently acknowledged to be the largest cut diamond in the world, weighing in at 530.20 carats. In 1985 it lost the record to the Golden Jubilee, which was found in the same mine as the Cullinan and weighed 545.67 carats in its polished state.

More than a quarter of all diamonds weighing more than 400 carats came from the Cullinan. It is also the world's only significant source of blue diamonds. One of these famous large blue diamonds was cut into several stones and made into a necklace which subsequently became known as the Cullinan Blue Diamond necklace.[6]

The Cullinan mine continues to produce large stones. In May 2008, a diamond found at Cullinan became the largest colourless diamond to appear at auction in 18 years and one of only three colourless diamonds of over 100-carats ever to be auctioned. It was also the biggest colourless diamond ever to be sold in Asia. The 101.27 carat shield shaped diamond was cut from a 460-carat rough stone and sold at Christie's Hong Kong for $6.1 million.[7]

Petra announced that during the first year of operation focus will be on establishing the new economics of the mine, including grade, value per carat, cost per tonne and overall production capacity of the infrastructure. They plan in the first fiscal year to June 2009 to mine from the B-Cut 1.4 to 1.8 million tonnes per annum, which is expected to yield between 600,000 and 750,000 carats, plus tailings production from the Optical Sorting Plant (“OSP”) of approximately 100,000 carats.

      Angola
Petra undertook a joint-venture exploration with BHP Billiton of the Alto Cuilo concession in Angola. Alto Cuilo is located in the North East of Angola which experts predict will become a prolific production region of diamonds in the future.[8] Petra also invested in the adjacent Luangue concession when it acquired Frannor Investments and Finance Ltd from Xceldiam Ltd in March 2007. BHP Billiton decided to exit both projects in May 2008 and Petra has been the sole operator and funder of exploration since this time.[9]

      Botswana
Petra has become the holder of the largest area under diamond prospecting licence in Botswana, following the acquisition of Kalahari Diamonds in September 2005. 36 kimberlites are known to exist in Petra's licence areas, including two important diamondiferous kimberlites close to the major Jwaneng diamond mine.

      Sierra Leone
Petra's exploration operations in Sierra Leone consist of the Kono project, which is a joint venture with Stellar Diamonds. So far two shafts have been developed, Pol-K and Bardu. The exploration project has yielded 20,889 diamonds weighing a total of 1,729 carats as of September 2008. The first parcel of Kono test production (1,064 carats) to be sold on tender, with the Pol-K shaft parcel of 866 carats achieving an average value per carat of US$152.[10]

      Tanzania
Petra agreed to acquire the Williamson Mine in Tanzania in September 2008 from De Beers.[11] The Williamson mine has a reputation for the production of large, high value diamonds, with special stones (classified as larger than 10.8 carats) produced regularly. Gem-quality diamonds larger than 200 carats have been also been recovered from this large open-pit operation. The Williamson Mine is currently thought to have a resource of some 40 million carats (995 million tonnes of kimberlite). It has a maximum mining depth of 90 metres and a very low stripping ratio. Energy and Minerals Minister William Ngeleja said Petra's entry is "an opportunity to breathe new life into Williamson Mine and Tanzania's diamond mining sector."

Petra Diamonds to double stake in Cullinan mine as market prices improve

      18 November 2009

Diamond mining group Petra Diamonds has announced plans to increase its stake in the famous Cullinan mine in South Africa by buying out its partner, Al Rajhi Holdings.

In an option deal which expires on December 18, Petra has the chance to take its holding in the mine from 37% to 74% and substantially increase its own revenues and resource base.

In return, the company will pay Al Rajhi 36 million shares at 80p each and another US$35 million in cash in 2011. In addition, Petra will repay a US$20 million loan and take on the responsibility for a US$80 million loan on the mine – US$30 million of that loan will be settled once the deal completes.

The deal will take Petra’s attributable resources at Cullinan from 75.7 million carats to 151.4 million carats and doubles the attributable diamond production from approximately 320,000 carats to over 650,000 carats per year.

Responding to recent press speculation over a potential fundraising, Petra confirmed that it was planning to undertake an equity fundraising, led by Canaccord Adams and RBC Capital Markets.

The news comes as Petra reported that two Cullinan white diamonds of 58 and 53 carats had been sold in early November for US$2.8 million. The company said the strong prices achieved boded well for the values that could be realised from the exceptional 507 and 168 carat white diamonds, which were recovered in the same production series at the Cullinan mine in September this year.

Johan Dippenaar, Petra's chief executive, said that the rough diamond market had improved significantly in recent months.

The Cullinan mine is one of the world's most celebrated diamond mines as it regularly produces large, high quality gems, and is the only reliable source of very rare and valuable blue diamonds. In addition, it contains the world's second largest inferred diamond resource, with a total of 204.6 million carats.

Petra Sells 168-Carat White Diamond for $6.28 Million (Update1)

      By Simon Casey

Nov. 27 (Bloomberg) -- Petra Diamonds Ltd., a miner of the stones, sold a white, 168-carat gem found at its Cullinan mine in South Africa for $6.28 million, or $37.380 a carat.

The sale was made yesterday, St. Helier, Jersey-based Petra said in a statement today. Petra didn’t identify the buyer.

The diamond was recovered from Cullinan along with three other “special” gems, Petra said. The three stones include a 507.55-carat white diamond, which has yet to be offered while Petra considers the best way to sell it, the company said.

Petra Diamonds sells exceptional 168 carat white Cullinan diamond

      27 November 2009

Diamond mining group Petra Diamonds has sold the 168.00 carat special white diamond recently recovered at the Cullinan mine in South Africa for US$6.28 million (approximately US$37,380 per carat).

The stone is of exceptional colour and quality and was recovered in the same production series as three other special diamonds: the 507.55 carat white diamond, which has not been offered for sale yet, and two diamonds of 58.50 and 53.30 carats, which were sold in November for a total of US$2.8 million.

The Cullinan mine is renowned as a source of large, high-value diamonds and in its history has produced more than 300 diamonds of over 100 carats and a quarter of all the world's diamonds over 400 carats.

Last week, Petra announced that it wanted to increase its stake in the mine by buying out its partner, Al Rajhi Holdings. In an option deal which expires on December 18, Petra has the chance to take its holding in the mine from 37% to 74% in return for £28.8 million worth of shares and US$35 million in cash plus the assumption of company loans.

Sunday tips round-up: Lloyds, Standard Chartered, Petra Diamonds

      Sun 29 Nov 2009
Sunday tips round-up: Lloyds, Standard Chartered, Petra Diamonds LONDON (SHARECAST) - The option to buy shares at a discount to the market price is extremely tempting. If the economy turns upwards and Lloyds can pull off a successful merger of operations with those of HBOS, then 37p looks like an extremely good deal. But the economic outlook remains uncertain and banks have not proved themselves the most reliable guides to their own financial stability.

Fortunately a rights issue gives investors a way to increase their investment and so benefit from the recovery without dipping into their own pockets. Sell some of your rights entitlement and use the proceeds to buy the rest. Or in Cityspeak, swallow your tail, says the Daily Mail.

Greed has been in the driving seat for some time – but at the end of last week news from Dubai caused fear to re-emerge as the emotion controlling events. Shares in Standard Chartered fell 6pc on Thursday, wiping about £1.8bn off its valuation. Investors are concerned that events in the emirate could set off a chain reaction across Asia. However, the Telegraph’s Questor is along-term investor and regards the steep fall last week as a buying opportunity.

The shares are trading on a December 2009 earnings multiple of 14.2 times, falling to 13 next year. They are yielding 2.7pc. Shares in Standard Chartered were recommended as a buy on April 6 at £12.40 and they are now up 22.5pc compared with a market up 31pc. Buy.

On Friday Petra Diamonds sold a 168 carat diamond from its Cullinan Mine for $6.28m (£3.83m) – or $37,380 a carat. The Cullinan Mine, near Pretoria, South Africa, is famous for producing a 3,100 carat diamond in 1905 – with the two largest gems from this stone becoming centrepieces in the British crown jewels. The shares were recommended at 68¾p on October 20 and the shares are down 9pc compared with a flat market. Because of the quality of its diamond mines, the shares are a buy, says the Telegraph.

LONDON (SHARECAST) - Petra Diamonds, which part owns South Africa’s Cullinan mine, has raised US$120m (£72.7m) from a placing of shares at 60p each to strengthen the balance sheet and develop its mines.

It will use the money to pay off $24.6m of the $80m Al Rajhi Holdings loan as part of the option to increase Petra's holding in the Cullinan mine from 37% to 74%.

The rest of the cash will provide working capital to boost diamond production from its six producing mines in South Africa and Tanzania, and repay the $20m Al Rajhi convertible loan note.

Petra will throw $15m (£9.1m) at the Cullinan mine and the same amount on expansion at the Williamson mine, while $38.9m (£23.6m) is for working capital and repayment of short term debt.

Boss Johan Dippenaar said the company had received “overwhelming support” from existing shareholders and over 40 new long-only institutional investors, which should improve liquidity.

Last week, Petra sold the 168 carat special white diamond recently recovered at the Cullinan mine for US$6.28m at approximately US$37,380 per carat.

Petra Diamonds today said that 40 new international long-only institutional investors had joined its share register as part of the US$120 million (£72.7 million) share placing that it launched last month.

Johan Dippenaar, the company’s chief executive, said he was delighted with the support from shareholders and hoped the number of new investors would transform the liquidity of the company's shares.

Petra’s main asset is the famous Cullinan diamond mine in South Africa. Earlier this month the company said it wanted to raise new funding to buy out its partner in the mine, Al Rajhi Holdings, and take its stake from 37% to 74%.

In return, Petra is set to pay Al Rajhi 36 million shares at 80p each and another US$35 million in cash in 2011. In addition, it will repay a US$20 million loan and take on the responsibility for a US$80 million loan on the mine – US$30 million of that loan will be settled once the deal completes.

The deal will take Petra’s attributable resources at Cullinan from 75.7 million carats to 151.4 million carats and double its attributable diamond production from approximately 320,000 carats to over 650,000 carats per year.

The new funding will also provide working capital to increase diamond production from Petra’s five other producing mines in South Africa and Tanzania.

Mr Dippenaar said: “The placing not only strengthens the company's balance sheet, allowing Petra to invest in the development of our producing mines, but will also significantly increase our attributable resources, production and cash flow following the consolidation of our holding in the Cullinan mine.”

Last week, Petra Diamonds sold a 168.00 carat special white diamond recently recovered from the Cullinan mine for US$6.28 million (approximately US$37,380 per carat). The was recovered in the same production series as three other special diamonds: the 507.55 carat white diamond, which has not been offered for sale yet, and two diamonds of 58.50 and 53.30 carats, which were sold in November for a total of US$2.8 million.
